About this file
This is a Federal Supply Schedule (FSS) Sole-Source Justification (SSJ) form for the U.S. Department of Education supporting orders or blanket purchase agreements exceeding the Simplified Acquisition Threshold.
The procurement is titled "Borrower Defense Adjudication Support" with Action ID Numbers 91003126F0014 and 91003126F0015 and an estimated value of $81,382,398.35. The Federal Student Aid (FSA) Contracts Operations Division is the contracting activity, with FSA serving as the Principal Operating Component. The requirement is for attorney services to support the Borrower Defense Branch in adjudicating borrower defense applications pursuant to 34 C.F.R. § 685.222, 206(c), 206(e), and the Sweet v. McMahon settlement agreement. Vendors must deliver adjudication work consisting of fact-finding conducted at the school level and adjudication of individual borrower applications, utilizing a customized Salesforce interface for tracking, recording, and issuing decisions. The justification cites GSAM/R 538.7104-3(b)(iii) as the statutory exception—logical follow-on—because the scope of original work exceeded initial projections, resulting in extended timelines. The Department has invested substantial resources in onboarding and training 144 contract attorneys, with all trained on the basic work stream and approximately half trained on first-level fact-finding. Changing contractors would result in duplicative onboarding and training costs and disrupt progress toward the Department and Office of Management and Budget goal of reducing the borrower defense claims backlog to zero by end of 2028. The Contracting Officer determined the price fair and reasonable based on GSA schedule pricing, internal estimates, and competitive pricing from two companies, with further discounts anticipated. Market research over the past six months showed no significant changes in the professional service lawyers market, making additional research unnecessary. The justification was approved by Technical/Requirements Personnel (John Stephenson, signed September 24, 2026), Contracting Officer Jackson McClam (signed September 24, 2026), and Procuring Activity Competition Advocate Mildred Shingler (signed August 28, 2026).

If applicable, explain the FSS contractor’s unique qualifications, nature of the acquisition that requires use of the same contractor as part of a logical follow-on, or reasons for urgency and how using the procedures would result in unacceptable delays. This is the most important part of the justification because it demonstrates the prospective contractor has unique qualifications and/or specialized capabilities or expertise not prevalent elsewhere on the schedules. You must explain what unique qualifications and special capabilities the contractor possesses.
In instances where an urgent and compelling need exists, discuss the nature of the urgency. Discuss how any follow-on work will be competed (mandatory). Also provide supporting rationale and a concise description of the extent, nature, and impact of the unacceptable delay.
4. DETERMINATION BY THE CONTRACTING OFFICER. <Insert an explanation supporting why the proposed order or BPA represents a reasonable total price and will be the best value for the government consistent with GSAM/R 538.7102-2(d)(2) and 538.7104-2(a)(3).>
5. DESCRIPTION OF MARKET RESEARCH CONDUCTED AND RESULTS. <Insert a description of the market research; i.e., the collection and analysis of product/service information on the technical capabilities and prices/costs from appropriate FSS contracts. If market research was not conducted, the reasons why should be stated. A statement must also be made that the supplies and services are available under FSS. If market research was not conducted, state why.>
6. ANY OTHER FACTS SUPPORTING THE JUSTIFICATION. <Insert, as needed. When urgency is cited, provide data, estimated cost, or other rationale as to the extent and nature of the harm to the government that following schedule procedures would cause. When a logical follow-on is cited, include an estimate of the duplicative cost and methodology used to formulate the estimated cost.>
7. STATEMENT OF ACTIONS AGENCY MAY TAKE TO REMOVE OR OVERCOME ANY BARRIERS
THAT LED TO THE RESTRICTED CONSIDERATION BEFORE ANY SUBESQUENT ACQUISITIONS.
<Insert a description, including challenges to restrictive data markings, data rights, etc. If planning a competition, include the estimated date when the competitive procurement will occur. If this is a follow-on order, state the measures initiated to eliminate or reduce competitive barriers.>
REVIEWS & APPROVALS: This justification must be signed by all parties as appropriate to the acquisition according to the below table. Approval levels are Agency determined.

PROCUREMENT TITLE: Borrower Defense Adjudication Support
ACTION ID NUMBER: 91003126F0014 & 91003126F0015
ESTIMATED VALUE: $81,382,398.35
2 NATURE ANDOR DESCRIPTION OF THE ACTION INCLUDING A DESCRIPTION OF THE SUPPLIESSERVICES REQUIRED TO MEET THE AGENYS NEEDSRow1: Vendors must support the delivery of Attorney Services adjudication work to the Department of Education (The Department). The Borrower Defense Branch (BDB) of Federal Student Aid (FSA) requires assistance from contract attorneys to adjudicate applications pursuant to 34 C.F.R. § 685.222, 206(c), 206(e), and the Sweet v. McMahon settlement agreement. Adjudication consists of both fact-finding, which is done on a school level; and adjudication of individual borrower applications. Fact-finding is a regulatory required process for schools with pending borrower defense applications which includes a review of Department records, borrower applications, and other materials. After fact-finding is complete the associated applications will be adjudicated under the appropriate regulatory standard(s), subject to a 20% quality control process and 100% final review process. BDB uses a customized Salesforce interface to track, record, and issue decisions. Services must be provided using this tool.
Provide the rationale behind the selection of the above statutory exceptionRow1: The rationale behind the selection of the exception is based on the fact that the scope of the original work has proven to be larger than initially anticipated, resulting in extended timelines for completion. Given this circumstance, it is logical and efficient to continue utilizing the current contractors who are already familiar with the project's requirements and complexities. Changing contractors would significantly impact time and productivity of the adjudication work to the Department of Education. Stopping work to initiate a competitive bidding process for new contracts would cause unnecessary delays and disrupt progress, making the logical follow-on exception the most practical choice.
The Borrower Defense Branch (BDB) has three primary work streams that increase in complexity: Cases barred by the 2020 Regulation Statute of Limitations Provision, first level fact-finding, and adjudication of borrower defense applications on the merits. Since the contract was awarded, BDB has used virtually all of its resources to on board, train, and oversee the contractor staff. To date, the 144 contractors BDB has on boarded have been trained in the most basic work stream (the 2020 SOL cases), and approximately half the group have received training on first level fact-finding. If the Department was required to change contractors, the investment of significant BDB resources to on board, train, and oversee these contractors would be lost and BDB would be required to re-do months of work that has already been completed.
4 DETERMINATION BY THE CONTRACTING OFFICER THAT THE ORDER REPRESENTS A FAIR AND REASONABLE PRICERow1: We have gathered and reviewed the pricing contract schedules, internal estimates, and competitive prices from two companies. Based on this information, we are confident that the price can be established as fair and reasonable. The GSA schedule prices have already been established. Additionally, further discounts are anticipated. The state of the market has not changed since award in February 2026.
5 DESCRIPTION OF MARKET RESEARCH CONDUCTED AND RESULTSRow1: Over the past six months, there has been no significant change observed in the market for professional service lawyers. Given the minimal shift in market conditions during this period and the short time-frame, we believe additional research was unnecessary.
6 ANY OTHER FACTS SUPPORTING THE JUSTIFICATIONRow1:
7 STATEMENT OF ACTIONS IF ANY THE AGENCY MAY TAKE TO REMOVE OR OVERCOME ANY BARRIERS THAT LED TO THE RESTRICTED CONSIDERATION BEFORE ANY SUBESQUENT ACQUISITIONSRow1: The stated goal from the Department and the Office of Management and Budget is to reduce the backlog of borrower defense claims to zero by the end of 2028. Stopping work to initiate a competitive bidding process for new contracts would cause unnecessary delays and disrupt the progress BDB has been able to make to meet the stated goals.
If the BD claims are at zero by the end of 2028 there would not be further need for contractor support. Additionally by this time, FSA will have gathered significant data on the time it takes to process cases and can use that information to move forward as necessary. Further in accordance with GSAM 538.7104-3(b)(3)(ii), this justification will be posted following award. Any responses to the justification will be annotated and considered for use in future procurements similar to this one.
