About this file

This document is a confirmation letter for a 2030 term interest rate swap agreement between the County of Sacramento and Bank of America, N.A., effective June 2, 2023, with a termination date of July 10, 2030. The transaction establishes fixed and floating rate payment obligations between the parties under an ISDA Master Agreement dated July 21, 2004, as amended on September 4, 2012, and novated to Bank of America on June 1, 2023. The County of Sacramento serves as the fixed rate payer at a fixed rate of 4.122% with monthly payment dates on the tenth calendar day of each month, while Bank of America serves as the floating rate payer at a rate of 100 percent of USD-SOFR plus 0.56448%, compounded daily using actual/360 day count fraction. The notional amount amortizes over the seven-year term from an initial $13,790,000 to a final balance of $3,220,000 by the termination date, with scheduled annual decreases ranging from $405,000 to $3,220,000 across eight calculation periods.

The swap includes provisions allowing the County to exercise an optional early termination right on any local business day with at least five business days' prior written notice, subject to the County providing evidence of sufficient funds to settle any amounts owed to Bank of America. All payments are due monthly on the tenth calendar day, with the final payment scheduled for July 15, 2030, adjusted according to the Following Business Day Convention. The County retained Evercrest Advisors as its swap advisor and was represented by counsel in executing the transaction. Supporting documentation requirements include board resolutions, certificates of authority, specimen signatures, and legal opinions from counsel to both parties confirming authorization and enforceability of the agreement. The parties designated their respective offices in Charlotte, North Carolina and Sacramento, California for transaction administration and reset notice delivery.
