About this file
This document is a 2030 Term Swap Confirmation Agreement between the County of Sacramento and Bank of America, N.A., amending and restating a portion of an interest rate swap transaction originally entered into on July 21, 2004. The transaction pertains to the County's outstanding swap agreements for the 2008 Pension Obligation Bonds (POBs), with the amended effective date of June 10, 2023, and a termination date of July 10, 2030. Under the amended terms, the County (Party B) serves as the fixed rate payer with a fixed rate of 6.375% (increased from the original 5.901%), while Bank of America, N.A. (Party A) serves as the floating rate payer at USD-SOFR plus 0.56448%. Monthly payments are due on the tenth calendar day of each month, with the final payment due July 15, 2030. The notional amount begins at $166,950,000 as of July 10, 2023, with scheduled amortization reducing the amount annually, declining to $44,475,000 by July 10, 2030. The County retains an optional early termination right, allowing it to terminate the swap in whole or in part with five business days' notice, subject to providing evidence of sufficient funds.
The transaction reflects a transition from USD-LIBOR-BBA to USD-SOFR as the floating rate benchmark, incorporating the International Swaps and Derivatives Association's 2006 ISDA Definitions and IBOR Fallbacks Supplement. The County engaged Evercrest Advisors as its swap advisor and retained legal counsel to ensure the transaction's validity and enforceability. The amendment required no payments between parties upon execution, with each party responsible for its own costs and expenses. This confirmation supersedes and replaces a portion of the original transaction (Admin I.D. #04MU01880/1777443) while leaving the remaining portions amended and restated under a separate confirmation (ID 54006996). The agreement incorporates standard ISDA provisions regarding non-reliance, independent decision-making, and Bank of America's role as principal rather than fiduciary advisor to the County.
