SECTION 1 – COMBINED SYNOPSIS / SOLICITATION

I. This is a combined synopisis/soliciation for commercial products and commercial services prepared in accordance with the format in Federal Acquisition Regulation (FAR) Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.

II. This action is being processed in accordance with FAR Part 12 and FAR Part 13, and particularly FAR Part 13.5. The solicitation number is 140D0422R0058 for Actuarial Support Services. This solicitation is issued as a Request for Proposal (RFP). The solicitation will result in the award of an Indefinite Delivery/Indefinite Quantity (IDIQ) contract, with Firm Fixed Price or Time and Materials / Labor-Hour Task Orders. The Acquisition Services Directorate of the Department of the Interior, on behalf of the Pension Benefit Guaranty Corporation (PBGC), is issuing this combined solicitation/synopsis for the purpose of awarding an IDIQ contract after receipt and evaluation of proposals.

III. The solicitation document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular Number 2022-06, which was effective May 26, 2022.

IV. This requirement is set aside for small business. The NAICS code is 541611, Administrative Management and General Management Consulting Services, with small business size standard $21.5 million.

VI. Description of the requirements for the items to be acquired: See Statement of Work. See Page 7 of the Solicitation.

VII. Period of Performance shall be a Base Period of 1 year, followed by 4 Option Periods, each 1 year in duration, and will include an Option to Extend Services for up to 6 months pursuant to FAR 52.217-8.

VIII. The provision at FAR 52.212-1, Instructions to Offerors—Commercial Products and Commercial Services, applies to this acquisition. See Page 37 for the reference.

IX. The provision at FAR 52.212-2, Evaluation—Commercial Products and Commercial Services, applies to this acquisition. See Page 37 for full text of the provision, along with the specific evaluation criteria to be included.

X. Offerors must include a completed copy of the provision at FAR 52.212-3, Offeror Representations and Certifications

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) website accessed through http://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (p) of this provision. SECTION 2 - SERVICE TYPE AND PRICES

2.1 CONTRACT TYPE

This is a Commercial Services Indefinite Delivery/Indefinite Quantity (IDIQ) contract. All services will be obtained through the issuance of task orders, which will be either Firm Fixed Price or Time and Materials / Labor-Hour. The determination for the contract type will be made at the task order level. Task orders will be issued by a Contracting Officer with the Department of Interior/Interior Business Center, Acquisition Services Directorate.

2.2 SERVICES AND SUPPLIES

The required services of the Statement of Work shall be provided in accordance with the requirements specified in Section C. Descriptions and Specifications and will be specifically detailed in individual task orders.

2.3 ORDER RATES

2.4 IDIQ MAXIMUM CEILING VALUE AND GUARANTEED MINIMUM

The maximum value of all orders against this IDIQ shall not exceed $2,500,000 over 5 years. The guaranteed minimum for the life of this IDIQ is $5,000, which may be placed at any time during the 5-year period.

SECTION 3 -- DESCRIPTIONS AND SPECIFICATIONS

3.1 STATEMENT OF WORK

1.0 PROJECT TITLE: ACTUARIAL SUPPORT SERVICES

The Contractor shall provide Actuarial Support to the Pension Benefit Guaranty Corporation (PBGC), Office of Inspector General (OIG), in overseeing PBGC’s implementation of section 9704 of the American Rescue Plan Act of 2021 (ARPA).

2.0 BACKGROUND

The Pension Benefit Guaranty Corporation (PBGC) is a wholly-owned United States government corporation and agency of the United States created under Title IV of the Employee Retirement Income Security act of 1974 (ERISA) to administer the federal pension insurance programs and enforce compliance with the provisions of Title IV.

2.1 Background Information for Office of Inspector General (OIG) The Office of Inspector General (OIG) was established at the Pension Benefit Guaranty Corporation (PBGC) by the 1988 amendments to the Inspector General Act of 1978 (IG Act). Under the IG Act, the OIG is an independent office within PBGC and has no programmatic responsibility. The OIG provides objective written work products to the PBGC Board of Directors, agency management, and Congress about PBGC programs and operations. These work products include audits, evaluations, inspections, investigations, reviews, and risk advisories. In addition to conducting statutorily-required projects and reports, the OIG responds to Hotline complaints and requests from Members of Congress, and conducts other projects as necessary to address operational, financial, Information Technology (IT), and programmatic risks.

2.2 American Rescue Plan Act 2021 (ARPA)

In March 2021, Congress enacted the American Rescue Plan Act of 2021 (ARP). Under ARPA, the Treasury will provide approximately $86 billion in Special Financial Assistance (SFA) to PBGC, which will then disburse the funds to eligible multiemployer pensions plans. Eligible plans include: (a) those in critical and declining status; (b) those that have approved benefit suspensions under the Multiemployer Pension Reform Act of 2014 (MPRA); (c) those that are in critical status with a modified funding percentage of less than 40% and the ratio of active to inactive participants is less than 2 to 3; and (d) those plans that are already insolvent and remain ongoing. The SFA is designed to reach all multiemployer defined benefit plans regardless of size, but the amount of assistance is based on specific criteria outlined in ARPA. The Congressional Budget Office estimates that 185 plans are likely to receive assistance, but as many as 336 might under certain circumstances. A troubled pension plan will receive enough financial assistance to keep it solvent until the plan year ending in 2051 — with no cuts to the earned benefits of participants and beneficiaries. This program enhances retirement security for millions of Americans by providing eligible multiemployer defined benefit pension plans with special financial assistance (SFA) in the amounts required for the plans to pay all benefits due during the period beginning on the date of payment of SFA through the plan year ending in 2051.

3.0 SCOPE

The Contractor will provide actuarial support services in the multiemployer pension benefit program and assist the OIG staff in oversight of PBGC’s review and approval of SFA distributed to poorly funded multiemployer plans.

To ensure successful performance of the tasks herein, the Contractor must provide personnel with the following required skills and abilities:

2. Experience in all aspects of multiemployer pension plans including plan administration, valuation, benefit projections and experience analysis.

3. Mastery level knowledge of development of actuarial and business assumptions for multiemployer pension plans.

Actuarial Analyst

Bachelor's Degree in Actuarial Science or related subjects

1. 5 years of experience with defined benefit pension plans

2. Expertise in pension valuation software package.

1. Knowledge of applicable laws, rules, and regulations.

2. Experience in development of Minimum Required Contributions, zone certificate projections and administration of multiemployer pension plans

3. Experience in analyzing actuarial and business assumptions for multiemployer pension plans.

4.0 KEY PERSONNEL

Key personnel are those Contractor personnel considered to be essential to contract performance and subsequent orders.

The Senior Actuary is designated as key personnel and may only be replaced with the approval of the Contracting Officer Representative and Contracting Officer. Additional Key Personnel may be identified at the Task Order level.

A. Substitution of Key Personnel The Contractor shall notify the CO and the COR prior to making any changes in Key Personnel. No changes in Key Personnel will be made unless the Contractor can demonstrate that the qualifications of prospective replacement personnel are equal to, or better than the qualifications of the Key Personnel being replaced. All proposed substitutes shall have qualifications equal to, or higher than the qualifications of the person to be replaced. The CO shall be notified in writing of any proposed substitution at least thirty (30) calendar days in advance of the proposed substitution. Such notification shall include:

1. An explanation of the circumstances necessitating the substitution;

2. A complete resume of the proposed substitute; and,

3. Any other information requested by the CO to enable him/her to determine whether the Contractor is maintaining the same high quality of personnel that provided the partial basis for award. The contract-level CO will evaluate substitutions at the contract level; and the order-level COR will evaluate order-level substitutions. These individuals will evaluate such requests and promptly notify the Contractor of his/her approval or disapproval in writing. All disapprovals will require resubmission of another substitution within fifteen (15) calendar days by the Contractor.

5.0 SPECIFIC TASKS

The Contractor will provide actuarial support services with expertise in the multiemployer pension benefit program to support OIG’s review and oversight of the SFA Program. This is a task-based contract, and the contractor is expected to:

Task 1. Review and/or peer review of actuarial analysis developed by OIG staff;

Task 2. Review and comment on an application or a particular item of an application;

Task 3. Perform open group and close group seriatim actuarial projections/valuations and reconcile differences with information submit with certain SFA applications; and

Task 4. Develop actuarial analysis on issues related to SFA applications and/or multiemployer pension plans.

During the performance of the Indefinite Delivery / Indefinite Quantity (IDIQ), the contractor may be asked to perform the tasks, which will be further defined at the Task Order level.

6.0 DELIVERABLES AND DELIVERY SCHEDULE

Deliverables will include written work products such as peer review comments and recommendations, written evaluation of SFA applications including supporting analyses, written report on reconciliation of actuarial projections including details sample projections and potential causes of differences and formal actuarial opinion on actuarial and/or experience analysis.

If an unanticipated problem or obstacle arises creating a delay in meeting the estimated completion date, the Contractor shall notify the OIG within 2 business days and should be prepared to discuss options to resolve the problem(s). The OIG will work with the Contractor to get the specific task on-track and adjust priorities and due dates accordingly.

Specific deliverables and timetables will be determined at the Task Order level. Examples of deliverables include draft and final meeting agendas, draft and final meeting summaries, read-ahead materials, action items, work plan and updated drafts, work group call summaries or recordings, draft meeting venue recommendation, etc.

7.0 GOVERNMENT-FURNISHED PROPERY (GFP)

PBGC OIG will furnish or provide access, to the extent available, copies of regulations, procedures, policies, other materials, administrative support and/or equipment (e.g., laptop) necessary for the contractor to perform the work required by this contract.

8.0 PLACE OF PERFORMANCE

Work required under this contract may be performed at Contractor’s worksite, at Pension Benefit Guaranty Corporation (PBGC) Headquarters, 1200 K St, NW, Washington DC, and/or via telework.

Normal business hours for the purpose of this requirement are from approximately 8:00 a.m. to 4:30 p.m., with flexibility for the start/stop times.

9.0 CONFLICTS OF INTEREST

Confidential information covering Special Financial Assistance assumptions, internal pension plan matters and OIG decisions and processes in connection with the OIG’s obligations under the IG Act of 1988 and PBGC’s obligations under Title IV of ERISA and the ARP will be shared with the contractor. The OIG must, at all times, be assured that the confidences disclosed by it to its multiemployer specialist contractor will not be breached. Further, the contractor must avoid conflicts of interest or the appearance of conflicts of interest that might compromise this confidential relationship with the OIG.

The contractor assigned to this work shall sign an Independence and Non-Disclosure Agreement that restricts disclosure of PBGC and PBGC OIG documents containing privileged or confidential personal, government, and business data on a “need-to-now” basis, except as required by law, regulation, or professional standards.

The contractor is expected to provide written company policy on how to identify and counter direct and indirect conflicts of interest. In addition, procedures to avoid direct and indirect conflicts of interest with current and future clients for personnel assigned to this contract.

10.0 TASK ORDERS TO BE ISSUED

The actual work for services that fall within the general scope of this Statement of Work (SOW) will be authorized or "ordered" through the periodic issuance of individual Task Orders. Task Orders will be fixed price or time and materials / labor-hour, as needed. The SOW for each individual Task Order under this contract will define the services that are to be accomplished under the general scope of this IDIQ.

Each Task Order will provide a separate, detailed, and descriptive SOW for the specific work required under that Task Order. The level of effort, periods of performance, and price will be individually defined in each Task Order based on the type and complexity of work required. Deliverables will be identifiable in each individual task. All deliverables provided under Task Orders become the property of the U.S. Government. As a part of each Task Order the Contractor shall provide monthly progress reports to the COR and the CO.

CORPORATE NON-DISCLOSURE AGREEMENT

(a) , (hereinafter referred to as the Corporation) hereby agrees to abide by the safeguards described below regarding data to which I may gain access in performance of PBGC Contract Number , either as a prime contractor or a subcontractor. The word “data” in this agreement refers to: (1) any information, and derivatives there from, furnished by the Government, whether or not such information has been reduced to writing; and

(2) data first produced by the Contractor under this contract.

(b) The Corporation will maintain the confidentiality of data disclosed to it or otherwise learned during the course of its business relationship with XXX including information obtained from any other XXX contractors or subcontractors during the course of its business relationship with XXX.

(c) Except as necessary in the performance of its duties under this contract, the Corporation will not, without the written permission of the COR or the Contracting Officer,

1. Reveal, divulge, or publicize any data covered under this Agreement;

2. Disseminate any oral, written or electronic information which constitutes data covered under this Agreement and which is obtained as a result of execution of this contract or performance of work hereunder; or,

3. Remove any documents or electronic media containing data covered under this Agreement from the place of contract performance.

(d) The Corporation will not use data improperly obtained during the course of its business relationship with XX in or as an aid in preparing future proposals.

(e) The Corporation has been advised that all data covered by this Agreement that are furnished by the Government, including any copies, notes or working papers derived or produced there from, are the property of the Government. If required to do so by the Contracting Officer, the Corporation will promptly surrender such materials and derived copies, notes, and /or working papers that are in my custody or control. The Corporation understands that its unexcused failure to surrender such materials promptly, or its improper conversion of such materials to a use not called for by the contract (e.g., delivery of a document, or a copy thereof, or notes containing information taken from the document, to someone not authorized by the Government to receive such information), may be in violation of 18 U.S.C.

641 (theft of Government property).

(f) Further, the Corporation agrees not to release data regarding performance of work under this contract to other clients or potential clients without the express permission of the Contracting Officer or COTR.

(g) The Corporation’s obligations of confidentiality shall not apply to the following circumstances:

1. data which is now or hereafter becomes a part of the public domain;

2. data known to the Corporation before disclosure to by the disclosing party hereunder as evidenced by its records;

3. data given to the Corporation by a third party having a right to disclose the same; or

4. data the Corporation is compelled to disclose by judicial or administrative process, or by other mandatory requirements of law.

(h) The disclosure of data by one party to the other shall not constitute a grant by the disclosing party to the receiving party of any species of right, title, interest, or property in or to confidential Information. No license or other right under any U.S. or foreign patent, copyright, or know-how is granted or implied by this Agreement.

(i). The Corporation agrees that it shall not disclose this data to any of its employees except on a “need to know” basis related solely to the performance of the contract with XX and then only to advance the relationship between the parties. The Corporation shall require all its employees working in matters pertaining to its business relationship with XX to execute a copy of the Individual Nondisclosure Agreement so that the Corporation’s employees fully understand their obligations under this agreement. The Corporation shall provide XX with a copy of the signed agreements for all of the aforementioned employees within 30 days of receipt of this agreement.

(j). The Corporation shall execute a copy of the applicable Nondisclosure Agreement with all of its subcontractors working on XX contracts.

(k). The above constitutes the full and complete Agreement in this matter by and between the parties hereto.

(l) In accordance with contract provisions, this Agreement may be formally modified or changed by the Government in those instances in which the courts (e.g., civil investigative demands), or specific circumstances dictate such a modification or change.

NON-DISCLOSURE OF PROPRIETARY/CONFIDENTIAL DATA

While employed by , hereinafter referred to as “Contractor,” in support of Contract ( ), hereinafter referred to as “Contract,” you may have, or have access to, information or data of a personal nature about an individual, or proprietary information or data submitted by or pertaining to an institution or organization. Such information may be nonpublic, sensitive, confidential, privileged, and proprietary or contain Personally Identifiable Information (PII) and is hereinafter referred to as “confidential information/records.

This Non-Disclosure Agreement (NDA) -

- Addresses terms used herein;

- Explains how confidential information/records shall be handled;

- Describes the potential penalties for inappropriately disclosing confidential information/records obtained under the Contract;

- Requires you to affirm -

▪ You agree to take all necessary steps to prevent disclosure, dissemination, publication or distribution of confidential information/records to any party outside the Government, unless otherwise authorized; and,

▪ That all confidential information/records obtained or generated under Contract shall:

* Not be disclosed, except as authorized by law or under the terms of the Contract;

* Be used exclusively in the performance of this Contract; and,

* Not be used to engage in any other actions, venture or employment where the confidential information/records will be used for the profit of any party.

Please also see the Attachment to this NDA, entitled Chapter 5 of the Code of Federal Regulation (CFR) § 2635.703(b), “Standards of Ethical Conduct for Employees of the Executive Branch.” For the purposes of this NDA and work on this Contract, FAR Part 24, Protection of Privacy and Freedom of Information, the Privacy Act requirements identified in the Attachment apply to Contractor employees working on the Contract.

Your employer is required to restrict access to confidential information/records to the minimum number of employees necessary for performance of the Contract and instruct employees who will have access to the same, as to the -

- Proprietary nature of the information;

- Relationship under which they have possession; and

- How to administer such information.

DEFINITIONS

CONFIDENTIAL INFORMATION: Confidential Information, “…means information or data of a personal nature about an individual, or proprietary information or data submitted by or pertaining to an institution or organization.”

NONPUBLIC INFORMATION is information that an employee gains by reason of Contract employment and that he/she knows or reasonably should know is not available to the general public. It includes information that -

− Is protected under the Privacy Act of 1974 and is routinely exempt from disclosure under the Freedom of

Information Act or otherwise protected from disclosure by statute, Executive order, law, or regulation;

PRIVILEGED OR PROPRIETARY INFORMATION: Information related to trade secrets, processes, operations, style of work, or apparatus, or the identity of confidential statistical data, amount or source of any income, profits, losses, or expenditures of any person, firm, partnership, corporation, or association. This type of information could include, but is not limited to, certain types of information submitted as part of the acquisition process or Contractor proprietary information. Federal law prohibits the unauthorized disclosure of trade secrets, or commercial or financial information. (See Procurement Integrity Act, 41 U.S.C. § 423, also protects this type of information and carries criminal and civil penalties, such as fines, imprisonment of 5 years or less, or adverse personnel actions; and Trade Secrets Act, 18 U.S.C. § 1905.)

USE OF CONFIDENTIAL INFORMATION/RECORDS, NONPUBLIC OR PRIVILEGED/PROPRIETARY

INFORMATION

All information gained under this Contract shall be held confidential until such time as the information is made available to the public, as authorized. This is not intended to restrict the rights of third parties such as law enforcement agencies, courts/administrative tribunals of proper jurisdiction, or congressional committees, from securing the release of protected information pursuant to their legal authority. No confidential information shall be provided to the public unless it is already available to the public, such as through a public web page or another publication, except through the PBGC Freedom of Information Office.

For any Confidential, Nonpublic or Privileged/Proprietary Information/records that may be furnished to you or that you gain access to in the course of your official duties under this Contract, you should:

− Use this information only for the purpose of performing official Contract duties;

− Refrain from disclosing or discussing the information with any person who does not need the information for purposes of performing official Contract duties;

− Refrain from copying, for other than official purposes, all or part of this information that may be provided to you in the course of your official PBGC duties, and when finished reviewing or utilizing such information for official Contract duties, store or dispose of such materials as specifically directed;

and

− Advise your Supervisor immediately if any non-disclosable information that is/was maintained by, or in the possession of, the Contractor is disclosed, whether intentionally or unintentionally, or if this information is used or handled in a manner inconsistent with this NDA.

USE OF CONFIDENTIAL INFORMATION FOR FINANCIAL GAIN IS PROHIBITED:

Under applicable ethical standards (See Standards of Ethical Conduct for Employees of the Executive Branch, 5 C.F.R. § 2635.703), you shall not engage in a financial transaction using confidential information/records or nonpublic information, nor allow the improper use of such information to further your own private interest or the interests of another person, whether through advice or recommendation, or by knowingly disclosing such information.

REQUESTS FOR CONFIDENTIAL INFORMATION/RECORDS

Before disclosing any information that may constitute nonpublic information, or if you have any questions about what constitutes nonpublic information, please also consult with your Supervisor. Any response to a request for confidential information/records that is related to this Contract shall also be referred to your Supervisor. In the event that Supervisors have legal questions regarding these issues, they should promptly contact the Contractor

POST EMPLOYMENT RESTRICTIONS

All confidentiality obligations identified herein apply even after the employee no longer possesses the confidential information/records and/or has left the Contractor’s employ. The unauthorized disclosure of such information may result in fines and/or imprisonment for up to one (1) year and removal from office or employment.

− Proprietary information will not be used to engage in any other actions, venture or employment where it will be used for the profit of any party;

− I have read the Attachment to this Non-Disclosure Agreement entitled “Privacy Act, 5 CFR §

SECTION 4 – DELIVERABLES

4.1 WRITTEN DELIVERABLES

Specific written deliverables will be set forth in each individual task order.

4.2 DELIVERY SCHEDULE FOR REPORTS AND OTHER DELIVERABLES

In the event the Contractor, for any reason, anticipates or encounters difficulty in complying with the task order delivery or performance schedule or date, or in meeting any of the order requirements of the individual task order, the Contractor shall immediately provide written notification to the CO, giving pertinent details. This data shall be informational only in nature and its receipt by the Government shall not be construed as a waiver by the Government of any delivery schedule or date; or of compliance with other requirement by the Contractor; or of any other rights or remedies provided to the Government by law or under this IDIQ.

4.3 MARKING

Shipping documents, containers, correspondence and packages shall be marked with the following information:

4.4 PACKAGING

All deliverables called for shall be packed and shipped in accordance with the best commercial practices in manner that shall afford adequate protection against physical and environmental deterioration and damage during shipment.

4.5 INSPECTION AND ACCEPTANCE

The Contracting Officer's Representative (COR) will accept services, including all deliverables. Acceptance criteria shall be based upon all deliverable items meeting acceptable professional standards for technical content, workmanship, clarity, completeness, and other factors that indicate acceptability as specified under this IDIQ and individual task orders.

4.6 PLACE OF PERFORMANCE

Work required under this contract may be performed at Contractor’s worksite, at Pension Benefit Guaranty Corporation (PBGC) Headquarters, 1200 K St, NW, Washington DC, and/or via telework.

4.7 PERIOD OF PERFORMANCE

The total period of performance for this IDIQ is five (5) years consisting of one (1) base year and four (4) option years, and will include the option to extend services up to 6-months:

5.4 IDIQ MANAGEMENT

Notwithstanding the Contractor's responsibility for total management during the performance of this IDIQ, the administration of the IDIQ will require maximum coordination between the Government and the Contractor. The following individuals will be the Government points of contact during the performance of the contract.

1. IDIQ Administration. All IDIQ administration will be performed by the CO at the address shown in section 5.2 Contracting Officer. All communications pertaining to IDIQ administrative matters will be addressed to the CO.

2. Contracting Officer Representative (COR). The Contracting Officer shall designate an individual to act as the COR during the term of this IDIQ. The COR will represent the CO in all technical aspects of the work and will act in a liaison capacity to coordinate activities between the Contractor and the Government as required in performance of this IDIQ. A letter of designation will be issued to the COR with a copy provided to the Contractor stating the responsibilities and limitations of the COR.

5.5 IDIQ AUTHORITY

a. Contracting Officer's (CO)Authority. The CO is the only person authorized to direct changes in any of the requirements under this IDIQ, and notwithstanding any provisions contained elsewhere in this IDIQ, the said authority remains solely with the CO. In the event the Contractor effects any such change at the direction of any person other than the CO, the change will be considered to have been made without authority and solely at the risk of the Contractor.

b. Contractor's Authority. (1) The Contractor shall not accept any instructions issued by any person employed by the

U.S. Government or otherwise, other than the CO, or the COR acting within the limits of their authority.

(2) The Contractor shall not in any way represent that he is a part of the United States Government or that he has the authority to contract or procure supplies for the account of the United States of America.

5.6 PAYMENT

Payment for all supplies and services shall be made upon Government acceptance in accordance with the appropriate Payment Clause.

5.7 INVOICING INSTRUCTIONS

Electronic Invoicing and Payment Requirements – Invoice Processing Platform (IPP) (April 2013)

Payment requests must be submitted electronically through the U. S. Department of the Treasury’s Invoice Processing Platform System (IPP).

“Payment request” means any request for order financing payment or invoice payment by the Vendor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the order, or the clause 52.212-4 Order Terms and Conditions – Commercial Products and Commercial Services included in commercial acquisition orders. The IPP website address is: https://www.ipp.gov.

Under this order, the following documents are required to be submitted as an attachment to the IPP invoice:

• One copy of invoice

• Applicable backup documentation. Backup documentation includes but is not limited to:

o Travel Summary for travel expenses. Travel Summaries will include a list of travelers, departure and destination locations, dates of travel, and purpose of trip o Receipts for all Travel and ODC.

The Vendor must use the IPP website to register, access, and use IPP for submitting requests for payment. The Vendor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) prior to the order award date, but nor more that 3 – 5 business days of the order award date. Vendor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973-3131.

If the Vendor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Vendor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

A copy of the invoice and applicable backup documentation shall be submitted to the Contracting Officer, Program Manager, and Contracting Officer’s Representative listed in Section 6 on the same day the invoice is submitted in IPP.

5.8 TASK ORDER PROPOSALS

The Department of Interior, Interior Business Center, Acquisition Services Directorate, Contracting Officer will issue task orders under the IDIQ to accomplish the work described in Section 3. Proposals will be requested as delineated below:

a. Estimation of Cost - The Contracting Officer will issue task orders under the IDIQ to accomplish the work described in Section 3. A proposal response time and date will be cited in the document. The Government reserves the right to issue task orders without conducting negotiations.

b. Clarifications - The Contractor shall submit all requests for clarification in writing to the Contracting Officer.

c. When a task order proposal is requested, proposals will be submitted in the following format:

Section 1 - Task Requirements - A narrative description of the Contractor's understanding of the purpose of the task order and the functions required to satisfy the requirements.

Section 2 - Proposal Solution - A narrative description of the Contractor's proposed solution plans for performance and technical approach along with any problem areas.

Section 3 - Assumptions - The proposal shall identify any assumptions on the Contractor's part used in developing the proposal and costs. It is strongly recommended that any assumptions be clarified prior to submission of the proposal.

Section 4 - Milestones and Deliverables - The proposal shall define milestones, deliverables and schedules, and statement of the contractor's understanding of the acceptance criteria. Include a schedule for each milestone and/or deliverable with a start and completion date based upon order initiation date.

Section 5 - Travel Requirements - A detailed definition of travel to be performed, including schedule, mode of transportation, locations, duration, personnel involved and purpose for each trip.

Section 6 - Price Proposal - This section shall contain the total Fixed Price or Time and Materials / Labor-Hour Price proposed by the contractor and shall include a detailed breakdown of all direct and indirect costs associated with and required by each task order.

All costs associated with the development, presentation and negotiation of the Contractor's proposals will be at the Contractor's expense. It is the Government's intent to issue task orders for all proposals submitted; however, circumstances may arise that will prevent the Government from issuing a task order, i.e., funding issues, or the effort may no longer be required.

The Contractor may, in addition to responding to the approach the Government defines, submit an additional proposal if the Contractor determines another approach can more economically and efficiently accommodate the Government's requirement. In all cases, the cost of the proposal preparation shall be at the Contractor's expense.

5.9 TASK ORDER INSTRUCTIONS

TASK ORDER INSTRUCTIONS

TASK Order Type. Firm Fixed Price (FFP) and Time and Materials (T&M) / Labor-Hour (LH) task orders will be issued under this IDIQ.

Procedures. Each task order shall be placed in accordance with the following procedures:

a. The issuance of a Task Order will be initiated through a request for proposal. Task order pricing will be in accordance with the negotiated IDIQ pricing. The Contractor shall submit a quote within seven (7) calendar days of the date of the request for quote.

b. Task Order Content and Effect. Each FFP or T&M / LH task order issued will include:

1. Effective date of task order,

2. IDIQ and task order number,

3. Type of task order,

4. For T&M / LH, estimate of effort,

5. For FFP, total price; For T&M / LH, ceiling price,

6. Scope, including reference to applicable (IDIQ) specifications,

7. Period of performance,

8. Place of performance,

9. Accounting and appropriation data, and

10. Other information as appropriate to be made available for performance of the task order such as, safety requirements, security requirements, or data requirements set forth in the task order SOW.

Unauthorized Work. The Contractor is not authorized to commence task order performance prior to issuance of a signed task or written approval (Authorization to Proceed) provided by the CO to begin work.

Task Order Funding Restrictions. No unfunded task orders are allowed.

Task Order Issuance. Task orders will be issued by electronic mail on an OF 347, Order for Supplies and Services.

However, other means of issuance may include regular mail, E-mail, commercial courier, facsimile, the World Wide Web, or other similar technologies.

SECTION 6 – SPECIAL ORDER REQUIREMENTS

6.1 RESPONSIBILITY FOR GOVERNMENT INFORMATION

At the sole discretion of the Government, Government Furnished Information (GFI) may be provided for use in the performance of individual task orders. If GFI is provided, such information will be returned to the Government upon conclusion of the IDIQ or as specified by the Contracting Officer, in writing.

The Contractor must protect from unauthorized disclosure any materials or information made available by the Government, or that the contractor has access to by virtue of the provisions of this IDIQ or task order issued hereunder, that are not intended for public disclosure. The materials and information made available to the Contractor by the Government, or that the Contractor comes into contact with, in completing this IDIQ or task order issued hereunder, are the exclusive property of the Government. Any information or materials developed by the Contractor in the performance of this IDIQ are also the exclusive property of the Government. Upon completion or termination of this IDIQ or an applicable task order, the Contractor shall turn over to the Government, all materials (copies included) that were furnished to the Contractor by the Government, and all materials that were developed by the Contractor in the performance of this IDIQ or an applicable task order.

6.2 TRAVEL AND PER DIEM

All travel shall be conducted in accordance with FAR Part 31. The contractor agrees to use the most economical method of travel available.

6.3 ORGANIZATIONAL CONFLICT OF INTEREST

a. The restrictions imposed by this clause apply to the Contractor, including its parent company, affiliates, divisions, subsidiaries, consultants, subcontractors at any tier, and any tier successors.

b. The Contractor is subject to the following restrictions:

(1) This is a "nonpersonal services contract, it is therefore, understood and agreed that the contractor and/or the contractor's employees shall: (1) perform the services specified herein as independent contractors, not as employees of the government; (2) be responsible for their own management and administration of the work required and bear sole responsibility for complying with any and all technical, schedule, or financial requirements or constraints attendant to the performance of this contract; (3) be free from supervision or control by any government employee with respect to the manner or method of performance of the services specified; and (4) pursuant to the government's right and obligation to inspect, accept or reject the work, comply with such general direction of the Contracting Officer, or the duly authorized representative as is necessary to ensure accomplishment of the contract objectives.

(2) The Contractor agrees to review, after award and during the life of the IDIQ, its technical, business, financial, and other interest which could give rise to an actual or potential organizational conflict of interest in connections with the performance of this contract. If the Contractor discovers any fact relevant to an organizational conflict of interest, the Contractor shall make an immediate and full disclosure in writing to the Contracting Officer. The disclosure shall set forth all relevant facts, including identification of contracts or agreements under which work was or is being performed and include a description of actions which the Contractor has taken or proposes to take, to avoid, neutralize, or mitigate the actual or potential conflict of interest.

(3) If work to be performed under this IDIQ requires access to proprietary, business confidential or financial data of other companies, the Contractor shall reach an agreement with such other companies to protect such data from unauthorized use or disclosure as long as it remains proprietary or confidential. Evidence of such an agreement must be made available to the Contracting Officer upon request. Further, the Contractor agrees that it will not use the data to compete with those other companies.

(4) The Government may terminate this IDIQ for convenience, in whole or in part, if it deems such termination necessary to avoid an organizational conflict of interest. If the Contractor was aware of an organizational conflict of interest before the award of this IDIQ or discovered such facts after award and intentionally did not disclose or misrepresented relevant information to the Contracting Officer, the Government may terminate the IDIQ or any subsequent task order in accordance with the “Default” clause of this IDIQ and pursue such other remedies as may be permitted by law or by this IDIQ.

(5) The Contractor agrees to insert this provision into every subcontract issued in performance of this contract:
