FAR 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000) 165
(a)The Government may extend the term of this contract by written notice to the Contractor 167 within any time within the period of performance provided that the Government gives the Contractor a 168 preliminary written notice of its intent to extend at least any time before the contract expires. The 169 preliminary notice does not commit the Government to an extension. 170 (b)If the Government exercises this option, the extended contract shall be considered to include this 172 option clause. 173
(c)The total duration of this contract, including the exercise of any options under this clause, shall not 175 exceed 24 months. 176 52.222-90 Addressing DEI Discrimination by Federal Contractors (Apr 2026) 178
(a) Definitions. As used in this clause— 179 Program participation means membership or participation in, or access or admission to: training, 180 mentoring, or leadership development programs; educational opportunities; clubs; associations; or similar 181 opportunities that are sponsored or established by the contractor or subcontractor. 182 Racially discriminatory diversity, equity, and inclusion (DEI) activities means disparate treatment based 183 on race or ethnicity in the recruitment, employment (e.g., hiring, promotions), 184 contracting (e.g., vendor agreements), program participation, or allocation or deployment of an entity's 185 resources. 186
(b) In connection with the performance of work under this contract, the Contractor agrees as follows: 188
(1) The Contractor will not engage in any racially discriminatory DEI activities. 189
(2) The Contractor will furnish all information and reports, including providing access to books, records, 190 and accounts, as required by the Contracting Officer, for purposes of ascertaining compliance with this 191 clause. 192
(3) In the event of the Contractor's or a subcontractor's noncompliance with this clause, this contract may 193 be canceled, terminated, or suspended in whole or in part, and the Contractor or subcontractor may be 194 declared ineligible for further Government contracts. 195
(4) The Contractor will report any subcontractor's known or reasonably knowable conduct that may 196 violate this clause to the Contracting Officer and take any appropriate remedial actions directed by the 197 Contracting Officer. 198
(5) The Contractor will inform the Contracting Officer if a subcontractor sues the Contractor and the suit 199 puts at issue, in any way, the validity of this clause. 200
(6) The Contractor recognizes that compliance with the requirements of this clause are material to the 201 Government's payment decisions for purposes of 31 U.S.C. 3729(b)(4). 202
(c) The Contractor must include the substance of this clause, including this paragraph (c), in subcontracts 204 at any tier, including those for commercial products and commercial services, for which the place of 205 delivery or performance is in the United States. 206

Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP) 225 (February 2021) 226 Payment requests must be submitted electronically through the U. S. Department of the 228 Treasury's Invoice Processing Platform System (IPP). 229 "Payment request" means any request for contract financing payment or invoice payment by the 231 Contractor. To constitute a proper invoice, the payment request must comply with the 232 requirements identified in the applicable Prompt Payment clause included in the contract, or the 233 clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial 234 item contracts. The IPP website address is: https://www.ipp.gov. 235 Under this contract, the following documents are required to be submitted as an attachment to the 237 IPP invoice: 238

The Contractor Government Business Point of Contact (as listed in SAM) will 251 receive enrollment instructions via email from the Federal Reserve Bank of St. Louis (FRBSTL) 252 within 3 - 5 business days of the contract award date. Contractor assistance with enrollment can 253 be obtained by contacting the IPP Production Helpdesk via email 254 IPPCustomerSupport@fiscal.treasury.gov or phone (866) 973-3131. 255 If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for 257 payment, the Contractor must submit a waiver request in writing to the Contracting Officer with 258 its proposal or quotation. 259

DIAR 1452.201-70 Authorities and Delegations (Sep 2011) 269
(a) The Contracting Officer is the only individual authorized to enter into or terminate this 270 contract, modify any term or condition of this contract, waive any requirement of this contract, or 271 accept nonconforming work. 272
(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time 274 of award. The COR will be responsible for technical monitoring of the Contractor's performance 275 and deliveries. The COR will be appointed in writing, and a copy of the appointment will be 276 furnished to the Contractor. Changes to this delegation will be made by written changes to the 277 existing appointment or by issuance of a new appointment. 278
(c) The COR is not authorized to perform, formally or informally, any of the following actions: 280
(1) Promise, award, agree to award, or execute any contract, contract modification, or 281 notice of intent that changes or may change this contract; 282
(2) Waive or agree to modification of the delivery schedule; 283
(3) Make any final decision on any contract matter subject to the Disputes Clause; 284
(4) Terminate, for any reason, the Contractor's right to proceed; 285
(5) Obligate in any way, the payment of money by the Government. 286
(d) The Contractor shall comply with the written or oral direction of the Contracting 288 Officer or authorized representative(s) acting within the scope and authority of the appointment 289 memorandum. The Contractor need not proceed with direction that it considers to have been 290 issued without proper authority. The Contractor shall notify the Contracting Officer in writing, 291 with as much detail as possible, when the COR has taken an action or has issued direction 292 (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of 293 the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, 294 risks, liabilities, and consequences of performing any work it is directed to perform that falls 295 within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's 296 response issued under paragraph (e) of this clause. 297
(e) The Contracting Officer shall respond in writing within 30 days to any notice made under 299 paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or 300 upon the contract action to be taken with respect thereto, shall be subject to the provisions of the 301 Disputes clause of this contract. 302
(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the 304
COR. 305
(g) Any action(s) taken by the Contractor, in response to any direction given by any person 307 acting on behalf of the Government or any Government official other than the 308 Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's 309 risk. 310

HHSAR CLAUSES 315
352.203-70 Anti-Lobbying (December 18, 2015) 317 Pursuant to the HHS annual appropriations acts, except for normal and recognized executive-318 legislative relationships, the Contractor shall not use any HHS contract funds for: 319
(a) Publicity or propaganda purposes; 321
(b) The preparation, distribution, or use of any kit, pamphlet, booklet, publication, electronic 323 communication, radio, television, or video presentation designed to support or defeat the 324 enactment of legislation before the Congress or any State or local legislature or legislative body, 325 except in presentation to the Congress or any state or local legislature itself; or designed to 326 support or defeat any proposed or pending regulation, administrative action, or order issued by 327 the executive branch of any state or local government, except in presentation to the executive 328 branch of any state or local government itself; or 329
(c) Payment of salary or expenses of the Contractor, or any agent acting for the Contractor, 331 related to any activity designed to influence the enactment of legislation, appropriations, 332 regulation, administrative action, or Executive order proposed or pending before the Congress or 333 any state government, state legislature or local legislature or legislative body, other than for 334 normal and recognized executive-legislative relationships or participation by an agency or officer 335 of a state, local, or tribal government in policymaking and administrative processes within the 336 executive branch of that government. 337
(d) The prohibitions in subsections (a), (b), and (c) above shall include any activity to advocate 339 or promote any proposed, pending, or future federal, state, or local tax increase, or any proposed, 340 pending, or future requirement for, or restriction on, any legal consumer product, including its 341 sale or marketing, including, but not limited to, the advocacy or promotion of gun control. 342

(a) Unless otherwise specified in this contract, no printing by the Contractor or any subcontractor 347 is authorized under this contract. All printing required must be performed by the Government 348 Printing Office except as authorized by the Contracting Officer. The Contractor must submit 349 camera-ready copies to the Contracting Officer's Representative (COR). The terms “printing” 350 and “duplicating/copying” are defined in the Government Printing and Binding Regulations of 351 the Joint Committee on Printing. 352
(b) If necessary for performance of the contract, the Contractor may duplicate or copy less than 353 5,000 production units of only one page, or less than 25,000 production units in aggregate of 354 multiple pages for the use of a department or agency. A production unit is defined as one sheet, 355 size 8.5 x 11 inches, one side only, and one color. The pages may not exceed a maximum image 356 size of 10 3⁄4 by 14 1⁄4 inches. This page limit applies to each printing requirement and not for 357 all printing requirements under the entire contract. 358
(c) Approval for all printing, as well as duplicating/copying in excess of the stated limits, must 359 be obtained from the COR who will consult with the designated publishing services office and 360 provide direction to the contractor. The cost of any unauthorized printing or duplicating/copying 361 under this contract will be considered an unallowable cost for which the Contractor will not be 362 reimbursed. 363

(a) Pursuant to Section 508 of the Rehabilitation Act of 1973 (29 U.S.C. 794d), as amended by 369 the Workforce Investment Act of 1998, all information and communication technology (ICT) 370 supplies, products, platforms, information, documentation, and services support developed, 371 acquired, maintained or delivered under this contract or order must comply with the Revised 508 372 Standards, which are located at 36 C.F.R. 1194.1 and Appendices A, B, and C, and are available 373 at https://www.access-board.gov/ict/. 374 Information about Section 508 is available at https://www.hhs.gov/web/section-508/index.html. 375
(b) Additional Section 508 accessibility standards applicable to this contract or order may be 377 identified in the specification, statement of work, or performance work statement. If it is 378 determined by the Government that ICT supplies, products, platforms, information, 379 documentation, and services support provided by the Contractor do not conform to the described 380 accessibility standards in the contract, remediation of the supplies, products, platforms, 381 information, documentation, or services support to the level of conformance specified in the 382 contract will be the responsibility of the Contractor at its own expense. 383
(c) In the event of a modification(s) to this contract or order, which adds new ICT supplies or 385 services or revises the type of, or specifications for, supplies, products, platforms, information, 386 documentation, or services support, the Contracting Officer shall require that the Contractor 387 submit a completed HHS Section 508 Accessibility Conformance Checklist (see 388 https://www.hhs.gov/web/section-508/accessibility-checklists/index.html) or an Accessibility 389 Conformance Report (ACR) (based on the Voluntary Product Accessibility Template (VPAT) 390 see https://www.itic.org/policy/accessibility/vpat), and any other additional information 391 necessary to assist the Government in determining that the ICT supplies or services conform to 392 Section 508 accessibility standards. If it is determined by the Government that ICT supplies, 393 products, platforms, information, documentation, and services support provided by the 394 Contractor do not conform to the described accessibility standards in the contract, remediation of 395 the supplies, products, platforms, information, documentation, or services support to the level of 396 conformance specified in the contract will be the responsibility of the Contractor at its own 397 expense. 398
(d) If this is an Indefinite-Delivery type contract, a Blanket Purchase Agreement or a Basic 400 Ordering Agreement, the task/delivery order requests that include ICT supplies, products, 401 platforms, information, documentation, or services support will define the specifications and 402 accessibility standards for the order. EVALUATION FACTORS FOR AWARD 420
The streamlined procedures at Revolutionary FAR Overhaul (RFO) 12.201-1 Simplified 422 procedures will be used. 423 Price will be the sole evaluation factor in accordance with RFO 12.203. The Offeror’s quote will 425 be reviewed to ensure they have submitted the correct maintenance and the price quote will be 426 assessed for fair and reasonableness. The option period will be evaluated for award by adding the 427 total price of the option to the total price of the base period to determine the overall evaluated 428 price. 429
BASIS FOR AWARD 431
The Government intends to make a sole‑source award to Illumina, Inc. in accordance with RFO 433 12.201‑1, Simplified Procedures (41 U.S.C. 1901). The award decision will be made on an 434 Acceptable/Unacceptable basis, consistent with the instructions and evaluation criteria outlined 435 below. 436
RFQ PREPARATION INSTRUCTIONS 438
In order to participate under this acquisition, the Offeror must submit a response to this 440 Solicitation in accordance with the following quote submission requirements. 441 The Offeror must include: 443

The Offeror shall submit an FFP quote, using their own format, that fully addresses all 455 requirements outlined in the SOW and is submitted by the specified RFQ due date in SECTION 456 I. 457
EVALUATION OF QUOTE 459
An evaluation of the Offeror’s price quote will be made to determine if it is fair and reasonable for 461 the work to be performed, reflects a clear understanding of the requirements, and is consistent with 462 the Statement of Work. 463
