52.246-4 INSPECTION OF SERVICES--FIXED-PRICE (AUG 1996)
(a) Definitions. "Services," as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.
(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.
(c) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.
(d) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties.
(e) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by reperformance, the Government may (1) require the Contractor to take necessary action to ensure that future performance conforms to contract requirements and (2) reduce the contract price to reflect the reduced value of the services performed.
(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may (1) by contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service or (2) terminate the contract for default.

GOVERNMENT RESERVED RIGHTS
The Government reserves the right to approve contractor recommended changes in technical personnel during the life of the contract.
MINIMUM GUARANTEE / IDIQ
The resulting IDIQ contract(s) include a base ordering period of one-year and four (4) one-year option periods. There is no guarantee that the option periods will be exercised on any or all of the awarded contracts. The minimum guaranteed order for each awardee is $5,000.00 for the base year only. The Contracting Officer is under no obligation to issue any task order(s) against this contract in excess of the minimum guarantee amount. The only authorized ordering office is the Humphreys Engineer Center Support Activity (HECSA).
ORDERING PROCEDURES
ORDERING PROCEDURES
The Contractor will be required to provide services in accordance with this contract through the issuance of task orders. Each task order issued pursuant to the “Ordering” clause (FAR 52.216- 18), shall be on a DD Form 1155, and will contain an individual task order number, by which the Contractor will identify the effort on all documentation, including, but not limited to, invoices, vouchers, correspondence and reports.
Prior to issuance of any task order over $2,500.00, the Government will transmit a Task Order Request for Proposal (TORFP) to the awardees based on the procedures in FAR 16.505(b), unless one of the exceptions in FAR 16.505(b)(2)(i) applies. After receipt of the TORFP for the individual task order, the contractor shall provide a proposal by a required date utilizing the labor categories and prices set forth in the IDIQ contract.
Each individual task order proposal must include a technical section and all price elements requested in the TORFP (i.e. labor and travel required for completion of the PWS). Based upon the proposals received, the Government will select the proposal based on tradeoff procedures determined to be the best value to the Government and a task order will be issued unilaterally.
No work shall be initiated by the contractor prior to receipt of the signed task order, unless otherwise authorized by the Contracting Officer. The work to be performed shall be in accordance with the written PWS attached to each task order.
TASK ORDER OMBUDSMAN
In accordance with FAR 16.505 (B)(6), the head of the agency has designated a task-order contract ombudsman. The ombudsman must review complaints from contractors and ensure that they are afforded a fair opportunity to be considered, consistent with the procedures in the contract. The ombudsman is a senior agency official who is independent of the contracting officer and may be the agency’s competition advocate.
