About this file

This document is a Justification and Approval for Other than Full and Open Competition for a federal contract with TA Instruments - Waters LLC. The U.S. Army Contracting Command - Rock Island (ACC-RI) seeks a firm-fixed price contract with a Time & Materials (T&M) Contract Line Item Number (CLIN) for preventative maintenance, calibration, software, and emergency services for Crane Army Ammunition Activity's (CAAA) thermal analysis and microcalorimetry instruments. The contract will have a base year and one option year, with a projected award in July 2025 using fiscal year 2025 army working capital funds.

The justification for sole-source procurement stems from the unique nature of the specialized scientific instruments, which are owned by CAAA and built by TA Instruments. The equipment requires proprietary software, specific "keys" for programming, and can only be serviced by factory-trained engineers using original equipment manufacturer (OEM) parts. A Request for Information (RFI) was posted and closed on 13MAY2025 with no responses, and market research confirmed TA Instruments is the only vendor capable of completing the specific maintenance requirements. The contract will be awarded under Federal Acquisition Regulation (FAR) 13.106-1(b)(1) for purchases not exceeding the simplified acquisition threshold.

Department of Army

Justification and Approval for Other than Full and Open Competition

1. Contracting Activity: U.S. Army Contracting Command – Rock Island (ACC-RI) Rock Island, Arsenal, Rock Island, IL 61299-8000

2. Description of Action: Crane Army Ammunition Activity (CAAA) requested a firm-fixed price contract with a T&M CLIN, W519TC-25-Q-TAME on 15 April 2025 with TA Instruments - Waters LLC. ACC-RI projects award for July 2025 and will obligate fiscal year 2025, army working capital funds (AWCF). An acquisition plan is not required because this procurement does not meet the threshold at Defense Federal Acquisition Regulation Supplement 207.103(d)(i)(B).

3. Description of Supplies/Services: A base year for preventative maintenance with one option year and a Time & Materials CLIN for emergency services throughout the life of the contract is requested.

4. Authority Cited: Federal Acquisition Regulation (FAR) 13.106-1(b)(1), Purchases not exceeding the simplified acquisition threshold, urgency, exclusive licensing agreements, brand name, or industrial mobilization.

5. Reason for Authority Cited: CAAA has 2 thermal analysis and 1 microcalorimetry instrument(s). All instrumentation systems require preventative maintenance and calibration annually. These instruments are owned by CAAA and built by TA Instruments. They utilzie proprietary software and require "keys" to manipulate software and instrumental programming. Replacement/repair parts are not sold to third party vendors and must be procured/installed by/under supervision of factory trained engineers.

These instruments are extremely precise and require factory trained engineers and OEM parts to meet instrumetnal specification and qualifications. As a result, no third party service providers exist for this equipment.

Contractor: TA Instruments - Waters LLC Supply/Service: Preventative Maintenance, Calibration, Software, Emergency Services

6. Efforts to Obtain Competition: A Request for Information (RFI) was posted and closed 13MAY2025 with no responses from offerors.

7. Market Research: Market research conducted by CAAA indicated that TA Instruments - Waters LLC is the only vendor with history and capability to complete this specific requirement.

8. Contracting Officer Certification: I certify that this justification is accurate and complete to the best of my knowledge and belief:
