SECTION C

DESCRIPTION/STATEMENT OF WORK

Decommissioning Orphaned Wells on the U.S. Outer Continental Shelf

C.1 BACKGROUND

The Bureau of Safety & Environmental Enforcement (BSEE), a bureau within the U.S. Department of the Interior (DOI), has jurisdiction over all mineral resources on the Federal Outer Continental Shelf (OCS), and is charged with promoting safety, protecting the environment, and conserving resources offshore through regulatory oversight and enforcement. The Outer Continental Shelf Lands Act of 1953 (OCSLA) establishes BSEE’s jurisdiction.

BSEE was created to oversee offshore worker safety, environmental stewardship, and resource conservation.

BSEE’s mission is fulfilled by employing a spectrum of statutory authorities that are designed to reduce offshore risk and improve the ability of companies to respond effectively should an incident occur.

BSEE is responsible for ensuring a consistent, National approach to detection of noncompliance and incident investigation; examining the full life cycle of offshore operations and adapting to changing conditions;

incorporating risk-based decision making into core functions that can have impacts on workplace and process safety; and enforcing all environmental protection and oil spill preparedness requirements.

When a Lessee or Holder enters into a lease or grant for offshore oil or gas exploration or production, the agreement includes a “decommissioning” (i.e., plugging and abandoning wells, flushing and removing or filling pipelines, removing structures, and clearing the seafloor) obligation. BSEE’s decommissioning regulatory authority is established by 43 U.S. Code 1334 and 30 CFR § 250, Subpart Q, Decommissioning Activities.

C.2. PROJECT OBJECTIVE

The objective of this project is to obtain contractor support to decommission orphaned wells. Decommissioning means returning the lease or grant to a condition that meets the requirements of BSEE and other agencies that have jurisdiction over decommissioning activities. Orphaned wells that industry abandoned or that otherwise reverted back to the DOI without being properly decommissioned, and for which sole liability rests on the defaulting lessee, holder, or operator. That is, no viable co-lessee or prior lessee or holder is known to exist that is jointly or severally liable for the decommissioning. The maintenance, monitoring, and decommissioning costs associated with such orphaned wells is called orphaned liability. Decommissioning task orders may be issued by BSEE for the Gulf of Mexico Region (GOMR).

C.3 SCOPE OF WORK

The Contractor shall identify and obtain all requisite precondition items applicable for each place of performance under each task order. Precondition items include all permits, agreements, authorizations, notices, and stipulations from any entity to be affected.

Once the Contractor obtains access to the eWell permit and reporting system, satisfactorily demonstrates it has a functioning Safety and Environmental Management System (SEMS) and a viable oil spill prevention and notification plan, it shall submit all permits, perform all contracted activities, and provide all required evidence of contracted operations, per the respective Task Order. Each Task Order that BSEE issues will contain extensive information about the associated wells, pipelines, and/or structures. Additional information about the eWell process, SEMS, and oil spill prevention and notification is located in Section C.4. (“ADDITIONAL REQUIREMENTS”). In addition to the data contained in the Task Orders, Contractors shall be issued access to the BSEE Data Center and/or shall receive physical media from BSEE containing extensive information on each well and structure, including: well log images; mud log images; casing designs; tubing designs; casing and tubing technical specifications; core data; geochemical data; directional surveys; applications for permits to drill/modify;

weekly activity reports; well potential test reports; end of operations reports; deck layout drawings; structure schematics, structure safety flow diagrams and safe charts, and associated documentation.

The following is a non-exhaustive list of the types of tasks the Contractor may perform under Task Orders.

C.3.A. Platform ‘Make Safe’

The contractor shall perform initial site visit to each platform per the associated Task Order in order to execute initial platform and well assessments/evaluations to better prepare for other operations associated within the Task Order.

Prior to boarding any of the platforms subject to this task order, the contractor shall prepare and submit a “Safe Boarding Plan” to the appropriate BSEE District, which details the Scope of Work for boarding each platform.

The plan should include detailed overviews for accessing each facility, load out and mobilization to each facility, initial safety walkthroughs, inspection of all necessary equipment, structural integrity inspection, environmental inspection, and demobilization efforts. All deficiencies noted by the appropriate BSEE District must be addressed and the appropriate BSEE District must accept the Safe Boarding Plan prior to the contractor boarding any of the platforms per the associated Task Order. BSEE does not warrant the condition of any platform and the contractor shall board at its own risk.

The Contractor shall perform all contracted platform “make safe” activities per the associated Task Order.

Installation and operation of all necessary devices and equipment shall comply with accepted regulatory and industry standards. The Contractor is wholly responsible for meeting all requirements and ensuring that all platform “make safe” operations are completed without defect.

As of the date of the issuance of this RFP, there are nine (9) structures that require platform “make safe” operations to be conducted. There are six single wells caissons installed between 2006 and 2008, one tri-pod installed in 2008, one four-pile installed in 2006, and one eight-pile installed in 2007. New Structures maybe added at any time.

BSEE has identified the structures referenced above as examples in the GOMR that require platform “make safe” operations. There is no guarantee that the task orders issued under the IDIQ will be for the structures described above. Future task orders will identify specific structures that will require safe out operations under this IDIQ.

C.3.B.: Well Diagnostic Testing The Contractor shall submit and attain approval of all permits required for well diagnostic testing and submit subsequent reports according to applicable requirements and deadlines per the associated Task Order.

The Contractor shall perform all contracted well diagnostic test activities per the associated Task Order.

Installation and operation of all necessary devices and equipment shall comply with accepted regulatory and industry standards. The Contractor is wholly responsible for meeting all requirements and ensuring that all diagnostic testing is completed without defect.

As of the date of the issuance of this Contract, and under this Contract there are fifteen (15) wells that require diagnostic testing to be conducted. Spud dates of these wells range from 2005 to 2008.

BSEE has identified the wells referenced above as examples in the GOMR that require diagnostic testing. There is no guarantee that the task orders issued under the IDIQ will be for the wells described above. Future task orders will identify specific wells that will require diagnostics under this IDIQ.

C.3.C.: Well Decommissioning

C.4.B. Safety and Environmental Management Systems (SEMS)

SEMS is a performance-focused tool for integrating and managing offshore operations. The purpose of SEMS is:

to increase awareness of risks to personnel and the environment during all operations on the OCS, to ensure the integrity of designed and operational risk barriers, and to improve the communications between and commitment by personnel to manage the risks

… thus reducing the likelihood, frequency and severity of accidents.

There are four principal SEMS objectives:

Focus attention on the influences that human error and poor organization have on accidents Continuous improvement in the offshore industry's safety and environmental records Encourage the use of performance-based operating practices Collaborate with industry in efforts that promote the public interests of offshore worker safety and environmental protection

On October 15, 2010, BSEE published the Final Rule for 30 CFR § 250 Subpart S - Safety and Environmental Management Systems, in the Federal Register (75 FR 63610), also known as the SEMS Regulation. This Final Rule incorporates by reference, and makes mandatory, the American Petroleum Institute's Recommended Practice for Development of a Safety and Environmental Management Program for Offshore Operations and Facilities (API RP 75), Third Edition, May 2004, reaffirmed May 2008. There are multiple SEMS elements referenced in both the SEMS regulation and API RP 75 that BSEE requires Operators to consider, adopt as appropriate, implement and maintain in the management of identified risks. BSEE made it clear in the publication of the SEMS regulation that a SEMS is required throughout the lifecycle of oil, gas and sulfur operations on the OCS, including all decommissioning activities.

The Contractor is required to adopt a SEMS in accordance with 30 CFR § 250 Subpart S. It must be functional at the time that decommissioning activities begin. Proof that a SEMS has been designed and is functional for the anticipated Decommissioning activities under this contract, can be provided in one of several ways:

If the Contractor has a SEMS that covers its other decommissioning activities that has been audited pursuant to 30 CFR § 250.1920, the Contractor can provide a statement to that effect, with a commitment that the next SEMS audit under normal regulatory-required schedules will include decommissioning activities in the auditor’s field observation Seed.

If the Contractor has not previously applied their SEMS to decommissioning activities, the Contractor can submit all of the following to BSEE as proof their SEMS exists and is functional.

o A description of the risks that the Contractor anticipates facing during decommissioning (e.g. a risk register) o A list of the processes that will be employed to manage or mitigate those risks, including how subcontractor oversight will be provided o A description of how each additional SEMS element listed in 30 CFR § 250 Subpart S has been designed and the role each will play in managing or mitigating the risks o Results of tabletop exercises or third-party assessments as to the readiness of the SEMS procedures and elements to be implemented in the field o A commitment to conduct a regulatory-required SEMS audit that includes decommissioning activities, according to the schedule required in 30 CFR § 250(b)(5)

If awarded a task order to decommission orphaned facilities, the BSEE Office of Safety Management (OSM) will conduct an evaluation of all seventeen SEMS elements of the implemented SEMS program prior to the commencement of work. Each contract operator will be required to submit relevant information to OSM, via hardcopy and/or electronic mail, in accordance with 30 CFR § 250.1924(b) once requested.

C.4.C. Oil Spill Prevention and Notification

Oil spill prevention and notification is important for assuring the American public that offshore energy exploration and production are activities that respect and foster environmental stewardship. Under no circumstances may any payment meetings be waived; the Decommissioning Contractor or its authorized representatives shall always participate. The meetings/discussions will enable the making of payments promptly and within the schedule established at the task order level. The purpose of the payment meetings/discussions is to provide a forum for the Decommissioning Contractor and Government representatives to discuss the amounts of prospective payments and the supporting documentation required, and to reach agreements on the amounts payable. Inspections by all parties will be completed before meetings, thus ensuring timely substantiation and agreements on payment amounts.

G.1.1.a The awarded Contractor(s) shall be identified as a Prime Contractor and/or Prime(s) for the purposes of this Contract and is responsible for all work performed by subcontractors. Only the Prime Contractor shall provide invoice packages (inclusive of all subcontractor work performed) to the Government for processing per the established billing cycles. Separate payment requests must be submitted for progress payments, payments of retainage, and partial or final payments. Direct payment requests to the COR as follows:

U.S. Department of Interior, Bureau of Safety and Environment Enforcement Attn: TBD, Project Manager Address TBD

G.1.3. Payment requests shall not be submitted by the Decommissioning Contractor until after the scheduled pre-invoice payment meetings are held. If the Decommissioning Contractor fails to attend a payment meeting or participate in the telephone discussion, the Government will make payment on the Decommissioning Contractor's payment request based upon the results of the Government inspection, in an amount of no more than the Government's estimate of the amount due. The balance of the Decommissioning Contractor's payment request will remain in dispute and will not be subject to any late penalty, until such time that an invoice including the disputed amount is resubmitted and agreement is reached with the COR on any payment amount being due.

G.1.4. Payment due dates are based upon the date of receipt of a proper invoice by the COR. If the invoice is defective (see FAR Clause 52.232-27, Prompt Payment for Construction Contracts and DIAR 1432.9, Prompt Payment), it will be returned to the Decommissioning Contractor for appropriate action.
