About this file

This Limited Source Justification document details a Department of Defense (DoD) procurement for UiPath software licenses to support the Robotic Process Automation (RPA) Program. The contract covers UiPath Flex software licenses, including Named User, Automation, Unattended Robot, and Test configurations, with a total of 52 licenses. The procurement will utilize Fiscal Year (FY) 2025 Operations and Maintenance appropriations, with a base period from April 26, 2025, through April 25, 2026, and four optional one-year extension periods through April 25, 2030.

The justification emphasizes the unique and highly specialized nature of the UiPath software, which is already integrated into the DoD RPA shared services platform. The document explains that switching to another RPA vendor would require a new Authorization to Operate (ATO), potentially causing 18-24 months of delays and incurring approximately $400,000 in additional costs. The procurement will be conducted through the DoD Enterprise Software Initiative (ESI) Blanket Purchase Agreement, with the requirement to be competed among three authorized resellers: FedResults, Inc., Groundswell, and Mission Phoenix LLC.

4. CIRCUMSTANCES JUSTIFYING LIMITED SOURCES:

In accordance with FAR 8.405-6,(a) (1) (i) (B) Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized. DoD developed and deployed UiPath-based automation to support their mission and business processes. Only the UiPath brand name or equal software will satisfy the requirement to maintain the existing DoD RPA program without delays to the program and ongoing projects, incurring unacceptable delays, and duplication of expenses. UiPath products and the DoD RPA shared services platform have existing approvals and Authorization To Operate (ATO) across classified and unclassified DoD networks. Procuring a different RPA vendor’s software license will require a new ATO and deployment, resulting in an additional 18-24 months to deliver the capability to be successful. Switching to a new RPA vendor would include setting up a new, approved RPA shared service platform, obtaining software approvals, re-designing, and deploying all existing automation. This would result in the duplication of effort and costs of $400,000.00 to the DoD RPA program in software, training, modification, development, configuration, testing, and authority to operate.

5. BEST VALUE DETERMINATION: In accordance with FAR 8.405-3 and DFARS 208.7403 and 208.405-70, the procurement of UIPATH subscription licenses will be conducted through the DoD Enterprise Software Initiative (ESI) Blanket Purchase Agreement (BPA) holders. The Contracting Officer will determine best value to the government, based competitive pricing, vendors favorable terms and conditions, and vendors demonstrated capability to deliver the UIPATH subscription licenses within the required timeframe. This decision aligns with the objectives of the DoD ESI to leverage enterprise agreements for cost savings and efficiency in software acquisitions

6. MARKET RESEARCH: In an effort to identify the capabilities, customary practices, and standards of the commercial market, market research was conducted by the Contracting Specialist by reviewing Government required sources. In accordance with DFARS PGI 208.7403(1), a review of the ESI.mil website to determine if UiPath software licenses are available from DoD inventory.

UiPath software licenses are available on ESI.mil and shall be fulfilled from the DoD inventory.

ESI.mil lists three resellers, FedResults, Inc., an OTSB; Groundswell, an OTSB; and Mission Phoenix LLC, a small business. The recommended acquisition strategy is to compete the requirement using these four resellers. Market research was conducted by Washington Headquarters Services Acquisition Directorate’s (WHS AD) Contracting Specialist. This is a new contract requirement for (OUSD(C)) software licenses. There is no existing internal contract vehicle that is available for use to place an order for this service.

Market Research Techniques: In an effort to identify the capabilities, customary practices, and standards of the commercial market, research was conducted using the following techniques:

Review of mandatory sources and other sources: In accordance with DFARS PGI 208.7403(1) After requirements are determined, the requiring official shall review the information at the ESI website to determine if the required commercial software or related services are available from DoD inventory. If the software or services are available, the requiring official shall fulfill the requirement from the DoD inventory.

UiPath Computer Software Subscription Licenses are available on ESI.mil through the DoD ESI BPA holders listed below:

BPA Holders BPA Number Size Standard Cage Code FedResults, Inc. N66001-21-A-0026 Other Than Small 1PAF5 Groundswell N66001-24-A-0051 Other Than Small 4ZYF6 Mission Phoenix, LLC N66001-24-A-0052 Small 42JN6

The Contract Specialist conducted a thorough review of the ESI authorized resellers catalog to identify potential sources for the required subscriptions. Consequently, the requirement will be competed among the three authorized resellers who have active DoD ESI BPA Agreements. This approach ensures compliance with 8.405-2 “Ordering procedures for services requiring a statement of work” which emphasizes the need afford all schedule contractors offering the required services under the appropriate multiple-award schedule(s) an opportunity to submit a quote
