PERFORMANCE WORK STATEMENT

Technical Services for Tactical Intelligence Targeting Access Node (TITAN)

PART 1

GENERAL INORMATION

1. General. This is a non-personal services contract to provide Technical Services for the Tactical Intelligence Targeting Access Node (TITAN). The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government.

1.1. Description of Services/Introduction. The Contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform Technical Services for the TITAN at the US Army Geospatial Center and other locations as described herein as defined in this Performance Work Statement (PWS) except for those items specified as government furnished property and services. The Contractor shall perform to the standards in this contract.

1.2. Background. Army Tactical Exploitation of National Capabilities (TENCAP) has been tasked to conduct engineering studies for a future expeditionary ground station. The future expeditionary ground station must be maneuverable, modular, and scalable to enable Multi-Domain Operations (MDO) with assured access to current and future national, theater, commercial and Army collection assets to reduce collection gaps, increase target identification, location and tracking and incorporate Artificial Intelligence/Machine Learning to shorten the sensor to shooter timelines. To reach this objective, current TENCAP systems are being used in concert as a TITAN Surrogate to detect targets, refine the locational information to a fidelity necessary to generate a target nomination message, and disseminate the target nomination message to a fires element at echelon. The future expeditionary ground station will provide robust support at Field Army, Corps and Division, and provide scaled support at the Brigade Combat Team (BCT) in a network enabled or fully disconnected, intermittent or limited bandwidth environment.

1.3. Objectives. The objective of this work is to provide the Army Geospatial Center (AGC) and TENCAP with technical support for geospatial intelligence (GEOINT) and signals intelligence (SIGINT) efforts in support of future expeditionary ground station technical risk reduction.

1.4. Scope. The Contractor shall provide highly specialized expertise and technical services to execute the objectives of this PWS that directly correlates to the overarching objectives and goals of the AGC and TENCAP’s overall mission. The Contractor shall provide all personnel and supervision necessary to perform the services defined in the PWS. All tasks must be performed to the standards set forth in this document. This work will be in support of a broad range of technical engineering, project analysis and trades, prototyping, and requirements management functions. The Contractor shall comply with all applicable laws and regulations, including but not limited to Federal Law, Occupational Safety and Health Administration (OSHA) regulations, Army and installation regulations.

1.5. Period of Performance. The period of performance shall be for 24-month Base Year and three (3) 12-month option years, for a total of 5 years.

1.6 Quality Control. Quality Control is the responsibility of the Contractor. The Contractor is responsible for the delivery of quality services to the Government (see Federal Acquisition Regulation (FAR) 52.246-1, Contractor Inspection Requirements).

1.6.1. The Contractor shall develop, implement and maintain an effective Quality Control System which includes a written Quality Control Plan (QCP). The QCP shall implement standardized procedure/methodology for monitoring and documenting contract performance to ensure all contract requirements are met. The Contractors’ QCP must contain a systematic approach to monitor operations to ensure acceptable services are provided to the Government.

The QCP, as a minimum, shall address continuous process improvement; procedures for scheduling, conducting and documentation of inspection; discrepancy identification and correction; corrective action procedures to include procedures for addressing Government discovered non-conformances; procedures for root cause analysis to identify the root cause and root cause corrective action to prevent re-occurrence of discrepancies; procedures for trend analysis; procedures for collecting and addressing customer feedback/complaints. The Contractor shall provide to the Government their quality control documentation within 30 days after contract award (CDRL A011); changes to the QCP after award shall be submitted to the Contracting Officer (KO) and Contracting Officer’s Representative (COR) within five (5) working days prior to the proposed changes thereafter. After acceptance of the quality control plan the Contractor shall receive the Contracting Officer’s acceptance in writing of any proposed change to their QC System in regard to this contract.

1.6.2. Corrective Actions. At any time it is determined by the Contracting Officer that the quality control system, personnel, instructions, controls, tests, or records are not providing results which conform to contract requirements, action shall be taken by the Contractor to correct the deficiency.

1.7 Quality Assurance.

1.7.1. The Government shall evaluate the Contractor’s performance under this contract in accordance with (IAW) the Quality Assurance Surveillance Plan (QASP). This plan is a Government only document primarily focused on what the Government must do to assure that the Contractor has performed IAW the requirements of the PWS of this contract. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable deficiency rate.

1.7.2. Post Award Conference/Periodic Progress Meetings. The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office IAW Federal Acquisition Regulation Subpart 42.5, Post Award Orientation. The Contracting Officer, COR, and other Government personnel, as appropriate, may meet periodically with the Contractor to review the Contractor's performance. At these meetings the Contracting Officer will apprise the Contractor of how the Government views the Contractor's performance and the Contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be considered into the overall contract price.

1.8 Hours of Operation.

1.8.1. Normal Duty Hours. The Contractor is responsible for conducting business, between the hours of (8:00 AM and 6PM, Mondays thru Friday except on Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. For other than firm fixed price contracts, the Contractor will not be reimbursed when the Government facility is closed for the above reasons. The Contractor must at all times maintain an adequate workforce for the uninterrupted performance of all tasks defined within this PWS when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the workforce are essential. The Contracting Officer may direct the contractor to expand service up to 24 hours/7 days a week in the times of conflict or crisis.

1.8.2. Federal Government Holidays.

1.9 Place of Performance. The work to be performed under this contract will be performed on and offsite; CONUS and OCONUS locations in support of AGC and TENCAP tasks. Design, development, engineering and testing are expected to take place at CONUS locations, primarily at the Army Geospatial Center facility in Alexandria, VA.

Please refer to sections 1.15.1 and 1.15.2.2 for additional info on Place of Performance.

1.10 Type of Contract. The Government will award a Cost-Plus Fixed Fee Completion contract.

1.11 Security.

1.11.1. Security Requirements. The contractor will be required to have access to Unclassified, For Official Use Only (FOUO), Secret, Top Secret (TS), and Sensitive Compartmented Information (SCI), during their performance of this contract. Contractor personnel performing work under this contract must have a Top Secret/SCI clearance at time of the proposal submission and must maintain the level of security required for the life of the contract. The security requirements are IAW the Department of Defense Contract Security Classification Specification form DD254 which will be prepared by the ordering agency and issued with the contract.

1.11.2. Physical Security. The Contractor shall be responsible for safeguarding all Government equipment, information and property provided for Contractor use IAW AR 190-13, The Army Physical Security Program. At the close of each work period, Government facilities, equipment and materials shall be secured.

1.11.3. Key Control. The Contractor shall establish and implement methods of making sure all keys/key cards issued to the Contractor by the Government are not lost or misplaced and are not used by unauthorized persons.

NOTE: All references to keys include key cards. No keys issued to the Contractor by the Government shall be duplicated. The Contractor shall develop and implement a key control program and procedures compliant with AR 190-13 to ensure that keys are controlled and safeguarded. The plan shall be incorporated within the Contractor’s Quality Control Plan and submitted to the COR for approval NLT five (5) days after award. Such procedures shall include turn-in of any issued keys by personnel who no longer require access to locked areas. The Contractor shall immediately report any occurrences of lost or duplicate keys/key cards to the KO, COR and Security Manager.

1.11.3.1. In the event keys, other than master keys, are lost or duplicated, the Contractor shall, upon direction of the Contracting Officer, re-key or replace the affected lock or locks; however, the Government, at its option, may replace the affected lock or locks or perform re-keying. When the replacement of locks or re-keying is performed by the Government, the total cost of re-keying or the replacement of the lock or locks shall be reimbursed by the Contractor. In the event a master key is lost or duplicated, all locks and keys for that system shall be replaced by the Government and the total cost reimbursed by the Contractor. Any Government property stolen or damaged in association with keys being duplicated, misplaced, or lost by the Contractor personnel shall be reimburse the Government accordingly.

1.11.3.2. The Contractor shall prohibit the use of Government issued keys/key cards by any persons other than the Contractor’s employees. The Contractor shall prohibit the opening of locked areas by Contractor employees to permit entrance of persons other than Contractor employees engaged in the performance of assigned work in those areas, or personnel authorized entrance by the Contracting Officer.

1.11.4. Lock Combinations. The Contractor shall establish and implement methods of ensuring that all lock combinations are not revealed to unauthorized persons. The Contractor shall ensure that lock combinations are changed when personnel having access to the combinations no longer have a need to know such combinations.

These procedures shall be included in the Contractor’s Quality Control Plan, if applicable.

AT-OPSEC REQUIREMENTS

1.11.5. AT Level I Training. All Contractor employees, including subcontractor employees, requiring access to Army installations, facilities, or controlled access areas shall complete Antiterrorism (AT) Level I awareness training within five (5) working days after contract start date or effective date of incorporation of the requirement into the contract, whichever applies. The Contractor shall submit Certificates of completion for each affected contract employee and subcontractor employee to the COR (or to the contracting officer, if a COR is not assigned) within five (5) working days after completion of training by all employees and subcontractor personnel on a recurring annual basis. AT Level I awareness training is available at the following site: https://atlevel1.dtic.mil/at.

If access to a computer is not available, the unit’s Level II ATO will conduct AT Level I training for the Contractor and employees within five (5) working days after contract start and maintain a copy of the attendance roster for one year. Any Contractor hired after contract start will be required to receive AT Level I training within five (5) working days by the ATO. It will also be acceptable for the new hire to take the training online and present the training certificate to the ATO within three (3) calendar days. AT Level I training is an annual requirement with the 12-month period starting on the date of initial training and re-certification NLT the last day of the 12-month period.

If the requiring activity does not have an ATO, the first ATO in the chain of command will conduct this training.

1.11.6. Access and General Protection/Security: Policy and Procedures. Contractor and all associated sub-contractor employees shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures (provided by government representative). The Contractor shall also provide all information required for background checks to meet installation access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office. Contractor workforce must comply with all personal identity verification requirements as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any individual facility or installation change, the Government may require changes in Contractor security matters or processes.

1.11.7. Contractors Requiring Common Access Card (CAC). The contractor and all sub-contractors employees will be issued a CAC only if duties involve one of the following: (1) Both physical access to a DoD facility and access, via logon, to DoD networks on-site or remotely; (2) Remote access, via logon, to a DoD network using DoD-approved remote access procedures; or (3) Physical access to multiple DoD facilities or multiple non-DoD federally controlled facilities on behalf of the DoD on a recurring basis for a period of 6 months or more. At the discretion of the sponsoring activity, an interim CAC may be issued based on a favorable review of the FBI fingerprint check and a successfully scheduled NACI at the Office of Personnel Management.

1.11.8. Anti-Terrorism (AT) Awareness Training for Contractor Personnel Traveling Overseas. All US based contractor employees and associated sub-contractor employees traveling overseas will receive the government provided Area of Responsibility (AOR) specific AT awareness training prior to departure.

1.11.9 Suspicious Activity Reporting Training (e.g. iWATCH, CorpsWatch, or See something, Say Something).

The contractor and all associated sub-contractors shall receive a brief/training (provided by the RA) on the local suspicious activity reporting program. This locally developed training will be used to inform employees of the types of behavior to watch for and instruct employees to report suspicious activity to the project manager, security representative or law enforcement entity. This training shall be completed within 30 calendar days of contract award and within 30 calendar days of new employees commencing performance with the results reported to the COR NLT 5 calendar days after the completion of the training.

1.11.10. Contractor Employees Who Require Access to Government Information Systems. All contractor employees with access to a government info system must be registered in the Army Training Certification Tracking System (ATCTS) at commencement of services, and must successfully complete the DOD Information Assurance Awareness prior to access to the information systems and then annually thereafter IAW personnel security standards listed in AR 25-2 (Information Assurance), an appropriate background investigation will be conducted prior to accessing the government information systems.

1.11.11. Contracts that require an OPSEC Standing Operating Procedure/Plan. The Contractor shall develop an OPSEC SOP/Plan within 90 days of contract award (CDRL A009). The OPSEC SOP/Plan must be reviewed and approved by the Requiring Activity OPSEC Officer. The SOP/Plan will include the government's critical information, why it needs to be protected, where it is located, who is responsible for it and how to protect it. In addition, the contractor shall identify an individual who will be an OPSEC Coordinator.

1.11.12. For Contracts that Require OPSEC Training. All new contractor employees will complete Level I OPSEC Training within 30 calendar days of their reporting for duty. Additionally, all contractor employees must complete annual OPSEC awareness training. The contractor shall submit certificates of completion for each affected contractor and subcontractor employee, to the COR or to the contracting officer (if a COR is not assigned), within 5 calendar days after completion of training. OPSEC awareness training is available at the following websites:

1.11.13. For Information assurance (IA)/information technology (IT) training. All contractor employees and associated sub-contractor employees must complete the DoD IA awareness training before issuance of network access and annually thereafter. All contractor employees working IA/IT functions must comply with DoD and Army training requirements in DoDD 8570.01, DoD 8570.01-M and AR 25-2 within six months of employment.

1.11.14. For Information Assurance (IA)/ Information Technology (IT) certification. All contractor employees supporting IA/IT functions shall be appropriately certified upon contract IAW DoD 8570.01-M, DFARS 252.239- 7001 and AR 25-2. The baseline certification as stipulated in DoD 8570.01-M must be completed upon contract award.

1.11.15. Contractors Authorized to Accompany the Force. All contractor employees shall ensure the following AT/OPSEC requirements are met prior to deploying personnel authorized to accompany U.S. Armed Forces outside the United States; to include compliance with laws, regulations, pre-deployment requirements, and required training in accordance with combatant command guidance.

1.11.16. Contracts Requiring Performance or Delivery in a Foreign Country. All contracting personnel will comply with theater clearance requirements and allows the combatant commander to exercise oversight to ensure the contractor’s compliance with combatant commander and subordinate task force commander policies and directives.

1.11.17. Contract that Require Handling or Access to Classified information. Contractor shall comply with AR 380- 67 (Personnel Security Program) and Homeland Security Presidential Directive 12 (Policy for a Common Identification Standard for Federal Employees and Contractors) as well as FAR 52.204-2, Security Requirements.

Additionally, Contractors must comply with - (1) The Security Agreement (DD Form 441), including the National Industrial Security Program Operating Manual (DoD 5220.22-M); any revisions to DOD 5220.22-M, notice of which has been furnished to the contractor. For classified contracts, the DD Form 254 will be attached with the contract.

1.11.18. (For Classified Contracts only) Contractor Company to obtain a Facility Clearance and individual clearances at the appropriate level. The Prime Contractor Company must have a Facility Clearance (FCL) at the appropriate level (IAW the NISPOM DOD 5220.22-M and AR 380-49) prior to the start of the contract awarded period of performance. Contractor personnel performing work under this contract must have the required security clearance, per AR 380-67, at the appropriate level at the start of the period of performance. Security Clearances and FCL requirements are required to be maintained for the life of the contract IAW the DD Form 254 attached to the contract. If no FCL, the supporting Government Contracting Activity will sponsor the prime contract company in obtaining the FCL.

1.11.19. Pre-screen candidates using E-Verify Program. The Contractor must pre-screen Candidates using the E-verify Program (http://www.uscis.gov/e-verify) website to meet the established employment eligibility requirements.

The Vendor must ensure that the Candidate has two valid forms of Government issued identification prior to enrollment to ensure the correct information is entered into the E-verify system. An initial list of verified/eligible Candidates must be provided to the COR no later than 3 business days after the initial contract award. *When contracts are with individuals, the individuals will be required to complete a Form I-9, Employment Eligibility Verification, with the designated Government representative. This Form will be provided to the Contracting Officer and shall become part of the official contract file.

1.11.20. Threat Awareness Reporting Program. All new contractor employees will complete annual Threat Awareness and Reporting Program (TARP) Training provided by a Counterintelligence Agent, IAW AR 381-12.

The contractor shall submit certificates of completion for each affected contractor and subcontractor employee(s) or a memorandum for the record, to the COR or to the contracting officer (if a COR is not assigned), within 5 calendar days after completion of training. 1.12 Safety. The Contractor shall establish and maintain a safety plan.

1.12.1. Reporting Mishaps. The Contractor shall adhere to reporting of mishaps IAW AR 385-10, The Army Safety Program and DA Pam 385-40, Army Accident Investigations and Reporting. In addition the Contractor shall report:

(1) Injury or occupational illness to on-duty contractors; (2) Damage to GFM, GFP, or GFE provided to a contractor; (3) Contractor accidents involving Army property and personnel.

1.12.2. Personnel Safety. The Contractor shall immediately correct all safety deficiencies upon notification of the deficiencies by the Contracting Officer, designated representative or COR, and shall notify the Contracting Officer of the corrective action to be taken.

1.13. Contracting Officer Representative (COR): The COR will be identified by separate letter. The COR monitors all technical aspects of the contract and assists in contract administration. The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract; perform inspections necessary in connection with contract performance; maintain written and oral communications with the Contractor concerning technical aspects of the contract; issue written interpretations of technical requirements, including Government drawings, designs, and specifications; monitor Contractor's performance and notify both the Contracting Officer and Contractor of any deficiencies; coordinate availability of government furnished property;

and provide site entry of Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

1.14 Personnel. For purposes of this paragraph, the term “personnel” or “employee(s)” refers to any person performing work related to this contract, including but not limited to, the Contractor’s employees, agents, representatives, or subcontractors. The Contractor shall staff this effort with trained, competent and capable employee(s) for the discipline they are assigned to. Contractor personnel shall present a clean, neat and professional appearance. The Contractor shall ensure that employees meet all applicable federal, state, local, and installation certification, licensing, medical requirements, and qualifications to perform all assigned tasks and functions as defined in this contract prior to commencement of work.

1.14.1. Contractor’s personnel shall either be a United States Citizen or authorized to work in the United States.

1.14.2. Speaking, Reading, and Understanding English. Where reading, understanding, and discussing environmental, health, and safety warnings are an integral part of an employee’s duties, Contractor’s employee shall be able to understand, read, write, and speak the English language fluently. English shall be the only language used with regard to this contract for written correspondence, discussions and other business transactions.

1.14.3. Identification of Contractor Employees. The Contractor (to include subcontractors) shall provide each employee an Identification (ID) Badge, which includes at a minimum, the Company Name, Employee Name and a color photo of the employee. ID Badges for Key Personnel shall also indicate their job title. ID Badges shall be worn at all times during which the employee is performing work under this contract. Each Contractor (to include subcontractors) employees shall wear the ID Badge in a conspicuous place on the front of exterior clothing and above the waist except when safety or health reasons prohibit. The Contractor (to include subcontractors) shall be responsible for collection of ID Badges upon completion of the contract or termination of employee. A listing of issued identification cards shall be furnished to the Contracting Officer prior to the contract performance date and updated as needed to reflect Contractor and Subcontractor personnel changes. All contract personnel attending meetings, answering Government telephones, and working in other situations where their Contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. They must also ensure that all documents or reports produced by Contractors are suitably marked as Contractor products or that Contractor participation is appropriately disclosed.

1.14.4. Conflict of Interest & Employment of Government Personnel. The Contractor shall not knowingly employ any person who is a U.S. Government employee if employing that person would create a conflict of interest.

Additionally, the SP shall not knowingly employ any person who is an employee of the Government, either military or civilian, unless such person seeks and receives written approval according to DOD 5500.7-R, Joint Ethics Regulations (JER) by the individual’s commander or director. A copy of the authorization will be provided to the

COR.

In addition, the Contractor is prohibited from employing Government Quality Assurance Representatives (QAR) whom the Contractor knows or should have known are responsible for monitoring any contracts/subcontracts awarded to the service provider.

1.14.5. Key Personnel: The follow personnel are considered key personnel by the Government:

1.14.5.1. Project Manager (PM)/alternate PM. The Contractor shall provide a PM who shall be responsible for the performance of the work. The name of this person and an alternate who shall act for the Contractor when the manager is absent shall be submitted for evaluation and designated in writing to the contracting officer upon contract award, thereafter any changes shall be provided five (5) business days prior to expected change and no less than 24-hours after unplanned changes. The PM or alternate shall have full authority to act for the Contractor on all contract matters relating to daily operation of this contract. The PM or alternate shall be available between 8:00 a.m. thru 4:30 p.m., Monday thru Friday except Federal holidays or when the government facility is closed for administrative reasons.

1.14.5.2 Additional Key Personnel. Additional Key Personnel for this contract will be at the contractor’s discretion, but will include at a minimum a Systems Engineer, Radio Frequency/Communications Engineer, and Information Assurance Engineer.

1.14.6. Supervision of Contractor Employees. The Government will not exercise any supervision or control over Contractor or subcontractor employees while performing work under the contract. Such employees shall be accountable solely to the Contractor, not the Government. The Contractor, in turn, shall be accountable to the Government for Contractor or subcontractor employees.

1.15 Contractor Travel. The Contractor will be authorized travel expenses consistent with the substantive provisions of the Joint Travel Regulation (JTR) and the limitation of funds specified in this contract. All travel requires Government approval/authorization and notification to the COR as specified below.

1.15.1. The contractor will be required to travel to both military and non-military locations, both in the Continental United States (CONUS) and Outside the Continental United States (OCONUS). Locations will include but are not limited to CONUS: TX, MD, AZ and OCONUS: Japan, Germany, and Korea. One to two, three to eight-day trips per location is expected.

1.15.2. Status of Forces Agreement (SOFA). When OCONUS travel is required, the Contractor shall abide by U.S.

Status of Forces Agreement (SOFA) and local laws in performance of this contract. The Contract and Government personnel shall submit essential documentation to obtain prior advance approvals for countries that require prior approval.

1.15.2.1 Overseas Duty Locations with TESA/DOCPERS Requirements This Contract requires a full-time presence at EUCOM of a Technical Expert serving as GEOINT Systems Subject Matter Expert that will be approved under the TESA/DOCPERS process. The Government will support the review and approval of both the contract and the Technical Expert applicant by US and German officials as required and other foreign countries as required in the future. The COMPANY will provide a qualified Technical Expert applicant and supporting required documentation for TESA/DOCPERS review.

1.15.2.2 Foreign Duty Locations:

• EUCOM (Grafenwoehr, GE) – One Technical Expert: GEOINT Systems Subject Matter Expert (SME) Technical Expert Position Description:

1.15.2.2.1 The GEOINT Systems SME will have specialized knowledge of relevant United States Military Doctrine and a current understanding of the Combatant Command Area of Responsibility (AOR). The GEOINT Systems SME will use their operational expertise together with specific Intelligence and systems knowledge and skills related to the TITAN Surrogate to support the design, integration, training and use of this system.

Responsibilities:

• Responsible for the operational support and testing and training of the TITAN Surrogate system during the operational use of the system covered by this agreement.

• Responsible for the integration of DoD information repositories with TITAN Surrogate system.

• Responsible for the use, enhancement, integration, and testing of TITAN Surrogate software at the Combatant Command for mission planning, execution and assessment in support of Remote Ground Terminal (RGT) objectives.

• Responsible for identifying architectural gaps between TITAN Surrogate and TITAN prototype ground station, mission command, and fires systems supporting sensor to shooter efforts and develop technical system requirements to address network and machine learning gaps.

• Responsible for providing training to users on the system, provide support to system deployments and exercises, and develop reports for the Government giving assessments on how to improve the system and operations.

• Responsible for evaluating generated intelligence products and provide assessments and recommend courses of action to ensure the system and users are supporting required intelligence requirements.

1.15.2.2.2 TESA/DOCPERS Education and Experience:

• The equivalent of a Bachelor’s degree in Information Technology, Management Information Systems, GEOINT or related science, technology, and mathematics (STEM) degree

• In-depth knowledge of national GEOINT systems and, the corresponding architecture within the Intelligence Community, and how they interface with joint and Army tactical systems

• Expertise in tactical intelligence systems and the associated communications architecture that enables sensor to shooter threads

• Experience operating GEOINT systems and software directly related to targeting operations

• Expertise in conceptualizing, planning, executing and assessing complex Joint and combined military operations with emphasis on intelligence, shaping /influence operations and information operations

• Experience developing Tactics, Techniques and Procedures (TTP), Standard Operating Procedures (SOP) or other process documents

• Experience in tactical level GEOINT disciplines, preferably those supporting the Army Intelligence Enterprise.

1.15.3. Travel Policy. The Government will reimburse the Contractor for allowable travel costs incurred by the Contractor in performance of the contract and determined to be in accordance with FAR subpart 31.2, subject to the following provisions: Travel required for tasks assigned under this contract shall be governed in accordance with rules set forth for temporary duty travel in the Department of Defense Joint Travel Regulations (JTR). All travel and expenses must be approved by the COR in writing, prior to travel.

1.15.4. Travel, subsistence, and associated labor charges for travel time are authorized for travel beyond a 50-mile radius of the local office, whenever a task assignment requires work to be accomplished at an alternate work site.

No travel, subsistence or associated labor charges for travel time shall be charged for work performed within a 50-mile radius of the Contractor’s local office, normal work site, or temporary work site unless approved in advance by the Contracting Officer Representative (COR). Under no circumstances will costs be reimbursed for travel performed for personal convenience and daily travel to and from the normal work site, to include parking expenses.

1.16 Access to and Disclosure of Information.

1.16.1. The contractor may require access to data and information proprietary to a Government agency, another Government contractor, or of such nature that its dissemination or use, other than as specified in this contract, would be adverse to the interests of the Government or others. Neither the contractor, nor contractor employees shall divulge or release data or information developed or obtained under performance of this contract, except to authorized Government personnel or upon written approval of the COR or designated representative. The contractor shall not use, disclose, or reproduce proprietary information bearing a restrictive legend, other than as specified in the contract.

1.16.2. Disclosure of information regarding operations and services of the activity to persons not entitled to receive it, or failure to safeguard any classified, proprietary or other similar items or information that may come to the contractor (or any persons under the contractor’s control) in connection with work under this contract, may subject the contractor, contractor’s agent, or employees to criminal liability under Title 18, Sections 793 and 798 and/or other sections of the United States Code. Neither the contractor nor the contractor’s employees shall disclose or cause to be disseminated, any information concerning the operations of the activity that could result in, or increase the likelihood of, the possibility of a breach of the activities’ security or interrupt the continuity of operations.

1.16.3. The contractor shall direct to the Project Officer/COR, all inquiries, comments, or complaints arising from matters observed, experienced, or learned as a result of, or in connection with the performance of this contract, the resolution of which may require the dissemination of official information.

1.16.4. Inquiries received by the contractor for work performed under this contract shall be referred to the Government for evaluation under the Freedom of Information Act (FOIA) of 1975, Public Law 93-502, 5 U.S.C., Section 552. The Government FOIA officer shall be responsible for determining whether such requests will be honored. The contractor will not release any information concerning the project to the public without written authorization from the Government.

1.16.5. The contractor shall not release any information (including photographs, files, public announcements, statements, denials, or confirmations) on any part of the subject matter of this contract, or any phase of any program hereunder, without the prior written approval of the Project Officer/COR. The contractor shall not release information regarding individuals without prior authority of the Project Officer/COR. Any documentation showing individuals’ names or other personal information will be controlled and protected. The provisions of the Privacy Act of 1974, Public Law 93-579, 5 U.S.C., Section 552a, shall apply.

1.17. Data Rights. Department of Defense Federal Acquisition Regulation Supplement (DFARS) Clauses 252.227- 7013 and 252.227-7014 shall be in effect. Any assertions for restricted rights shall be proposed by the contractor.

PART 2

DEFINITIONS & ACRONYMS

2. Definitions and Acronyms.

2.1. Definitions. Federal Acquisition Regulation (FAR), Dictionary of US Army Terms, AR 310-25 and Authorized Abbreviations and Brevity Code, AR 310-50, are the references for definitions and acronyms not listed below.

2.1.1. C-Kits. An aviation term for bolt-on capabilities to the airframe.

2.1.2. Contract Administrator. The official Government representative delegated authority by the Contracting Officer to administer a contract. This individual is normally a member of the appropriate Contracting/Procurement career field and advises on all technical contractual matters.

2.1.3. Contractor. A supplier or vendor awarded a contract to provide specific supplies or services to the Government. The term used in this contract refers to the prime.

2.1.4. Contracting Officer. A person with authority to enter into, administer, and/or terminate contracts, and make related determinations and findings on behalf of the Government. Note: The only individual who can legally bind the Government.

2.1.5. Contracting Officer’s Representative (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.

2.1.6. Controlled Area. A controlled space extending upward and outward from a specified point. This area is typically designated by a commander or director, wherein sensitive information or operations occur and requires limitations of access.

2.1.7. Defective Service. A service output that does not meet the standard of performance associated with the PWS.

2.1.8. Deliverable. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.

2.1.9. Government-Furnished Property (GFP) or Government Property (GP). Property in the possession of, or directly acquired by, the Government and subsequently made available to the Contractor.

2.1.10. Key Personnel. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS. When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.

2.1.11. Physical Security. Actions that prevent the loss or damage of Government property.

2.1.12. Quality Assurance. The Government procedures to verify that services being performed by the Contractor are acceptable IAW established standards and requirements of this contract.

2.1.13. Quality Assurance Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of Contractor performance.

2.1.14. Quality Control. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.

2.1.15. Subcontractor. One that enters into a contract with a prime Contractor. The Government does not have privet of contract with the subcontractor.

2.1.16. Workday. The number of hours per day the Contractor provides services IAW the contract.

2.1.17. Work Week. Monday through Friday, except for Federal holidays unless specified otherwise.

2.2. Acronyms.
