Sole Source Justification for North Point Marina Concession Amendment

This is a Sole Source Justification Form submitted by the Illinois Department of Natural Resources for a change order amendment to an existing concession contract with Skipper Bud's of Illinois, Inc. The amendment expands the vendor's current Boat Storage Concession Contract to include the operation of North Point Marina located in Winthrop Harbor, Illinois. The services to be provided include slip rentals (seasonal and daily), boat and jet ski rentals, kayak and paddle boat rentals, swimming pool operations, arcade services, food and beverage sales, and general merchandise resale. The contract will commence on March 1, 2026, and conclude on March 31, 2029, with no renewal options. The estimated initial term value is $4,800,000, though the state provided $13,500,000 as a reference figure in another field. The need was identified on October 2, 2025, with a required need date of March 1, 2026, allowing approximately five months for contract execution.

The concession contract is revenue-generating for the State of Illinois with no state or federal funds expended; instead, the state receives rental payments. The amendment involves an abatement of approximately $450,000 annually in rental payments to the vendor to support opening costs and operational startup. The justification for sole sourcing to Skipper Bud's of Illinois, Inc., centers on the vendor's institutional knowledge as the current operator of the Boat Storage Concession on site since 1991, their status as the only vendor positioned on-site without operational gaps, and their capability to manage the facility during ongoing dredging operations and the state's competitive bidding process for a long-term contract. The vendor is 100 percent owned by MarineMax and possesses the unique knowledge of site-specific operational requirements, including complex winterization procedures. The state acknowledged that while other qualified vendors exist, Skipper Bud's is the sole vendor able to maintain public amenities without service interruption during this three-year transitional period preceding the long-term concession solicitation.

Q1Answer: North Point Marina opened in 1989 and is located on Lake Michigan midway between Chicago and Milwaukee. The protected, secure marina covers 77 acres of land and water and offers 21 docks with 1477 floating slips, ranging in size from 30 to 60 feet, making it the largest marina on the Great Lakes. The slips are leased to recreational boaters on an annual basis.

From 1991 until 2016, the State of Illinois operated the Marina but in 2016 a Request for Proposal competitive bidding process was initiated to fully operate the Marina with an award published and contract executed with Westrec Marinas NPM, LLC, on February 24, 2017, with an end date of December 31, 2042. In 2022, a Novation agreement was reached with North Point SMI Westrec, LLC, to continue the Concession Operation under new ownership. In April 2025, the Concession Lease was mutually terminated with an effective date of October 31, 2025, due to a lack of profitability at the site under the contractual requirements. A short term managerial contract with North Point SMI Westrec, LLC, to manager the Marina was ultimately unsuccessful and North Point SMI Westrec, LLC was contracted with to winterize the Site for 2025-2026 winter months to protect the site from any damage and ended on December 31, 2025.

The State of Illinois is in need of a Vendor to operate the North Point Marina Concession in all aspects until a new competitive proposal can be completed for a long-term Concession contract.

Q2Answer:

In addition to offering the above referenced services and recreational opportunities to the public, the Vendor shall need to have the required knowledge and experience to be able to open and close the Marina with the seasons to protect both personal and public property from the weather. Q3Answer: Skipper Bud's of Illinois, Inc., has been operating the Boat Storage Concession Lease for the State of Illinois since 1991 and thusly has direct knowledge of all the needs and requirements of North Point Marina Specifically. Additionally, Skipper Bud's of Illinois, Inc., is 100% owned by Marine Max which operates Marinas throughout the United States. Skipper Bud's of Illinois, Inc., as the only Vendor on Site with the historical knowledge of the Marina and the institutional capabilities and understanding of the work required for daily operation of Marinas, is the only vendor who can currently fufill the requirements of this concession contract to be open for the public.

The Vendor has the knowledge to operate the Marina Concession during the competitive bidding process. Additionally, the vendor has previous experience with boat service and storage and of being involved in the operation of the Marina which includes the re-installation of the docks after winterization. Also Vendor has the resources needed to complete all of the tasks required to keep the Marina fully functional for public use.

The access to the docks and slips at North Point Marina are in need of dredging because of years of buildup of sediment caused by the natural waves of Lake Michigan. This sediment build up has caused multiple issues at the concession which have hampered and interrupted services offered by the Vendor including the necessary closures of certain slips and reduced traffic at the Marina for lack of navigable waters. The personal knowledge of this situation will allow Skipper Bud's of Illinois, Inc. to safely operate the North Point Marina Concession while corrective dredging operations are completed.

DNR is in the process of completing the regulatory process to start the dredging of the Marina which would allow for full operation of the concession. A vendor has been contracted with by IDNR to complete the sampling, assessment and design for the dredging at North Point Marina. This process requires permits and cooperation with the Illinois Environmental Protection Agency to properly dispose of the sediment which could increase the prospective time frame for the dredging to be completed.

There are multiple dredging options including actual removal of the site via dump trucks to a safe disposal location as well as just moving the sediment back into Lake Michigan without breaching the surface of the water. The different dredging options come with benefits and potential complications and require specific permits. Removing the sediment from the site will take more time and location access, possibly up to 1 year time frame in which the Marina operation will be greatly affected. In contrast moving the sediment out to Lake Michigan will be a shorter process, possibly within 3-6 months depending on the amount of sediment moved, but the potential for the sediment to once again collect in the Marina is high.

Once proper dredging services are identified, and permits obtained the dredging of the Marina can commence. Due to the multiple variables associated with the dredging process that could affect the timeline to begin the actual removal of the sediment in addition to the uncertainty regarding which dredging process will be approved and the allocation of funds for that expense, IDNR feels it in the best interest for the public use and for vendor security to allow Skipper Bud's of Illinois operational control of North Point Marina until March 31, 2029. This will allow IDNR and any potential potential vendors interested in participating in the competitive bidding process for the long term concession contract to have confidence that the dredging has been completed and the Marina fully available for public usage.

Q4Answer: While there are other well qualified vendors who have the ability to operate North Point Marina given an extended period of time to mobilize, Skipper Bud's of Illinois, Inc., is the only vendor that is already located on Site with the ability to operate the Marina without lose of amenities available to the public. The vendors historical knowledge of the site is uniquely positioned to maintain the property and has the knowledge to operate the Marina while dredging is completed and a competitive solicitation is done.

Q5aAnswer: Skipper Bud's of Illinois, LLC, is already operating a Concession on Site next to the Marina in a successful manner since 1991. They are best option to operate the Marina for a short term contract while the State completes a competitive bid process for a long term contract.
Q5bAnswer: IDNR originally considered a managerial contract for 2026 with North Point Marina SMI Westrec, LLC, to operate the North Point Marina for 1 year but was unable to conclude the negotiations prior to the end of the concession contract term. The Vendor has removed all equipment and personnel and is no longer present at the Site.

Q7Answer: The Illinois Department of Natural Resources and Skipper Bud's of Illinois, Inc., have agreed to the abatement of the rental payments owed to the Illinois Department of Natural Resources during the 3 years of operation that Skipper Bud's of Illinois will operate the concession. The amount abated with be approximately $450,000.00 annually to allow for those funds to be utilized in the preparation for opening and continued operation of the Marina. Both parties have had full transparency regarding the cost of the operation of the lease, and the negotiations have resulted in an agreement that is a fair and reasonable price to the State while giving the vendor the opportunity to make a profit at the location while still providing a highly desirable service to the community.

Q9Answer: If the addition of the concession operation of the North Point Marina is not added to the original concession contract with Skipper Bud's of Illinois, Inc., Boat Storage, the State will have to close the Marina until a new competitive Bid has been completed. There will be a loss of employment opportunity in addition to the loss of revenue for the local businesses and community.
