Section J Attachment 1: Section L – Instructions, Conditions & Notices to Offerors

In accordance with (IAW) FAR 52.232-19 – Availability of Funds (Apr 1984)

Funds are not presently available for this contract. The Government’s obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.

(End of Clause)

L-5. INFORMATION TO OFFERORS (ITO) and INSTRUCTIONS FOR PROPOSAL

PREPARATION

A. INFORMATION TO OFFERORS

1. Point of Contact (POC). Upon release of the RFP, the sole POC for this acquisition is the Contracting Officer (CO), Ms. Marie Kuhn. Address any questions or concerns to the CO, Marie Kuhn, at (719) 554-2740; or email: marie.kuhn@spaceforce.mil.

2. Site Visit. The Government does not anticipate conducting a Site Visit for this requirement.

3. Discrepancies and Ambiguities. If an offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the CO in writing with supporting rationale not later than 15 calendar days after the Request for Proposal (RFP) release. Also, the offeror shall give written notification to the CO of ambiguities in the solicitation, including the IDIQ Work Statement and Task Order One PWS, not later than 15 calendar days after Final RFP release.

4. Revisions and Amendments. The Government reserves the right to revise or amend the specifications or the solicitation prior to the time for receipt of proposals. Such revisions or amendments will be communicated by formal amendment (Standard Form 30) to this RFP. If such amendments require material changes in quantities or costs, the receipt of proposals date may be postponed by enough days to enable offerors to revise their proposals. In such cases, the amendment will include an announcement of the new receipt of proposals closing date and time.

5. Pre-Performance Conference. A pre-performance conference will be scheduled by and held at the JNWC facility located at Kirtland AFB, NM prior to the commencement of any work under the contract that will be awarded as a result of this solicitation and offer. The Offeror or his duly authorized representative is required to attend the pre-performance conference.

6. Data Transmission. To facilitate review and evaluation for this source selection the Government proposes to transmit data via commercial systems. Distributed material will be identified as source selection sensitive and distribution strictly limited to appropriate personnel. Should any offeror object to their proprietary information being shared between source selection evaluators and advisors via commercial e-mail as described above, please advise the Contracting Officer, Marie Kuhn, by email at marie.kuhn@spaceforce.mil.

7. Bidders’ Library. None of the regulations, manuals, or other publications referenced in the Request for Proposal (RFP) will be issued with the solicitation.

RFP# FA2518-22-R-0027

Section J – Attachment 1

a. Access to documents. If applicable, Bidders’ Library documents may include Export Controlled, For Controlled Unclassified Information (CUI), and other sensitive documents.

Therefore, in order to access the Bidders’ Library, including all IDIQ Work Statement and Task Order One PWS exhibits (as applicable), publications and workload data, offerors are required to submit a completed and certified form DD2345. Instructions for completion are available on https://www.Sam.gov. Once the signed and certified DD2345 is submitted to the Contracting Officer, the offeror will be able to make an Explicit Access Request to the documents on https://www.Sam.gov, under solicitation number FA2518-22-R-0027 – Joint Navigation Warfare Center IV.

8. Initial Proposals. Offerors shall submit initial proposals with their most favorable terms, from both a technical and price standpoint. The Government reserves the right to award this effort based on the initial proposal, as received, without discussions.

9. Competitive Range Determination. The Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit and efficient competition among the most highly rated proposals in accordance with FAR 15.306(c)(2).

10. Debriefings. The CO will promptly notify offerors of their failure to provide an acceptable proposal for Phase I, whereupon they may request and receive a debriefing in accordance with FAR 15.505. The CO will notify unsuccessful offerors in the competitive range of the source selection decision in accordance with FAR 15.506. Offerors desiring a debriefing must make their request IAW the requirements if FAR 15.505 or 15.506, as applicable. If offerors are eliminated during the competitive range determination they may elect to wait until post award to receive their debriefing; however, each offeror may only receive a total of one debriefing.

11. Discussions. In accordance with FAR 52.215-1(f)(4), the Government intends to award without discussions. The Government may make a final determination as to whether the offeror’s proposal is acceptable or unacceptable solely on the basis of the initial proposal as submitted. Accordingly, offerors are advised to submit initial proposals that are fully and clearly acceptable without additional information or explanation and contain the offeror’s best terms from a technical and price stand point. The Government reserves the right to conduct discussions if the Contracting Officer (CO) later determines them to be necessary.

12. Final Proposal Revisions (FPR). Once discussions, if required, have been concluded, the CO will request that offerors provide an FPR.

13. Questions Concerning the Solicitation. All questions concerning this RFP must be submitted in writing not later than 10:00 am (MDT) on 01 September 2022. Submit questions via email to the Contracting Officer, Ms. Marie Kuhn at marie.kuhn@spaceforce.mil, and Ms. Rebecca Graham, Contracting Officer, at rebecca.graham.5@spaceforce.mil.

B. PROPOSAL PREPARATION INSTRUCTIONS

1. General Instructions and Information. These instructions prescribe the format of proposals and describe the approach for the development and presentation of the proposed data. The offeror’s proposal must include all data and information requested by this RFP and must be submitted in accordance with these instructions.

a. This solicitation is being conducted in accordance with FAR 15.3 Source Selection, the DoD Source Selection Procedures dated 31 March 2016, and AFFARS 5315.3 including Mandatory Procedures (MP) 5315.3.

b. Offers will be evaluated using the factors and subfactors in Attachment 2 - Section M, Evaluation Factors for Award.

c. The Government intends to award using the Technical/Price Tradeoff (TPT) approach. IAW FAR 15.101-1(a) A tradeoff process is appropriate when it may be in the best interest of the Government to consider award to other than the lowest priced offeror or other than the highest technically rated offeror. Technical proposals will be evaluated and assigned combined technical/risk ratings which reflect the extent to which the proposal meets the Government’s specified performance and capability requirements, considering any strengths and weaknesses associated with the proposed approach. The Government may award to a higher-priced offeror if it is determined by the SSA that the superior technical approach outweighs the price difference, and may award to a lower-priced offeror if it is determined by the SSA that the superior technical approach does not outweigh the price difference. All strengths from the winning offeror’s technical approach and the Small Business Participation Commitment Document will be incorporated into the contract as an attachment in Section J, and will become part of the contract requirements. In addition to incorporating all strengths, the Government reserves the right to incorporate any, some, none, or all aspects of the winning offeror’s technical approach in its sole and absolute discretion.

d. The offeror’s proposal must include all data and information requested and must be submitted in accordance with these instructions. A proposal that is sufficiently documented to support performance claims in a complete and orderly manner will enable the Government to perform a thorough and fair evaluation. Any offeror who submits an incomplete package may be considered non-responsive. Non-compliance with these instructions may result in determination of non-responsiveness of the proposal, exclusion from the competitive range or an otherwise unfavorable proposal evaluation.

e. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and validation of stated claims. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. The absence of such convincing rationale will adversely influence evaluation of the proposal. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and will base its evaluation on the information presented in the offeror’s proposal. Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.

f. The proposal acceptance period is specified in Block 12, Section A of the solicitation (SF33).

The Offeror shall make a clear statement in Section A of the proposal documentation volume that the proposal is valid for a period of not less than 365 calendar days from receipt, and by signing the SF33, the offeror agrees to that period.

g. Proposals shall not contain classified information.

h. Alternate proposals will not be accepted.

i. In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the offeror requests otherwise, the Government will destroy extra copies of unsuccessful proposals.

2. Format Instructions. This section provides general guidance for preparing proposals as well as specific instructions on the format and content of the proposal. Each volume shall be complete in itself.

The proposal should include all of the information requested in the subparagraphs. Failure to do so may adversely affect the evaluation. A proposal that is sufficiently documented in a complete, orderly, and specific detailed manner will enable the Government to perform a thorough and fair evaluation.

a. Proposal Volumes and Binding. For ease of evaluation, the required proposal formats and extent of data are described below.

1) Electronic Copies. Only electronic proposals will be accepted. Hard copies will not be accepted. The electronic (softcopy) proposal shall be Microsoft Office 2010 (MS) compatible or later versions. b. FACTOR 2 - STAFFING

1) IDIQ Labor Categories (subfactor 1). Using Attachment 6 – Factor 2 Staffing Matrix provide the information requested. The winning offeror’s labor categories and labor rates will be incorporated into the contract and will be used for all subsequent Task Orders.

· Propose as many labor categories, including corresponding minimum qualifications and wages as determined necessary to meet all potential tasks called for under this contract;

· All labor categories proposed shall fully describe key responsibilities to be performed and reference specific PWS requirements.

· Propose and approach to attract, recruit, retain, and/or replace personnel with requisite security clearances within 60 days of vacancy, so as to comply with the Section H Clause – Staffing Requirements.

2) Task Order (TO) One Staffing Plan (subfactor 2). Provide the proposed workforce composition, showing labor category and associated number of hours, to meet or exceed all TO PWS requirements for the base period and all option years for Task Order One.

Using the Staffing Matrix format provided Attachment 6 – Factor 2 Staffing Matrix, include labor category descriptions, education, professional qualifications, licenses, training, certifications and security clearances necessary to meet or exceed PWS requirements IAW Task Order One PWS paragraphs 5.3 through 14.0. Include whether the position is under the prime or sub-contractor. Offeror format is acceptable as long as it includes all information requested in the Staffing Matrix and meets Section L formatting criteria.

c. FACTOR 3 – PHASE-IN PLAN (acceptable/unacceptable). Provide an approach for a seamless phase-in, to ensure all personnel are able to begin and perform all PWS requirements on day-one of contract performance. Include:

1) The process for on-boarding cleared personnel

2) The process for hiring incumbent and non-incumbent personnel and issuance of CACs

3) The process for ensuring all contract requirements, including ongoing Task Orders, continue seamlessly during the transition from the out-going contractor to the incoming contractor.

d. FACTOR 4 – SMALL BUSINESS PARTICIPATION COMMITMENT (Acceptable/Unacceptable).

1) The Small Business Commitment Document is required from all Offerors, including small businesses and companies with Master, Individual, commercial subcontracting plans and/or comprehensive subcontracting plans. The Offeror/joint venture member and each proposed critical subcontractor shall include only the first tier of subcontractors for this effort. Offerors are advised that the Small Business Commitment Document is not the same as the Small Business Subcontracting Plan required by FAR 52.219-9. Large business Offerors shall not utilize the Small Business Subcontracting Plan in the place of the Small Business Commitment Document.

2) The two areas that will be evaluated under Small Business Commitment are a Minimum

Quantitative Requirement (MQR) of 25% for small business participation and a defined commitment to small business as evidenced by signed teaming agreements. The Offeror shall submit a “Small Business Participation Commitment Document” which specifies the Offeror’s level of commitment to small business utilization in performance of this requirement. The Small Business Participation Commitment Document will be incorporated into the apparent successful Offeror’s Small Business Subcontracting Plan prior to award.

3) Small Business Commitment will be evaluated on an “Acceptable or Unacceptable” basis as described in Section M, paragraph I.D.1. An Offeror’s proposal must receive an “Acceptable” rating in order to be eligible for award.

4) If your company is registered as a small business under NAICS 54175 in the System for

Award Management (SAM), a Small Business Participation Commitment Document is not required and your company will be given a rating of “Acceptable”. All other Offerors who are not registered as a small business under NAICS 54175 in SAM must address the following two areas in the Small Business Participation Commitment Document:

a) A minimum quantitative requirement (MQR) of 25 percent of total Task Order

One contract cost for small business concern participation is required. The MQR metric will be measured using total Task Order One cost.

(Total contract cost is defined as the cumulative total cost of all the exercised options. For example, in the base period, before option year 1 is exercised, 25 percent of the total contract cost is 25 percent of the cost of the base period.

Once option year 1 is exercised, 25 percent of the total contract cost is 25 percent of the total cost of the base period plus option year 1, and so on.)

b) Signed teaming agreements in which each small business concern utilized as a teaming partner or subcontractor is specifically identified and formally committed to by name. Signed teaming agreements may be submitted in a format determined by the contractor. At a minimum, the teaming agreement will address the name of subcontractors to be utilized, type of small business, types of services and percentage of contracted support the small business will provide. The Government will evaluate the teaming agreement based on the extent of commitment to use the teaming partner as well as the level of enforceability. The purpose of signed teaming agreements is to ensure the prime contractor follows through with utilizing the small businesses they propose to use on this acquisition. Failure to comply with this requirement in a submitted proposal may result in a determination of unresponsiveness and may render the Offeror ineligible for award.

e. FACTOR 5 – PRICE AND CONTRACT DOCUMENTS. The purpose of this Factor is to provide information to the Government to determine if the price is fair and reasonable and for preparing the contract document and supporting file. The offeror’s proposal shall include a signed copy of the Model Contract, and Sections A through K, completed as required.

1) Price Information. The Contracting Officer (CO) has determined IAW FAR 15.403-1, there is a high probability of adequate price competition for this acquisition. Upon examination of the initial offers, the CO will review this determination and if, in the CO’s opinion, reasonable price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. If at any time during this acquisition the CO determines that reasonable price competition no longer exists, offerors may be required to submit information necessary for the CO to determine the price fair and reasonable in accordance with FAR 15.403-5.

a) Insert proposed unit and extended prices in Attachment 7 – FPIF CLIN Structure

Spreadsheet, including all option periods. When extending the Fixed Price CLINs, use twelve months of service as the quantity for each option year CLIN; exceptions being the phase-in CLINs (quantity of 45 days), the base period CLINs (quantity of seven months).

Offerors must propose on every contract line item, even if it is $0.00, in order to be considered for award. Phase-in CLINs will not be included in the total evaluated price.

b) The Government has established contract estimates for the Cost Reimbursable CLINs, under Section B. These numbers should not be adjusted by the offeror. If offerors have any other costs for these items, they should be captured in the fixed price CLINs.

c) All dollar amounts for all CLINs/subCLINs should be proposed in whole dollar amounts.

2) Professional Employee Compensation Evaluation. In accordance with FAR 52.222-46, the offeror shall submit a Professional Employee Compensation Plan setting forth salaries and fringe benefit package proposed for the proposed professional employees. The Professional Employee Compensation Plan submitted in the proposal will not become part of the awarded contract. The plan submitted shall set forth salaries and fringe benefits proposed for professional employees as prescribed in the instructions below. All three of the following elements must be submitted:

a) Total Professional Compensation Plan. The Offeror shall provide the planned compensation for all professional employee labor categories proposed to perform the effort. Describe the job skills and qualification requirements associated with each identified labor category. Identify the Standard Occupational Classification (SOC) code for each labor category using the Bureau of Labor Statistics SOC system (http://www.bls.gov/soc/). Provide the corresponding salary and quantified fringe benefits for each labor category and skill level. The fringe benefit data shall also include a description of the benefits offered, and to which professional employee category(ies) the fringe benefits would apply.

b) Supporting Information. Provide data, such as recognized national and regional compensation surveys and studies of professional, public and private organizations, (e.g., Watson & Wyatt, Economic Research Institute, Bureau of Labor Statistics, etc.)

used in establishing the total compensation structure. Identify the sources with the provided summary of surveys and studies. If not using one of the sources listed above, explain the credibility of the sources providing the surveys and studies.

c) Utilizing Attachment 8 – Professional Employee Compensation Plan Form, completely fill in the compensation for all professional employee labor categories proposed to perform the effort.

3) Contract Documents. As part of the proposal submission, include the following:

1) Section A - Completed Standard Form 33 (Solicitation, Offer, and Award).

Completed form signed by the offeror constitutes an offer, which the Government may accept. The “original” copy should be clearly marked under separate cover and should be provided without any punched holes.

2) Completed Section K, Offeror’s Representations (Prime). Complete the FAR representations and certifications in the System for Award Management (SAM) website at http://www.sam.gov. However, if any FAR or DFARS representations and certifications required are not included in SAM, submit the completed representation or certification as part of this chapter. Additionally, include any FAR, DFARS, or AFFARS clause requiring fill-in information, as well as any other acknowledgments required.

3) Cognizant DCAA/DCMA Office. Identify your cognizant DCAA and DCMA office, including point of contact, address and telephone number. Provide a description of your estimating, accounting, pricing, and property management system (as applicable) and state whether it has been reviewed and approved by your ACO. If you currently have contracts covered by Cost Accounting Standards (CAS), submit the status of your CAS Disclosure Statement and a copy of the Statement. If you are CAS-exempt, provide the reason for the exemption.

4) Acknowledgement of all amendments. Each offeror must sign and return one copy of the Standard Form (SF33) 30 by the date specified on the form.

5) Assumptions. Clearly state all assumptions made, including in the technical approach and price. If there are no assumptions made, state so clearly.

6) Exceptions to Terms and Conditions. Clearly state any exceptions to the terms and conditions of the RFP. If there are no exceptions to the terms and conditions, state so clearly.

7) Statement of the period for which the proposal is valid. Ensure period is specified in Block 12, Section A of the solicitation (SF33), in accordance with paragraph L-5.B.1.f.

8) Authorized Offeror Personnel. Provide the name, title and telephone number of the company/division point of contact regarding source selection decisions made with respect to your proposal and who can obligate your company contractually.

Also, identify those individuals authorized to negotiate with the government.

9) Company/Division Street Address. Provide company/division's street address, county and facility code, and size of business (large or small).

10) Continuance of Performance/Mission Essential Services. Submit all information required by DFARS clause 252.237-7024 “Notice of Continuation of Essential

Contractor Services (Oct 2010)”, contained in Attachment 1 – Section L Instructions, Conditions, & Notices to Offerors.

11) Organizational Conflict of Interest. Submit all information required by AFFARS clause 5352.209-9000 Alt 1 #4 “Potential for Organizational Conflict of Interest (Oct 2010)”, contained in Attachment 2 – Section M Evaluation Factors for Award.
