Intellectual Property Rights Attachment - County of San Mateo

This is an Intellectual Property Rights attachment issued by the County of San Mateo Contract Compliance Committee on July 1, 2013, applicable to the Automated Dispensing Cabinets procurement for San Mateo Medical Center. The attachment establishes comprehensive intellectual property ownership provisions governing all work products created by the contractor and its subcontractors under the contract. Work products are broadly defined to include publications, reports, manuals, specifications, drawings, computer programs, software, databases, schematics, logos, graphic designs, and all forms of intellectual property created pursuant to the agreement. The County retains exclusive ownership of all titles, rights, and interests in these work products, and the contractor is prohibited from selling, transferring, or permitting use of any work products without express written consent from the County. The initial contract term is five years with performance commencing after full execution by all parties.

The attachment designates all copyrightable work products as works made for hire with copyright vesting exclusively in the County. The contractor must assign all titles, rights, interests, and copyrights in work products to the County and is obligated to obtain similar assignments from all subcontractors and personnel performing work under the agreement. The contractor is required to cooperate in perfecting the County's ownership rights, including prompt execution of assignment documents, with no additional charges to the County beyond the contracted price. The County will bear all filing fees associated with assignments, transfers, recording, and applications. Contractors must incorporate these intellectual property provisions into all subcontracts prior to commencement of work to ensure the County's rights and interests in work products are preserved and protected as specified.
