About this file
This is a Justification and Approval (J&A) document for an Other Than Full and Open Competition (OFOC) acquisition by the Department of Veterans Affairs.
The VA's Network Contracting Office 16, Gulf Coast Veterans Health Care System (GCVHCS) in Biloxi, Mississippi, seeks to procure Omnicell Medication Dispensing Cabinet (MDC) maintenance and software support services under FAR Part 12 for the Biloxi campus and supported Community Based Outpatient Clinics. The acquisition is justified as a brand-name only solicitation under FAR 6.302-1(c) based on the sole source authority that only one responsible source—Omnicell, Inc., the original equipment manufacturer—can satisfy the agency's needs. The MDCs enable safe, compliant medication dispensing and reduce medication errors; continued operation requires OEM maintenance, software updates, security patches, corrective and preventive maintenance, parts, labor, and technical support in accordance with OEM guidelines. The estimated period of performance consists of a base year (12 months) plus four optional 12-month option years, with total estimated contract value redacted for public notice posting. The VA's market research, including a Sources Sought Notice posted to SAM.gov, confirmed that no authorized non-OEM maintenance providers exist for Omnicell MDCs and that the manufacturer does not authorize third-party maintenance. Omnicell's proprietary interfaces, license terms, cybersecurity controls, and warranty conditions require OEM technicians; use of non-OEM technicians would invalidate warranties and compromise system integrity. The Contracting Officer will determine price reasonableness using historical VA awards, current OEM commercial price lists, independent government estimates, and available competitive quotes among OEM sources. The J&A has been certified by the Contracting Officer and approved by one level above, with all required certifications completed as of September 11, 2026.

DEPARTMENT OF VETERANS AFFAIRS
Justification and Approval (J&A) For
Other Than Full and Open Competition (>SAT)
Acquisition Plan Action ID: 36C25627AP0610
1. Contracting Activity: Department of Veterans Affairs, Network Contracting Office
(NCO) 16, Gulf Coast Veterans Health Care System (GCVHCS), Biomedical Engineering Service, Biloxi, MS 39531. 2237 #: 520-27-1-076-0023.
2. Nature and/or Description of the Action Being Approved: The VA intends to issue a brand-name only, open-market solicitation under FAR Part 12 for Omnicell Medication Dispensing Cabinet (MDC) maintenance and software support at the Biloxi, MS campus, including supported Community Based Outpatient Clinics (CBOCs). Although the acquisition will be competed in the open market, the brand-name requirement restricts competition to vendors capable of providing Omnicell OEM services; therefore, an OFOC J&A under FAR 6.302-1(c) is required and justified. The estimated period of performance for this acquisition is a base year (12 months) and four (4) 12-month option years. The total estimated value is $X,XXX,XXX.XX. **Redacted for public notice posting.
3. Description of Supplies/Services Required to Meet the Agency’s Needs:
The MDCs enable safe, compliant medication dispensing and reduce medication errors through controlled access, tracking, and integration with existing VA systems.
Continued use of the system requires OEM maintenance, software updates, security patches, recall remediation, corrective and preventive maintenance, parts, labor, and technical support to maintain full functionality in accordance with OEM guidelines.
4. Statutory Authority Permitting Other than Full and Open Competition:
41 U.S.C. 3304(a)(1), implemented by FAR 6.302-1, ‘Only one responsible source and no other supplies or services will satisfy agency requirements,’ specifically paragraph 6.302-1(c) for brand-name requirements. The brand-name need is further supported by FAR 11.105, Items peculiar to one manufacturer. The brand-name justification will be posted with the solicitation in accordance with FAR 6.305(c).
(X) (1) Only One Responsible Source and No Other Supplies or Services Will
Satisfy Agency Requirements per 41 USC §3304(a)(1) as implemented by
RFO 6.103-1;
( ) (2) Unusual and Compelling Urgency per 41 USC §3304(a)(2) as implemented by RFO 6.103-2;
( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services per 41 USC §3304(a)(3) as implemented by RFO 6.103-3;

( ) (5) Authorized or Required by Statute per 41 USC §3304(a)(5) as implemented by RFO 6.103-5;
( ) (6) National Security per 41 USC §3304(a)(6) as implemented by RFO 6.103-6;

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority): Omnicell, Inc. is the Original Equipment Manufacturer (OEM) of the MDCs and associated software platform. The OEM does not authorize third-party maintenance providers or software resellers/integrators. Proprietary interfaces, license terms, cybersecurity controls, and warranty conditions require OEM technicians to perform maintenance and software support; use of non-OEM technicians invalidates warranties and may compromise system integrity. The Government obtained and reviewed OEM exclusivity correspondence from Omnicell confirming these constraints. Based on these facts, only Omnicell can meet the Government’s minimum needs without unacceptable risk, duplication of cost, or delay.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as possible (including whether a notice was or will be publicized as required by RFO Part 5 and, if not, which exception under RFO Part 5 applies): A Sources Sought Notice (36C25626Q1255) was posted to SAM.gov seeking businesses capable of providing Omnicell MDC maintenance and software support; no responses were received. The VA will issue a brand-name solicitation and will post this brand-name justification with the solicitation on the Governmentwide Point of Entry (SAM.gov) to ensure transparency. All eligible brand-name sources capable of providing Omnicell OEM service (including Omnicell and any OEM-authorized channels) will be invited to submit offers.
7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable: The Contracting Officer will determine price reasonableness by comparing proposed pricing to (a) historical VA awards for Omnicell OEM service plans; (b) current OEM commercial price lists/catalogs; and (c) independent Government estimates and any available competitive quotes among OEM sources.
If warranted, additional price analysis techniques under FAR 15.404-1(b) will be used to establish fair and reasonable pricing.
8. Description of the Market Research Conducted and the Results, or a
Statement of the Reasons Market Research Was Not Conducted: Market research included: (1) review of SAM.gov Contract Opportunities and FPDS award history for Omnicell maintenance; (2) searches of GSA eLibrary and industry catalogs; (3) inquiries to VA facilities currently operating Omnicell MDCs regarding authorized maintenance; and (4) direct confirmation with Omnicell regarding any authorized third parties. These steps found no authorized non-OEM maintenance providers for Omnicell MDCs and confirmed OEM exclusivity for software and maintenance services.
