About this file

This is a Commonwealth Terms and Conditions form jointly issued by the Executive Office for Administration and Finance (ANF), the Office of the Comptroller (CTR), and the Operational Services Division (OSD) for use by all Commonwealth of Massachusetts departments and contractors. The document establishes standardized contractual terms and conditions that are incorporated by reference into all Standard Contract Forms executed with the State. The contract effective start date is defined as the later of the date executed by authorized signatories of both the contractor and department, the date specified in the contract, or the date of any required approvals by law or regulation. The contract shall terminate on the date specified unless properly amended prior to that date or unless terminated or suspended due to contractor breach, elimination of appropriation, or unforeseen public emergency. Contractors are entitled to assignment of claims for money due in accordance with M.G.L. c. 106, § 9-318, provided sufficient notice and supporting documentation are submitted to the Department.

Contractors shall be compensated only for performance delivered and accepted by the Department, with all payments subject to appropriation pursuant to M.G.L. c. 29, § 26, or availability of non-appropriated funds, and subject to intercept under M.G.L. c. 7A, §§ 3 and 815 CMR 9.00. Payment shall be made using the Comptroller's payment system unless a different mechanism is required, with invoices and supporting documentation submitted as prescribed and reviewed within fifteen days of receipt. Any payment periods of less than forty-five days are effective only for early payment incentives and do not subject payments within the forty-five-day period to penalties. The contractor bears the risk of loss for all materials and deliverables until possession and full legal title are transferred to and accepted by the Department. All actions arising from the contract shall be governed by Massachusetts law and brought in Massachusetts state or federal court with exclusive jurisdiction. The contractor must comply with affirmative action and non-discrimination laws, maintain records for a minimum of six years following final payment, maintain confidentiality of personal and departmental data, and indemnify the State against all claims arising from contractor performance or negligence.
