About this file

This document is an attachment outlining the procedural requirements for small business joint ventures in federal contracting.

Joint venture agreements must comply with FAR Part 19 regulations and include a fully executed agreement signed by both parties. Proposers must submit detailed information addressing seven key areas: (1) the financial and ownership relationship between parties, including capital contributions and profit/loss sharing; (2) management structure identifying who will conduct, direct, and supervise project work and control joint venture assets; (3) decision-making authority and structural organization of the venture; (4) identification of Key Personnel authorized to bind the joint venture to subcontracts and provide labor and materials; (5) identification of personnel managing bank accounts, maintaining financial records, and handling tax obligations; (6) identification of personnel providing facilities such as office supplies and telecommunications; and (7) identification of overall joint venture management. The document specifies that this information may be omitted if explicitly detailed in the joint venture agreement itself. Eligibility for contract award depends on compliance with FAR Part 19 requirements applicable to the specific small business type. Additionally, the proposal must identify whether Key Personnel are employees of individual joint venture parties or hired directly by the joint venture entity.
