About this file
This is a Scope of Services document for a Request for Proposals issued by the Town of Royalston, Massachusetts, seeking qualified renewable energy developers to design, finance, construct, operate, and decommission a Solar Generating Facility (SGF) at the Royalston Landfill. The Town is soliciting proposals for 1-6 MW AC solar facilities to be installed on available open space at the landfill site, with potential for additional land clearing and site preparation if necessary. The selected developer will be responsible for all project-related costs including site preparation, equipment procurement, installation, interconnection, insurance, operation, and maintenance over a lease period not to exceed thirty (30) years. Proposers must submit conceptual site plans depicting the proposed SGF layout, existing landfill limits, interconnection routes, wetlands and buffer zones, forested areas proposed for clearing, Battery Energy Storage Facilities if applicable, and calculations of total acres disturbed and permanently converted. The RFP establishes development milestones with deadlines to be determined for site control agreement execution, utility interconnection applications, permit submissions, financing, construction commencement, and commercial operation.
Proposers must demonstrate substantial experience and financial capacity, including documentation of company history, ownership structure, descriptions of at least three utility-scale solar projects currently operating in New England, at least one solar project on a landfill or brownfield site, project references, and evidence of financial capability. The developer assumes sole responsibility for all permitting costs and interconnection risks, including utility feasibility studies, system impact studies, and any required distribution, transmission, or substation upgrades. The Town retains ownership of all merchantable timber within the project area and receives one hundred percent of net stumpage value. Prior to construction, the developer must provide decommissioning financial security in the form of an irrevocable letter of credit, surety bond, or other approved instrument sufficient to cover complete project removal and site restoration, with this amount reviewed and updated every five years. The developer must obtain Commercial General Liability insurance of not less than $5,000,000 per occurrence, Automobile Liability coverage of not less than $1,000,000, and Workers Compensation coverage, naming the Town as an additional insured.

The Proposer shall identify all proposed lease payments, energy savings, revenue, taxes, or other compensation.
Conceptual Site Layout Requirements
Each Proposer shall include in their proposal a conceptual site plan depicting: proposed SGF layout;
existing landfill limits; transfer station facilities; proposed access roads; interconnection route; existing wetlands and buffer zones; existing forested area; areas proposed for clearing; Battery Energy Storage Facilities (BESS), if proposed; proposed fencing and screening; total acres disturbed; and total acres permanently converted.
The Town of Royalston reserves the right to negotiate the final project footprint and limits of disturbance.
Developer Qualifications
The Proposer shall demonstrate its experience, financial capacity, and ability to successfully develop, finance, construct, own, operate, and decommission an SGF. The proposal at a minimum shall include:
Company history and ownership structure Description of at least three (3) utility-scale solar projects currently operating in New England Description of at least one (1) solar project located on a landfill, brownfield, or previously disturbed area Names and contact information for project references Disclosure of any bankruptcy filings, defaults, litigation, regulatory violations, or enforcement actions occurring within the last ten (10) years Evidence of financial capability to complete the proposed project
Identification of any parent company, guarantor, or affiliated entity expected to support project financing or ownership

All merchantable timber located within areas proposed for project development shall remain the property of the Town unless otherwise approved in writing by the Town. No clearing shall occur outside approved project limits.
Prior to commencement of any clearing activities, the selected Developer shall obtain an independent timber appraisal prepared by a Massachusetts Licensed Forester or other qualified forestry professional acceptable to the Town. The appraisal shall estimate merchantable timber volumes, species composition, stumpage value, harvesting costs, and anticipated net value. The Developer shall provide the appraisal to the Town for review before clearing begins.
Unless otherwise approved by the Town, the Town shall receive one hundred percent (100%) of the net stumpage value of merchantable timber removed from the project area. The Town reserves the right to independently market, harvest, remove, or otherwise dispose of timber resources prior to project construction. The Developer shall coordinate its construction schedule with any Town-directed timber disposition process.
The Developer shall be responsible for all costs, labor, equipment, access, erosion control, restoration, and permitting associated with clearing, grubbing, stump removal, grading, and site stabilization.
