Summary of RFA for Regional Educator Networks Sponsoring Organization

This is a Grant Agreement document issued by the State of Oregon Department of Education seeking Sponsoring Organizations to serve as Regional Educator Networks (RENs) for two regions: the Willamette Valley and the South Coast. The Sponsoring Organizations will facilitate regional coordination and support for educator professional learning and advancement during the performance period of July 1, 2026 through June 30, 2027. Key responsibilities include recruiting and maintaining a Coordinating Body membership that meets statutory requirements under ORS 342.943, convening Member Organizations to identify regional needs, developing and submitting a four-year Regional Plan by April 1, 2029, providing technical assistance to Member Organizations, managing quarterly and annual reporting requirements, and serving as Fiscal Agent for the distribution of grant funds. The Grantee must maintain a publicly available website documenting Coordinating Body membership, selection processes, and meeting minutes, attend quarterly check-in meetings with Agency staff, and participate in required Agency training and statewide REN convenings.

The grant provides funding through the Educator Advancement Fund, split between Capacity Funds for Sponsoring Organization operational costs (limited to 2.5 FTE staff positions including REN Supervisor, Coordinator, Data Coordinator, and Administrative Support) and Formula Funds for Professional Learning Plan implementation. Capacity Funds cover allowable organizational expenses including staff salaries, travel, equipment, office supplies, contracted services, and Coordinating Body meeting costs, with indirect costs capped at 10 percent. Formula Funds support educator professional learning implementation, stipends for educators performing work that produces deliverables, software and hardware directly related to approved plans, food for qualifying events (minimum three hours), and educator travel for professional learning activities. The grant explicitly prohibits use of funds for student services, gift cards, out-of-state travel with Capacity Funds, or pre-payment for services outside the grant period. Insurance requirements include Workers' Compensation, Commercial General Liability ($1,000,000 per occurrence/$2,000,000 aggregate), Automobile Liability ($1,000,000 combined single limit), Professional Liability ($2,000,000 per claim/$4,000,000 aggregate), Directors and Officers Liability ($1,000,000), Employee Dishonesty/Fidelity Bond, and Physical Abuse and Molestation Insurance, with the State named as Additional Insured on applicable policies.

ODE Grant v2, updated 3/11/2025 – Att A REN RFA Page 1 of 28

STATE OF OREGON

GRANT AGREEMENT

Grant No. [XXXXX] This Grant Agreement (“Grant”) is between the State of Oregon acting by and through its Department of Education (“Agency”) and [Grantee Name] (“Grantee” or “Sponsoring Organization”), each a “Party” and, together, the “Parties”.

AUTHORITY

Pursuant to ORS 342.940 to ORS 342.953, Agency is authorized to enter into a grant agreement and provide funding for the purposes described in this Grant.

PURPOSE

The Agency-supported Educator Advancement Council (“EAC”) understands every Educator needs support at multiple points along their career path to meet the needs and strengths of every student they serve. For that reason, ORS 342.940 established the EAC to coordinate investments through a transparent and accountable governance model ensuring statewide access to resources based on input from local Educators defining their needs and strengths within their local context.

The Educator Advancement Council (EAC) launched Oregon’s Regional Educator Networks (RENs) in 2019 to create a statewide strategy, of support for Educators. Through this initiative, the EAC designates Sponsoring Organizations, such as the Grantee, to partner with local school districts and elevate Educator voice in identifying regional needs and directing state investments. This structure ensures that resources flow to strategies shaped by those closest to students and grounded in local context.

The RENs collectively advance five statewide goals outlined in ORS 342.943 which aims to expand equitable access to high‑quality that is culturally responsive , strengthen collaborative leadership across the education ecosystem, enhances evidence‑based practices that improve student outcomes, improves recruitment, preparation, and ongoing support for educators across the career continuum, and increases teacher leadership and influence in setting priorities for professional learning and educator supports. Together, these goals form the foundation for a coherent, statewide approach to developing and sustaining a strong, diverse, and well‑supported.

Educator workforce.

7.1.2 Grantee must provide to Agency any information or detail regarding the expenditure of Grant Funds required under Exhibit A prior to disbursement or as Agency may request.

7.1.3 Agency will only disburse Grant Funds to Grantee for activities completed or materials produced, that, if required by Exhibit A, are approved by Agency. If Agency determines any completed Project activities or materials produced are not acceptable and any deficiencies are the responsibility of Grantee, Agency will prepare a detailed written description of the deficiencies within 15 days of receipt of the materials or performance of the activity, and will deliver such notice to Grantee. Grantee must correct any deficiencies at no additional cost to Agency within 15 days. Grantee may resubmit a request for disbursement that includes evidence satisfactory to Agency demonstrating deficiencies were corrected.

Grantee retains ownership of all Work Product, and grants Agency an irrevocable, non-exclusive, ODE Grant v2, updated 3/11/2025 – Att A REN RFA Page 5 of 28 perpetual, royalty-free license to use, to reproduce, to prepare derivative works based upon, to distribute, to perform and to display the Work Product, to authorize others to do the same on Agency’s behalf, and to sublicense the Work Product to other entities without restriction.

9.3 Third Party Ownership. If the Work Product created by Grantee under this Grant is a derivative work based on Third Party Intellectual Property, or is a compilation that includes Third Party Intellectual Property, Grantee must secure an irrevocable, non-exclusive, perpetual, royalty-free license allowing Agency and other entities the same rights listed above for the pre-existing element of the Third party Intellectual Property employed in the Work Product. If state or federal law requires that Agency or Grantee grant to the United States a license to any intellectual property in the Work Product, or if state or federal law requires Agency or the United States to own the intellectual property in the Work Product, then Grantee must execute such further documents and instruments as Agency may reasonably request in order to make any such grant or to assign ownership in such intellectual property to the United States or Agency.

CONFIDENTIAL INFORMATION

10.1 Confidential Information Definition. Grantee acknowledges it and its employees or agents may, in the course of performing its responsibilities, be exposed to or acquire information that is: (i) confidential to Agency or Project participants or (ii) the disclosure of which is restricted under federal or state law, including without limitation: (a) personal information, as that term is used in ORS 646A.602(12), (b) social security numbers, and (c) information protected by the federal Family Educational Rights and Privacy Act under 20 USC § 1232g (items (i) and (ii) separately and collectively “Confidential Information”).

10.2 Nondisclosure. Grantee agrees to hold Confidential Information as required by any applicable law and in all cases in strict confidence, using at least the same degree of care Grantee uses in maintaining the confidentiality of its own confidential information. Grantee may not copy, reproduce, sell, assign, license, market, transfer or otherwise dispose of, give, or disclose Confidential Information to third parties, or use Confidential Information except as is allowed by law and for the Project activities and Grantee must advise each of its employees and agents of these restrictions. Grantee must assist Agency in identifying and preventing any unauthorized use or disclosure of Confidential Information.

Grantee must advise Agency immediately if Grantee learns or has reason to believe any Confidential Information has been, or may be, used or disclosed in violation of the restrictions in this Section.

Grantee must, at its expense, cooperate with Agency in seeking injunctive or other equitable relief, in the name of Agency or Grantee, to stop or prevent any use or disclosure of Confidential Information.

At Agency’s request, Grantee must return or destroy any Confidential Information. If Agency requests Grantee to destroy any Confidential Information, Grantee must provide Agency with written assurance indicating how, when and what information was destroyed.

For the avoidance of doubt, if Agency determines notice is required of any such Breach to any individual(s) or entity(ies), Agency will have sole control over the timing, content, and method of such notice, subject to Grantee’s obligations under applicable law.

10.4 Subgrants/Contracts. Grantee must require any subgrantees, contractors or subcontractors under this Grant who are exposed to or acquire Confidential Information to treat and maintain such information in the same manner as is required of Grantee under subsections 10.1 and 10.2 of this Section.

10.5 Background Check. If requested by Agency and permitted by law, Grantee’s employees, agents, contractors, subcontractors, and volunteers that perform Project activities must agree to submit to a criminal background check prior to performance of any Project activities or receipt of Confidential Information. Background checks will be performed at Grantee’s expense. Based on the results of the background check, Grantee or Agency may refuse or limit (i) the participation of any Grantee employee, agent, contractor, subgrantee, or volunteer, in Project activities or (ii) access to Agency Personal Information or Grantee premises.

INDEMNITY/LIABILITY

If legal limitations apply to the indemnification ability of Grantee, this indemnification must be for the maximum amount of funds available for expenditure, including any available contingency funds, insurance, funds available under ORS 30.260 to 30.300 or other available non-appropriated funds.

11.2 Defense. Grantee may have control of the defense and settlement of any Claim subject to this Section.

But neither Grantee nor any attorney engaged by Grantee may defend the Claim in the name of the State of Oregon, nor purport to act as legal representative of the State of Oregon or any of its agencies, without first receiving from the Attorney General, in a form and manner determined appropriate by the Attorney General, authority to act as legal counsel for the State of Oregon. Nor may Grantee settle any Claim on behalf of the State of Oregon without the approval of the Attorney General. The State of Oregon may, at its election and expense, assume its own defense and settlement in the event the State of Oregon determines Grantee is prohibited from defending the State of Oregon, or is not adequately defending the State of Oregon’s interests, or an important governmental principle is at issue and the State of Oregon desires to assume its own defense. Grantee may not use any Grant Funds to reimburse itself for the defense of or settlement of any Claim.

ODE Grant v2, updated 3/11/2025 – Att A REN RFA Page 7 of 28

11.3 Limitation. Except as provided in this Section, neither Party will be liable for incidental, consequential, or other indirect damages arising out of or related to this Grant, regardless of whether the damages or other liability is based in contract, tort (including negligence), strict liability, product liability or otherwise. Neither Party will be liable for any damages of any sort arising solely from the termination of this Grant in accordance with its terms.

INSURANCE

12.1 Private Insurance. If Grantee is a private entity, or if any contractors, subcontractors, or subgrantees used to carry out the Project are private entities, Grantee and any private contractors, subcontractors or subgrantees must obtain and maintain insurance covering Agency in the types and amounts indicated in Exhibit B.

In no event may this Section be construed as a waiver by the State of Oregon of any form of defense or immunity, whether sovereign immunity, governmental immunity, immunity based on the eleventh amendment to the Constitution of the United States or otherwise, to or from any Claim or from the jurisdiction of any court. EXHIBIT A

THE PROJECT

SECTION I. BACKGROUND AND GOALS

The Agency-supported Educator Advancement Council understands every Educator needs support at multiple points along their career path to meet the needs and strengths of every student they serve.

For that reason, ORS 342.940 established the EAC to coordinate investments through a transparent and accountable governance model ensuring statewide access to resources based on input from local Educators defining their needs and strengths within their local context.

The EAC established statewide Regional Educator Networks in 2019 and selected entities, including Grantee, to serve as Sponsoring Organizations for each REN. The Sponsoring Organizations help local school districts engage Educators in their community to identify local needs and help the EAC leverage and distribute state dollars to support Educators in serving their students. Through the RENs, Educators across all areas of the state have access to services and support that accomplish five statewide goals as articulated in ORS 342.943:

• Provide open access to high-quality professional learning that is culturally responsive, supportive for educators in this state that reflects teacher voice, local contexts, and stages of an educator’s career, maximizes collaborative leadership among teachers and administrators and reflects professional learning standards.

• Enhance a culture of leadership and collaborative responsibility that elevates and advances the teaching profession among professionals employed by early learning services, schools serving students in kindergarten through grade 12, education service districts, educator preparation providers, nonprofit organizations, professional associations, and community-based organizations.

• Strengthen and enhance existing evidence-based practices that improve student achievement and that reflect changing student needs and demographics.

• Improve the recruitment, preparation, induction, and support of educators at each stage of the educators’ careers.

• Enhance leadership and career advancement opportunities for teachers and increase the perspectives of teachers in identifying priorities for funding educator professional learning and educator supports.

Using a set of indicators, the Agency through the EAC will monitor Sponsoring Organization compliance of OAR 581-012-0001-0019 and the Regional Educator Network Request for Application.

The Grantee, as the REN Sponsoring Organization, must:

• Comply with all requirements of ORS 342.943;,

• Comply with all requirements of OAR 581-012-0001-0019

Grantee serves as the REN Sponsoring Organization and Fiscal Agent for the X Regional Educator Network (“Region”), constituting school districts and education service districts serving X counties.
