About this file
This is a Non-Disclosure Agreement (NDA) template executed between the U.S. General Services Administration (GSA) Assisted Acquisition Services (AAS) and prospective offerors. The agreement pertains to a U.S. Government Agency requirement for Managed Services involving shipping preparation, receiving, secure storage, and inventory management of medical supplies and pharmaceuticals at a single contractor-provided site designated "Site G."
The NDA restricts prospective offerors from disclosing or disseminating confidential information to unauthorized personnel, including the Agency's identity, the Site G location, and specific Agency requirements. Confidential Information is defined broadly to encompass contractor bid and proposal information, source selection information, trade secrets, proprietary information of other companies, past performance information, actual and proposed costs, overhead rates, profit determinations, contractor employee data, evaluation methods and procedures, assessments, ratings, deliberations, and recommendations or decisions of the Government unless publicly announced. The prospective offeror must require employees and subcontractors to execute separate non-disclosure agreements, maintain copies on file, and furnish them to the Government upon request. The agreement imposes obligations to use confidential information solely for performing the Managed Services at Site G, prohibits making copies of such information, and requires prompt written notification to GSA of any unauthorized misappropriation or disclosure. The prospective offeror must also enter into agreements with other companies to protect their proprietary information and acknowledge statutory restrictions under 41 U.S.C. § 2104 and 18 U.S.C. § 1905, with potential criminal, civil, and administrative penalties for unauthorized disclosure. The agreement incorporates federal whistleblower protection statutes and national security provisions that remain controlling despite the NDA restrictions.
