About this file

This is a Model Supplement to a Standard Contract Form between the Commonwealth of Massachusetts Office for Refugees and Immigrants (ORI) and a selected contractor for the Immigration Legal Services: Legal Help Desk program. ORI seeks to procure one or more contractors to provide limited legal services and a legal help desk for income-qualified immigrants in Massachusetts. The contract will commence upon execution and expire June 30, 2027, with potential extensions through June 30, 2031 in increments determined at ORI's sole discretion, subject to satisfactory performance, continued legislative appropriations, and further authorizations as necessary. The scope of services, reporting requirements, and performance measures will be detailed in the final agreement based on the selected bidder's response to the Request for Responses (RFR), with performance measures attached as Appendix B to the contract.

The total maximum obligation under the contract shall not exceed a specified amount to be determined, with payments made on a cost reimbursement basis monthly following the contract effective date, contingent upon ORI's approval of the submitted line-item budget and the contractor's satisfactory performance as measured against defined performance standards. ORI reserves the right to reduce or recover payments if contractor performance falls below 75 percent of stated performance measure goals and may impose corrective action plans with timelines for improvement. Non-allowable costs include out-of-state travel without prior authorization, capital investments, vehicle purchases, relocation costs, and any expenses not directly related to service provision. The contractor must comply with all Commonwealth data security requirements, conduct CORI background checks for all staff and subcontractors with client contact, maintain confidentiality and security of protected information, designate a custodian of protected information, and immediately notify ORI of any data breaches within five business days of discovery.
