About this file
This is a model contract template between the Board of Directors of Auraria Higher Education Center (AHEC) and contractors for the provision of services and/or goods. The contract establishes the framework for engagement between AHEC and selected contractors, with performance commencing on a specified effective date following approval by the AHEC Chief Financial Officer. The contract term, work completion deadline, and specific deliverables are to be detailed in Exhibit A (Statement of Work), which should include project descriptions, contractor tasks, key personnel identification, measurable outcomes, deliverables and reporting requirements, timeline with milestone events and concrete due dates, and administration and monitoring procedures. The contract includes provisions for a two-month extension at AHEC's discretion if parties are negotiating a replacement contract, as well as options for AHEC to extend the contract term for specified periods at the same rates and terms, with the total contract duration not to exceed a designated number of years.
The maximum amount payable to the contractor is to be specified in the contract and is contingent upon available, appropriated, and unencumbered funds. Payment shall be made within 45 days of invoice receipt for accepted performance, with unpaid contested amounts accruing interest at one percent per month beginning on the 46th day. Contractor compensation beyond AHEC's current fiscal year is contingent upon continuing appropriations of state or federal funds, and AHEC may immediately terminate the contract if funds become unavailable. The contract requires the contractor to maintain comprehensive insurance coverage, including workers' compensation, commercial general liability with minimum limits of $1,000,000 per occurrence, and automobile liability with $1,000,000 combined single limits, with AHEC named as additional insured. The contractor must comply with all Colorado state laws, maintain all required licenses and certifications, preserve confidentiality of state records, avoid conflicts of interest, and maintain detailed records for three years following contract termination or final payment. Any work product, software, reports, and documents created during contract performance become the exclusive property of AHEC.

Additionally, if this Contract is less than 60% completed, AHEC may reimburse Contractor for a portion of actual out-of-pocket expenses (not otherwise reimbursed under this Contract) incurred by Contractor which are directly attributable to the uncompleted portion of Contractor’s obligations hereunder; provided that the sum of any and all reimbursement shall not exceed the maximum amount payable to Contractor hereunder.
