About this file
This document is a Non-Disclosure Agreement (NDA) between Mercer, Inc. and potential offerors for a Pension Benefit Guaranty Corporation (PBGC) fixed income investment services solicitation. The NDA outlines Mercer's role in analyzing proposal information for solicitation #16PBGCXXXXXX, with each Mercer employee required to sign Conflict of Interest and Procurement Integrity Act Certifications prior to reviewing proposals.
The NDA specifically requires Mercer to protect offeror information from unauthorized use or disclosure, restricting information sharing to only the specific Mercer team working with PBGC. By signing the agreement, offerors consent to Mercer reviewing and analyzing their proposal data, including potentially proprietary or confidential information. The executed agreement must be submitted to Neeraj Baxi, CFA, Partner and US Defined Benefit Investments Research Director, before the Contracting Officer will authorize proposal release to Mercer.

Mercer Non-Disclosure Agreement
The Pension Benefit Guaranty Corporation (PBGC) has an investment consulting contract with Mercer, Inc. Under the scope of this contract, Mercer will assist PBGC to analyze proposals received in response to solicitation #16PBGCXXXXXX. This means that Mercer will view information and data from the proposal, some of which the offeror may consider to be proprietary or confidential.
Before beginning this work, each Mercer employee assisting PBGC will sign two agreements with PBGC’s Procurement Department. One is a Conflict of Interest Certification and the second is a Federal Procurement Integrity Act Certification. These agreements include standards of conduct regarding conflicts of interest and safeguarding confidential information. In particular, they prohibit Mercer from revealing, publishing, or otherwise sharing proposal information with anyone outside of the specific Mercer team working with PBGC.
This non-disclosure agreement is an additional agreement between Mercer and offerors under this solicitation in which Mercer promises to protect offeror information from unauthorized use or disclosure and to refrain from using the information for any purpose other than that for which it was furnished.
By signing below, the offeror acknowledges the above and consents to allowing Mercer to review and analyze its proposal information and data, including that which may be marked by the offeror as proprietary or confidential. Upon receipt, Mercer will countersign and provide copies of the fully executed agreement to the offeror and Contracting Officer. Once the Contracting Officer has confirmed this agreement is properly executed, he will authorize release of the proposal to Mercer.
