E.4 ADDENDUM to FAR 52.212-1 INSTRUCTIONS TO OFFERORS—
COMMERCIAL ITEMS
Provisions that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.
The following provisions are incorporated into 52.212-1 as an addendum to this solicitation:
E.4.1 North American Industry Classification System (NAICS) Code and Small Business Size Standard
FAR 51.212-1, Section (a) is deleted in its entirety and replaced with the following:
(1) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear on page 2 of the solicitation introduction letter.
E.4.2 Submission of Quotations
FAR 51.212-1, Section (b) is deleted in its entirety and replaced with the following:
(b) Submission of quotes. Submit signed and dated quotes to the office specified in this solicitation at or before the exact time specified in this solicitation. Quotes may be submitted on letterhead stationery, or as otherwise specified in the solicitation.
E.4.3 Instructions for Submission of Quotations
Quotations shall be divided into two Volumes: Technical Quotation (Volume I) and Price Quotation (Volume II).
The Technical Quotation will address the quoter’s technical capability to be able to perform services and shall describe all services available in accordance with (IAW) the requirements of Attachment 1-OEP Risk Informed Decision-Making Related Services Statement of Work (SOW).
The Price Quotation shall address the Price factor using the schedule and CLINs outlined in SECTION B.1 - PRICE/COST SCHEDULE. No cost or pricing information shall be included in the technical volume. Offerors merely proposing to provide services in accordance with the solicitation document will not be eligible for award. The quotation must address all the requirements of the solicitation.
Quotations shall be divided into two separate Volumes: Technical Quotation (Volume I) and Price Quotation (Volume II) and include the following:

Volume 2:
Price Quotation
I – Pricing Information (base and all options) N/A II – Price Related Exceptions and Assumptions N/A
The Government anticipates awarding a Single Labor Hour (LH) with Cost Reimbursement for Other Direct Costs (ODC’s) type contract resulting from this solicitation. FERC has the option to award contract to one responsible offeror, whose quotation conforms to this solicitation and SOW, provides the best-value solution, and will be most advantageous to the Government, price and other factors considered.
Volume 1: Technical Quotation
Quoters are required to submit a comprehensive and complete technical quotation that demonstrates their capability to meet the requirements described in the Statement of Work (SOW). Quoters shall be responsive to all the requirements of this notice, the SOW, and provide sufficient information to allow review of the technical quotation in accordance with the evaluation criteria. It must be succinct, well written and presented in a clear straightforward manner. The Quote shall address all the requirements of the solicitation.
The Technical Quote Volume shall thoroughly describe in narrative form the Quoter’s proposed methodology and shall demonstrate that the Offeror understands the technical requirements of the solicitation.
Volume 1: shall NOT contain any price information; failure to adhere to this rule may result in the quote being deemed non-responsive.
The technical quotation shall be structured as follows:
I - Cover Letter
The quotation shall include a cover letter that is signed and dated by the quoter and identifies the following information on the cover page:
1. The number of this RFQ;
2. Your company name, point of contact information, address, and telephone number;
3. Unique Entity ID, CAGE, and TIN numbers;
4. Acknowledgement of any amendments to this RFQ; and
5. A statement that you assent to all terms of this RFQ.
II – Understanding of the Need
In the technical proposal, the Quoter shall reflect their knowledge and understanding of the requirements contained in the RFQ. The Quoter shall explain, in their own words, a detailed understanding of the purpose of this RFQ, shall demonstrate how they will achieve the objectives and tasks defined in the SOW are understood and offer a logical approach for their achievement.
III – Technical / Management Approach
This section shall describe the offeror’s technical and management approach to meet the requirements of the solicitation. The narrative must be sufficiently specific, detailed, and complete to clearly and fully describe the offeror’s proposed solution to meet the requirements of the solicitation. Offeror shall provide sufficient detail to demonstrate a clear understanding of the SOW. The Offeror should provide evidence of sufficient planning to show the services will be accomplished as required in the SOW. The Offeror shall provide a comprehensive and complete written technical/management approach. The technical/management approach shall demonstrate the offeror's understanding of the requirement and describe the methodology by which the offeror will successfully accomplish the requirements stated in the SOW.
The technical/management approach shall, at a minimum, include the following:
• Description of the technical/management approach to meet the SOW requirements. The approach shall address the strategy to ensure that qualified and experienced personnel are provided to meet the requirements of the SOW.
• Approach for scheduling and managing workload and resources to ensure that deliverables meet the requirements of the SOW and are completed on schedule. The offeror shall include the approach for rework of any deliverables.
IV- Corporate Capability and Experience
This section shall describe the Offeror’s corporate capability and experience related to the work described in the solicitation. The narrative shall be sufficiently specific, detailed, and complete to demonstrate the techniques clearly and fully and/or procedures the Offeror will employ to meet all the requirements of the SOW. This section is limited to no more than five (5) pages per example and shall not exceed ten (10) total pages. This section shall include but not be limited to:
1. Capability: Description of the Offeror’s corporate capability related to these efforts and the resources (including qualified, experienced personnel) necessary to meet the solicitation requirements and specifically address the Offerors access to said resources necessary to meet the SOW.
2. Experience: Relevant History to a degree to which the Offeror demonstrates relevant history on projects and contracts of similar size and scope to the services sought in this solicitation. Provide three (3) examples of work performed within the last three (3) years that is of equal or greater size, scope, and complexity to the work described in this solicitation.
The Offeror shall Include the following information:
o Customer (Company) name and address o Project name and contract/purchase order number o Description of the work performed and how it is of similar or greater complexity to the work identified in this solicitation o Location where the work was performed o A statement as to whether the work was completed on schedule and to the customer’s technical requirements o Name, phone number, and email of the customer’s point of contact
Note: The government may contact the references to verify the corporate experience and performance.
Note: The government will consider quotes that include only one or two examples of corporate experience;
however, those quotes may receive lower scores for corporate experience.
Note: FERC will favor responses from Offerors that highlight successful past experience that are closely aligned with the parameters of FERC’s requirement. FERC is also interested in understanding the degree to which the Offeror will be able to leverage resources that were utilized in the experiences that were cited (i.e., project plans, lessons learned, individuals involved in past efforts, etc.).
NOTE: Corporate Experience refers to relevant experience/similar work done in the past (which differs from Past Performance).
V- Past Performance
Provide examples of similar services performed that is like the work described in the SOW.
FERC may contact the references or other sources (e.g. PPIRS, SEWP Program Performance, etc.) to obtain past performance. FERC will review and take into account any additional past performance information available in the Contractor Performance Assessment Reporting System (CPARS).
Customer Satisfaction. Level of customer satisfaction with delivering services on projects and contracts of similar size and scope to those sought in this solicitation. Regarding the government’s evaluation of past performance, Quoters should note that in the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available, the Quoter will receive a neutral rating.
VI – Personnel Qualifications and Experience
This section shall include the resumes for the offeror’s proposed key personnel (See SOW, Section 14). Each resume shall describe the individual’s qualifications (i.e. education and training) and experiences (including number of years and type of experience) in sufficient detail to demonstrate that the Offeror will provide the quality of skilled workforce necessary to successfully meet the technical requirements described in the SOW and consistent with the Offeror’s proposed technical approach. The Offeror must thoroughly describe the skills, abilities, and experiences of the proposed personnel. The evaluation of proposed personnel shall be based upon the content, completeness and thoroughness of the data submitted, as well as the relevance of the skills, abilities, and experience of the person as relates to the role they are proposed to perform in meeting the requirements of the solicitation.
The offeror may submit additional resumes or short bios for non-key personnel and inspectors to demonstrate the quality of the offeror’s non-key personnel. There is no limit to the number of additional resumes or bios an offeror may submit.
FERC will favor responses from Offeror that highlight successful past experience that are closely aligned with the parameters of FERC’s requirement. FERC is also interested in understanding the degree to which the Offeror will be able to leverage resources that were utilized in the experiences that were cited (i.e., project plans, lessons learned, individuals involved in past efforts, etc.).
Each resume shall be limited to not more than three (3) pages. There is no limit to the number of resumes an Offeror may submit; however, Offerors shall submit adequate resumes to demonstrate that the Offeror has access to sufficient qualified, experienced personnel consistent with the proposed technical/ management approach. The personnel qualifications and experience section will be evaluated and based on the qualifications and experience of the workforce, not based on any single resume. Each resume shall include the following information:
• General Information (name/title)
• Education – include Degree(s) and technical education/certifications.
• Work Experience by company/project, including outcomes accomplished, start and end dates.
• Accreditations (memberships/professional licenses)
• Summary of Relevant experience to tasks and technical qualifications
The resumes for individuals who are not currently employed by the Offeror shall include a statement that the individual is available for work in the event the Offeror is awarded the task order. The Government will accept a signed Letter of Commitment (LOC) from the individual)
VII- Non-price Related Exceptions and Assumptions
This section shall clearly describe all non-price related exceptions and assumptions the quoter is taking with respect to the solicitation and its requirements. If the quoter is taking no exceptions or assumptions, the quoter shall clearly state that the quoter takes no non-price related exceptions or assumptions to the solicitation.
Note: The Government reserves the right to determine that a quotation is non-responsive and no longer considered for award if the quote includes any exception or assumption that is unacceptable to the government.
VIII – Organizational Conflict of Interest (OCI) Questionnaire
The Offeror and its sub-contractors/teaming partners are to complete and submit with quote a list of all their customers (hydroelectric and non- hydroelectric) for projects located in the United States of the corporate entity for calendar years 2023 and 2024. (See Attachment 2).
IX - Organizational Conflict of Interest (OCI) Representation/Disclosure Statement
The Offeror and its sub-contractors/teaming partners will not submit a comprehensive OCI statement for the RFQ. FERC will task the contractor with specific projects throughout the life of the contract each of which will require a specific OCI form. (See Attachment 3).
X - Critical Energy Infrastructure Information (CEII) Non-Disclosure Agreement (NDA)
The Offeror and its sub-contractors/teaming partners shall complete the Contractors CEII Non-Disclosure Agreement. (See Attachment 4).
XI - FERC Non-Disclosure Agreements (NDA)
The Offeror and its employees must agree not to disclose any privileged, proprietary, or non-public information.
The Offeror shall complete Attachment 5-FERC NDA Contractor Mar 2022 on behalf of the Company and submit with quote. The Offeror shall Attachment 6-FERC NDA Contractors Employees Mar 2022 complete and submit an NDA for all personnel and on behalf of the company prior to commencement of work to protect the proprietary/intellectual property of FERC.
Volume 2: Price Quotation
The quoter shall submit a price quote that is consistent with the solicitation requirements and the quoter’s technical Quotation. The price Quote shall include no technical information. The technical review team will not have access to price Quotes while performing the technical reviews. Volume 2: shall NOT contain any technical information; failure to adhere to these rules will result in the Quote being deemed Non-Responsive.
The price quotation shall be structured as follows:
I - Price Information
The government anticipates awarding a Single Labor Hour (LH) with Cost Reimbursement for Other Direct Costs (ODC’s) type contract resulting from this solicitation. The quoter shall provide firm fixed unit prices and extended dollar amounts for each of the CLINS identified in Section B.1 “Price/Cost Schedule” of the solicitation with pricing for the base and each option period. Additionally, the offeror’s price proposal shall also include a detailed breakout for the base and each option period to include the proposed labor categories and the fully loaded hourly labor rates for the Fixed Price labor categories in the offeror’s proposal for each category. “Fully loaded labor rates” are defined as direct labor hours at specified fixed hourly rates that include wages, overhead, G & A and profit. The offeror’s price proposal shall be mapped to the proposed labor mix. The offeror shall not propose on Other Direct Costs; however, the offeror shall include the cost for in its total price proposal. Quoters may add tabs to provide supplemental information and/or an attachment in their pricing submission that provides additional information or detail about their price quote. The Offeror shall provide the pricing in an electronic Excel spreadsheet file.
Offeror’s pricing must reflect a clear understanding of the requirements, must be reasonable for the supplies to be provided, and must be consistent with the technical quotation.
II – Price Related Exceptions and Assumptions
This section shall clearly describe all price related exceptions or assumptions the quoter is taking with respect to the solicitation and its requirements. If the quoter is taking no exceptions or assumptions, the quoter shall clearly state that the quoter takes no price related exceptions or assumptions to the solicitation.
Note: The Government will accept a separate Word document for the Price Related Exceptions and Assumptions
Note: The Government reserves the right to determine that a quotation is non-responsive and no longer considered for award if the quotation includes any exception or assumption that is unacceptable to the government.
Additional formatting information
The technical quotation shall be submitted on 8 ½" x 11" pages, using no less than ten (10) point character size and no less than an average of 3/4" around each page for margins. Page numbers shall have no less than a 3/8" margin from the page edge. Tables and figures shall use no smaller than ten (10) point character size and must be clear and readable. Offerors are required to adhere to all the page limitations. Information found on pages that exceed any page limitation will not be considered. All pages in excess of the page limits specified in this solicitation will NOT be evaluated. The quotations shall be readable by the software in use by the Government (i.e., Microsoft Office or Adobe Acrobat). Quotations submitted in software formats not readable by the Government may be determined to be non-responsive to the solicitation and removed from consideration for award.

Communications regarding this solicitation with FERC Staff or anyone other than the assigned Acquisition Services Division (ASD) Contracting Officer is strictly prohibited.
Questions Submissions
Questions should be submitted using the attached questions Excel template. (See Attachment 9 – Questions Template). Questions shall not be provided in PDF documents and shall not be part of any table formatting.
Questions shall be consolidated and responded to all at once; therefore, questions shall be easily copied and pasted to be consolidated, and table formatting and PDF files are not conducive to the consolidation process. Questions shall cite the solicitation section, page, and paragraph number.

E.4.4 Quotation Submission
Quoters shall submit signed and dated quotes to the office specified in this solicitation at or before the exact time specified in this solicitation. Quotations shall be submitted in an electronic format (Word, Excel, and PDF) via the email to the Contracting Officer at Ryan.Kirkwood@ferc.gov no later than 2:00 PM Eastern Standard Time (EST) on Monday, January 6, 2025.
Quoters are solely responsible for all costs related to quotation preparation and submission.
PERIOD FOR ACCEPTANCE OF OFFERS
Period for acceptance of quotes: The quoter agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of quotes.

E.4.4 Quotation Submission
