ADDENDUM TO FAR PROVISION 52.212-1 ENTITLED “INSTRUCTIONS TO QUOTERS – COMMERCIAL ITEMS”

I. GENERAL

Quoters are required to submit their quotes in two (2) separate volumes as follows:

Volume I: Non-Price Quote

Factor I – Facilities Clearance
Factor II – Staffing Approach
Factor III – Past Performance

Volume II: Price Quote Factor IV - Price Quote

Volume I: Factor I – Facilities Clearance

The Quoter shall provide documented proof/verification that it possesses a current Confidential Facilities Clearance at time of Quote submission. The proof/verification shall be in the form of a Defense Counterintelligence and Security Agency (DCSA) website download or screenshot obtained within 30 days prior to close of solicitation and shall include the following: Cage Code, Facility Name, Physical Location, Facility Clearance (FCL) Status/Level, Status Date/Issue Date, Date obtained, Safeguarding Level, Authorized Access To, FCL Limitation, Facility Security Officer, Facility Security Officer Phone Number, DCSA Field Office, and DCSA Field Office Phone Number. The verification or letter shall be dated within 30 days of the solicitation close date. The verification shall be submitted via download or screenshot from https://www.dcsa.mil/is/niss/.

Volume I: Factor II – Staffing Approach

The Quoter shall provide a staffing approach, which demonstrates the Quoters understanding of the personnel requirements identified in PWS sections 3.5.1, 3.5.2, 3.7.2, 3.7.3, 3.7.4, and 3.7.5 (inclusive of all subsections). Additionally, the Quoters staffing approach shall detail the capability to provide the qualified personnel to fulfill the tasks described in the PWS. The Quoter’s staffing approach shall demonstrate a methodology for ensuring personnel with the required experience, background, certifications and qualifications are provided throughout the period of performance of the contract, and include a plan to ensure personnel qualifications remain current for all contractor personnel engaged in the effort. The Quoter’s staffing approach shall include a timeline with key events identified to fully staff the tasks required under the PWS with cleared and qualified personnel to begin full performance on the start date of the base period of performance. The staffing approach shall include a discussion of any identified risks associated with the Quoter’s staffing approach, and any risks associated with implementation of the Quoter’s approach to staffing; describing techniques and actions to mitigate such risks; and explain whether the techniques and actions identified for risk mitigation have been successfully used by the Quoter in the past.

Volume I: Factor III – Past Performance

To demonstrate its past performance, the Quoter shall identify up to three (3) of its most relevant contracts performed within five (5) years of the solicitation issuance date. Those contracts must also reflect one year of completed performance by the closing date of the solicitation. Quoters shall provide a detailed explanation demonstrating the relevance of the contracts to the requirements of the solicitation.

For purposes of this solicitation, a contract is defined as a single contract or a single task order placed under an ID/IQ contract, a Blanket Purchase Agreement (BPA), or a Federal Supply Schedule. Quoters shall not submit the IDIQ contract, FSS contract, or BPA itself as a reference. Quoters may submit a combination of no more than three (3) delivery orders (DOs), task orders (TOs), technical direction letters (TDLs), and/or technical area tasks (TATs) placed under an ID/IQ or BPA as one of the three examples of past performance. Such a combination must also meet the requirements stated above: each individual example in the combination must have been performed within five (5) years of the solicitation issuance date and demonstrate at least one (1) year of completed performance by the closing date of the solicitation. If a combination of DOs, TOs, TDLs and or TATs are used as a past performance example, the Quoter shall state the specific experience claimed, period of performance, and dollar value of each. A Past Performance example that does not provide the level of detail required may not be evaluated. No more than one combination of DOs, TOs, TDLs and or TATs is permitted in the past performance submittal.

If a proposed subcontractor’s past performance is provided as part of the three (3) of its most relevant contracts or efforts, the percentage and type of work to be done by the subcontractor on the solicitation requirement must be stated. The Quoter’s submittal shall also detail clearly the aspects of the work in the solicitation that the subcontractor is to perform. A Past Performance example which does not detail clearly the aspects of the work in the solicitation that the subcontractor is proposed to perform may not be evaluated.

If the prime Quoter or intended subcontractor/partner submits a past performance example in which it served as a subcontractor, the prime/sub/partner shall detail clearly the work that it performed and the magnitude (dollar value) of that subcontracted work only. A Past Performance example that does not differentiate between the overall contract effort and the subcontractor effort may not be evaluated.

The past performance of subcontractors who will be performing major or critical aspects of the solicitation will be considered as highly as a prime contractor’s past performance.

Failure of Quoters to provide the required information and level of specificity may result in the contract reference not being evaluated.

With respect to joint ventures, the procuring activity will consider work done individually by each member of the joint venture as well as any work done by the joint venture itself previously. Joint venture references must meet the temporal requirements described herein (within five years and a year of completed performance). Additionally, if a joint venture member submits a past performance reference, the joint venture member shall detail clearly the work that it performed in that effort and the magnitude (dollar value) of that work. A reference that does not differentiate between the overall contract effort and the joint venture member’s effort for that reference may not be evaluated. The past performance of a joint venture member who will be performing major or critical aspects of the solicitation will be considered as highly as the joint venture’s past performance.

The Quoter shall complete a “Past Performance Information Form” for each reference submitted. The form is an attachment to the RFQ.

Additionally, Quoters shall contact their past performance references and request that each reference complete the Past Performance Report Form attached to the solicitation and e-mail the completed survey form directly to Amber Bradley at amber.v.bradley.civ@us.navy.mil by the due date of this solicitation.

The Government reserves the right to consider past performance report forms received after the due date of the solicitation and to contact references for verification or additional information.

Volume II: Factor IV - Price Quote

This volume shall include completed solicitation documents and additional supporting documentation described below:

· Pricing information shall be submitted for the entire period of performance to include all option periods

· Unless completed in System for Award Management (SAM), “Representations, Certifications and Other Statements of Quoters” certification shall be completed by the Quoter.

· All supplemental information to support the quoted price including labor mix and level of effort (LOE) by labor category, and fully burdened per hour labor rates, to include subcontractor’s supplemental pricing information in the same format, etc. (ie: MS excel).

· A company point of contact, including phone number and email.

The completion and submission of the above items will constitute a Quote and will indicate the Quoter’s unconditional assent to the terms and conditions of this RFQ and any attachments and/or exhibits hereto. All price and price supporting information shall be contained in the price quote. No price or pricing information shall be included in any other volume including cover letters. Quoters are responsible for submitting sufficient information to enable the Government to fully evaluate their price quote.

The quote shall be valid for 60 days from solicitation closing date.

IMPORTANT NOTES:

(1) In order to be eligible for award, the Quoter shall be a Small Business under NAICS 488310. The Quoter shall submit documentation substantiating this qualification as a matter of responsibility. Any Quoter determined to be not qualified will be ineligible for award.

(2) Quoters shall respond to all requirements of the solicitation document. Quoters are cautioned not to alter the solicitation. Hand-carried quotes are not authorized and will not be accepted. Each page of each copy shall be affixed with the following legend:

(3) In the event any person who is not a bona fide employee of the Quoter participated in the creation, formulation, or writing of any portion of the quote, a certificate to this effect shall be included in the quote which shall be signed by an officer of the Quoter. Such certificates shall identify the name of the person who is not a bona fide employee, that person’s employment capacity, the name of the person’s firm, the relationship of that firm to the Quoter, and the portion of the Quote in which the person participated.

(4) There will be no question and answer period for this solicitation. The Government reserves the right not to respond to any questions received concerning this solicitation. Accordingly, Quoters are encouraged to carefully review all solicitation requirements.

(5) Quotes are to be submitted to Amber Bradley at amber.v.bradley.civ@us.navy.mil; in the attachments, format and quantities as identified. All electronic files and versions of the Quoter’s Quote shall be compatible with the current release of Adobe Acrobat and Microsoft Office Suite version 2010 (Excel).

(6) Quoters are strongly encouraged to confirm their quote was received PRIOR to the closing date and time. It is the responsibility of the Quoters to ensure that the Contracting Office has received their entire quote, with all attachments, PRIOR to the solicitation closing date and time. Only the documents received prior to the solicitation closing date and time will be evaluated.

II. REQUIREMENTS FOR FORMAT OF QUOTE CONTENT

(1) Introduction and Purpose: This section specifies the format that Quoter shall use in this RFQ. The intent is not to restrict the Quoters in the manner in which they will perform their work but rather to ensure a certain degree of uniformity in the format of the responses for evaluation purposes.

It is incumbent upon the Contractor to ensure that all certification documents are clear and legible.

(2) Each attachment should contain the following items in addition to the other information required by this solicitation:

Cover: The cover should indicate the following:

· Title of the Quote

· Volume Number (I or II)

· RFQ Number

· Name and address of Quoter, Point of Contact, Telephone Number, Cage Code, UEI and applicable Tax I.D. Number (TIN)

· Quote validity period for 60 days from solicitation closing

Table of Contents: The table of contents should provide sufficient detail as to allow the important elements to be easily located.

(3) Requirements for Style: Each Quoter shall submit a quote that clearly and concisely describes and defines the contractor’s response to the requirements contained in the RFQ. Unnecessary elaboration or other presentations beyond that sufficient to present a complete and effective quote are not desired.

Submissions are page limited to the maximum number of pages as defined above. These page limitations are inclusive of the executive summary and any charts, diagrams, and/or other graphics. Graphics (including tables) in the quote may use Times New Roman font with 8-point size type or larger. Each “page” is defined as one sheet, 8 ½ “x 11”, with at least one-inch margins on all sides, using Times New Roman font with a point size of 12 or greater. Lines shall, at a minimum, be selected as single-spaced in Microsoft Word with Microsoft Word Normal character spacing. Pages shall be consecutively numbered. Multiple pages, double pages, two-sided pages, or foldouts will count as an equivalent number of 8 ½" x 11" pages. Quoters are permitted to submit no more than one page for each of the following, which will not be included in the page count: a cover sheet, list of tables, list of figures, list of acronyms, compliance matrix, table of contents, tabs, and dividers.

The Price Quote is not page limited; however, the Price Quote is to be strictly limited to price information and completed solicitation documents as described herein.

The Facilities Clearance is not page-limited; however, the Facilities Clearance is to be strictly limited to a copy of the verification.

* Page limits represent the maximum pages the Government will evaluate and are not construed as de facto standards for the amount of material expected in the quote.

ADDENDUM TO FAR PROVISION 52.212-2 ENTITLED “EVALUATION– COMMERCIAL ITEMS”

The Government intends to award a Firm Fixed Price (FFP) contract as a result of this solicitation in accordance with FAR subpart 13.5 and FAR subpart 19.5. Award will be made to that Quoter whose quote is considered most advantageous to the Government under the selection criteria set forth in the solicitation. The Government intends to evaluate quotes and award a contract based on initial quotes. Therefore, the Quoter’s initial quote should contain the Quoters best terms from a facilities clearance, staffing approach, past performance and price standpoint. The Government reserves the right to award a FFP contract to other than the lowest priced Quoter.

The Government intends to award a FFP contract to the responsible Quoter whose quote represents the best value after evaluation in accordance with the factors in the solicitation by utilizing the trade-off process. The Quoter’s quote shall be in the form prescribed by, and shall contain a response to each of the areas identified in solicitation provision FAR 52.212-1 entitled “Instructions to Quoters-Commercial Items” and its Addendum.

The evaluation of quotes will be conducted in two phases. Phase I will consist of the evaluation of Factor I, Facilities Clearance. Quoters receiving an “Acceptable” rating in Phase I shall move on to Phase II. Quoters receiving a rating of “Unacceptable” for Factor I - Facilities Clearance, are considered un-awardable and will not be further evaluated.

Phase II will consist of evaluation of Factor II Staffing Approach, Factor III Past Performance and Factor IV Price. Initially during Phase II, the quotes will be ranked according to price, inclusive of all option pricing, from lowest to highest. During Phase II, the evaluation of quotes will consider the Non-Price Quote to be significantly more important than the Price Quote. Within the Non-Price Quote, Factor II – Staffing Approach and Factor III – Past Performance are of equal importance.

A Quoter’s price will be determined by adding all extended amounts for the CLINs, inclusive of all option periods. The Government will evaluate the lowest priced quote first. If the lowest priced quote is evaluated to have a Staffing Approach rating of “Acceptable” and a Past Performance Confidence Assessment rating of “Substantial Confidence”, that quote represents the best value for the Government and the evaluation process stops at this point. Award shall be made to that Quoter without further consideration of any other quotes. However, if the lowest priced Quoter is not evaluated to have an “Acceptable” Staffing Approach” rating and a “Substantial Confidence” Past Performance Confidence Assessment rating, the next lowest priced Quoter will be evaluated and the process will continue (in order of price from lowest to highest) until a Quoter is evaluated to have an “Acceptable” Staffing Approach rating and a “Substantial Confidence” Past Performance Confidence Assessment rating. At that time, the Source Selection Authority will evaluate the Quoter that received a “Acceptable” Staffing Approach rating and a "Substantial Confidence" past performance rating's price for price reasonableness. If that Quoters pricing is found fair and reasonable, award shall be made to that Quoter without further consideration of any other Quoters. If the Source Selection Authority determines the price of that Quoter not to be fair and reasonable, the Source Selection Authority shall make an integrated assessment best value award decision among all lower priced awardable Quoters. If no quotes are rated with an “Acceptable” Staffing Approach rating and “Substantial Confidence” Past Performance Confidence Assessment rating, the Contracting Officer shall make an integrated assessment best-value award decision among the awardable quoters.

Although price is the least important evaluation factor, it has the potential to become more significant during the evaluation process. The degree of importance of price will increase with the degree of equality of the quotes in relation to the other factors on which selection is to be based. The importance of price will also increase when a quote's price is so significantly high as to diminish the value to the Government that might be gained under the other aspects of the Quote. If, at any stage of the evaluation, all Quoters are determined to have submitted equal, or virtually equal, non-price quotes, price could become the factor in determining which Quoter shall receive the award.

All quotes will be reviewed for timeliness. If the quote is received after the closing date and does not meet the criteria for “late submissions” in the solicitation, the quote will not be opened. Timely quotes will be reviewed for compliance to the solicitation. If the quote is not compliant to the solicitation, it will not be evaluated and the Quoter will be notified that the quote is non-responsive.

VOLUME I NON-PRICE QUOTE

Phase 1

Evaluation of Factor I: Facilities Clearance Factor I will be evaluated during Phase I and will receive a rating of Acceptable or Unacceptable based on content of the submission of proof/verification of the quoter’s Confidential Facilities Clearance in accordance with the requirements as listed in Addendum to FAR 52.212-1. Ratings are detailed in the rating table below identified as “Table 1: Acceptable/Unacceptable Rating Table”. Quoters receiving an “Acceptable” rating in Phase I will move on to Phase II. Quoters receiving an “Unacceptable” rating will be considered un-awardable and will not be further evaluated.

Phase 2

Evaluation of Factor II- Staffing Approach:

The Quoter’s staffing approach will be evaluated on an acceptable/unacceptable basis using the Acceptable/Unacceptable Ratings table below. Acceptability will be determined by the Quoters ability to demonstrate an understanding and capability to provide personnel with the requisite experience, qualifications, certifications and clearance requirements identified in PWS sections 3.5.1, 3.5.2, 3.7.2, 3.7.3, 3.7.4, and 3.7.5 (inclusive of all subsections). The acceptability of the staffing approach will be determined by the Quoters ability to detail their capability to provide the qualified personnel to fulfill the tasks described in the PWS.

The Quoters staffing approach shall also be evaluated on how well it demonstrates a methodology for ensuring personnel with the required experience, background, certifications are provided throughout the period of performance of contract and the quality of the quoter’s plan for ensuring that personnel qualifications remain current for all contractor personnel engaged in the effort. The staffing approach shall be evaluated on the feasibility of the proposal’s timeline for fully staffing the tasks required under the PWS with cleared and qualified personnel to begin full performance on the start date of the base period of performance. The staffing approach shall be evaluated on how well it identifies and assesses any risks associated with the Quoter’s staffing approach, and any risks associated with implementation of the Quoter’s approach to staffing; including how well it describes techniques and actions to mitigate such risks; and how well is explains whether the techniques and actions identified for risk mitigation have been successfully used by the Quoter in the past.

The Quoters staffing approach submission will be evaluated on whether it meets the Government’s minimum requirements utilizing the rating table detailed below in “Table 2: Acceptable/Unacceptable Rating Table”.

Evaluation of Factor III- Past Performance:

The past performance evaluation factor assesses the degree of confidence the Government has in a Quoter’s ability to meet the contract’s requirements based on the quality of a demonstrated record of recent and relevant performance. There are three aspects to the past performance evaluation: recency, relevancy, and quality. These are combined to establish a single performance confidence assessment rating for each Quoter.

Past Performance Recency: Recency is the first aspect of the past performance evaluation and is the time period during which past performance references are considered relevant. Recency is critical to establishing the relevancy of past performance information. For purposes of this solicitation, recent past performance is performance that has taken place within five (5) years of the issuance date of this solicitation. Performance outside of this stated period will not be considered for evaluation purposes.

Past Performance Relevancy: Regarding relevancy, each past performance reference under each Quoter’s Past Performance submission will be evaluated to determine its scope, and magnitude relative to the instant requirement. The following definitions will apply to this evaluation:

· Scope: Experience in the areas described in the PWS section 3 (inclusive of all subsections).

· Magnitude: The similarity of the dollar value of actually performed work that exists between the PWS and the Quoter’s referenced contracts during the stated five-year period established by the solicitation.

The references provided will be evaluated in the aggregate in order to allow Quoters who may not have the entire scope and magnitude of the requirement, under one individual contract, to still be considered relevant if past performance with the full scope and magnitude of the requirement can be demonstrated within the allotted number of references as described above.

The relevancy rating assigned to each past performance reference will be considered in determining the weight to be given to that reference in the overall Past Performance Confidence Assessment. References determined to be “Not Relevant” will not be further considered. Similarly, the quality of performance under a past performance reference that has no relevance to the instant requirement will not be considered in the overall assessment of past performance confidence. In determining the rating for the past performance factor, past performance of greater relevancy will have more influence on the past performance confidence assessment than past performance of lesser relevance.

Past Performance Quality: The third aspect of the past performance evaluation is to establish the overall quality of the Quoter’s past performance. The Government will review all past performance information collected and determine the quality of the Quoter’s performance, including general trends and usefulness of the information, and will incorporate this into the performance confidence assessment.

Past Performance Confidence Assessment: The overall assigned rating for past performance will be the Past Performance Confidence Assessment rating, defined in the table below. The assignment of this rating will be based on the overall quality of the recent and relevant past performance and will also consider the source of the information, the context of the data, and general trends in the Quoter’s performance. The quality of performance under a past performance reference that has no relevance to the instant requirement will not be considered in the overall assessment of past performance confidence. Evaluation will focus only on work already performed. Work yet-to-be performed and work not reflecting one year of completed performance by the solicitation closing date will not be considered.

In the case of Quoters for which there is no information on past contract performance or where past contract performance information is not available, the Quoter may not be evaluated favorably or unfavorably on the past performance factor. In this case, the Quoter’s past performance is unknown and assigned a performance confidence rating of “Neutral Confidence.” Although a Quoter that lacks recent, relevant past performance may not be rated favorably or unfavorably with regard to past performance, the Government may determine that a “Substantial Confidence” or “Satisfactory Confidence” past performance rating provides better value to the Government than a “Neutral Confidence” past performance rating.

In order to evaluate Past Performance, the Government may also utilize existing data sources, including the Contractor Performance Assessment Reporting System (CPARS), the System of Award Management (SAM), the Electronic Subcontract Reporting System (eSRS), or other databases; communication with points of contact in the Quoter’s customer’s organization, which could include private sector requirements and contracts personnel, Administrative Contracting Officers, Defense Contract Management Agency (DCMA) personnel, Procuring Contracting Officers, Contracting Officer’s Representatives, and other Government activity requirements personnel. The Government may verify past performance information. The Government may contact some or all of the references provided, as appropriate, and may collect information through questionnaires, telephone interviews, and existing data sources. The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources, including sources outside of the Government. This information will be used for the evaluation of past performance.

The past performance factor evaluation and past performance confidence assessment rating is separate and distinct from the contracting officer’s responsibility determination. The assessment of the Quoter’s past performance will be used as a means of evaluating the relative capability of the Quoter and other competitors to successfully meet the requirements of the solicitation.

Based on the Quoter’s recent/relevant performance record, the Government has a low expectation that the Quoter will successfully perform the required effort.
No Confidence
Based on the Quoter’s recent/relevant performance record, the Government has no expectation that the Quoter will be able to successfully perform the required effort.

NOTE: A rating of “Limited Confidence” for the past performance factor means that the quoter’s quote is not awardable without a change or changes to the quoter’s quote. A quote that includes a “Limited Confidence” rating is considered to be susceptible to correction if the contracting officer determines that an exchange (pursuant to FAR 15.306) is appropriate and said exchange is conducted. A rating of “No Confidence” for the past performance factor means that the quoter’s quote is not awardable, is not susceptible to correction, and will not be further evaluated.

VOLUME II PRICE QUOTE

Evaluation of Factor IV – Price Quote:

Price will be evaluated for price reasonableness in accordance with FAR 13.106-3. For the purpose of preparing a price quote, the contractor will price according to the period of performance established in the solicitation. Options, to include FAR 52.217-8, will be evaluated pursuant to solicitation provision FAR 52.217-5, Evaluation of Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that a quote is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

Quoters responding to this solicitation are advised that, prior to award, the government may request quoters to submit information/data to support price reasonableness such as copies of paid invoices for the same or similar items, sales history for the same or similar items, price list with effective date and/or copies of catalog pages along with any applicable discounts. Failure to submit the requested information may result in disqualification of the submitted quote.
