About this file

This document is a Non-Disclosure Agreement (NDA) template for a solicitation by the State of Maryland, designed for bidders or offerors participating in a procurement process. The NDA is intended to protect confidential information shared during the bid preparation and submission phase, with an effective date of July 2024. While specific details about the solicitation are intentionally left as placeholders (<<solicitationNumber>> and <<solicitationTitle>>), the document outlines the terms under which a bidder may access and handle sensitive information related to the procurement.

The agreement requires the bidder/offeror to maintain strict confidentiality of all information provided, limiting access only to employees and agents with a demonstrable need to know. The bidder must return all confidential information within five business days of the state's notice of recommended award or before the proposal due date if not submitting a proposal. The document includes provisions for potential legal action by the state in case of information breach, with the bidder potentially liable for damages, expenses, and other costs resulting from non-compliance. The agreement is governed by Maryland state law and requires the signing individual to warrant they are authorized to bind the offeror to these terms.
