About this file
This document is Attachment 3 of a Department of the Air Force Request for Solution (RFS) under Other Transaction Authority (OTA) for a Consortium Management Organization (CMO), providing mandatory and discretionary terms and conditions for consortium management agreements.
The mandatory terms and conditions section establishes required security provisions including cyber security safeguards for covered defense information, NIST SP 800-171 DoD assessment requirements, Section 889(a)(1)(B) compliance prohibiting contracting with entities using certain telecommunications and video surveillance services, Kaspersky Lab prohibitions, ByteDance/TikTok prohibitions, acquisition prohibitions for items from Communist Chinese military companies, and Russian fossil fuel business operation restrictions (if applicable to fossil fuel procurement). Information security requirements address DoD Form 254 classification specifications, classified information handling per Part 117 of Title 32 CFR, controlled unclassified information per DoDI 5200.48 and NIST SP 800-171, and national security systems compliance including supplier restrictions via the Supplier Performance Risk System. The discretionary terms and conditions to consider section recommends including Federal Acquisition Supply Chain Security Act (FASCSA) orders, contractor counterfeit electronic part detection systems, government furnished property clauses specifying use restrictions, loan terms, transportation, inspection rights, inventory confirmation, return conditions, liability responsibility, loss reporting, and export/intellectual property considerations. All CMOs and teaming members must maintain System for Award Management (SAM) registration and provide Unique Entity Identifier (UEI) numbers; representations and certifications made via SAM are incorporated by reference into resulting agreements. Additional recommended terms address intellectual property and technical data, disclosure considerations, patents and inventions, disputes, terminations, modifications, remedies, fund recovery, export restrictions, indemnity, government obligation limits, flow-down requirements, changes clauses, closeout procedures, and disposition of prototypes and residual assets.
