SOLE SOURCE JUSTIFICATION FOR CLARINET MERLIN RECEIVE SYSTEM MAINTENANCE
This is a Sole Source Justification document (Document Number: F26-001) for a non-competitive contract award to Long Wave, Inc. for maintenance support of the Clarinet Merlin Receiving Sub-System (CMRS). The requiring activity is Naval Information Forces (NAVIFOR), located in Suffolk, Virginia, with the contracting activity being NAVSUP Fleet Logistics Center Norfolk. The contract will be awarded under FAR 13.5 (Simplified Procedures for Certain Commercial Products and Commercial Services) as a firm-fixed-price agreement. The estimated contract commencement date is April 19, 2026, with a 12-month base year followed by four optional 12-month periods and a potential six-month extension under FAR 52.217-8. The contract will be funded with Navy Operations & Maintenance (O&M) appropriations, with FY26 base year funding currently available.
NAVIFOR requires comprehensive maintenance of the entire CMRS system across six receiving sites, two Broadcast Control Authority (BCA) server sites, and one Naval Information Warfare Center (NIWC) laboratory, including receiving subsystems, antenna interface equipment, connectivity interface equipment, operator training, Information Assurance Vulnerability Management (IAVMS) testing and updates, and Assured Compliance Assessment Solution (ACAS) scanning. Long Wave, Inc. is justified as the sole source because it is the Original Equipment Manufacturer (OEM) that designed, developed, and engineered the CMRS system and holds all data rights to the software. The company has no authorized resellers or certified maintenance personnel at other organizations, and is the only source capable of ensuring safe, dependable, and effective system operation. A Sources Sought Notice was posted to SAM.gov on September 30, 2025, resulting in a response from BHPE LLC, which could not provide OEM certification of authorization to maintain Long Wave products. The previous contract (N00189-21-P-0001) was awarded October 20, 2020, with satisfactory performance throughout its term. Price reasonableness will be determined through price analysis per FAR 13.106-3. NAVIFOR continues efforts to transition the system to a NAVWAR program of record by FY28 to potentially enable future competition, with future sole source requirements subject to additional market research and sources sought notices.

2. Description of the Action Being Approved.
This is a non-competitive action submitted for approval to award a sole source firm-fixed-price contract to Long Wave, Inc. for maintenance support on the Clarinet Merlin Receiving Sub-System (CMRS) as required by Commander, Naval Information Forces (NAVIFOR). This requirement will be awarded subject to FAR 13.5 – "Simplified Procedures for Certain Commercial Products and Commercial Services."
These services are currently being provided under contract number N00189-21-P-0001, which was awarded on a sole source basis to Long Wave, Inc., on 20 October 2020. This contract was for a 12-month base period with four (4) 12-month option periods, and FAR 52.217-8 six-month option. The six-month option has been exercised extending performance until 19 April 2026.
3. Description of Supplies/Services.
NAVIFOR requires maintenance of the entire CMRS including the receiving subsystems, designated antenna interface equipment, connectivity interface equipment (non-GFE), interface/display equipment, Broadcast Control Authority (BCA) operator training, testing and updates of applicable Information Assurance Vulnerability Managements (IAVMs) alerts, and Assured Compliance Assessment Solution (ACAS) scanning at each site. Maintenance is required on their six (6) receiving sites, two (2) BCA server sites, one (1) Naval Information Warfare Center (NIWC) lab and associated hardware/software of the CMRS.
This requirement, as illustrated in the table below, is for a 12-month base year performance period with provisions for four (4), 12-month option periods. The solicitation and resultant contract will also contain FAR 52.217-8, Option to Extend Services, thereby allowing a six-month extension if circumstances necessitate this option. The contract is estimated to commence 19 April 2026.
The current contract is a follow-on to the original contract and was not competed at the time it was awarded. Services have been satisfactorily provided throughout the contract.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable, including a Description of Market Research, if applicable, and a List of Interested Sources, if any.
The OEM, Long Wave Inc. was contacted and has confirmed on company letterhead that they are still the sole manufacturer of the system and that they own the data rights to the software for the system maintenance. A copy of this letter is in the contract file.
Additionally, a Sources Sought Notice was posted to SAM.gov on 30 September 2025 with a response date of 14 October 2025. An email response was received from BHPE LLC. BHPE LLC expressed their interest as a participating vendor. The contract specialist reached out to the vendor to confirm their interest and request the vendor provide certification from the OEM Long Wave Inc. confirming BHPE LLC is authorized to resell and maintain Long Wave Inc.’s products. The vendor did not provide any certification.
As a result of the information provided in Paragraph five (5), and above, this procurement action will be sole sourced to Long Wave, Inc. A synopsis of this requirement will be posted on SAM.gov, the Government Point of Entry (GPE) in accordance with FAR 5.201.
7. Determination of Fair and Reasonable Cost.
The Procuring Contracting Officer will make a determination of fair, and reasonableness of price based upon price analysis in accordance with FAR 13.106-3.
8. Actions to Remove Barriers to Future Competition.
Efforts have been made through OPNAV N2N6 to transition this system to a NAVWAR program of record system. To date, those efforts have stalled. NAVIFOR continues to pursue this action with hopes of a transition occurring by FY28.
All future requirements will be handled on a case-by-case basis and future solicitations will include clear and concise language for offerors to demonstrate their infrastructure capacity to deliver services or have effective sub-contracting arrangements outlined in their technical proposals. As stated above, the required services are to ensure continued and uninterrupted operation of the system and its components.
It is imperative that the manufacturer who designed and installed the infrastructure that provides the required services continue to provide the required support services until such time that additional capable sources have been identified.
DFARS 213.501 required that a non-competitive follow-on acquisition of supplies and services previously awarded on a non-competitive basis need to include the additional documentation required by DFARS 206.303-2(b)(i) and follow the procedures at PGI 206.304(a)(S-70). These citations require that the justification package include a copy of the previous justification to assist the approval authority in determining whether the planned actions to remove any barriers to competition have been completed.
A copy of the previous justification, J&A Number: 20040, has been provided.
However, the circumstances limiting sources have not changed, and therefore, the follow- on requirement remains a limited source action. Future requirements will be handled on a case-by- case basis. Future sole source requirements shall be subject to additional market research and will require the posting of a sources sought notice to identify additional potential sources in the hopes of fostering a competitive environment.
