About this file
This document is a Justification and Approval (J&A) for Other Than Full and Open Competition for the Defense Logistics Agency (DLA). The contract is for software maintenance of Worksoft Certify software used on the SAP Platform, primarily to support software testing activities across the Department of Defense. The current contract (SP4701-23-C-0007) will expire on November 30, 2025, and the follow-on package requires software maintenance support for 15 perpetual licenses with two optional 12-month extension periods.
Worksoft, Inc. is identified as the sole provider of this software maintenance, with the procurement justified under 10 U.S.C. 2304(c)(1) due to the proprietary nature of the software. The solution aims to reduce manual testing methods by transitioning to automated testing, integrating with 508 Compliance applications and supporting the Joint Interoperability Certification process. The total estimated price for the Base Year and two Option Years will be fully funded using FY26 funds, with the requirement to be synopsized on SAM.gov to provide all authorized dealers an opportunity to submit an offer, though only one vendor is known to provide the specific maintenance and support.

4. IDENTIFICATION OF STATUTORY AUTHORITY PERMITTING OTHER THAN FULL AND OPEN
COMPETITION:
The statutory authority permitting other than full and open competition is 10 U.S.C. 2304(c)(1), as implemented by FAR 6.302-1 “Only one Responsible Source and no other supplies or services will satisfy agency requirements”.
Certify software maintenance is a brand name product of Worksoft, Inc. No other firm can provide maintenance for this brand name product due to the proprietary nature of the software. Use of this brand name description in the acquisition is essential to the Government’s requirements, thereby precluding consideration of a product of another company. No other brand name software maintenance is compatible with brand name “Certify” software licenses.
Only Certify software maintenance will support the existing licenses owned by DLA.
5. DEMONSTRATION THAT THE PROPOSED CONTRACTOR’S UNIQUE QUALIFICATIONS OR THE
NATURE OF ACQUISITION REQUIRES USE OF CITED AUTHORITY:
This solution provides DLA with an opportunity to vastly reduce the demand on Functional User resources by transitioning from the current manual test methods to automated testing. Automated testing is accomplished by coding the existing manual test scripts into the Certify software and running the various test scripts of the applicable transaction sets of any given application that is managed by DLA Information Operations. Use of this software expedites testing activities and reduces the demand for functional user community. The Certify software integrates with 508 Compliance applications and has the capability of automatically generating test scripts. In addition, Certify offers significant flexibility to adapt to the numerous platforms that are currently hosted by DLA. Use of this software also directly supports the Joint Interoperability Certification process as required by DODI 8330.01 “Interoperability of Information Technology (IT), Including National Security Systems (NSS)”.
6. DESCRIPTION OF EFFORTS MADE TO ENSURE THAT OFFERS ARE SOLICITED FROM AS
MANY POTENTIAL SOURCES AS IS PRACTICABLE:
Worksoft, Inc. is the only known firm that provides Certify software and maintenance. The requirement will be synopsized to solicit Certify Software Maintenance Renewal within www.Sam.gov. All authorized dealers will be given an opportunity to submit an offer. Only one vendor is known to provide software maintenance and support to Certify licenses, based on procurement history.
7. DETERMINATION BY THE CONTRACTING OFFICER THAT THE ANTICIPATED COST TO THE
GOVERNMENT WILL BE FAIR AND REASONABLE:
As the Contracting Officer, I hereby anticipate cost to the Government will be fair and reasonable based upon price reasonableness analysis. The Government will attempt to obtain offers from as many authorized resellers as practicable. Proposals will be analyzed in accordance with FAR 15.404-1. It is anticipated that the Government will use various price analysis techniques including, but not limited to: (1) Comparison of proposed prices received in response to the solicitation; (2) Comparison of proposed prices with competitive published price lists; (3) Comparison of proposed prices with the Independent Government Cost Estimate; and/or (4) Comparison of proposed prices obtained through market research for the same or similar items.
8. DESCRIPTION OF THE MARKET RESEARCH CONDUCTED AND THE RESULTS:
Worksoft, Inc. is the only firm authorized to provide Certify Software and Maintenance Support. DLA has and continues to exercise competition as often as possible and is required to conduct ongoing reviews to keep abreast of new technology, both in industry and in the Government as a continuing effort within DLA. DLA always uses a variety of vendors, manufacturers, and contracts to fulfill its requirements and will continue its practice of surveying the market to ensure full and open competition. No other sources have demonstrated the capability necessary to provide the maintenance and support at this time. Also, no other firms are known to provide the brand name “Certify” software maintenance and support required.
