About this file
This is a Media Production and Intellectual Property Agreement template between the Navy Experimental Diving Unit (NEDU) and a vendor for the "NEDU AT 100" documentary project. The agreement establishes ownership, usage rights, release rights, and promotional rights for all media created by the vendor as paid work for the project. Project materials include motion picture footage, video recordings, photographs, drone imagery, underwater imagery, audio recordings, interviews, historical reproductions, graphic designs, promotional materials, edited and unedited media assets, behind-the-scenes content, and derivative works.
All media created by the vendor is designated as a work made for hire, with NEDU retaining sole and exclusive ownership of all intellectual property rights, including copyrights, derivative works, distribution rights, exhibition rights, publication rights, broadcast rights, digital distribution rights, and archival rights. NEDU retains exclusive right of first public release and controls release dates, distribution platforms, press releases, public announcements, premiere events, official promotional campaigns, and content production. Prior to NEDU's first public release, the vendor cannot publish, distribute, broadcast, post, or release any project media without written authorization. Following NEDU's first public release, NEDU grants the vendor a non-exclusive, perpetual, worldwide, royalty-free license for studio promotion purposes, including portfolio displays, showreels, demo reels, website content, social media promotion, industry presentations, awards submissions, professional marketing materials, and educational presentations. The vendor is prohibited from selling project materials as stock footage, licensing materials to third parties, creating independent documentaries derived from project materials, monetizing materials separate from project promotion, or using materials to imply endorsement by the Department of War, United States Navy, or NEDU without written authorization. All promotional use must remain professional, factual, and consistent with NEDU's mission and reputation. The vendor may provide attribution as "Produced by [Vendor Name]" with NEDU approval. All media is subject to security review by NEDU and Naval Sea Systems Command (NAVSEA) Headquarters policy before release. The promotional license survives project completion and remains in effect for five years unless revoked for material breach, while NEDU's ownership rights are perpetual. The agreement requires written amendments signed by both parties and includes signature blocks for NEDU and the vendor.
