The Government’s rights and remedies under this clause-i.Shall not be exclusive, but rather shall be in addition to any other rights and remedies provided by law or this contract; and ii.Shall not be affected by delayed, partial, or omitted exercise of any right, remedy, power, or privilege, nor shall such exercise or any single exercise preclude or impair any further exercise under this clause or the exercise of any other right, power, or privilege of the Government.
(k) Refund of unearned amounts. If the Contractor, after making a certified request for progress payments, discovers that a portion or all of such request constitutes a payment for performance by the Contractor that fails to conform to the specifications, terms, and conditions of this contract (hereinafter referred to as the "unearned amount"), the Contractor shall-
1. Notify the Contracting Officer of such performance deficiency; and
2. Be obligated to pay the Government an amount (computed by the Contracting Officer in the manner provided in paragraph (j) of this clause) equal to interest on the unearned amount from the 8th day after the date of receipt of the unearned amount until-i.The date the Contractor notifies the Contracting Officer that the performance deficiency has been corrected; or ii.The date the Contractor reduces the amount of any subsequent certified request for progress payments by an amount equal to the unearned amount.
(l) Retainage. If the Contracting Officer finds that satisfactory progress was achieved during any period for which a progress payment is to be made, the Contracting Officer shall authorize payment to be made in full. However, if satisfactory progress has not been made, the Contracting Officer may retain a maximum of 10 percent of the amount of the payment until satisfactory progress is achieved. When the work is substantially complete, the Contracting Officer may retain from previously withheld funds and future progress payments that amount the Contracting Officer considers adequate for protection of the Government and shall release to the Contractor all the remaining withheld funds. Also, on completion and acceptance of each separate building, public work, or other division of the contract, for which the price is stated separately in the contract, payment shall be made for the completed work without retention of a percentage.
(m) Title, liability, and reservation of rights. All material and work covered by progress payments made shall, at the time of payment, become the sole property of the Government, but this shall not be construed as-
1. Relieving the Contractor from the sole responsibility for all material and work upon which payments have been made or the restoration of any damaged work; or
2. Waiving the right of the Government to require the fulfillment of all the terms of the contract.
3. The Government’s rights and remedies under this clause-
(i) Shall not be exclusive, but rather shall be in addition to any other rights and remedies provided by law or this contract; and
(ii) Shall not be affected by delayed, partial, or omitted exercise of any right, remedy, power, or privilege, nor shall such exercise or any single exercise preclude or impair any further exercise under this clause or the exercise of any other right, power, or privilege of the Government.
(n) Reimbursement for bond premiums. In making these progress payments, the Government shall, upon request, reimburse the Contractor for the amount of premiums paid for performance and payment bonds (including coinsurance and reinsurance agreements, when applicable) after the Contractor has furnished evidence of full payment to the surety. The retainage provisions in paragraph (l) of this clause shall not apply to that portion of progress payments attributable to bond premiums.
(o) Final payment. The Government shall pay the amount due the Contractor under this contract after-
1. Completion and acceptance of all work;
2. Presentation of a properly executed voucher; and
3. Presentation of release of all claims against the Government arising by virtue of this contract, other than claims, in stated amounts, that the Contractor has specifically excepted from the operation of the release. A release may also be required of the assignee if the Contractor’s claim to amounts payable under this contract has been assigned under the Assignment of Claims Act of1940 ( 31 U.S.C.3727 and 41 U.S.C.
6305).
(p) Limitation because of undefinitized work. Notwithstanding any provision of this contract, progress payments shall not exceed 80 percent on work accomplished on undefinitized contract actions. A "contract action" is any action resulting in a contract, as defined in FAR subpart 2.1, including contract modifications for additional supplies or services, but not including contract modifications that are within the scope and under the terms of the contract, such as contract modifications issued pursuant to the Changes clause, or funding and other administrative changes.

Minimum Insurance Coverage Requirements
Pursuant to FAR clause FAR 52.228-5, Insurance-Work on a Government Installation paragraph (a), Contractors shall present evidence and maintain, as a minimum, the amounts of insurance coverage indicated below:
(1) Workers Compensation and Employer's Liability. The Contractor is required to comply with applicable Federal and State workers' compensation and occupational disease statutes. If occupational diseases are not compensable under those statutes, they must be covered under the employer's liability section of the insurance policy, except when contract operations are so commingled with a Contractor's commercial operations that it would not be practical to require this coverage. Employer's liability coverage of at least $100,000 must be required, except in States with exclusive or monopolistic funds that do not permit worker's compensation to be written by private carriers.
(2) General Liability. The Contractor must have bodily injury liability insurance coverage written on a comprehensive form of policy of at least $500,000 per occurrence.
(3) Automobile Liability. The Contractor must have automobile liability insurance written on a comprehensive form of policy. (4) Aircraft Public and Passenger Liability. When aircraft are used in connection with performing the contract, the Contractor must have aircraft public and passenger liability insurance. Coverage must be at least $200,000 per person and $500,000 per occurrence for bodily injury, other than passenger injury. Solicitation Information
Award Type
This solicitation and any resulting contract is a firm-fixed price type of contract, which under the definition in FAR 16.202-1, “this type of contract provides for a price that is not subject to any adjustment on the basis of the contractor’s cost experience in performing the contract. This contract type places upon the contractor maximum risk and full responsibility for all costs and resulting profit or loss.”
Evaluation and Basis for Award
The provision at FAR 52.212-2, Evaluation—Commercial Products and Commercial Services is not applicable to this solicitation. In lieu of this provision, quotes will be evaluated in accordance with FAR 12.203 based on the criteria listed below. Award will be made to the Contractor representing the best value to the Government.
The Government intends to make one award from this solicitation. The Government will evaluate quotations based on the lowest price technically acceptable criteria. Only the lowest priced quote will be evaluated for Technical Acceptability. Should the lowest priced quote not receive an acceptable technical or past performance rating, the process will continue in order of lowest priced quote until the lowest price, technically acceptable quote with acceptable or neutral past performance is identified. If any of the three Technical Evaluation Factors receive a rating of Unacceptable, the Overall Technical Proposal may receive a rating of Unacceptable. The government will evaluate proposals and assess their relative qualities solely on the evaluation factors specified in this solicitation.
If the contracting officer determines that a small business’ past performance is not acceptable, the matter shall be referred to the Small Business Administration for a Certificate of Competency determination, in accordance with the procedures contained in FAR 19.204 and 15 U.S.C.
637(b)(7)).
Technical Acceptability:
Technical Acceptability will be evaluated to receive an overall rating of "acceptable" or "unacceptable." This will be based on the Contractor's ability to provide a sound and compliant approach that meets all requirements and shows a thorough understanding of them. It is the Contractor's responsibility to ensure their quotation clearly demonstrates their capability to meet these requirements.
Factor 1. Past Performance
Past performance is a measure of the degree to which the company (including proposed major subcontractors) has satisfied previous customers and complied with Federal, State and Local laws and regulations. The Government may contact references to assess the quality of the contractor’s work, timely completion, project management, and compliance with regulatory requirements. The Government will consider the currency (performance during the past 5 years) and relevance of the information, source of the information, context of the data and general trends in contractor performance.
The past performance evaluation will characterize the level of the Government’s confidence that the company will successfully complete the work, in compliance with all contract requirements, based on its record of successful performance on recent and relevant similar projects. A relevant project is one that is similar in nature or scope to the project set forth in this solicitation.
In conducting past performance evaluation, the Government may use information from sources other than the company’s proposal. Other sources of information may include, but are not limited to, government knowledge of past performance, Federal, State and Local government agencies, better business bureaus, published media and electronic databases such as the Contractor Performance Assessment Reporting System (CPARS).
Where there is little or no information available regarding the company’s past performance history because they are new to the marketplace, the past performance evaluation may take into account information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the work. In the case of a company without a record of relevant past performance or for whom information on past performance is not available, the company may not be evaluated favorably or unfavorably on past performance. If the company does not possess any relevant experience similar in nature or scope to the project set forth in this solicitation and is unable to convince the Government in their Technical Proposal that they could successfully execute and complete this project, with submitted information either as a Prime Contractor or as a Subcontractor, the proposal may receive an Unacceptable rating for this evaluation factor. The Contracting Officer will make the final determination as to the relevance of similar past performance information provided by the company. Unfavorable information received on the company’s performance on project(s), may garner the company an Unacceptable rating for this evaluation factor.
Past Performance will be evaluated using the following rating system:
a) Acceptable: The contractor shows a demonstrated ability to meet contract requirements in prior or current contracts, including quality of work, timeliness, cost control, business relations, and adherence to contract terms.
b) Neutral: Offeror does not have a past performance record.
c) Unacceptable: The contractor has a documented history of failing to meet contract requirements, including poor quality, missed deadlines, cost overruns, lack of responsiveness, or unethical behavior.
Factor 2. Technical Experience
The Government will assess the specialized experience and skill of the company as an organization, with a focus on technical experience that is relevant to the specified project. Relevant experience is one that is similar in nature or scope to the technical experience required for this project. The company not having the relevant technical experience required for a project similar in nature or scope to this project, may garner the company an Unacceptable rating for this evaluation factor.
Factor 3. Technical and Project Management Approach to Performing the Work
When evaluating the company’s Technical and Project Management Approach to Performing this project, the Government will assess the understanding, reasonableness, logic and realism of the company’s proposed approach to scheduling, executing, managing and completing this project. The company providing a technical and project management approach that demonstrates the company’s misunderstanding of project requirements, or the company providing an approach that is not reasonable, logical and realistic, may garner the Company an Unacceptable rating for this evaluation factor.
Factor 4. Price
The quoted price(s) will be evaluated in accordance with FAR 12.204, to determine if it is fair and reasonable.
