Will the WSEA States consider capping Contractor liability to an amount equal to the total amount that the customer has paid the Contractor in the 12 months prior to the relevant incident?

NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, DELAY OR PUNITIVE DAMAGES WHATSOEVER (INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS OR REVENUE, BUSINESS INTERRUPTION, OR OTHER PECUNIARY LOSS), EVEN IF SUCH PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. |
Idaho will insert its policy term set forth below. The policy requires a fixed dollar amount within the term. Such dollar amount will be not less than the amount paid to or earned by the successful vendor for a full twelve month period of the contract, determined by Idaho prior to execution of the Contract.

Idaho Standard Contract Terms and Conditions paragraph 22
Will all WSEA States agree to pay all invoices within net 30 days, as Arizona does?
Offeror seeks standard payment return times in order to offer the best pricing possible to our customers and to meet our payment obligations to our own employees and vendors.
None
Idaho will not make the requested modifications. Idaho Code § 67-2302 governs the time Idaho agencies have to pay an invoice. Idaho Code § 67-9218 governs the time an agency has to process an invoice. Idaho agencies cannot agree to modify these statutes.
3.
Idaho Standard Contract Terms and Conditions paragraph 12
Will all WSEA States consider limiting Contractor liability, as Idaho does (Idaho-12), to damages directly resulting from Contractor’s own negligent or wrongful acts or omissions?
In accordance with equitable principles and industry standards, Contractor respectfully requests that its indemnification liability be commensurate to its failure to perform in accordance with its contractual duties.
None

If it is determined by a final judgment that the State’s negligent act or omission is the sole proximate cause of a suit or claim, the State, to the extent funds are legally available therefore, shall reimburse Contractor for reasonable defense costs attributable to the defense provided by any Special Deputy Attorney General appointed pursuant to section 12.C Idaho will not make the requested modifications.

Attachment 8: WSEA States Terms and Conditions
Will the WSEA States please confirm that, despite the presence of clauses claiming rights over intellectual property developed under the contract, licensing of software, and escrow requirements, the actual scope of work for this project does not, in fact, involve the creation of intellectual property for the WSEA States or the licensing of software to the WSEA States?
Relatedly, will the WSEA States also confirm that, in the event that the creation of intellectual property ever does become part of the scope of work, all intellectual property developed prior to or independently of this project shall continue to be owned by the Contractor or any relevant third parties?
The Offeror respectfully seeks confirmation that title to and licensing of intellectual property that the Contractor or third parties have developed prior to or independently of this project will be sufficiently protected.

7.
Attachment 8: WSEA States Terms and Conditions
Will the WSEA States agree to negotiate insurance wording to match the Contractor’s standard policies?
The Offeror’s policies, while offering good protection, provide standard wording to cover thousands of customers and projects. While the Offeror is often able to retain riders to adjust such language, the Offeror’s best pricing can be obtained without requiring such riders. The Offeror is happy to contact any State’s insurance contact post-award to work through and explain any divergent wording.
None
Idaho confirms they will discuss, but cannot guarantee all divergent wording will be accepted.
8.
Attachment 8: WSEA States Terms and Conditions
For clarification, would the WSEA States please confirm that, wherever used, “Time is of the essence” is defined to mean that the Contractor will adhere to the mutually agreed upon schedule for performance?
The Offeror affirms its intention of meeting all deadlines in a timely manner but seeks to distinguish between catastrophic failures and de minimis infractions.
None
Idaho confirms.
9.
Attachment 8: WSEA States Terms and Conditions – Idaho-33
Will all WSEA States agree to negotiate language to cover circumstances for excused non-performance, such as the force majeure language in the Idaho contract (Idaho-33)?

Under the Idaho Supreme Court’s ruling in Syringa Networsk, LLC v. ID Dept. of Admin, 159 Idaho 813, 367 P.3d 208 (2016) the State of Idaho is prohibited from making material changes to its contract after the submission of bids. The modifications made in this response are the only material modifications to the agreement between the State of Idaho and the successful bidder. Where requested changes in the attachment are not identified in this response, the State of Idaho has not made such change.
Idaho Standard Contract Terms and Conditions paragraph 21
Contract, or delegate any of its performance obligations, without the express written consent of the Administrator of the Division of Purchasing and the Idaho Board of Examiners, which shall not be unreasonably withheld. Transfer without such approval shall cause the annulment of the Contract, at the option of the State. All rights of action, however, for any breach of the contract are reserved to the State. (Idaho Code Section 67-9230). Notwithstanding the foregoing, Contractor may assign this Contract without prior written consent of the State if the assignment is in connection with a merger, divestiture, corporate reorganization, or sale of all or substantially all of its assets, stock, or securities, either (i) to any entity which is a successor to the assets of the assigning party, or (ii) to its parent, affiliate, or subsidiary, and the assignee or surviving entity assumes the Contractor's obligations under this Contract and has the financial ability and experience to comply with Contractor's obligations under this Contract and such assignee or surviving entity has not be debarred, suspended or otherwise declared ineligible to do business with or contract with the State. Any assignment or transfer of Contractor's rights and obligations shall be subject to the provisions of this Contract.
Idaho will not make the requested modifications. Idaho code section 67-9230 prohibits the transfer of a contract issued by the Division of Purchasing without written approval by the Administrator and the Idaho Board of Examiners. At the option of the Administrator, a contract transferred in violation of this provision can be annulled. Idaho Code section 67-1027 provides that the Idaho Controller shall not pay an assignee of a contract if the assignment has not been approved by the Idaho Board of Examiners. The State of Idaho Standard Terms and Conditions provision concerning assignment cannot be varied in a way that allows assignment without approval of the Administrator and the Idaho Board of Examiners. Further, the Idaho Board of Examiners is a constitutionally established board of statewide elected officers. These officers cannot be held to a standard established by contract when exercising their authority.
