About this file

This is a Model Cooperative Agreement template document used by the Defense Advanced Research Projects Agency (DARPA) for awarding research funding through cooperative agreements. The document serves as a reference template during award negotiation for selected proposals and does not require completion or submission as part of proposal submissions.

The agreement outlines a research cooperative award with a base period from September 1, 2026, to August 31, 2028, funded at $500,000, with optional funding increments including a U.S. Graduate Student Option ($350,000) and a Director's Fellowship Option ($500,000), for a total potential award of $1,350,000. The award is administered by the Department of Interior's Interior Business Center (IBC) on behalf of DARPA, with delegated administrative duties to the Office of Naval Research (ONR). The agreement establishes substantial government involvement in project management, requiring monthly monitoring of scientific progress toward milestones and government intervention rights to mitigate performance risks. Recipients must submit quarterly progress and financial management reports within 30 days of quarter-end dates (09/30, 12/31, 03/31, 06/30), along with annual Federal Financial Reports (SF-425) within 90 days of fiscal year-end and final technical, financial, and property reports within 120 days of performance completion. Payments are processed through the Department of Treasury's Automated Standard Application for Payments (ASAP) system on an advance basis when compliance requirements are met. The agreement incorporates DoD Research and Development general terms and conditions dated March 2025, addresses intellectual property matters through i-Edison.gov reporting, requires disclosure of foreign government talent program participation within five business days, and restricts research to fundamental research without publication restrictions unless the research character changes during performance. Recipients must comply with applicable federal statutes, regulations, 2 CFR Part 200, and specific agency requirements regarding human and animal subjects, recombinant DNA research, conflicts of interest, data availability, and security provisions.

12. Funding Increments and Options:

a. The Government's share for full performance of this award for the Base Period is $XXX,XXX.XX. Of this amount, only $XXX,XXX.XX is currently allotted and available for payment. In no event is the Government obligated to reimburse the Recipient for expenditures in excess of the total funds allotted by the Government to this award. The Government anticipates that from time to time additional amounts will be allotted to this award by unilateral amendment, until the Government share is fully funded.

b. The Recipient shall notify the AQD Financial Assistance Officer in writing whenever expenditures, including anticipated expenditures over the next 60 days, are expected to exceed 75% of the amount allotted (including the Recipient's cost share, if applicable). If additional funds are not allotted, after proper notification, the parties agree this award will be terminated.

c. The Recipient is not obligated to continue performance or otherwise incur costs in excess of the current amount allotted (including the Recipient's cost share, if applicable). When the amount allotted is increased, expenditures incurred to the date of increase shall be allowable to the same extent as if incurred after award, unless the Financial Assistance Officer issues a termination or other notice and directs that the increase in allotment is solely to cover termination or other specified expenses.

d. The Recipient is advised that the Government’s obligation to provide funding for the Director’s Fellowship Option included in the Cooperative Agreement is contingent upon (i) satisfactory performance and (ii) the availability of funds. Accordingly, no legal liability on the part of the Government exists unless or until (i) funds are made available to the Government and notice of such availability is confirmed in writing to the Recipient and (ii) performance of the research is deemed satisfactory in the judgment of the Financial Assistance Officer.

13. Special Terms and Conditions:

a. This research DOES NOT require the use of Human Subjects.

b. This research DOES NOT require the use of Animal Subjects.

c. This research DOES NOT have restricted Data Rights.

d. Title to Cooperative Agreement-purchased Tangible Personal Property (Equipment): In accordance with 2 CFR 200.313, title to tangible personal property acquired under this Federal award vests upon acquisition with the recipient and title is conditional as it is subject to the use of the tangible personal property for authorized purposes of the project during the period of performance or until the property is no longer needed for the purposes of the project.

For this Cooperative Agreement and specific to recipients who are institutions of higher education, the Cooperative Agreement program’s statutory authority does not provide the authority to unconditionally pass title of tangible personal property to the recipient without further obligation to the federal government. Therefore, this term and condition provides the federal awarding agency’s discretionary election to pass title of Cooperative Agreement-acquired equipment to the recipient without further obligation to the federal government contingent upon the recipient’s submission of an acceptable final property report (SF-428 Cover Page, SF-428-B, and SF-428-S). On the SF-428-B, the recipient must select for Item #1. Report, option “b. Acquired Equipment…” and for Item #2b. Acquired Equipment, option “(i) Request unconditional transfer of title with no further obligation to the Federal Government.”

e. Failure of the academic or non-profit research performer or recipient to reasonably exercise due diligence to discover or ensure that neither it nor any of its Senior/Key Research Personnel involved in the subject award are participating in a Foreign Government Talent Program or have a Foreign Component with an a strategic competitor or country with a history of targeting U.S. technology for unauthorized transfer may result in the Government exercising remedies in accordance with federal law and regulation.

a. If, at any time, during performance of this research award, the academic or non-profit research performer or recipient should learn that it, its Senior/Key Research Personnel, or applicable team members or subtier performers on this award are or are believed to be participants in a Foreign Government Talent Program or have Foreign Components with a strategic competitor or country with a history of targeting U.S. technology for unauthorized transfer , the performer or recipient will notify the Government Contracting Officer or Agreements Officer within 5 business days.

1. This disclosure must include specific information as to the personnel involved and the nature of the situation and relationship. The Government will have 30 business days to review this information and conduct any necessary fact-finding or discussion with the performer or recipient.

2. The Government’s timely determination and response to this disclosure may range anywhere from acceptance, to mitigation, to termination of this award at the Government’s discretion.

3. If the University receives no response from the Government to its disclosure within 30 business days, it may presume that the Government has determined the disclosure does not represent a threat.

b. The performer or recipient must flow down this provision to any subtier contracts or agreements involving direct participation in the performance of the research.

THIS ACTION IS MADE ON BEHALF OF A DoW CUSTOMER UTILIZING DoW FUNDS.
