About this file
This is an attachment to a solicitation document outlining the on-ramp and off-ramp procedures for the NITE-STAR Capability Development Multiple Award Indefinite Delivery Indefinite Quantity (MA IDIQ) contract (Solicitation # FA255326RB001).
The on-ramp procedures allow the Government to add contractors to the IDIQ at any time during the ordering period at its sole discretion, with no limit on the number of additional awardees. When an on-ramp competition is conducted, the Government will advertise the reopened competition on www.sam.gov, and new awardees must meet the same criteria and evaluation standards as the initial award. New contractors added through on-ramping will be co-terminus with existing contract terms and will not extend beyond the original IDIQ maximum term and ordering period. The Government will not consider unsolicited requests for IDIQ participation, and protests during on-ramping events will not interfere with existing or new delivery order reviews and issuance.
The off-ramp procedures establish the Government's unilateral right to remove contractors from future task and delivery order competitions for reasons including consistent unsatisfactory performance, material breach of contract, contractor request, business cessation, or failure to actively participate in order competitions. Off-ramped contractors must continue performing on active task and delivery orders until completion but become ineligible for new opportunities. Unsatisfactory performance includes failure to comply with contract terms, unsatisfactory Contractor Performance Assessment Reporting System (CPARS) ratings, or failure to maintain adequate security programs for classified information protection.

Solicitation # FA255326RB001, NITE-STAR Capability Development IDIQ
Attachment 5 On-Ramp & Off-Ramp Procedures
ON-RAMP & OFF-RAMP PROCEDURES
1.0 On-Ramps
1.1 The Government, at its sole discretion, may choose to on-ramp any number of contractors on the NITE-STAR Capability Multiple Award Indefinite Delivery Indefinite Quantity (MA IDIQ) at any time during the contract ordering period. The Government reserves the right to award more or no additional contracts if determined to be in the best interest of the Government. Market research will be conducted regularly to assess whether there are other potential offerors that are capable of meeting NITE-STAR IDIQ requirements.
1.2 When an On-Ramp is used, the Government will advertise the reopening of the competition on www.sam.gov, and awardees shall meet the criteria established in the initial NITE-STAR
Capability Development MA IDIQ solicitation; this includes all evaluation criteria for the MA
IDIQ. The evaluation and selection of awardees for any On-Ramp will be based upon substantially the same evaluation and award criteria used for the initial basic contract awards. Any new awardees will compete with any existing or remaining Contractors for all TO/DOs under the NITE-STAR
Capability Development MA IDIQ.
1.3 The reopened solicitation may contain additional or updated clauses that were revised since the initial solicitation. In the event an “On-Ramp” is used, Contractors with existing contracts will be notified of any clause additions or updates which will be incorporated via a bilateral modification.
1.4 Any additions due to On-Ramps will be co-terminus with the existing term and not impact the contract maximum ordering ceiling and the ordering period for new awardees will not exceed the overall maximum term of the original IDIQ contract, including options (i.e., will not extend past the dates established at initial award).
1.5 The Government will not consider unsolicited requests for addition to the NITE-STAR
Capability MA IDIQ.
1.6 The on-ramping competition is considered a separate and distinct open procurement. As such, any Protests raised during an on-ramping event shall not interfere with any new and/or existing
DOs requirements from being reviewed, competed, and/or issued with the original or current
Contractor awardee pool.
2.0 Off-Ramps
2.1 The Government reserves the right to unilaterally off-ramp contractors from participation in future task/delivery orders under this IDIQ for, but not limited to, the following reasons:
1. Consistent unsatisfactory performance
2. A material breach of this IDIQ contract or any task/delivery order issued hereafter
3. At the request of the Contractor
4. If the Contractor ceases business operations
Solicitation # FA255326RB001, NITE-STAR Capability Development IDIQ
Attachment 5 On-Ramp & Off-Ramp Procedures
5. Failure to actively participate in order competitions
2.2 Contractors that are Off-Ramped will not be eligible to compete for new TO/DOs under the
NITE-STAR Capability Development MA IDIQ, but will be required to continue performing active TO/DOs until the period of performance of such orders ends. The Off-Ramp process under an IDIQ contract encompasses several methods by which the Government may exercise its right to remove a Contractor. Examples of unsatisfactory performance, includes, but is not limited to:
(1) a Contractor is not performing in accordance with the terms and conditions of the NITE-STAR
Capability Development MA IDIQ, (2) a Contractor has received unsatisfactory Contractor
Performance Assessment Reporting System (CPARS) rating(s) on TO/DOs, or (3) a Contractor has failed to maintain a security program ensuring classified information is protected.
