SECTION 1. INTRODUCTION AND INSTRUCTIONS TO RESPONDENTS

1.1 INTRODUCTION

The County of Orange (County), consisting of 22 agencies and departments, and the Orange

County Flood Control District (District) deliver a broad range of services to the residents of Orange

County. Services provided include public protection, public health, infrastructure maintenance, and community and social services. As the District relies on County staff to carry out its duties, the District will also be included as a party to any contract(s) resulting from this solicitation. It is the primary responsibility of the County’s public works department (OC Public Works) to enrich the community through the efficient delivery and maintenance of public works infrastructure, planning, capital improvement, and development services.

OC Public Works intends to pre-qualify firms to provide Architect-Engineer (A-E) and A-E related services Countywide and District-wide for various maintenance and capital improvement projects.

Through this Request for Qualifications (RFQ), the County and District will evaluate responding firms based on the qualifications and requirements established in this solicitation and will establish a Qualified Vendor List (QVL) consisting of firms determined to be qualified to perform the applicable A-E disciplines and services.

From the firms determined to be qualified and placed on the QVL, the County and District intend to select certain firms for initial contract awards, subject to approval by the Orange County Board of Supervisors, as applicable. Firms that are determined to be qualified but are not selected for an initial contract award will remain on the QVL and may be considered for future contracting opportunities during the effective period of the QVL, subject to County and/or District needs, available contracting capacity, applicable procurement requirements, and required approvals.

Placement on the QVL does not guarantee the award of a contract, task order, minimum dollar amount, or any specific volume of work. Likewise, the award of a contract does not guarantee that any particular amount of work will be assigned. The County and District reserve the right, at their sole discretion and in accordance with applicable County policies and procedures, to make multiple contract awards and to utilize qualified firms from the QVL as future needs arise.

Contracts awarded as a result of this RFQ process shall have a maximum term of three (3) years.

At the conclusion of the applicable contract and/or QVL period, the County and/or District may issue a new solicitation to establish a new QVL and provide firms an opportunity to compete for future A-E services.

Respondent, consultants, and sub-consultants. County reserves the right to seek publicly available information about the Respondents. SOQs deemed to meet all minimum RFQ requirements will be scored based on the established criteria, and will be assigned points that measure the responsiveness to each identified criterion. The total number of points earned will be tallied for each SOQ, based upon the Respondent(s) submitted written materials. The County may request clarifications or otherwise verify the contents of the SOQ, including information about the Respondent, Contractors and sub-contractors. The County reserves the right to seek publicly available information about the Respondents. The scoring is based on evaluation of the SOQ as measured against the Scoring Criteria. SOQs will be evaluated from the most advantageous to the least advantageous to the County. *Please note: These minimum qualifications must be verified for the SOQ to be deemed responsive. Any SOQ may be construed as non-responsive and ineligible for consideration if it does not comply with the requirements of the RFQ.

OC Public Works - Architect-Engineer (A-E) Structural Engineering Services – Task Order Contract, 080-3128202 -DB-A

SOQs deemed to meet all minimum RFQ requirements shall be scored based on the established criteria, which have been weighted and will be assigned points that measure the responsiveness to each identified criterion. The total number of points earned will be tallied for each SOQ, and the

SOQs will be ranked in order, based upon the Respondent(s) submitted written materials.

Any inquiry to determine the responsibility of a Respondent to this RFQ may be conducted.

Respondent agrees that the submission of a SOQ is permission by Respondent for County to verify all information contained therein. If County believes it necessary, additional information may be requested from Respondent. Failure to comply with any such request may disqualify a Respondent from further consideration.

1.6 SELECTION/AWARD PROCEDURES

Upon the completion of the evaluation process, the Evaluation Panel will make a recommendation for an award to DPA. Final award determination shall be subject to reference checks and past performance and may be subject to approval(s) by the County Board of Supervisors. In addition, County reserves the right to verify and validate any information prior to the Contract Award and during the entire term of the Contract. The Model Contract contained in Section III of this solicitation is a sample of a contract which may be proposed for execution. It may be modified to incorporate negotiated items and other pertinent terms and conditions set forth in this solicitation, including special conditions and requirements and those added by addendum and necessary attachments and/or exhibits and to reflect the Respondent’s SOQ and qualifications. Each selected

Respondent may enter into a contract with the County for a term of three (3) years. After award of contract as each project is identified, the awarded Respondent within the required discipline(s) will be requested to submit cost/fee schedule. No guarantee is expressed or implied as to the total services to be purchased under this RFQ. Award to a consultant does not guarantee any future work to be awarded. In the event a Respondent is selected for a specific project, the selected

Respondent will be required to negotiate and execute an agreement with the County, which agreement may require County Board of Supervisor approval. Inquiries may or may not be conducted with the finalists; therefore, the SOQs submitted should contain Respondent's most favorable terms and conditions, since the selection and award may be made without further discussion.

Notwithstanding the evaluation panel’s scoring and selection results, the Orange County Board of

Supervisors retains the authority to select and approve the respondent(s) for contract award from the respondents recommended for selection, or to reject all responses, in accordance with the

County Contract Policy Manual and applicable law. The evaluation results and staff recommendations are provided to the Board of Supervisors for consideration; however, the final selection and authorization to award a contract shall be made by the Board of Supervisors.

Exceptions to the terms and conditions of the proposed Contract or the statements regarding

Respondent’s inability to comply with any of the provisions thereof are to be declared in the response to the RFQ in Vendor Responses, “Statement of Compliance.”
