About this file
This document is a Vendor Term Agreement between the Florida Department of Agriculture and Consumer Services (FDACS) and an unnamed vendor for road material products for the Florida Forest Service. The agreement is part of Invitation to Bid No. ITB FFS 24 25 152 for Road Material Region 2, with an initial term that will be effective upon full execution and expire on a date to be specified. The contract allows for potential renewal on a yearly basis for up to three years and a potential single extension of up to six months, all subject to mutual written agreement between the parties.
The agreement specifies that the vendor will only provide road material products upon issuance of a purchase order (PO) by FDACS, which will set forth the location and total number of units per ton at a predetermined price. The department is not obligated to issue POs or guarantee any specific volume of work. The vendor can be terminated with 30 days' notice, and the department reserves the right to assess financial consequences for non-performance, including withholding 10% of the total invoice amount if deficiencies are not resolved. The vendor is required to indemnify and hold harmless the department from any third-party claims related to the agreement.
