SECTION C

STATEMENT OF WORK

The contractor will supply the labor, time, materials, and supervision to provide caretaker services for properties under the custody or acquisition of USDA Rural Development.

The contractor shall perform caretaker services for the protection and maintenance of the properties assigned by an authorized government representative. It is contemplated that properties will be assigned initially with additions or withdrawals made thereafter from time to time.

The Contractor must use biobased cleaning products to comply with the Farm Security and Rural Investment Act of 2002 (FSRIA), 7 U.S.C. 8102; the Food, Conservation and Energy Act of 2008 (FCEA), 7 U.S.C. 8102; the Federal Acquisition Regulation; Executive Order (EO) 13514, “Federal Leadership in Environmental, Energy and Economic Performance,” dated October 5, 2009; EO 13423, “Strengthening Federal Environmental, Energy, and Transportation Management,” dated January 24, 2007; and Presidential Memorandum, “Driving Innovation and Creating Jobs in Rural America through Biobased and Sustainable Product Procurement,” dated February, 2012 to provide biobased products.

The contractor must provide proof on insurance coverage and the same must remain valid for the entire period of performance. See the attached sample certificate of liability insurance (Acord 25) for the required coverages. The contractor’s failure to maintain the insurance active will preclude him from receiving BPA call orders, and be personally liable for any incidents that might occur.

The contractor shall provide the services, as indicated below, upon receiving an order from Rural Development (RD) assigning a property.

Under no circumstances will the contractor provide services to the properties without prior approval from the authorized government representative.

1. Initial Yard Maintenance - is assigned when the grass, shrubbery and debris obstruct the property, entrance and walkways. Contractor shall clean the entire yard within the legal and staked boundaries of the property. Any questions concerning boundary location will be directed to the requestor for resolution. The authorized official will indicate the contractor before the service is provided if the interior of the property will be included in the initial maintenance. Remove all trash, from interior or exterior of property and discard; do not leave trash in the vicinity of the property. The interior, if applicable, of the premises will be swept “broom clean”. Inspect property for security against unauthorized entry and damage caused by the elements. Trash needs to be removed from the premises upon completion of the service.

2. Routine Yard Maintenance - The contractor shall continue to provide yard maintenance services for each property assigned to maintain grounds and interior to present a neat well-kept appearance; shrubbery shall be kept trimmed to prevent obstruction from walkways, windows, doors and any other access area; trim grass around foundations, fences, trees, etc., as necessary, and remove all clippings in yard. Inspect the property for security against unauthorized entry and damage caused by the elements. Trash needs to be removed from the premises upon completion of the service.

3. Change locks - during the initial or routine service, as requested by RD.

4. Install exterior doors (solid core) with locks and butt hinges to properly protect the property.

5. Install aluminum windows (.062 cm) to properly protect the property.

6. Debris Removal - Remove all debris from around the property, tree limbs, old washers / dryers, and any other debris that affects the property surroundings If special circumstances arise, e.g., an abandoned car, call RD for a price adjustment or additional instructions. (Trash removed as part of cleaning and cutting grass is not considered debris removal)

7. Board-up Services - The contractor shall provide board-up services for each property for which an order is placed. “Board” all windows and doors as necessary to properly protect the property, using RD approved methods and materials (See attached Board-Up Procedures).

8. Board-up Removal Services - The contractor shall provide the removal services as indicated for each property that has been boarded up for which an order is placed. Carefully remove; so as to avoid damage to the dwelling, all “board-up” material installed over windows and doors. As the sheets of plywood and 2x4” are removed, reinstall the appropriate hardware (bolts, washers, nuts, etc.) in the plywood and/or 2x4’s for storage and future use. The Contractor is responsible for storing all “board-up” material on his/her property. Any such material stored by the contractor after the term or upon termination of this contract will be available for pick-up by RD or its agent for a period of 30 days from the final day of the contract.

9. Pest Control - The contractor will provide pest control services, as indicated by the requestor, for each property for which services are provided. The contractor will secure the services of a licensed pest control firm to provide an inspection report for such pests as termites, roaches, fleas, rodents, beehive etc. Provide a copy of the pest control license.

SECTION H

SPECIAL CONTRACT REQUIREMENTS

COORDINATING INSTRUCTIONS:

1. Questions concerning the property with respect to any assignment should be directed to the

USDA Rural Development authorized government representative.

2. Questions relative to payment for services and interpretation of the contract should be directed to the Contracting Officer, Antonio J. Salgado at 787-766-5092.

PERIOD OF PERFORMANCE:

The proposed BPA will be for a base year plus 4 Option Years. The period of performance for the base year shall be from the effective date until September 30, 2017 or until rescinded by one of the parties.

EXTENT OF OBLIGATION:

The Government is obligated only for the order of services referenced above and placed by an authorized individual (TBD) unless the services are cancelled within two (2) working days prior to the specified performance date. The contractor is cautioned not to accept calls from personnel other than those specifically identified as authorized individuals acting within the scope of their authority.

PRICING:

The price to the Government for each service shall be as low or lower than those charged to the supplier's most favored customer for comparable quantities under similar terms and conditions.

DELIVERY OF SERVICES:

Services should be completed no later than 10 calendar days from the time they are assigned.

The contractor shall complete the caretaker services as indicated by the requestor. In the event the service is determined to be unacceptable, the contractor will be notified and will have a maximum of 5 calendar days to perform the necessary corrections and resubmit the services at no additional cost to the Government to the reviewing official.

LATE DELIVERIES

In the event the contractor encounters difficulty in meeting performance requirements, he/she shall immediately notify the Contracting Officer in writing, giving pertinent details, provided that this data shall be informational only. This provision shall not be construed to be a waiver of any of the delivery and performance requirements, nor does it propose any remedies available to the contractor on an individual basis only.

The Contracting Officer will be monitoring the delivery dates and receipt of invoices.

The work and invoices shall be completed and turned in the assigned area office by the due date.

If, after three occasions, the contractor fails to provide services upon the due date, the Government reserves the right to cancel the order without further notification.

INVOICING

All invoices shall be submitted electronically, via e-mail, to the requesting office along with the invoice tracker excel spreadsheet.

(d) Inspection/Acceptance. The Contractor shall tender for acceptance only those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or re performance of nonconforming services at no increase in contract price. The Government must exercise its post acceptance rights -

(1) Within a reasonable period of time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(e) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence, such as acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(f) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges that the Contractor can demonstrate to the satisfaction of the Government, using its standard record keeping system, have resulted from the termination. The Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred that reasonably could have been avoided.

(g) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.

(h) Warranty. The Contractor warrants and implies that the items delivered hereunder are merchantable and fit for use for the particular purpose described in this contract.

52.204-3 Taxpayer Identification. (OCT 1998)

(a) Definitions.

Common parent, as used in this provision, means that corporate entity that owns or controls an affiliated group of corporations that files its Federal income tax returns on a consolidated basis, and of which the offeror is a member.

Taxpayer Identification Number (TIN), as used in this provision, means the number required by the Internal Revenue Service (IRS) to be used by the offeror in reporting income tax and other returns. The TIN may be either a Social Security Number or an Employer Identification Number.

(b) All offerors must submit the information required in paragraphs (d) through (f) of this provision to comply with debt collection requirements of 31 U.S.C. 7701(c) and 3325(d), reporting requirements of 26 U.S.C. 6041, 6041A, and 6050M, and implementing regulations issued by the IRS. 52.204-7 -- System for Award Management (JUL 2006)

(a) Definitions. As used in this clause--

Central Contractor Registration (CCR-https://www.sam.gov) database means the primary Government repository for Contractor information required for the conduct of business with the Government.

Data Universal Numbering System (DUNS) number means the 9-digit number assigned by Dun and Bradstreet, Inc. (D&B) to identify unique business entities.

Data Universal Numbering System +4 (DUNS+4) number means the DUNS number assigned by D&B plus a 4-character suffix that may be assigned by a business concern. (D&B has no affiliation with this 4-character suffix.) This 4-character suffix may be assigned at the discretion of the business concern to establish additional CCR (https://www.sam.gov) records for identifying alternative Electronic Funds Transfer (EFT) accounts (see the FAR at Subpart 32.11) for the same parent concern.

Registered in the CCR (https://www.sam.gov) database means that--

(1) The Contractor has entered all mandatory information, including the DUNS number or the DUNS+4 number, into the CCR-https://www.sam.gov database;

(d) If the Offeror does not become registered in the CCR (https://www.sam.gov) database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror.

(e) Processing time, which normally takes 48 hours, should be taken into consideration when registering. Offerors who are not registered should consider applying for registration immediately upon receipt of this solicitation.

(f) The Contractor is responsible for the accuracy and completeness of the data within the CCR (https://www.sam.gov) database, and for any liability resulting from the Government's reliance on inaccurate or incomplete data. To remain registered in the CCR (https://www.sam.gov) database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the CCR database to ensure it is current, accurate and complete. Updating information in the CCR does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.

(g)(1)(i) If a Contractor has legally changed its business name, "doing business as" name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in Subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day's written notification of its intention to (A) change the name in the CCR database; (B) comply with the requirements of Subpart 42.12 of the FAR; and (C) agree in writing to the timeline and procedures specified by the responsible Contracting Officer. The Contractor must provide with the notification sufficient documentation to support the legally changed name.

(ii) If the Contractor fails to comply with the requirements of paragraph (g)(1)(i) of this clause, or fails to perform the agreement at paragraph (g)(1)(i)(C) of this clause, and, in the absence of a properly executed novation or change-of-name agreement, the CCR (https://www.sam.gov) information that shows the Contractor to be other than the Contractor indicated in the contract will be considered to be incorrect information within the meaning of the "Suspension of Payment" paragraph of the electronic funds transfer (EFT) clause of this contract.

(2) The Contractor shall not change the name or address for EFT payments or manual payments, as appropriate, in the CCR record to reflect an assignee for the purpose of assignment of claims (see FAR Subpart 32.8, Assignment of Claims).

Assignees shall be separately registered in the CCR database. Information provided to the Contractor's CCR record that indicates payments, including those made by EFT, to an ultimate recipient other than that Contractor will be considered to be incorrect information within the meaning of the "Suspension of payment" paragraph of the EFT clause of this contract.

(h) Offerors and Contractors may obtain information on registration and annual confirmation requirements via the internet at https://www.sam.gov.

52.223-2 Affirmative Procurement of Biobased Products Under Service and Construction Contracts (September 2013).

(a) In the performance of this contract, the contractor shall make maximum use of biobased products that are United States Department of Agriculture (USDA) designated items unless

(1) The product cannot be acquired

(i) Competitively within a time frame providing for compliance with the contract performance schedule;

(ii) Meeting contract performance requirements; or

(iii) At a reasonable price.

(2) The product is to be used in an application covered by a USDA categorical exemption (see 7 CFR 3201.3(e)). For example, all USDA-designated items are exempt from the preferred procurement requirement for the following:

(i) Spacecraft system and launch support equipment.
