C.1 SCOPE OF CONTRACT

Description of Work: This contract is for professional services to develop, design, and provide proofs and electronic files for interpretive displays. The designs will be turned over to a fabricator hired under a separate contract to be used in the production of sixteen (16) 24 inch X 36 inch pedestal mounted interpretive panels at locations along the Mammoth Lakes Multi-Use Trail System. The locations have been predetermined as shown on the attached map (Figure 1). These locations are scenic over-views where the interpretative signs can provide educational messages about the natural, cultural, and geological features observed.

Contractor Responsibility: The Contractor shall provide everything--including, but not limited to, all equipment, supplies, transportation, labor, and supervision--necessary to complete the project, except for that which the contract clearly states is to be furnished by the Government C.2 Project Location & Description

Location: The project is located on the Inyo National Forest, Mammoth Ranger District within The Town of Mammoth Lakes, Mono County, California. The signs will be located in and around The Town of Mammoth Lakes on National Forest System Lands.

Description: The Contractor shall draft text, develop, and complete graphic designs for the panels layouts and facilitate text and panel design review process with the USFS, Eastern Sierra Interpretative Association (ESIA), USGS, Town of Mammoth Lakes and a few specific stake holder interested parties in providing input for message displays that will be conveyed through each of the panels. Below is an outline of the process that the Contractor will be required to follow for the scope of this project.

· Phase 1

· Conduct Field Study for each of the proposed sites for the interpretive displays.

· Conduct meetings with USFS, ESIA, Town of Mammoth, a few specific stake holders for input into display message opportunities.

· Determine Objectives for each location.

· Prepare Schematic Design Plan

· Deliverables: workshop and meeting minutes, including objectives for each location, and schematic plan designs for each panel.

· Phase 2

· Attend workshop to review Schematic Design

· Develop Panel Exhibit Design

· Write Draft Exhibit Labels

· Deliverables: workshop meeting minutes, draft exhibit panel design and message labels for each panel.

· Phase 3

· Prepare Panel Exhibit Drawings

· Write Final Exhibit Text

· Deliverables: proof exhibit panel with text.

· Phase 4

· Revise and Finalize Digital Files and Proofs

· Deliverables: Full Size Color Panel Proofs and Digital Files. (See Section C.8-1 Specifications.)

Exclusions (non-work areas): None

Any prospective contractor desiring an explanation or interpretation of the solicitation, drawings, specifications, etc., must request it in writing from the Contracting Officer soon enough to allow a reply to reach all prospective contractors before the solicitation closing date. Oral explanations or instructions given before the award of a contract will not be binding.

C.3 Maps

Maps showing the general vicinity and/or specific work areas are included in Section J. Maps are general in nature and are not to be considered as definitively identifying locations.

C.4 Estimated Start Date & Contract Time

Start: June 1, 2010

Time: 140 days total

C.5 Restrictions on Work

Work may be performed at any time during the period of the contract, except as outlined here. Nothing in this part shall be construed to take away any of the Government's rights under the Suspension of Work Clause (52.242-14). Restrictions are as follows:

1. In accordance with the fire plan, if included in Section J.

2. When the Contracting Officer (or designated representative) determines that adverse weather has made access too dangerous or that continued vehicular travel would cause unacceptable road damage.

C.6 Worker's Compensation Insurance

MSPA Card (Form WH510): This contract [ ] does [ X ] does not require the contractor to be registered with the US Department of Labor as a Farm Labor Contractor. The Contractor shall provide a current Form WH510 or legible copy.

C.7 Camping and Housing Camping is not permitted in US Forest Service campgrounds. Contractor [ ] will [ X ] will not be permitted to camp elsewhere on US Forest Service land. Camping on Forest Service land is not a right; permission may be revoked for failure to comply with the terms of the permit.

C.8 Technical Requirements C.8.1 Specifications Panel Drawings shall be submitted full size on 24” x 36” sheets with at least 4 sets of each panel true color print. Electronic files shall be proved for each panel that meet the following guidelines. Acceptable files are from Adobe Illustrator, Adobe Photoshop or Adobe InDesign Macromedia Freehand and QuarkXpress for fabricator. The files shall also be submitted in Adobe Photoshop. If files are placing gray scale, color, or bitmap images in a vector drawing application (Illustrator, Freehand etc.) or page layout application (Quark, Pagemaker etc.) save raster images as EPS, TIF or PSD files, do not use the LZW compression option when saving TIF’s. Do not embed raster images in your layout. If the entire layout is being executed in Photoshop please provide KVO with a layered native Photoshop file if possible. Do not convert duotones, monotones, quadtones etc. to either RGB or CMYK, leave them as spot colors and make sure to use the Pantone coated library when selecting these colors. All raster images should be at, or near 300 DPI when scaled to their final output size. Remember to take into account any scaling done in your layout application when determining final output resolution. Remember, JPEGs and GIFs are not designed for printing and even if converted to a printable format the final results can be severely compromised.

The design must also take into consideration all requirements of:

· The Panel Fabrication Contract

· USFS Standards

· Sign fabrication will be by others using sign material is a high pressure laminate graphic sign material is composed of several layers of phenolic resin impregnated kraft filler paper, surfaced by a layer of melamine graphic image substrate, imaged with UV resistant, pigment based process color inks, and translucent UV overlay, and a UV resistant melamine clear overlay, plus an optical coating that will resist no less that 99% of all sunlight and U.V. rays, as well as provide a graffiti resistant coating. In lamination grades, the back must be sanded to assure even bonding during the lamination process.

Project Deliverables

The following is a list of anticipated deliverables:

· Initial plans, renderings and/or electronic visual simulations and materials at the 10 percent completion level for workshops.

· Drawings for the workshop and information meetings at the 50 percent completion level.

· Coordination meetings and minute taking.

· 90 percent submittal with project specifications.

· 100 percent submittal with project specifications, reproducible specifications.

· Shop drawing review comments from fabricator

· Attendance field inspection.

Work Timing

Failure to begin work on schedule will make the contract subject to immediate termination for default.

Delays due to normal adverse weather, weekends, and holidays have been included in the calculation of contract time. The Government reserves the right to set the priority of items or subitems. Contractor shall complete all work on one subitem before proceeding to another.

G - Contract Administration Data Pre-work Pre-work conference. Before work begins on service contracts, a pre-work conference is normally held to discuss the contract--especially the specifications, labor provisions, plan of work, and selected standard clauses. The pre-work meeting should be attended by an officer of the firm or someone designated in writing to act on behalf of the firm. The pre-work meeting may be waived at the discretion of the Contracting Officer.

Notice to Proceed.

Contract Release.

Before final payment will be made the Contractor shall sign a release of all claims against the

Government arising by virtue of this contract, other than claims, in stated amounts, that the

Contractor has specifically excepted from the operation of the release. A release may also be required of the assignee if the Contractor's claim to amounts payable under this contract has been assigned under the Assignment of Claims Act of 1940 (31 U.S.C. 3727 and 41 U.S.C. 15).

Invoices.

A. [ ] Payment will be processed using Form FS-6300-30, Contract Pay Estimate and Invoice, prepared by the C.O.R. The Contractor need not submit any other invoice, nor is Contractor required to sign any invoice except the last.

In service contracts where work is paid for on a monthly basis and the Government prepares the invoice, the date for receipt of a proper invoice is established as the second working day of the month, starting with the month following the first service performed under the contract.

The Government will provide the following item(s) of Government property to the Contractor for use in the performance of this contract. This property shall be used and maintained by the Contractor in accordance with the provisions of the "Government Property" FAR clause contained elsewhere in the contract.

(a) The Contractor shall assign to this contract the following key personnel: __________________

(b) During the first ninety (90) days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 15 calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90-day period, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least 15 days prior to making any permanent substitutions.

(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes of key personnel.

Contractor Representatives The Government may deal officially and directly only with the contract signer, with corporate officers with legal contractual authority, or with persons specifically designated by the contractor to act as official representatives.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.

(1) The Comptroller General of the United States, an appropriate Inspector General appointed under section 3 or 8G of the Inspector General Act of 1978 (5 U.S.C. App.), or an authorized representative of either of the foregoing officials shall have access to and right to—

(i) Examine any of the Contractor’s or any subcontractors’ records that pertain to, and involve transactions relating to, this contract; and

(ii) Interview any officer or employee regarding such transactions.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.212-3 Offeror Representations and Certifications -- Commercial Items (Aug 2009)

An offeror shall complete only paragraphs (b) of this provision if the offeror has completed the annual representations and certificates electronically at http://orca.bpn.gov . If an offeror has not completed the annual representations and certifications electronically at the ORCA website, the offeror shall complete only paragraphs (c) through (m) of this provision.

(a) Definitions. As used in this provision--

“Emerging small business” means a small business concern whose size is no greater than 50 percent of the numerical size standard for the NAICS code designated.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Inverted domestic corporation” means a foreign incorporated entity which is treated as an inverted domestic corporation under 6 U.S.C. 395(b), i.e., a corporation that used to be incorporated in the United States, or used to be a partnership in the United States, but now is incorporated in a foreign country, or is a subsidiary whose parent corporation is incorporated in a foreign country, that meets the criteria specified in 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in Federal Supply Classes (FSC) 1000-9999, except—

(1) FSC 5510, Lumber and Related Basic Wood Materials;

(2) Federal Supply Group (FSG) 87, Agricultural Supplies;

(3) FSG 88, Live Animals;

(4) FSG 89, Food and Related Consumables;

(5) FSC 9410, Crude Grades of Plant Materials;

(6) FSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) FSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) FSC 9610, Ores;

(9) FSC 9620, Minerals, Natural and Synthetic; and

(10) FSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
