ANNUAL PRICE ADJUSTMENT
Offerors wishing to propose revised prices in successive years shall state in the spaces below the price adjustment percentages to be used by the Government to compute future year prices, to be effective for the first, second, third, and fourth option years. For instance, a 3% price adjustment factor is shown as 3% (rather than 103% or 1.03). Note that the price adjustment percentage can be either negative or positive.
The factors stated will be compounded annually. If no percentage is entered, future year prices will be the same as base year prices. Offer’s economic price adjustment percentages(s):

The Government intends to award up to two Contracts resulting from this solicitation for the line transect surveys. The start work date and performance time will be identified on each Task Order. Contract time may run continuously with no time discounted for weather or fire restrictions.
The Government anticipates awarding a Task Order at time of award for work on the Eugene BLM District, Upper Willamette Resource Area. The Government estimates a Task Order in the amount of 400 acres with an estimated start work on 4/27/2012.
ISSUANCE OF TASK ORDERS
All work will be ordered by Fixed price TASK ORDERS (TO) at the prices listed on Schedule of Items through March 31 (Base Year and each Option Year exercised).
The Government will designate by Task Order the sequence of surveys.
The following individuals may place Individual Project Task Orders against this Contract: Any warranted Contracting Officer with proper delegated authority within the USDA Forest Service in Region 6, the Oregon/Washington BLM Office in Portland, or the Eugene and Salem BLM District Offices.
Attachment 1 includes a Sample Task Order, which is provided as an illustration. Task Orders may also be issued in other formats, e.g., purchase order.
CONTINUATION OF PART I – THE SCHEDULE
This is a one-year, Fixed Price, Indefinite-Delivery, Indefinite-Quantity (IDIQ) Contract with option to extend the term of the Contract for four additional years for the services specified. (Section I, FAR clause 52-217-9) The estimated quantities shown are for evaluation purposes. Offerors shall enter a Firm-Fixed Unit Price for each pay item and multiply the unit price by the estimated quantity to obtain the total amount. While the mailto:ssummers@fs.fed.us quantities are estimated, the Unit Price will become the fixed price for all future Task Orders issued during the period of this IDIQ.

K-3 FAR 52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION.
(APR 2009)
(a) Definitions. As used in this clause--
Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.
Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph
(c) of this clause. Such a concern is “not dominant in its field of operation” when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.
(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall represent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:
(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.
(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

L-2 FAR 52.215-5 FACSIMILE PROPOSALS (OCT 1997)
(a) Definition. "Facsimile proposal," as used in this provision, means a proposal, revision or modification of a proposal, or withdrawal of a proposal that is transmitted to and received by the Government via facsimile machine.
(b) Offerors may submit facsimile proposals as responses to this solicitation. Facsimile proposals are subject to the same rules as paper proposals.

(d) If any portion of a facsimile proposal received by the Contracting Officer is unreadable to the degree that conformance to the essential requirements of the solicitation cannot be ascertained from the document--
(1) The Contracting Officer immediately shall notify the offeror and permit the offeror to resubmit the proposal.
(2) The method and time for resubmission shall be prescribed by the Contracting Officer after consultation with the offeror; and
(3) The resubmission shall be considered as if it were received at the date and time of the original unreadable submission for the purpose of determining timelines, provided the offeror complies with the time and format requirements for resubmission prescribed by the Contracting Officer.

(e) The Government reserves the right to make award solely on the facsimile proposal. However, if requested to do so by the Contracting Officer, the apparently successful offeror promptly shall submit the complete original signed proposal.

(a) Protests, as defined in section 31.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from 3106 Pierce Parkway, Suite D, Springfield, OR 97477.

L-5 TECHNICAL PROPOSAL
L-5.1 Offeror shall describe its ability to perform this project by furnishing the information required in the Qualifications, Past Performance Statement, and Quality Control (outlined below) with its proposal.
L-5.2 Offeror is cautioned that sufficient information must be presented to enable the Government to evaluate the Contractor's qualifications, past performance, and quality control as detailed below.
L-6 TECHNICAL PROPOSAL OUTLINE – QUALIFICATIONS AND PAST PERFORMANCE
STATEMENT
L-6.1 The offeror shall enter unit prices and extended totals for each item listed on the Schedule of Items in Section B. These prices shall include all labor, materials, overhead and profit.
L-6.2 The offeror shall complete and submit Section K, Representations, Certifications and Other Statements of Offerors.
L-6.3 An offeror's proposal is presumed to represent the best effort to respond to the solicitation.
Any inconsistency, whether real or apparent, between promised performance, and cost or price, should be explained in the proposal. For example, if the intended use of new and innovative production techniques is the basis for an abnormally low estimate, the nature of these techniques and their impact on cost or price should be explained, or, if a corporate policy decision has been made to absorb a portion of the estimated cost, that should be stated in the proposal.
L-6.4 Evaluation Factor No. 1 – Qualifications (Education, Knowledge and Proficiency): Resumes should provide a short narrative describing familiarity with project area, biological survey work history and performance of three most recent jobs and any related work experience. Include a list of your key personnel showing their job titles and qualifications.
• The minimum requirements for the supervising biologist involved in supervision and interpretation of survey results are:
• A bachelor's degree in Wildlife Biology or related field such as Natural Science (Forester, Botanist, or Ecologist) and a thorough understanding of all aspects of the most current protocol.
• Field surveyors should be:
• Familiar with the techniques involved in project layout and established transect lines, and the identification and interpretation of visual evidence of RTV, including differentiation of their nest from those of other species.
• It is highly recommended that potential surveyors be trained by a wildlife biologist who has received training from an expert on the species and is knowledgeable about red tree vole biology, sign, surveys, and interpretation of survey results.
L-6.5 Evaluation Factor No. 2 – Past Performance Provide a listing of your projects for the past three-year (3) period, which most closely relates to this type of work. Include the following information for each contract:

The Government will assess the quality of the work performed for prior clients, including timeliness, compliance with requirements, and the degree of customer satisfaction. If you experienced difficulties on any of these projects, please describe the difficulties, and any steps taken to prevent a recurrence.
L-6.6 Evaluation Factor No. 3 – Quality Control and Capability to Perform Multiple Concurrent Task Orders: Describe in detail how the work will be supervised and quality monitored and your capability to perform multiple task orders.

SECTION M--EVALUATION FACTORS FOR AWARD
M-1 FAR 52.217-5 -- EVALUATION OF OPTIONS (JUL 1990)
Except when it is determined in accordance with FAR 17.206(b) not to be in the Government’s best interests, the Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options will not obligate the Government to exercise the option(s).
M-2 AWARD DETERMINATION
Award will be made to the offerors (1) whose proposal is technically acceptable and (2) whose technical/cost relationship is the most advantageous to the Government. While cost is secondary to technical, it will be a factor in the award decision. The critical factor in making any cost/technical trade-off is not the spread between the technical scores, but rather what is the significance of that difference.
The significance of the spread in scores will be determined on the basis of what that difference might mean in terms of performance and what it would cost the Government to take advantage of it. Awards may not necessarily be made to that offeror submitting the lowest offer. Also, award may not necessarily be made for technical capabilities that would appear to exceed those needed for the successful performance of the work. The Government reserves the right to make cost/technical trade-offs that are in the best interest and to the advantage of the Government.
Proposals will be rated to determine those offerors which are within the competitive range, price and other factors considered. Proposals should be submitted initially on the most favorable terms which the offeror can make to the Government. The Government reserves the right to reject any or all proposals or to make award without conducting discussions. Discussions (oral or written) may be conducted as appropriate with all offerors considered to be within the competitive range. For the purpose of this solicitation, discussion shall not be considered to have been initiated where the Government requests additional information supplementing or clarifying a proposal without materially changing it. Discussion shall be considered to be open negotiation with an offeror for the purpose of modifying or materially changing the proposal as submitted. Where discussions are held with one offeror within the competitive range, they will be held with all offerors within the competitive range.
Each proposal received will be carefully considered and all information submitted will be kept in strict confidence within legal constraints. This request for proposals does not commit the Government to pay any costs incurred in the preparation of the submission of proposals.
M-3 EVALUATION FACTORS
The information submitted in the offeror’s proposal, detailed in Section L, will be evaluated by the Government. Evaluation factors other than cost or price, when combined are significantly more important than cost or price.
