General Information

1. This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; proposals are being requested and a written solicitation will not be issued.

2. This solicitation is being issued as a(n) Request For Proposal (RFP).

3. This solicitation document and incorporated provisions and clauses are those in effect through:

Requirement Information Description:

Non-personal services to provide Airfield Management Support to the 82nd Training Wing (82 TRW), 80th Flying Training Wing (80 FTW), the Euro-Nato Joint Jet Pilot Training Program (ENJJPT), Sheppard Air Force Base, and the USAF leased properties at Frederick Regional Airport (KDFR). The contractor will provide all personnel, equipment, tools, and materials in order to provide the necessary services for mission accomplishment. See Attachment 1, Performance Work Statement (PWS), for a full description of requirements.

Place of Delivery/Performance/Acceptance/FOB Point:

Services are the be performed at Sheppard AFB TX and Frederick Regional Airport (KDFR).

The basic contract period is from 1 October 2020 through 30 September 2021. There are four one-year option periods.

The Service Provider may be required to submit financial information upon request for a responsibility determination.

Instructions to Offerors

FAR provision 52.212-1, Instructions to Offerors -- Commercial, applies to this acquisition. As prescribed in FAR 12.301(b)(1), the following addendum is provided for this solicitation and hereby amends any language therein:

The provision at FAR 52.212-1, Instructions to Offerors - Commercial, applies to this acquisition. The following addendum applies to this provision:

FAR 52.212-1 Addendum

A. Period for Acceptance of Offers. FAR 52.212-1(c) is tailored as follows: “The offeror agrees to hold the prices in its offer firm for 180 calendar days from the date specified for receipt of offers.”

B. Multiple Offers. FAR 52.212-1(e) is deleted.

C. Proposal Preparation Instructions: To assure timely and equitable evaluation of the proposal, the offeror must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, and representations and certifications. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of three (3) separate parts (emailed PDF files and mailed or hand delivered CD or DVD) containing the evaluated factors: Part I - Price Proposal, Part II - Technical Proposal, and Part III - Past Performance Information

The following applies to proposal Parts I, II and III:

• The proposals will be setup on US letter sized (8 ½” x 11”) pages except for charts, tables, or diagrams, which may not exceed 11” x 17”.

• A page is defined as one face of a sheet of paper if it were printed and containing information

• Text shall not be less than 11 point, Times New Roman font.

• Elaborate formats or color presentations are not desired or required.

• Pages in excess of the page limit shown below will not be evaluated.

• In order to ensure receipt of your proposal, please submit a copy of all proposal parts on a CD or DVD.

D. The Contracting Officer has determined there is a high probability of adequate price competition for this acquisition. Upon examination of the initial offers, the Contracting Officer will review this determination and if adequate price competition exists, no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this evaluation the Contracting Officer determines that adequate price competition no longer exists; offerors may be required to submit information to the extent necessary for a determination of price fair & reasonableness to be made.

E. Specific Instructions:

Part I - Price Proposal - Submit email and CD or DVD no later than 4:00 PM (CST) on 26 June 2020.

Insert proposed course prices and extended prices in Contract Price Exhibits A and B (Attachment 2). All unit pricing provided must be at the fully burdened rate including overhead, G&A, profit, etc. and rounded to two decimal places. The Price Proposal must include prices in all the following:

• Price Exhibit A - Base Year (and options)

• Price Exhibit B - Six Month Extension of Services

The Total Evaluated Price (TEP) will be the sum of Price Exhibit A. Although pricing is requested for the six month extension of services under FAR 52.217-8 at this time, it is not calculated as part of the TEP.

Part II - Technical Proposal - Submit email and CD or DVD no later than 4:00 PM (CST) on 26 June 2020.

This part shall contain a technical description of the items being offered in sufficient detail to demonstrate sound management principles to ensure that PWS requirements shall be met. The technical proposal shall be tabbed, divided and indexed to conform to the specific factors addressed below. Any subsequent changes to the technical proposal shall be provided on a different colored paper as directed by the contracting officer. This may include product literature, or other documents, if necessary.

Subfactor 1: Manpower/Experience

(a) Submit a chart detailing the proposed organizational structure as it relates to each functional area in the PWS, showing the relationship and structure of responsibility between corporate and local functions.

(b) The offeror shall show proposed manpower staffing by skill classification for each area with sufficient detail and rationale to support the requirement.

(c) Provide a plan showing evidence of ability to satisfy the manning levels necessary to perform the PWS requirements, the availability of an existing base of qualified personnel to perform the effort, the capability to acquire additional personnel not available in the existing base, and the capability to maintain qualified staffing throughout the contract period.

(d) The proposal shall detail prior experience, current experience, and job descriptions for the Airfield Manager, Assistant Airfield Manager, Airfield Training Manager, and Airfield Management Operations Manager.

Subfactor 2: Training Program

(a) Submit a proposed training program plan that illustrates core tasks that will be accomplished in order to ensure competency and a clear understanding of responsibilities outlined in the PWS.

(b) The offeror's plan must specifically address the Airfield Driving Training Program and all other functional areas specified in the PWS.

Subfactor 3: Quality Control Plan

(a) Submit a comprehensive Quality Control Plan for establishing and maintaining a quality control/inspection program. This plan shall include responsibility for internal and external surveillances/inspections. This shall include all work, acceptance, rejection, documentation and resolution of deficiencies to include trend analysis and corrective action. The plan must show a method to be used in out briefing the Contracting Officer Representative (COR). This plan shall also include methods to be used for identifying and preventing defects in the quality of services performed.

Subfactor 4: Mission-Essential Contractor Services Plan

(a) Submit a comprehensive Mission-Essential Contractor Services Plan for establishing and maintaining services in all circumstances to achieve DoD component missions at all times. Identify provisions made for the acquisition of essential personnel and resources, if necessary, for continuity of operations for up to 30 days or until normal operations can be resumed; The SP must address challenges associated with maintaining essential contractor services during an extended event, such as a pandemic that occurs in repeated waves. The time lapse associated with the initiation of the acquisition of essential personnel and resources and their actual availability on site. The components, processes, and requirements for the identification, training, and preparedness of personnel who are capable of relocating to alternate facilities or performing work from home. Any established alert and notification procedures for mobilizing identified “essential contractor service'' personnel. Define the approach for communicating expectations to contractor employees regarding their roles and responsibilities during a crisis.

Part III - Past Performance Information - Submit email and CD or DVD no later than 4:00 PM (CST) on 26 June 2020.

Only references for the prime contractor and subcontractor that performs more than 30% of the work for the same or similar type contracts should be submitted for the following:

(a) Quality and Satisfaction Rating for Contracts Completed in the Past Three Years: Provide three (3) to five (5) references of any information currently available with Attachment 9 (letters, metrics, customer surveys, independent surveys, etc.) which demonstrates customer satisfaction with overall job performance and quality of completed product for same or similar type contract. In addition, explain corrective actions taken in the past, if any, for substandard performance and any current performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc.

(b) Performance Questionnaire: The government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this solicitation. The government will use information submitted by the offeror and other sources such as the Past Performance Information Retrieval System, other federal government offices and commercial sources to assess performance. Provide at most five (5) Performance Questionnaires (Attachment 5) of the most relevant contracts performed for federal agencies and commercial customers within the last 3 years. Relevant contracts include efforts involving service contracts similar in magnitude and complexity. The evaluation of past performance information will take into account past performance information regarding predecessor companies, key personnel who have relevant experience, or subcontractors that will perform major or critical aspects of the requirement when such information is relevant to the instant acquisition. Furnish the following information for each contract referenced:

• Company/Division name

• Service Provided

• Contracting Agency/Customer

• Contract Number

• Contract Dollar Value

• Period of Performance

• Verified, up-to-date name, address, email and telephone number of the contracting officer

• Comments regarding compliance with contract terms and conditions

• Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions.

Information Regarding Submission of Past Performance Questionnaires: Offeror's references should be instructed to complete the past performance questionnaire and e-mail responses directly to the individual listed below no later than 4:00 PM (CST) on 26 June 2020. (c) If a teaming arrangement is contemplated, provide complete information as to the arrangement, including any relevant and recent

Small Business Administration approval documentation is required to be submitted for teaming arrangements. If this is a first time joint effort, each party to the arrangement must provide a list of past and present relevant contracts.

G. General Information

(a) Information Regarding Submission of Proposal: Offerors are cautioned that Sheppard AFB TX has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass prior to entrance. Offerors should allow sufficient time to obtain a visitor pass to be able to hand-deliver the CD or DVD proposal copy on time. Late proposals will be processed in accordance with FAR 52.212-1(f).

(b) Federal Holidays: The following Federal Legal Holidays are observed by Sheppard AFB:

(c) Joint Venture Agreements: Joint Ventures are allowable on competitive small business set-asides; however, the joint venture agreement must be received by SBA prior to proposal due date and approved before award of any resulting contract. If you are contemplating a joint venture on this project, you must advise your assigned SBA Business Opportunity Specialist (BOS) as soon as possible. It is also recommended that the agreement be submitted as soon as practicable to ensure compliance with established regulations. Any corrections and/or changes needed can be made only when your BOS has adequate time for a thorough review before the proposal due date. No corrections and/or changes are allowed after the submission of proposal or bids.

Evaluation Criteria

FAR 52.212-2(a) Addendum

A. The following factors shall be used to evaluate offers:

(a) Price

(b) Technical

(c) Past Performance

B. Basis for Contract Award: This is a competitive selection in which competing offerors' past performance will be evaluated on a basis significantly more important than price. By submission of its offer in accordance with the instructions provided in clause FAR 52.212-1, Instructions To Offerors, the offeror accedes to the terms of this solicitation.

C. Evaluation Process: Initially, all proposals shall be ranked according to Total Evaluated Price (TEP) in accordance with paragraph (a) below. Only the offer with the lowest TEP will then undergo the Technical Evaluation described in paragraph (b) and the Performance Confidence Assessment described in paragraph (c) below. If the offer with the lowest TEP is deemed technically acceptable and has a “Substantial Confidence” performance rating, that offer represents the best value to the Government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration or evaluation of any other offers. If the lowest priced (TEP) offer is not deemed to be technically acceptable or does not have a “Substantial Confidence” performance assessment, the next lowest priced offer will be evaluated and the process will continue (in order by price) until an offer that is deemed technically acceptable and has a “Substantial Confidence” performance assessment is found or until all offerors are evaluated. The Source Selection Authority shall then make an integrated assessment best value award decision, or enter into discussions.

Note--this best value award decision does not mean that the Government will automatically make award to a higher priced, technically acceptable proposal with a "Substantial Confidence" rating. Instead, the Source Selection Authority will make an award

82d Contracting Squadron - Sheppard AFB, TX decision that represents the best value to the Government in accordance with the basis in paragraph B, even if that means awarding to a lower priced, technically acceptable proposal without a "Substantial Confidence" rating.

(a) Price Evaluation: The TEP is calculated by adding together the base price and all option period pricing. An offeror's proposed prices will be determined by multiplying the quantities identified in the Price Exhibit by the unit price for each item to confirm the extended amount for each.

(b) Technical Evaluation: Each of the four subfactors described in the addendum to 52.212-1 Paragraph E, part II above will be evaluated for technical acceptability on a PASS/FAIL basis. If an offeror's proposal is deemed a FAIL in any of the four (4) technical subfactors, it shall be deemed an overall FAIL and will be rendered technically unacceptable. The technical evaluation is to ensure that the offeror has a firm understanding of the requirements and can staff the positions appropriately with qualified personnel and the appropriate quality control measures to provide and maintain satisfactory contract performance. Ratings will be given on a PASS/ FAIL basis as follows:

PASS

Based on the information provided in the technical proposal, the offeror has clearly demonstrated that it is able to provide qualified personnel, training, quality control, and emergency mission essential operations capabilities to effectively execute the requirements of the PWS and the offeror takes no exceptions to the requirements outlined in the solicitation or the PWS.

FAIL

Based on the information provided in the technical proposal, the offeror has failed to clearly demonstrated that it is able to provide qualified personnel, training, quality control, and emergency mission essential operations capabilities to effectively execute the requirements of the PWS and/or the offeror takes exceptions to the requirements outlined in the solicitation or the PWS that were not addressed with the CO during the question and answer period.

(c) Performance Confidence Assessment: The purpose of the past performance evaluation is to assess the offeror's ability to fulfill the solicitation requirements. A past performance evaluation will be accomplished for the purpose of assigning a Performance Confidence Assessment rating to the offeror's proposal based on performance ratings of recent and relevant efforts. The Government will use the following procedures in evaluating past performance:

Recency: In order for past performance to be considered recent, performance must be ongoing or must have been performed within the past three (3) years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated.

Relevancy: Relevant performance information will be based on (1) the references provided by the offeror and (2) data independently obtained from other Government and commercial sources. Past performance regarding predecessor companies, key personnel who have relevant experience, or sub-contractors that will perform major or critical aspects of the requirement will be considered as highly as past performance information for the principal offeror. The past performance of teaming partners or subcontractors who are proposed to perform less than 30% of the work will not be evaluated. Relevant performance includes performance of efforts involving requirements that are similar or greater in scope and complexity than the effort described in this solicitation. Relevancy will be assigned ratings of Very Relevant, Relevant, Somewhat Relevant, and Not Relevant. The Government will give greater consideration to information on those contracts deemed very relevant to the effort. The following relevancy rating definitions will be used in the assessment of relevancy:

The purpose of the past performance evaluation is to assess the offeror's ability to fulfill the solicitation requirements. The assessment process will result in an overall performance confidence assessment rating of Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Unknown Confidence as defined below. Offerors with no relevant past or present performance history or the offeror's performance record is so limited that no confidence assessment rating can be reasonably assigned shall receive the rating “Unknown Confidence”, meaning the rating is treated neither favorably nor unfavorably. The Government will use the following Performance Confidence Assessment ratings in the assessment of performance confidence:

Performance Confidence Assessments Rating Description Substantial Confidence Based on the offeror's recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror's recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence Based on the offeror's recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror's recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence (Neutral) No recent/relevant performance record is available or the offeror's performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation.

D. Offerors are cautioned to submit sufficient information and in the format specified in the proposal preparation instructions to permit a meaningful assessment of past performance. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.

E. The Government intends to award a contract without discussions with respective offerors. The Government; however, reserves the right to conduct discussions if deemed in its best interest. The Government also reserves the right to cancel the solicitation without making award.

FAR provision 52.212-3, Offeror Representations and Certifications -- Commercial Items with alternate I applies to this acquisition.

The offeror verifies by submission of their offer that the representation and certifications currently posted electronically in the System for Award Management have been entered or updated in the last 12 months and are current, accurate, complete, and applicable to this solicitation.

(a) Cost or pricing data requirements. After initial submission of offers, if the Contracting Officer notifies the Offeror that only one offer was received, the Offeror agrees to-

(1) Submit any additional cost or pricing data that is required in order to determine whether the price is fair and reasonable or to comply with the statutory requirement for certified cost or pricing data (10 U.S.C. 2306a and FAR 15.403-3); and

(2) Except as provided in paragraph (b) of this provision, if the acquisition exceeds the certified cost or pricing data threshold and an exception to the requirement for certified cost or pricing data at FAR 15.403-1(b)(2) through (5) does not apply, certify all cost or pricing data in accordance with paragraph (c) of DFARS provision 252.215-7010, Requirements for Certified Cost or Pricing Data and Data Other Than Certified Cost or Pricing Data, of this solicitation.

(b) Canadian Commercial Corporation. If the Offeror is the Canadian Commercial Corporation, certified cost or pricing data are not required. If the Contracting Officer notifies the Canadian Commercial Corporation that additional data other than certified cost or pricing data are required in accordance with DFARS 225.870-4(c), the Canadian Commercial Corporation shall obtain and provide the following:

(1) Profit rate or fee (as applicable).

(2) Analysis provided by Public Works and Government Services Canada to the Canadian Commercial Corporation to determine a fair and reasonable price (comparable to the analysis required at FAR 15.404-1).

(3) Data other than certified cost or pricing data necessary to permit a determination by the U.S. Contracting Officer that the proposed price is fair and reasonable [U.S. Contracting Officer to provide description of the data required in accordance with FAR 15.403-3(a)(1) with the notification].

(4) As specified in FAR 15.403-3(a)(4), an offeror who does not comply with a requirement to submit data that the U.S.

Contracting Officer has deemed necessary to determine price reasonableness or cost realism is ineligible for award unless the head of the contracting activity determines that it is in the best interest of the Government to make the award to that offeror.

(c) Subcontracts. Unless the Offeror is the Canadian Commercial Corporation, the Offeror shall insert the substance of this provision, including this paragraph (c), in all subcontracts exceeding the simplified acquisition threshold defined in FAR part 2.

252.232-7006 Wide Area WorkFlow Payment Instructions. 2018-12 As prescribed in 232.7004(b), use the following clause:

WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (DEC 2018)

(a) Definitions. As used in this clause- "Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.

"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).

"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.

"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.

(c) WAWF access. To access WAWF, the Contractor shall-

(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and

(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self- registration available at this web site.

(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the "Web Based Training" link on the WAWF home page at https://wawf.eb.mil/

(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.

(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:

(1) Document type. The Contractor shall submit payment requests using the following document type(s):

(i) For cost-type line items, including labor-hour or time-and-materials, submit a cost voucher.

(ii) For fixed price line items-

(A) That require shipment of a deliverable, submit the invoice and receiving report specified by the Contracting Officer.

252.237-7023 Continuation of Essential Contractor Services. 2010-10 As prescribed in 237.7603(a), use the following clause:

CONTINUATION OF ESSENTIAL CONTRACTOR SERVICES (OCT 2010)

(a) Definitions. As used in this clause-

(1) "Essential contractor service" means a service provided by a firm or individual under contract to DoD to support mission-essential functions, such as support of vital systems, including ships owned, leased, or operated in support of military missions or roles at sea; associated support activities, including installation, garrison, and base support services; and similar services provided to foreign military sales customers under the Security Assistance Program. Services are essential if the effectiveness of defense systems or operations has the potential to be seriously impaired by the interruption of these services, as determined by the appropriate functional commander or civilian equivalent.

(2) "Mission-essential functions" means those organizational activities that must be performed under all circumstances to achieve DoD component missions or responsibilities, as determined by the appropriate functional commander or civilian equivalent.

Failure to perform or sustain these functions would significantly affect DoD's ability to provide vital services or exercise authority, direction, and control.

(b) The Government has identified all or a portion of the contractor services performed under this contract as essential contractor services in support of mission essential functions. These services are listed in the PWS.

(c)

(1) The Mission-Essential Contractor Services Plan submitted by the Contractor, is incorporated in this contract.

(2) The Contractor shall maintain and update its plan as necessary. The Contractor shall provide all plan updates to the Contracting Officer for approval.

(3) As directed by the Contracting Officer, the Contractor shall participate in training events, exercises, and drills associated with Government efforts to test the effectiveness of continuity of operations procedures and practices.

(d)

(1) Notwithstanding any other clause of this contract, the contractor shall be responsible to perform those services identified as essential contractor services during crisis situations (as directed by the Contracting Officer), in accordance with its Mission-Essential Contractor Services Plan.

(2) In the event the Contractor anticipates not being able to perform any of the essential contractor services identified in accordance with paragraph (b) of this section during a crisis situation, the Contractor shall notify the Contracting Officer or other designated representative as expeditiously as possible and use its best efforts to cooperate with the Government in the Government's efforts to maintain the continuity of operations.

(e) The Government reserves the right in such crisis situations to use Federal employees, military personnel or contract support from other contractors, or to enter into new contracts for essential contractor services.

(f) Changes. The Contractor shall segregate and separately identify all costs incurred in continuing performance of essential services in a crisis situation. The Contractor shall notify the Contracting Officer of an increase or decrease in costs within ninety days after continued performance has been directed by the Contracting Officer, or within any additional period that the Contracting Officer approves in writing, but not later than the date of final payment under the contract. The Contractor's notice shall include the Contractor's proposal for an equitable adjustment and any data supporting the increase or decrease in the form prescribed by the Contracting Officer. The parties shall negotiate an equitable price adjustment to the contract price, delivery schedule, or both as soon as is practicable after receipt of the Contractor's proposal.

(g) The Contractor shall include the substance of this clause, including this paragraph (g), in subcontracts for the essential services.

252.237-7024 Notice of Continuation of Essential Contractor Services. 2010-10 As prescribed in 237.7603(b), use the following provision:

(a) Definitions. "Essential contractor service"and "mission-essential functions" have the meanings given in the clause at 252.237-7023, Continuation of Essential Contractor Services, in this solicitation.

(b) The offeror shall provide with its offer a written plan describing how it will continue to perform the essential contractor services listed in attachment , Mission Essential Contractor Services, dated , during periods of crisis. The offeror shall-

(1) Identify provisions made for the acquisition of essential personnel and resources, if necessary, for continuity of operations for up to 30 days or until normal operations can be resumed;

(2) Address in the plan, at a minimum-

(i) Challenges associated with maintaining essential contractor services during an extended event, such as a pandemic that occurs in repeated waves;

(ii) The time lapse associated with the initiation of the acquisition of essential personnel and resources and their actual availability on site;

(iii) The components, processes, and requirements for the identification, training, and preparedness of personnel who are capable of relocating to alternate facilities or performing work from home;

(iv) Any established alert and notification procedures for mobilizing identified "essential contractor service" personnel; and

(v) The approach for communicating expectations to contractor employees regarding their roles and responsibilities during a crisis.

52.204-24 Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment. 2019-12 As prescribed in 4.2105(a), insert the following provision:

Representation Regarding Certain Telecommunications and Video Surveillance Services or Equipment (Dec 2019)

The Offeror shall not complete the representation in this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in the provision at 52.204-26, Covered Telecommunications Equipment or Services- Representation, or in paragraph (v) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items.

(a) Definitions. As used in this provision- "Covered telecommunications equipment or services", "critical technology", and "substantial or essential component" have the meanings provided in clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L.

115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Contractors are not prohibited from providing- (1)A service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(2) Telecommunications equipment that cannot route or redirect user data traffic or permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https:// www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services".

(d) Representation. The Offeror represents that it will, will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation.

(e) Disclosures. If the Offeror has represented in paragraph (d) of this provision that it "will" provide covered telecommunications equipment or services", the Offeror shall provide the following information as part of the offer-

(1) A description of all covered telecommunications equipment and services offered (include brand; model number, such as original equipment manufacturer (OEM) number, manufacturer part number, or wholesaler number; and item description, as applicable);

(2) Explanation of the proposed use of covered telecommunications equipment and services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b) of this provision;

(3) For services, the entity providing the covered telecommunications services (include entity name, unique entity identifier, and Commercial and Government Entity (CAGE) code, if known); and

(4) For equipment, the entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known).

52.209-7 Information Regarding Responsibility Matters. 2018-10 As prescribed at 9.104-7 (b), insert the following provision:

Information Regarding Responsibility Matters (Oct 2018)

(a) Definitions. As used in this provision- "Administrative proceeding" means a non-judicial process that is adjudicatory in nature in order to make a determination of fault or liability (e.g., Securities and Exchange Commission Administrative Proceedings, Civilian Board of Contract Appeals Proceedings, and Armed Services Board of Contract Appeals Proceedings). This includes administrative proceedings at the Federal and State level but only in connection with performance of a Federal contract or grant. It does not include agency actions such as contract audits, site visits, corrective plans, or inspection of deliverables.

"Federal contracts and grants with total value greater than $10,000,000" means-

(1) The total value of all current, active contracts and grants, including all priced options; and

(2) The total value of all current, active orders including all priced options under indefinite- delivery, indefinite-quantity, 8(a), or requirements contracts (including task and delivery and multiple- award Schedules).

"Principal" means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The offeror has does not have current active Federal contracts and grants with total value greater than $10,000,000.

(c) If the offeror checked "has" in paragraph (b) of this provision, the offeror represents, by submission of this offer, that the information it has entered in the Federal Awardee Performance and Integrity Information System (FAPIIS) is current, accurate, and complete as of the date of submission of this offer with regard to the following information:
