Overview Background Information UARCs are research organizations within a university or college that are established to provide or maintain essential engineering, research, and/or development capabilities through a long-term, strategic relationship with the Department of Defense (DoD). The DoD permits the award of sole-source contracts to UARCs under the authority of 10 U.S.C. 2304(c)(3)(B) as implemented by FAR 6.302-3(a)(2)(ii). ADSS will not be a designated UARC sponsor, however this contract will utilize the contractor in a similar manner to a UARC.

Contract Objective The objective of this contract is to provide the Air Force Life Cycle Management Center, Aerospace Dominance Enabler Division (AFLCMC/HBZ) with the necessary engineering, analysis, research, and development capability in the their core competencies including areas of payload development and test, systems architecture support, data processing and handling, sensor modeling, ground system prototyping, and cyber/network analytics. ADSS is a sole source Indefinite Delivery Indefinite Quantity (IDIQ) type contract with Cost Plus Fixed Fee (CPFF) completion, Cost Reimbursement No Fee (CRNF) or Firm Fixed Price (FFP) type task orders. Under the ADSS task orders, the contractor will conduct scientific, engineering, and technology investigations; provide scientific expertise, capabilities, and interdisciplinary facilities required for progressing from basic theories and knowledge to practical and realistic fielded applications.

Scope The contractor shall provide research, development, analysis, and engineering support for the development and modernization of DoD systems under the cognizance of AFLCMC/HBZ. Task order work shall: (1) be consistent with contractor’s mission and purpose, (2) draw upon one or more of its core competencies, and (3) be consistent with a strategic relationship between the contractor and the DoD.

Use of Task Orders Individual Task Orders will be utilized to describe the specific work to be accomplished, period of performance, level of effort, estimated costs, and Task Order specific terms and conditions.

Each Task Order will have a corresponding Performance Work Statement (PWS) that outlines specific requirements. This SOW takes precedence over the Task Order PWS unless the PWS specifically states otherwise.

Performance Locations Work under this contract will be conducted primarily at the contractor’s facility. Other work locations include AFLCMC/HBZ and test sites as specified in each task order.

Description of Services The contractor shall conduct fundamental and applied technical research, development, analysis, modernization, and engineering/re-engineering work related to the state-of-the-art, proof-of-concept, and prototyping for ground, airborne and space-based platforms, investigation of new and current sensor systems, and participation in future DoD technology development initiatives. The contractor shall also assist in identification of technology gaps, risks, and risk reduction/mitigation activities in their areas of core competency. Activities may include both technical activities such as sensor system research, development, engineering, prototype fabrication, testing, calibration, and data dissemination; and management activities such as program cost tracking, schedule and contractor/subcontractor performance.

Core Competencies Under the ADSS contract, the contractor will provide to the Air Force essential engineering, research, development, and modernization capabilities that are consistent with UARC core competencies (Ref. Engagement Guide, DoD, UARC, ASD (R&E), April 2013):

1)Perform ground, airborne, and space rated instruments and payload development, test and evaluation, integration, validation, and operations to include technology insertion for form, fit, function and miniaturization of mechanical, optical and electronic devices
2)Support modular open systems architecture for airborne, space, and ground applications
3)Determine large scale data processing, handling, compression/decompression and visualization techniques for sensor analysis, data exploitation, data fusion, and data dissemination
4)Provide sensor modeling and simulation
5)Develop prototypes of ground systems to support ground, airborne and space instruments
a.Multi-domain Command and Control (C2): including C2 research and analysis and developing C2 concept of operations (CONOPS)
6)Conduct cyber analytics and high speed networks

All task orders placed against this contract shall fall under the scope of at least one of the contractors UARC core competencies (Ref. Section 1.0).

A partial listing of more detailed tasks that fall under the core competencies is given below:

Development/Modernizing, Integration, and Test of ground and airborne subsystems Sensor development/fabrication, integration and test into ground and airborne systems Technical studies of subsystem aging and evaluation of sustainment or replacement technologies Additional R&D activities related to UARC core competencies Functions to be performed by the UARC during task order performance include:

Designing, developing, fabricating, assembling, handling, integrating, analyzing, testing, and evaluating ground and airborne systems, subsystems, and components;

Electronics assembly including: cable and harness assembly, box and electronics assembly, integration, and inspection;

Calibrating, characterizing, testing, and evaluating components, including environmental testing (thermal-vacuum, vibration, and EMI/EMC tests).

Data compression/decompression, data visualization, data exploitation, data fusion, data processing, handling, and analysis;

Ground and Airborne subsystem/sensor modeling and simulation;

Cyber/Network Analysis CDRL deliverables will be specified in each task order.

Templates for typical CDRLs are provided which will be tailored by each task order. Additional CDRLs may be added at the task order level if needed.

Management The contractor shall provide the necessary resources, technical processes and infrastructure to manage, perform, and administer the task order. The contractor shall have a single point of contact (e.g. Program Manager, including deputy/alternate) between the Government and contractor personnel. The contractor shall acknowledge Government requests for contractual actions within three (3) business days. The contractor shall provide qualified and certified personnel within identified timeframes and during normal and all contingency scenarios. The contractor shall notify the Government of all issues the contractor considers not within the scope of this task order immediately. The contractor shall advise the government immediately of any problems affecting the contractor’s performance or impacting mission accomplishment.

General Management The contractor shall establish and maintain a documented set of disciplined, mature, and continuously improving processes for administering all contract efforts with an emphasis on cost-efficiency, schedule, performance, responsiveness, and consistently high-quality delivery. The contractor shall monitor program status and resolve problems with minimum impact to costs and operations performance through the task order specific requirements.

Status Reporting The contractor shall collect and report contract status pursuant to the task order specific requirements.

Technical Guidance Technical guidance may be provided for each task order by the government representatives as appointed by the Contracting Office (CO). Technical guidance is defined as that process by which the contractor receives guidance, instruction, or task order clarification as it relates to an element of work solely within the scope of the existing requirements of the task order PWS. The CO is the only individual authorized to modify, in any way, the terms of the task order; such changes of terms shall be accompanied by issuance of a modification to the task order signed by the CO.

Contract Performance Surveillance The contractor’s performance will be monitored by the Government throughout the period of performance of this contract. The contractor’s performance will be monitored by the Government throughout the period of performance of all subsequent task orders. The contractor shall demonstrate compliance with all SOW paragraphs.

Personnel Management The contractor shall establish and provide a qualified workforce capable of performing the required tasks. The workforce shall include a manager who will oversee all aspects of the contract. The contractor shall be responsible for the following aspects of personnel management. All contractor employees shall be able to read, write, speak, and understand English. The contractor shall accomplish the assigned work by employing and utilizing qualified personnel with appropriate combinations of education, training, and experience. The contractor shall ensure open, courteous/professional and clear lines of communication that facilitates optimal information flow between contractor personnel and Government counterparts. This communication may occur daily via telephone discussions, weekly via face-to-face meetings or any other means and frequency necessary. The contractor shall ensure all personnel comply with all host-base tenant support agreements (HTSA) and the Visitors Base Security Agreement (VGSA), where applicable. The Government retains the right, without penalty, to withdraw privileges at any time for Government convenience or if the contractor violates an HTSA or the VGSA.

Personnel qualifications Task orders may have differing levels of personnel qualifications per task orders. The contractor will comply with all task order personnel qualification requirements.

Program Manager The contractor shall provide a Program Manager (PM) designated in writing to the Government CO and PM. The PM shall have full authority to act for the contractor on all matters relating to daily operations of the task order. The PM or authorized designee shall be available at all times during normal duty hours for discussions via teleconference.

Contractor Employees The contractor shall be responsible for personnel selection, supervision, assignment, and transfers. The contractor shall be responsible for selecting personnel who are fully certified/qualified, trained and have the necessary security clearances to provide the government the services required by this task order. The contractor shall not employ persons for work on this task order if such employees are identified to the contractor by the CO as potential threats to the health, safety, security, general well-being or operational mission of the installation and its population. The contractor shall not employ any person who is an employee of the United States government if employing that person would create a conflict of interest.

Subcontract Management The contractor shall be responsible for any subcontract management necessary to integrate work performed on this requirement and shall be responsible and accountable for subcontractor performance. The contractor shall ensure there are no Organizational Conflict of Interest (OCI) considerations associated with management of the work distribution across prime and subcontractors. Cross teaming is permitted provided the teaming arrangement does not create any OCI.

Contractor Conduct The contractor personnel shall be under the direction and control of the contractor PM. The site and/or installation commander may direct the contractor, in writing, to remove any employee from the installation when retention of such employee endangers life, property, security, or where such an employee violates reasonable and necessary base regulations. In addition, when a mishap occurs or improper behavior is displayed by an employee, the government reserves the right to require immediate removal of the individual from the site/installation.

Contractor Privileges If Government site/installation access is required, the contractor site/installation privileges are based on currently approved support agreements. The Government retains the right without penalty to withdraw privileges at any time. The Government also retains the right, without penalty, to withdraw privileges authorized herein which are subject to abuse by contractor employees. Upon investigation of facts and circumstances of any incident, services or privileges may be withdrawn on a permanent or temporary basis at the sole discretion of the site and/or installation commander.

Coverage Hours If required, specific coverage hours will be specified in the individual task order.

Security Clearance Requirements Facility Clearance The contractor must possess or obtain a facility security clearance at the classification level of Secret prior to performing task order work. The contractor is responsible for obtaining security clearances (submit clearance paperwork to the required investigation agency) for personnel requiring access to classified information.

Personnel Clearance Contractor personnel performing on-site at HAFB or other DoD sites or ranges shall have at least a current DoD SECRET clearance. Some work on this contract will require a TOP SECRET/SCI level clearance. Required clearance level will be specified in each task order. The Contractor shall be responsible for obtaining, maintaining, and ensuring the currency of all personnel clearances throughout the task order period of performance Pass and Identification Items The contractor shall ensure the pass and identification items required for contract performance (e.g. visitor badges) are obtained for employees prior to arrival at requiring installation Retrieving Identification Media The contractor shall retrieve all identification media from employees and return to the Government upon departure of requiring installation. .

Reporting Requirements Contractor personnel shall report to an appropriate authority any information or circumstances of which they are aware that may pose a threat to the security of DOD personnel, contractor personnel, resources, and classified or unclassified defense information. Contractor employees shall be briefed by their immediate supervisor upon initial on-base assignment.

Controlled/Restricted Areas The contractor shall comply with local base procedures for entry to AF controlled/restricted areas where contractor personnel will work.

Safeguarding Classified Information Overall security classification requirements for the work conducted under this SOW are as described in the DD Form 254. Classification level requirements for this work will vary, and for some activities may include up to TS/SCI. The contractor shall implement and adhere to security policies and classifications of the networks IAW the applicable Defense Information Systems Agency (DISA) and DoD classification guides. Storage and reporting of information shall be in accordance with the classification guides. The contractor shall transmit and deliver classified material/reports IAW the National Industrial Security Program Operating Manual (NISPOM) (DoD 5220.22-M). When disposing of classified media ensure all classified information is properly sanitized and/or degaussed of all sensitive/classified information IAW Air Force Special Security Instruction (AFSSI) 5020.

Travel Travel to other Government facilities or other contractor facilities may be required to perform the services required by each Task Order. All travel requirements shall be pre-approved by the Government PM or CO and is on a strictly cost reimbursable basis. Costs associated with contractor travel and billing shall be in accordance with Federal Acquisition Regulation (FAR) Part 31.205-46, Travel Costs. Travel within the local area will not be reimbursed. The contractor shall be responsible for all employee travel arrangements by commercial means. Contractor employee travel shall be IAW current Joint Federal Travel Regulations. Transportation may be provided by the military depending on access to bases and availability of commercial transportation. If any travel arrangements cause additional costs to the task order that exceed those previously negotiated, written approval by the government PM or CO is required, prior to undertaking such travel. The contractor shall travel using the lowest cost mode transportation commensurate with the mission requirements. Travel will be reimbursed on a cost reimbursable basis; no profit or fee will be paid. For cost reimbursable CLINS the contractor shall provide costs incurred and incurred cost forecasts per Government request.

Compliance Documents The contractor shall comply with the most current version of all documents contained in this SOW, the DD254, and listed in APPENDIX A, Compliance Documents. Additional compliance documents may be required in performance of each Task Order Publications Support The contractor shall review new/updated publications (draft and final) to assess technical content and impact to the task order. The contractor shall notify the CO within 15 calendar days of receipt if there are associated costs or potential risk impacts to the task order.

Task order Records The contractor shall be responsible for creating, maintaining, delivering, and disposing of Government-required documents, records and reports used for accomplishment of task order requirements. If requested by the Government, the contractor shall provide the original record, or a reproducible copy of any such record within five working days of receipt of the request. All documentation, products and data developed in support of this task order are the property of the Government.

Data Rights All physical records, files, documents, and work papers generated by the contractor in performance of this SOW and task order PWS, as well as documents maintained by the contractor which are to be transferred or released to the Government or successor contractor, shall become and remain Government property with distribution authorized to US Government agencies unless otherwise identified. Other requests for data shall be referred to the CO.

Quality Performance Program Requirements The contractor shall use performance parameters in the task order PWS to monitor work performance, measure results, ensure delivery of contracted product deliverables and services, support management and decision-making and facilitate communications. The contractor shall identify risks, resolve problems and verify effectiveness of corrective actions. The contractor shall institute and maintain a process that ensures problems and action items discussed with the Government are tracked through resolution and shall provide timely status reporting. Results of contractor actions taken to improve performance should be tracked and lessons learned incorporated into applicable processes. The contractor shall establish, through an independent function, a quality program which shall encompass all aspects of the task order.

Contracting Officer Representative (COR) Inspection Each task order will have a COR assigned to conduct contract surveillance for that task order requirement. The overall annual Contractor Performance Assessment Report (CPAR) will include surveillance inputs from all task orders. Only one CPAR will be submitted for the contract.

The contractor shall present, upon request, any record, plan, program, or other requirement under this SOW or task order PWS, along with compliance documents, for inspection by the COR.

Safety General Safety While performing the requirements of this contract on a Government installation, the contractor shall take all reasonable steps and precautions to prevent accidents and preserve the health and safety of contractor personnel.

The contractor shall report all mishaps involving Government property or equipment damaged by the contractor to the COR no later than the end of contractor’s shift, in which the event occurred. The Government has the authority to conduct investigations of mishaps in Government facilities or to participate in the contractor’s investigation of contractor mishaps. The contractor shall participate in, and cooperate with, Government mishap investigations as requested.

The contractor shall inform the COR of any identified safety hazards which expose personnel to possible injury, illness, or any possible damage to Government equipment or property.

The Government may conduct facility inspections in Government facilities that are occupied by the contractor.

Closure/Delayed Report/Early Release The contractor shall follow local base procedures concerning base closure, delayed reporting, and early release. The contractor shall ensure mission essential work center coverage, while minimizing potential harm to contractor employees designated as mission essential.

Compliance Documents The Contractor shall comply with the most current version of all documents listed below. In the event of a conflict between the following directives, specifications or standards and the SOW or task order PWS, the SOW or PWS requirements shall take precedence.

Deliverables The Government requires all deliverables that include Scientific and Technical Information (STINFO), as determined by the Government, be properly marked IAW DoDI 5230.24 and AFI 61-201 prior to initial coordination or final delivery. The contractor will include the proper markings on any deliverable deemed STINFO regardless of media type, stage of completeness or method of distribution. Therefore, even draft documents sent via email containing STINFO require correct markings.
