About this file
This document is a Loan Agreement between the City of Kissimmee, Florida and Branch Banking and Trust Company (BB&T) dated November 17, 2010, for a Capital Improvement Revenue Note, Series 2010C in the amount of $4,000,000. The note is designed to finance transportation infrastructure improvements within the city, with funds to be fully drawn at closing and deposited into a project fund account. The loan has a fixed interest rate of 2.69% for the first 12 years, with BB&T having the ability to reset the rate based on market conditions for the remaining term, which extends to October 1, 2030. Interest payments will be due semi-annually on April 1 and October 1, beginning April 1, 2011, while principal payments will be made annually on October 1, starting October 1, 2013.
The loan is secured by a covenant from the City to budget and appropriate legally available non-ad valorem revenues sufficient to make principal and interest payments. The financing documents include provisions for prepayment, with a 1% prepayment premium during the first 12 years and no premium thereafter. The note is structured as a bank-qualified, tax-exempt obligation, assuming the City borrows less than $30,000,000 in the calendar year 2010 and complies with applicable IRS code sections. BB&T charged a $5,000 fee for legal review and underwriting, with all other counsel and city costs to be separately paid by the City. The agreement includes provisions to adjust the interest rate in case of changes in tax status or corporate tax rates to maintain the bank's after-tax yield.
