About this file
This is Addendum 1 to Request for Proposal (RFP) 07292022 for On-Call Mechanical Systems Repair and Maintenance issued on August 10, 2022. The addendum updates the terms and conditions of the RFP to clarify provisions regarding use of the resulting contract by other public entities. The addendum establishes that all public agencies may utilize the contract derived from this solicitation, with each public agency responsible for its own obligations to the contractor. The contractor similarly assumes responsibility for obligations to any other public agencies that utilize the contract. Contracts between the contractor and other public agencies are independent from and do not affect the contractor's obligations to the issuing agency.
The addendum specifies that the issuing agency makes no representations, guarantees, or warranties regarding any separate contracts formed between the contractor and other public agencies utilizing the master contract. This provision allows for multi-entity usage of the procurement vehicle while maintaining clear separation of obligations and limiting the issuing agency's liability for third-party agreements.
