About this file
The document is a 2025 Consortium Agreement for the Sovereign States Drug Consortium (SSDC), involving multiple states including Delaware, Iowa, Kentucky, Maine, Mississippi, North Dakota, Ohio, Oklahoma, Oregon, Pennsylvania, South Dakota, Utah, Vermont, West Virginia, and Wyoming. The agreement is primarily between state entities responsible for Medicaid administration, with the Department of Vermont Health Access (DVHA) serving as the Agent State. The consortium is structured as a multi-state collaborative effort to create a purchasing pool for obtaining drugs and products for Medicaid program beneficiaries.
The primary purpose of the consortium is to negotiate and acquire supplemental drug rebates from manufacturers, in addition to federal Medicaid rebates, while preserving each state's ability to manage its own pharmacy benefit through customized Preferred Drug Lists and Prior Approval programs. The agreement includes provisions for rebate collective services provided by Change Healthcare Pharmacy Solutions, with costs shared equally among member states. Each state retains the option to negotiate value-based agreements or high-cost cell and gene therapies independently. The contract is effective from January 1, 2025, to December 31, 2025, and includes mechanisms for adding new states, managing payments, and handling potential payment delinquencies.

SOVEREIGN STATES DRUG CONSORTIUM (SSDC)
CONSORTIUM AGREEMENT
This Consortium Agreement (the “Agreement”) is entered into by and between State entities responsible for Medicaid administration, whose representatives have signed below, hereinafter collectively referred to as the “Member States”. When acting as a collaborative group, such group is known as the “Sovereign States Drug Consortium” (SSDC).
The SSDC uses a multi-state administered collaboration to create a purchasing pool to obtain drugs and products for beneficiaries in their Medicaid programs at a lower cost. The pool primarily focuses on negotiating and acquiring rebates supplemental to federal Medicaid rebates from drug manufacturers.
At the same time, the SSDC preserves each State’s ability to manage its pharmacy benefit by customizing its own Preferred Drug List and Prior Approval programs.
The term “membership” is defined as participation in the SSDC for the purpose of obtaining drug rebates. The term “rebate calendar year” is defined as the calendar year of program drug utilization for which rebates can be billed. The term “enroll” is defined as the act of agreeing to the SSDC Agreement for a specific rebate calendar year in order to become an enrolled Member State (hereinafter called “Member State”). Participation in the Agreement is evidenced by the execution of a state-specific Agreement signature page for the year.
As a Medicaid initiative, all SSDC member states are required to obtain approval of their Supplemental Rebate Agreements (SRA) from the United States Department of Health and Human Services, Centers for Medicare and Medicaid Services (CMS) through individual Medicaid State Plan Amendments. All member states have received State Plan approval letters from CMS which are available on the CMS website https://www.medicaid.gov/state-resource-center/medicaid-state-plan-amendments/index.html.
Other states may become members of the SSDC by two-thirds vote of the currently enrolled States. A state newly enrolled during an Agreement year may not be specifically listed in the Agreement in the year of enrollment but can be identified by its participation in the Agreement as evidenced by the execution of its Agreement signature page for the year.
For voting purposes, each Member State has only one vote. When calculating two-thirds of a unit for “valid vote” purposes here or elsewhere in this Agreement, any fractional number is rounded up to the
Sovereign States Drug Consortium http://www.rxssdc.org/ mailto:ssdc@outlook.com https://www.medicaid.gov/state-resource-center/medicaid-state-plan-amendments/index.html
SSDC Consortium Agreement 2025 November 14, 2024. Page 2 next whole number. When calculating a majority vote here or elsewhere in this Agreement, the percentage must be more than fifty percent (50%).
A state’s full membership is contingent upon the two-thirds vote of the currently enrolled States, its participation in this Agreement, and CMS approval of its Medicaid State Plan Amendment.
I. Purpose
The purpose of this Agreement is to define conditions under which the Member States agree to coordinate activities related to the operation and management of the SSDC. Upon the agreement by at least two-thirds of the Member States, this Agreement replaces in its entirety all prior Agreements and MOUs that established or operated the SSDC.
Any state that has not executed this Agreement or any Member State that has executed this
Agreement but that has been found in violation of the Agreement and/or is operating in a manner that is contrary to one or more duly executed votes as specified by the Agreement may only participate in the SSDC for the Agreement rebate calendar year to the degree determined by at least two-thirds of the Member States that have executed this Agreement. Any such limited participation shall be dependent upon the continued agreement of at least two-thirds of the fully participating Member States that have executed this Agreement. Any such limited participation may end at any time upon the subsequent determination of at least two-thirds of the fully participating Member States that have executed this Agreement.
Throughout the term of this Agreement all participants shall be represented by the SSDC for purposes of negotiating state supplemental rebates for prescribed drugs with drug manufacturers for their state Medicaid programs. Three caveats to this general rule apply. First, for the purpose of negotiating supplemental rebates defined as value-based agreements, Member States have the option to be represented by the SSDC, have representation outside of the SSDC or have some agreements represented by the SSDC and others outside of the SSDC. Value-based purchasing agreements shall have the same definition as Value-Based Purchasing arrangements as defined in 42 CFR § 447.502. Second, Member States have the option to, but need not be represented by the SSDC for the purposes of negotiating rebates with manufacturers on products other than prescribed drugs, including but not necessarily limited to diabetic supplies. For the purpose of this Agreement, prescribed drugs shall have the same definition as in 42 CFR §440.120. Third, if a manufacturer refuses to offer agreements to the SSDC, Member States can enter into supplemental rebate agreements for high-cost gene therapy drugs, and/or chimeric antigen receptor T-cell (CAR-T) drugs.
The continued purpose of the SSDC shall be to provide oversight for the Member States’
Medicaid purchasing pool. The continued focus of the pool related to product utilization in the Medicaid programs of the Member States shall be on negotiating and acquiring rebates supplemental to federal Medicaid rebates from drug manufacturers for drugs and negotiating and acquiring rebates from manufacturers of other products. The SSDC assures that each State retains the ability to individually manage its pharmacy benefit, customizing its own Preferred Drug List and Prior Approval programs.
The SSDC shall also provide a forum and/or vehicle for Member States to cooperate in other areas of pharmacy benefit administration and management in Medicaid and other publicly funded health benefit programs.
November 14, 2024. Page 3
II. Duration
This Agreement replaces the Consortium Agreement that ends on December 31, 2024. This
Agreement is scheduled to end December 31, 2025. The duration of the Agreement assures agreement for the term of the whole of the rebate calendar year to which SSDC contractual and operational activities apply. Any change in duration must be in writing and shall be executed upon a two-thirds vote of all Member States of the SSDC.
III. SSDC Responsibilities
A. The SSDC shall organize its work and activities to become an efficient and effective mechanism for negotiating Medicaid rebates on behalf of Member States, using their pooled covered lives.

In the event that there appears to be a conflict of interest that cannot be resolved, the matter shall be determined by two-thirds vote of the Member States.
C. A vendor contract was executed in 2019 by Vermont, acting as an Agent State of the
SSDC, with Change Healthcare Pharmacy Solutions. Vermont’s entity responsible for this contract is the Department of Vermont Health Access (hereinafter called “DVHA”).
The terms and conditions of the contract were determined by two-thirds vote of the then Member States. The current contract began April 1, 2019, and will continue through March 31, 2025. The contract may be extended for up to two additional one-year extensions upon mutual agreement by both parties. Details regarding the cost of rebate collective services are set forth in the 2019 contract and its amendments. A copy of this contract and any amendments is available on DVHA’s website:

VIII. Equitable Billing Adjustments and Repayment Term
A. The Member States agree to allow DVHA an “Administrative Discount” of $10,000, to be deducted from its annual costs under this Agreement, to reflect its annual administrative investment in the SSDC’s operation. This discount shall be funded in equal shares by the other Member States.
B. The Member States agree to share equally the risk of financial loss resulting from a Member State’s failure to reimburse DVHA for shared costs as required under sections IV, V, or VI.
C. If the SSDC finds that a Member State or its agent or former Member State or its agent has not paid any portion of its shared costs pursuant to sections IV, V, or VI, or the Risk Sharing payments authorized by the SSDC under this section more than 180 days after the date of billing, the SSDC shall:
1. Certify the unpaid costs as a “Delinquent” payment; and
2. Consider the Member State or former Member State to be a “Delinquent
State,” meaning the state is not in good standing.

E. The SSDC may determine, by a vote of its Member States in good standing, that a
Delinquent State shall be suspended from participation in the activities of the SSDC and receipt of services under this Agreement.

1. Suspension will end at such time as the SSDC restores the Delinquent State’s good standing.
2. Members who are suspended shall be notified of their liability for services rendered but not yet billed at the time of suspension, which shall be equitably calculated by the SSDC.
F. The SSDC shall restore the good standing of a Delinquent State if the Delinquent State pays DVHA the Delinquent payment and is current on all other payments due under this Agreement.
G. DVHA may assess and refund Risk Sharing payments and apply the Administrative Discount as follows:
1. DVHA may apply the Administrative Discount approved in this section to reduce its own share of costs under this Agreement by up to $10,000 per calendar year.
2. DVHA may increase the proportion of costs billed to the other Member States or their agents in equal shares to fund the Administrative Discount.
3. DVHA may increase the amounts billed to all Member States in good standing or their agents to include Risk Sharing payments approved under this section.
4. DVHA shall decrease the amount billed to a Member State or their agents in an amount equal to the Member State’s Risk Sharing payment upon receipt of the respective portion of a Delinquent payment.
H. Upon receipt of a Delinquent payment from a Delinquent State, the SSDC may authorize
DVHA to provide a cash refund of a related Risk Sharing payment made by or on behalf of a Member State or former Member State. The SSDC may also reimburse a Member State for Risk Sharing Payments in cash at its sole discretion in a manner adopted by vote of the SSDC, except that under no circumstances shall DVHA be required to refund the cash reimbursement for Risk Sharing payments except through funds received through satisfaction of a corresponding Delinquent payment.

However, a Member State that terminates after April 1 year shall be responsible for its share of costs for the entire term of the then-current Consortium Agreement (i.e., through December 31).
November 14, 2024. Page 11
D. Interpretation: This Agreement shall be construed to affect each Member State in accordance with the laws of each Member’s State and is binding upon and inures to the benefit of the Member States and their respective successors and assigns.

States to implement or modify any benefit administration or management method, system, or contract developed jointly or individually by the Member States. Each Member State shall retain the right to implement, modify or terminate any method, system, or contract pertaining to benefit administration or management which it decides is appropriate to that State’s interests.
