PART 1 GENERAL INFORMATION
1.1 Description of Services/Introduction:
The contractor shall provide all personnel, equipment, tools, materials, supervision, and other items and non-personal services necessary to perform service, preventative maintenance, inspection, and battery replacement for an Eaton Model 9355 Uninterruptible Power Supply (UPS) currently in use at the Mine Safety and Health Administration’s (MSHA) National Air and Dust Laboratory (NADL) located at 1303 Airport Road, Beaver, West Virginia as defined in this Performance Work Statement (PWS), except as Specified in Part 3 as government furnished property and services. The contractor shall perform to the standards in this PWS.
1.2 Background:
The Eaton Model 9355 UPS is used to provide continual power to critical laboratory systems in the event of a power failure. The UPS will maintain a constant power supply to these systems until a switchover to an on-site power generator.
1.3 Objectives:
The primary objectives of this effort is for the contract to provide:
•Full battery replacement in Contract Year 1.
•One (1) preventative maintenance visit for UPS electronics per year.
•One (1) preventative maintenance visit for UPS batteries per year.
•24/7 corrective maintenance coverage for UPS electronics.
•UPS firmware and software upgrades each time the unit is serviced.
•24/7 standard 8-hour emergency response time.
1.4 Scope:
Services include a complete battery replacement, including the removal and disposal of old batteries. It will also include one (1) preventative maintenance (PM) visit from qualified personnel to service the UPS electronics and the batteries as well as 24/7 customer support and emergency response with a standard 8-hour response time. It will also include all required UPS firmware and software upgrades during the PM visits.
1.5 Period of Performance:
The Period of Performance shall be for one (1) Base Period of 12 months and four (4) 12-month Option Periods. The Period of Performance reads as follows:

1.6. General Information
1.6.1 Quality Control:
The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which he assures himself that his work complies with the requirement of the contract. As a minimum, the contractor shall develop quality control procedures that address the areas identified in Technical Exhibit 1, “Performance Requirements Summary”. After acceptance of the quality control plan, the contractor shall receive the Contracting Officer’s (CO) acceptance in writing of any proposed change to his QC system. The QC is to be submitted to the Contracting Officer Representative (COR) and/or CO within 30 calendar days of contract award.
1.6.2 Quality Assurance:
The government will evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the Government will do to ensure that the contractor has performed in accordance with the performance requirements summary. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).
1.6.3. Reserved
1.6.4 Recognized Holidays:
The Federal Government observes the following holidays and Federal buildings will be closed. Federal contractors shall not perform services under this contract on the following holidays:

1.6.5 Hours of Operation/Place of Performance:
The contractor is responsible for conducting services during normal business hours Monday through Friday, except Federal holidays or when the Government facility is closed due to local or national emergencies, administrative closings, or similar Government directed facility closings. The Contractor must at all times maintain an adequate work force for the uninterrupted performance of all tasks defined within the statement of work when the Government facility is not closed for the above reasons. When hiring personnel, the Contractor shall keep in mind that the stability and continuity of the work force are essential. Telecommuting or “work at home” is not authorized under this contract unless under emergency situations as determined by the COR.
1.6.6 Type of Contract:
Firm Fixed Price.
1.6.7 Security Requirements:
The Contractor’s employees, performing work in support of this contract will have had a background check prior to being assigned to the project.
1.6.7.1 Physical Security.
The contractor shall be responsible for safeguarding all government property provided for contractor use. At the close of each work period, government facilities, equipment, and materials shall be secured.

1.6.8 Special Qualifications:
IT Requirements As determined applicable by the Government, the Contractor agrees to comply with the following statutes, regulations, standards, and policies:
a. List policies and regulations here The contractor shall ensure any requirements and submissions are completed within the timeframe required by the government. DOL reserves the right to review and approve or disapprove all the security safeguards instituted to comply with the requirements of this contract.
Privacy Act If applicable, the Contractor shall be required to design, develop, or operate system(s) of records on individuals, to accomplish an Agency function subject to the Privacy Act of 1974, Public Law 93 579 (5 U.S.C., Section 552a) as amended (the Act), and applicable agency regulations. Violation of the Act may involve the imposition of criminal penalties (RFO 52.224-1).
1.6.9 Post Award Conference/Periodic Progress Meetings:
The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with FAR 42.5. The CO, COR, and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings, the CO will apprise the contractor of how the government views the contractor's performance and the contractor shall apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the government.
1.6.10. Contracting Officer Representative (COR):
A COR for this contract shall be appointed under separate cover.
1.6.11. Key Personnel:
Key personnel designated are those personnel assigned to Key positions or labor categories and are essential to the work performed herein. The CO will designate or replace Key Personnel, as appropriate.
DOL has determined that continuity through the retention of highly qualified contractor personnel is a major factor for success in achieving high quality products and efficient performance. If it becomes necessary for the contractor to replace Key Personnel after designation, the contractor shall provide to the CO and the COR a written evaluation of the impact on the progress and continuity of the relevant work that might result by replacing these personnel. The contractor shall submit the names and resumes of replacement personnel to the CO and the COR for review not later than two calendar weeks prior to their replacement, or as soon as known. All replacement personnel must possess qualifications equal to or higher than the qualifications of the person replaced. The CO and COR will evaluate the requests and the CO will promptly notify the contractor of approval or disapproval of the replacement key personnel.
Once the key personnel are approved the contractor must have said personnel on board within 14 days.
The following personnel are considered key personnel by the government: Contracting Officer, Project Manager, Contracting Officer’s Representative (COR).
Project Manager The contractor shall provide a project manager who shall be responsible for the performance of the work. The name of this person and an alternate who shall act for the contractor when the manager is absent shall be designated in writing to the CO. The project manager or alternate shall have full authority to act for the contractor on all contract matters relating to daily operations.
The project manager or alternate shall be available between 8:00 a.m. to 4:30 p.m., Monday through Friday except Federal holidays or when the government facility is closed for administrative reasons. Qualifications for all key personnel are listed below:
1.6.11.1 Key Personnel Qualifications:
Project Manager The Project Manager must possess the following qualifications:
(1) Must be capable of leading projects that involve the successful management of teams composed of engineers, scientists and management professionals who have been involved in analyzing, designing, developing, integrating, training, testing, documenting, implementing, and maintaining complex systems.
(2) Performs day-to-day management of overall contractor support operations, possibly involving multiple projects and groups of personnel at multiple locations.
(3) Organizes, directs, and coordinates planning and production of all contract support activities.
(4) Demonstrates written and oral communication skills. Establishes and alters (as necessary) corporate management structure to direct contract support activities.
1.6.12 Identification of Contractor Employees:
All contract personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties are required to identify themselves as such to avoid creating an impression in the minds of members of the public that they are Government officials. They must also ensure that all documents or reports produced by contractors are suitably marked as contractor products or that contractor participation is appropriately disclosed.
PART 2 DEFINITIONS & ACRONYMS
Contracting Officer’s Representative (COR). A representative from the requiring activity assigned by the Contracting Officer to perform surveillance and to act as liaison to the contractor.
Defective Service. A service output that does not meet the standard of performance associated with it in the Performance Work Statement.
Deliverable. Anything that can be physically delivered but may include non-physical things such as meetings.
DOL. Department of Labor MSHA. Mine Safety and Health Administration NADL. National Air and Dust Laboratory UPS. Uninterruptable Power Supply PWS. Performance Work Statement Quality Assurance Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.
Quality Control. Those actions taken by a contractor to control the performance of services so that they meet the requirements of the
PWS.
Quality Assurance. Those actions taken by the government to assure services meet the requirements of the Performance Work Statement.

PART 3 GOVERNMENT FURNISHED PROPERTY, EQUIPMENT, AND SERVICES
3.1 General:
The government will provide the facilities where the work specified by this contract will be performed. All GFE provided by the contract bill of materials will be managed in accordance with DOL property management guidelines.

3.4 Facilities:
Onsite. The government will furnish all necessary workspace required for the contractor to support the effort(s) outlined in this PWS, to include desk space, telephones, computers and other items necessary to maintain an office environment.
PART 4 CONTRACTOR FURNISHED ITEMS AND SERVICES
4.1 General:
Except for those items specifically stated to be government furnished in Part 3, the contractor shall furnish all other items required to perform the services in this PWS. For Example:
The contractor shall provide all equipment for performance in accordance with the terms and conditions of the PWS.
The contractor shall furnish all necessary workspace required to support the efforts outlined in this PWS, to include desk space, telephones, computers, and other items necessary to maintain an office environment. If deemed necessary, the Government may issue, at its discretion, supplemental equipment (e.g. computing equipment).
4.2 Clearance:
The Contractor shall possess a valid background check showing no evidence of Federal, state, or local felony charges and/or convictions.
PART 5 SPECIFIC TASKS
5.1 Basic Services:
The Contractor shall provide services for:
•The replacement of existing UPS batteries with new batteries provided by the manufacturer. The batteries must be new, not used or refurbished equipment. The batteries must support the services and functions of the original equipment and must be of the same type and specifications of the current batteries, or equivalent. The current battery part number is PWHR1234W2FR, which is a sealed, cabinet-type battery. The unit contains six strings of batteries, with two trays per string and nine batteries per tray, for a total of 108 batteries. The battery replacement shall be performed in the base year, preferably prior to 12/31/2026.
•The Contractor shall perform the installation of the new batteries as well as the EPA-approved removal and disposal of the old batteries.
•The purchase shall include a standard commercial warranty. The Contractor shall provide a copy of their standard warranty outlining its coverages.
•The Contractor shall provide one (1) preventative maintenance (PM) visit for the UPS electronics and one (1) preventative maintenance visit for the UPS batteries per contract year. These PMs may be performed during the same visit. The Contractor shall provide all parts and services required during the PM.
•The Contractor shall provide and maintain a Customer Response Center that is available 24 hours per day and 7 days per week (24/7) to answer customer calls, provide technical support, ship replacement parts, and provide emergency response. A standard 24/7 8-hour response time is required.
•The Contractor shall provide any necessary UPS firmware and software upgrades whenever the unit is serviced. These upgrades must be performed by qualified, factory-trained technicians.

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 10 days of contract expiration.

DOLAR 2952.201-70 Contracting Officer's Representative (COR) Clause. (SEP 2014)
(a) A Contracting Officer's Representative (COR) will be delegated upon award. A copy of the delegation memorandum will be provided to the COR and a delegation letter sent to the vendor.
(b) The COR is responsible as applicable for receiving all deliverables; inspecting and accepting the supplies or services provided hereunder in accordance with the terms and conditions of this contract; providing direction to the contractor which clarifies the contract effort, fills in details or otherwise serves to accomplish the contractual scope of work; evaluating performance; and certifying all invoices/vouchers for acceptance of the supplies or services furnished for payment.
(c) The COR does not have the authority to alter the contractor's obligations under the contract, and/or modify any of the expressed terms, conditions, specifications, or cost of the agreement. If, as a result of technical discussions, it is desirable to alter/change contractual obligations or the scope of work, the contracting officer must issue such changes.
