2. "Discussions" are negotiations that occur after establishment of the competitive range that may, at the Procurement Officer's discretion, result in the offeror being allowed to revise its proposal."

3. “Offer” means “proposal” in negotiations.

4. "Proposal modification" is a change made to a proposal before the solicitation's closing date and time, made in response to an amendment, or made to correct a mistake at any time before award.

5. "Proposal revision" is a change to a proposal made after the solicitation closing date, at the request of or as allowed by a Procurement Officer as the result of negotiations.

B. SUBCONTRACT AWARD NOTES

1. Jefferson Lab will award a subcontract resulting from this solicitation to the responsible offeror that is determined capable, after evaluation in accordance with all factors and in the solicitation, and provides the lowest and most reasonable price.

2. JLab, at their sole discretion, may use a competitive range determination to eliminate offers from further consideration after initial proposal receipt due to significant technical deficiencies or excessive or unrealistic pricing when compared to JLab estimates or all other offers received.

3. Jefferson Lab may (1) reject any or all offers if such action is in the public interest, (2) accept other than the lowest offer, and (3) waive informalities and minor irregularities in offers received.

4. Jefferson Lab may reject any offer that is deemed deficient in any critical capability area or an offer that is non-responsive to the Technical Requirements and Terms and Conditions to the extent that the deficiency in capability or the non-responsiveness cannot be remedied within the time allotted for evaluation of the offers.

5. Jefferson Lab may award a subcontract on the basis of initial offers received, without discussions. Therefore, your initial offer should contain your best terms, from a cost or price and technical standpoint.

6. Jefferson Lab may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may be submitted for quantities less than those specified. J Lab reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit cost or prices offered, unless the offeror specified otherwise in the offer.

7. A written award or acceptance of offer mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer shall result in a binding subcontract without further action by either party. Before the offer's specified expiration time, we may accept an offer (or part of an offer, as provided in paragraph (d) above), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. Negotiations conducted after receipt of an offer do not constitute a rejection or counteroffer by J Lab.

8. Financial data neither submitted with an offer, nor representations concerning facilities nor financing, will form a part of the resulting subcontract. However, if the resulting subcontract contains a clause providing for price reduction for defective cost or pricing data, the subcontract price will be subject to reduction if cost or pricing data furnished is incomplete, inaccurate, or not current.

FOREIGN GOVERNMENT SPONSORED OR AFFILIATED ACTIVITIES

JSA is required to report to the U.S. Department of Energy (DOE) if any employee of either a “Demonstration subcontract” or “Research & Development (R&D) subcontract”, where the subcontracted work in question is performed on, or at, a DOE site or facility (including space/facility leased by JSA), participates in a “foreign government talent recruitment program” (FGTRP). These terms are defined in Attachment 2 of DOE Order 486.1A.

The Order can be found here: DOE Order 486.1A.

Subcontractors working on R&D or Demonstration Subcontracts are required to disclose if any employee or sub-tier employee working on the subcontract is participating in a FGTRP. Disclosure is required for badge access to Jefferson Lab facilities. For each individual subcontractor employee receiving compensation from a FGTRP, the Subcontractor is required to provide the following information:

A. The name of the government that is sponsoring the FGTRP.

B. The name of the organization or talent recruitment program.

C. The nature of the employee’s responsibilities under the FGTRP.

D. The duration of the employee’s commitment under the FGTRP.

E. The type of compensation the employee is receiving under the FGTRP.

JSA reserves the right to direct the Subcontractor to remove the employee(s) participating in a FGTRP from performing any work under this Subcontract from the Jefferson Lab Facility or from any other DOE/NNSA site/facility (including DOE/NNSA JSA leased facilities), if it is deemed a risk. To the extent DOE requires the subcontractor employee(s) participating in the FGTRP to be removed from performing any further work under the subcontract, the Subcontractor shall do so unless such employee(s) agree to discontinue participation in the FGTRP.

JSA 120 MILESTONE PAYMENTS (MAY 2020)

A. JSA will authorize milestone payments pursuant with the Milestone Payment Schedule and funding availability. JSA’s approval and payment of requests for milestone payments is conditioned on the subcontractor substantiating successful accomplishment of the event or performance criterion for which payment is being requested. JSA may suspend or reduce milestone payments after finding evidence of the following:

1. Subcontractor failed to comply with any material requirement of this subcontract;

2. Performance of this subcontract is endangered by:

a. Subcontractor’s failure to make progress; and

b. Subcontractor’s financial condition.

3. Subcontractor is delinquent in payment of costs of performing this subcontract in the ordinary course of business; or https://www.directives.doe.gov/directives-documents/400-series/0486.1-BOrder-a/@@images/file

TC-2 Non-Commercial Supply (JUL 2025) Page 9 of 18

4. The amount of the milestone payment exceeds the fair value or reasonable cost of the milestone payment.

B. After the Subcontractor completes the work specified for each milestone, the Subcontractor shall submit a properly executed voucher for payment. The Procurement Officer shall approve payment of 90% of the amount established for completing the milestone as soon as practicable, unless the Procurement Officer determines that suspension of payments or a reduced amount is warranted under paragraph (A) above. When the Procurement Officer determines that the work required by the milestone has been completed satisfactorily, and when the Procurement Officer determines that the amount retained is in excess of the amount adequate for protection of JSA, the Procurement Officer may release the excess amount to the Subcontractor. Acceptance of the work as being complete will normally occur within 2 weeks following the Subcontractor providing the information required to support completion of the milestone event.

C. Title of the property described under this clause shall vest in JSA/Government. Vestiture shall occur immediately upon the date of the first milestone payment under this subcontract, for property acquired or produced before that date. Otherwise, vestiture shall occur when the property is or should have been allocable or properly chargeable to this subcontract.

D. “Property” as used in this clause, includes all of the below described items acquired or produced by the

Subcontractor that are or should be allocable or properly chargeable to this subcontract:

1. Parts, material, inventories, and work in process.

2. Special tooling and special test equipment to which JSA/Government is to acquire title under any other clause of this subcontract.

3. Drawings and technical data, to the extent the subcontract is required to deliver them to JSA/Government by other clauses of this subcontract.

E. Before delivery to and acceptance by JSA, the subcontractor shall bear the risk for loss for property, the title of which vests in JSA/Government, except to the extent that JSA/Government expressly assumes the risk.

JSA 121 SUSPECT/COUNTERFEIT ITEMS REQUIREMENTS (JUNE 2021)

A. The Subcontractor shall establish and maintain effective controls to prevent the introduction of suspect or counterfeit items (S/CI) to the Thomas Jefferson National Accelerator Facility (TJNAF). A suspect item is one in which there is an indication by visual inspection, testing, or other information that it may not conform to established Government or industry-accepted specifications or national consensus standards.
