About this file

This document is a Justification for Sole Source Procurement for the Centers for Disease Control and Prevention (CDC), seeking to renew the Milestone Video Management Annual License through Johnson Controls Building Automation Systems. The sole source procurement is valued at $110,000 and is justified by the proprietary nature of the Milestone Systems software, which is currently integrated into CDC's Physical Security Video Management System. The document emphasizes that switching to another vendor would require a complete system overhaul, potentially compromising existing security system integrations and creating unacceptable risks to CDC's physical security infrastructure.

The procurement is being conducted under GSA Schedule GS-07F-190CA, with the justification citing exclusive licensing agreements and proprietary data as the primary rationale for the sole source approach. The Physical Security Branch Chief, Candace Hunt, certified the justification on November 5, 2024, and the Contract Specialist, Eugene L. Gutierrez Jr., signed off on the document on May 16, 2025. The procurement request number is HCAJSE-2025-00376, and the document underscores that Milestone does not support direct customer purchasing, instead working only through certified resellers like Johnson Controls.

D. Justification:

1. The justification for this non-competitive action is: (NOTE: Must select only ONE of the listed justifications for other than full and open competition and fully support the justification in the following paragraphs. Please delete this note prior to submitting the justification.)

In accordance with FAR 13.106-

Contracting officers may solicit from one source if the contracting officer determines that the circumstances of the contract action deem only one source reasonably available (e.g., urgency, exclusive licensing agreements, brand-name, or industrial mobilization).

(ii) Where a single source is identified to provide a portion of a purchase because that portion of the purchase specifies a particular brand-name item, the documentation in paragraph (b)(1)(i) of this section only applies to the portion of the purchase requiring brand-name item. The documentation should state it is covering only the portion of the acquisition which is brand-

Other (e.g., compatibility, space issues, continuity, compatibility, etc.)

In accordance with FAR 8.405-circumstances that may justify the action are (A) An urgent and compelling need exists, and following the procedures would result in unacceptable delays; (B) Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized; or (C) In the interest of economy and efficiency, the new work is a logical follow-up to an original Federal Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. 2. Other facts supporting sole source procurement:

a. What can this product/service do that other products/services cannot do?

The CDC\OSSAM\SSO Physical Security Video Management System is a proprietary software solution manufactured by Milestone Systems. Licensing from other software providers will not function in this existing proprietary environment. Doing so would cause the system to be inoperable, requiring complete system overhaul. Milestone does not support customer direct purchasing. Milestone only deals with certified re-sellers and company partnerships. Milestone annual licensing is provided by Johnson Controls Building Automation Systems which a licensed and certified re-seller and integrator.

b. What other products/services were considered and why did they not meet the need?

No other products or sources have been considered. Using another source would require a complete overhaul of CDC's entire Video Management System.

Rev. 5/14/19

Additionally other CDC systems are integrated with the current JCI security software systems; using a new source would impact compatibility of existing integrations and require reconfiguration and new development efforts of other CDC systems. The repercussions of transitioning CDC's security systems to a new source are completely impractical.

This requirement must be handled as one contract so that one contractor will be held responsible for the end results needed. Acquiring hardware components separately and providing to a contractor for installation creates unacceptable risk for CDC regarding holding a contractor accountable for proper function of the entire Electronic Security System enterprise environment.

Additionally, using a source other than Johnson Controls creates a risk of delay and outages due to compatibility challenges which would create security vulnerabilities impacting CDC's physical security integrity and federal compliances and accreditations.

3. Program Office efforts to seek potential offerors:

Please reference statements applied above. Additionally, using a source other than Johnson Controls creates a risk of delay and outages due to compatibility challenges which would create security vulnerabilities impacting CDC's physical security integrity and federal compliances and accreditations.
