Summary of Changes
The purpose of amendment 0001 is to provide the MCC response to questions received and make changes based on the response.

B.7 Consideration and Payment
In consideration of satisfactory performance of the work as described throughout this contract, the Contractor shall be paid in accordance with the fixed loaded hourly rates as shown herein for the specified categories of labor based on the number of actual hours incurred in the performance of the work. Fully loaded rates shall be all inclusive of direct labor, fringe benefits, applicable indirect costs, and any profit for each labor category. Labor rates at the inception of a contract period will carry through as "fixed-price" without adjustment for the life of that contract period. Additionally, the contractor shall be paid for materials and travel directly chargeable to this contract. If the options are exercised funding will be obligated by modification to the contract.
Hours by labor category and pricing under ODCs are estimates only and may be increased/decreased as necessary for successful completion of the contract requirements and as approved by the COR/PM. However, the contractor's expenditures at any given point shall not exceed the total obligated amount or the total ceiling price for this contract as specified below. The Government shall not be obligated to pay any amount in excess of this ceiling price nor is the Contractor obligated to continue performance if to do so would exceed this ceiling price. The ceiling price may be modified solely by the Government if it is deemed necessary. The base period and option periods, if applicable, are priced as follows:

5. MINIMUM SKILL REQUIREMENTS
It is envisioned that the technical team composed of key personnel (KP) and core personnel (CP) specialists each meeting the following general requirements, respective of their area of expertise:
•Shall have substantial, relevant, and similar experience in an international setting and working with developing countries similar to Nepal, with a preference for experience in Nepal and/or South Asia; and, •Shall be proficient in English, including speaking, reading, and writing.

L.3. OFFER SUBMISSION DUE DATE
Offeror's quote MUST cite the primary Solicitation Number in the submission. The Offer must be submitted no later than June
28, 2023 at 3:00 pm Eastern Time. Late Offers will not be accepted. Offerors shall only submit one quote in response to this solicitation. Alternate quotes and/or solutions will be rejected. Offers must include the technical, past performance and business volumes, and must be submitted via email to the Contract Specialist, glimpmd@mcc.gov and Taylor Wolf, Contracting Officer, at wolftj@mcc.gov.
Offeror shall ensure that the solicitation number "95332423Q0053" is included in the subject line of their e-mail response.
Failure to do so may cause a quote not to be considered.
L.5. OFFER EXPIRATION
The Offeror shall agree to hold all elements of the quote in its offer firm for no less than 90 days.
L.10. TECHNICAL VOLUME SECTIONS
L.10.1. ADMINISTRATIVE
L.10.1.1. TRANSMITTAL AND COVER LETTER
The Transmittal and Cover Letter must be signed by an officer authorized to make a binding commitment for the firm(s) making the Offer.
The letter shall include the following:
1. The RFQ Number;
2. DUNS number, CAGE code, and TIN;
3. Company Name mailing address, and website address;
4. Date submitted;
5. A statement to the effect that it is firm for a period of at least 90 days from the date of receipt thereof by the Government.
6. All of the above-cited information for each entity on the proposed team, if a team is proposed;
7. Type of Company (i.e., small business, 8(a), woman owned, veteran owned, etc.) as validated via the System for Award Management (SAM). All Offerors must register in SAM located at:
http://www.sam.gov/;
8. A statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation and agreement to furnish any or all items upon which prices are offered at the price set opposite each item;
9. Names, titles, and phone and facsimile numbers and e-mail addresses of persons authorized to negotiate on the Offeror's behalf with the Government in connection with this solicitation and;

10. Name, title, and signature of person authorized to sign the quote. Quotes signed by an agent shall be accompanied by evidence of that agent's authority, unless that evidence has been previously furnished to the issuing office;
11. In addition, the Offeror shall identify the company's anticipated Contractor Performance and Assessment Reporting System (CPARS) Contractor Representative, to include the individual's full name, telephone number and email address;
12. This letter shall include acknowledgement of all amendments issued by the Government; and
13. Offeror Summary Table: The Offeror shall complete the table below. The Offeror should include all subcontractors and team members who will be involved with the performance or management of the program work and should list all sites where the work will be performed. If a teaming or subcontracting arrangement is proposed, identify the work share, distribution elements, and ratios that each contractor will perform using the table below. Also provide a definition of the legal relationship between the entities if it is other than a Prime/subcontractor relationship.

M.6 PRICE EVALUATION
The price will be evaluated for reasonableness. For a price to be reasonable, it must represent a price to the government that a prudent person would pay when consideration is given to prices in the market. Normally, price reasonableness is established through adequate price competition, but may also be determined through cost and price analysis techniques as described in
FAR 15.404.
All quotes shall be evaluated by the Government in accordance with the factors and criteria established above. The evaluation factors will measure the Government's confidence that the Offeror understands the requirement, proposes a sound approach, and will be successful in performing.
Evaluation of Option to Extend Services under 52.217-8. For the purposes of the award of this Contract, the Government intends to evaluate the option to extend services, provided under FAR 52.217-8, as follows:
The evaluation will consider the possibility that the option can be exercised at any time, and can be exercised in increments of one to six months, but for no more than a total of six months during the life of the contract. The evaluation will assume that the prices for any option exercised under FAR 52.217-8 will be at the same rates as those currently in effect under the contract.
The evaluation will therefore assume that the addition of the price or prices of any possible extension or extensions under FAR 52.217-8 to the total price for the basic requirement and the total price for the priced options has the same effect on the total price of all offers relative to each other, and will not affect the ranking of offers based on price, unless, after reviewing the offers, the Government determines that there is a basis for finding otherwise. This evaluation will not obligate the Government to exercise any option under FAR 52.217-8.

2 Section F 38 COVID-19 Pandemic impact to MCC Compact process
Since "the full extent of the [COVID-19 Pandemic] is currently unknown" to this MCC Compact, will the government consider re-evaluating Contractor cost due to changes in scope, schedule/PoP, etc. to complete work?
Any changes in scope will be negotiated in accordance with

3 Section G 47 Security Requirements for Contractor Personnel
Will the Government clarify "fit to work for or on behalf of MCC" requirements for Contractor employees, team members, subcontractors, rendering services under this contract?
To be fit for work, an individual must be able to perform the essential tasks of a job without endangering that individual's health and safety or the health and safety of others.
4 Section G 48-50 Security Requirements for Contractor Personnel
Will the Government clarify the minimum security clearance level or "necessary investigation and clearance requirements" required for Contractor employees, team members, subcontractors, rendering services under this contract?

Can MCC confirm that the only geographic locations of performance will be Nepal and the United States?
We confirm that the majority of the performance locations will be home office, MCC's office in Washington DC and in Nepal.
However, the consultant may be asked to support MCC during Factory Acceptance Tests which will be performed at the country of origin for manufacturing components. This geographic location is not known at this time, as Design Build construction contracts are currently in the procurement phase.

Consultants must decide which implementation contracts most closely align with their organizational experience and capabilities to bring as much value as possible to the MCC and the Government of Nepal. A key consideration is the avoidance of organizational conflicts of interest. To assure proper evaluation, our impression is that the MCC Nepal Technical Support Services contract scope includes delivery of program management and project management support services expected under the Program Management Office Support Services (PMOSS) Activity planned for procurement by the MCA-Nepal.
a. Will MCA-Nepal still be procuring the PMOSS Activity contract or will the MCC be providing these services on an as-needed support basis to the MCA-Nepal?
b. If MCA-Nepal will be proceeding with procurement of the stand-alone PMOSS Activity, will a firm that holds the MCC Nepal Technical Support Services contract be precluded from pursuit and performance of the PMOSS Activity?
There is no guarantee that MCA will ultimately solicit and hire a PMOSS consultant, as it will depend on available budget, timeline and other risk management considerations.
Should MCA decide to move forward with the PMOSS contract the Technical Advisory Consultant will be expected to advise MCC on the performance of this consultant and the scope of oversight and support would be included in this assignment.
