B.1 TITLE
TUNISIA PORT and LZ DD TECHNICAL SUPPORT SERVICES
B.2 BRIEF DESCRIPTION OF SERVICES
The Transport Practice Group, in coordination with the Finance, Investment and Trade (FIT), Environmental and Social Performance (ESP) and Gender and Social Inclusion (GSI) practice groups, at the Millennium Challenge Corporation (MCC) requires a Contractor to provide ongoing technical support for continued due diligence, technical support and oversight support during implementation for the simplification and facilitation of commerce and the transport logistics reforms and infrastructure improvements in Tunisia.
B.3 TYPE OF CONTRACT
The contract type awarded is a Time and Materials contract.
B.4 CONSIDERATION AND PAYMENT
In consideration of satisfactory performance of the work as described throughout this contract, the Contractor shall be paid in accordance with the fixed loaded hourly rates as shown herein for the specified categories of labor based on the number of actual hours incurred in the performance of the work specified. Fully loaded rates shall be all inclusive of direct labor, fringe benefits, applicable indirect costs, and any profit for each labor category. Additionally, the contractor shall be paid for materials and travel directly chargeable to this contract. If the options are exercised funding will be obligated by modification to the contract. B.6 CEILING PRICE
The hours and total price per labor category are for budgeting purposes only. The number of hours actually used for each category may exceed or be less than the estimate by category as long as the ceiling price for the CLIN is not exceeded. The ceiling for each CLIN is identified in Section B. The Government shall not be obligated to pay any amount in excess of this ceiling price nor is the Contractor obligated to continue performance if to do so would exceed this ceiling price. The ceiling price may be modified solely by the Government if it is deemed necessary.
B.7 ADDITIONS AND CHANGES TO LABOR CATEGORIES
It may be necessary to add or change labor categories during performance of this contract in order to carry out the services described in Section C. If new labor categories are added, or existing labor categories revised, the parties will negotiate the labor category(ies) prior to the incorporation into the contract. Any new labor rate proposed will be evaluated for reasonableness in accordance with FAR 15.4.

C.1. INTRODUCTION
The Millennium Challenge Corporation (MCC) is a U.S. Government Agency established under the Millennium Challenge Act of 2003. MCC works with developing countries and provides aid that reinforces sound political, economic, and social policies that promote poverty reduction through economic growth. The majority of countries eligible for MCC funding have requested assistance in addressing local infrastructure needs. As such, MCC requires technical advisory support for a range of consulting services in connection with the development, assessment, design, delivery, and operations of infrastructure projects in countries in the process of developing their Compacts. The Millennium Challenge Corporation (MCC) is responsible for the stewardship of the Millennium Challenge Account (MCA) in partner countries. MCC works with developing countries to promote sustainable economic growth to reduce poverty.
Eligible countries develop specific investment programs in furtherance of the goal of economic development to be funded by MCC over a five-year period and implemented by the country partner.
C.2. BACKGROUND
Tunisia is the only country to emerge from the Arab Spring with a successful democratic transition. In 2014, Tunisia ratified a new Constitution and successfully held presidential elections with a peaceful transition of political power. Though Tunisia is a successful story of democratic transition, the state is still in the beginning phases of responding to and correcting the perceived inequalities in social and economic opportunity that were a major contributing factor in the 2011 revolution.
Recognizing the need for reform, the Government of Tunisia (GoT) has undertaken a number of initiatives with assistance from donors to open up markets, improve the business climate, and support a transition to a more market oriented economy with fair, clear rules.
C.2.1 The MCC's Constraints Analysis identified the following binding constraints to growth:
C.2.1.1 Market Controls of Goods and Services: Extreme levels of state intervention and bureaucracy in goods and services markets create unreasonable regulatory requirements and compliance costs to firms, which unduly prohibit certain actors from entering and exiting, and reduce firms' competitiveness;
C.2.1.2 Restrictive Labor Market Regulations: Inflexibility of wage determination, high social charges, and employment protection mechanisms reduce productivity by discouraging formality, the attainment of efficient firm size, and increasing youth and non-urban unemployment while depressing economic participation of the working age population, particularly women; and
C.2.1.3 Water Scarcity: Inadequate and variable supply of water inhibits medium and long term private investment in interior regions and reduces the sustainability of those investments, primarily in agriculture, creating a constraint to regional equity and sustainability.
C.2.2 In addition to the above constraints, the Constraints Analysis identified unequal labor market opportunities, exclusion of women from the labor market, and the high unemployment rate among youth as cross-cutting concerns with implications for likely beneficiaries from compact investments.
C.2.3 The Government of Tunisia's current plan for economic development is laid out in the 2016 – 2020 Development Plan, a product of national and regional consultations. The plan aims to achieve an average annual GDP growth rate of 4% per year through 2020. It also includes a focus on inclusive growth benefitting all regions of the country and segments of the population, and puts strong emphasis on the need to accelerate employment. The plan is based on five pillars, including:
C.2.3.1 Pillar 1: Good governance, public administration reforms and anticorruption measures
C.2.3.2 Pillar 2: Transition from a low-cost country to an economic hub
C.2.3.3 Pillar 3: Human development and social inclusion
C.2.3.4 Pillar 4: Realizing regional ambitions - Business Climate Reform
C.2.3.5 Pillar 5: The Green Economy, a pillar of sustainable development
C.2.4 As part of and in addition to the Development Plan, the Government has identified a number of priorities related to the current scope of work, which are linked to the MCC Constraints Analysis; these are outlined in the following tentative project structure below:
C.2.4.1. Trade and Transport Project
The Project is designed to 1) reduce the time burden and cost of importing/exporting goods, mostly via containers; and 2) lower domestic transport and logistics costs and burdens.
The proposed activities include:
C.2.4.1.1. Simplification and Digitalization of Commerce Procedures
This sub-activity proposes to reform and make investments in IT systems to improve commerce as well as improve the transparency and consistency of various non custom and customs procedures. The reforms under this proposed sub-activity will provide support for improvements in trade facilitation and procedures, including possible support for execution of Tunisia's Trade Facilitation Agreement with the World Trade Organization (WTO), ratified in 2017. In addition, this sub-activity may proposes to provide equipment for a new digital platform for customs, which is intended to improve transparency, equal treatment of firms through the customs process and reduce the time and cost to clear customs.
C.2.4.1.2. Transport and Logistics Reforms and Infrastructure Upgrades:
This sub-activity proposes to include a combination of reforms and investments in infrastructure to reduce the time and cost for logistics and transport of goods. In particular, this work may include:
• Legal and regulatory reforms to reduce state intervention and increase competition in port operations, logistics services, and maritime and ground transport;
• Institutional and policy reforms in the logistics sector to help improve the regulatory environment for logistics; and
• Infrastructure investments in the port of Rades as well as logistics zones at Rades and Sfax. This will be combined with technical assistance to (a) improve the management of Rades Port and provide support for port expansion (b) improve operations of the state-owned enterprise, STAM (Société Tunisienne d'Acconage et de Manutention), which holds the current concession for the port and (c) develop a concession agreement for the logistics zones.
C.2.5 Two individual firms have been recently recruited by MCC to help define each of these activities in order to develop these into a proposal for consideration for inclusion in the eventual compact. The products from these services will be provided upon award of this statement of work.
C.3. SCOPE OF WORK
The Transport Practice Group, in coordination with the Finance, Investment and Trade (FIT), Environmental and Social Performance (ESP) and Gender and Social Inclusion (GSI) practice groups, at the Millennium Challenge Corporation (MCC) requires a Contractor to provide ongoing technical support for continued due diligence, technical support and oversight support during implementation for the activities found under Activity 2 above, notably the simplification and facilitation of commerce and the transport logistics reforms and infrastructure improvements.
The Contractor shall prepare reports and/or email summary of reviews (and relevant inputs to) relevant project documents, including (but not limited to) the following:
1. Stakeholder Engagement Plan for the Port and Logistics work:
a. Shall include stakeholder identification and mapping in conformance with IFC PS;
2. Terms of reference or other scoping documents prepared by MCC, the GOT A&E or its contractors;
3. Design reviews of both transport projects and other activities contemplated under the Compact;
4. GOT A&E technical and/or financial procurement evaluations;
5. Draft and final contracts with relevant services/goods/works contractors to be engaged by GOT AE;
6. Technical studies, designs and other GOT A&E contractor deliverables;
7. Environmental, social, gender and resettlement documents;
8. Work plans and other program and project schedules;
9. Construction supervision documents;
10. Cost or other LOE estimates;
11. Site visitation reports;
12. Field Testing and Verification;
13. Meeting summaries;
14. Other reports;
15. Presentations;
16. Claims and dispute resolution documents;
17. Certificates of completion and/or turnover;
18. Compact close-out planning and archive information.
C.4. TASKS
The Contractor shall provide technical advice, opinions and recommendations on the overall merit of projects and their institutional enabling environment proposed by the Government of Tunisia (GOT) or potential alternative projects in order to inform MCC's investment decisions and to recommend actions to address gaps, inadequacies, risks in terms of cost, quality, and completion during the anticipated Compact.
The scope of projects to be assessed will include transport sector infrastructure activities as well as legal and institutional activities to improve operations and sustainability in Tunisia's port, transport and logistics sector.
C.4.1. Project Appraisal
The Contractor shall appraise the absolute and relative merits of projects proposed by the GOT for inclusion in the Compact, such as their consistency with any available sector master plans, technical feasibility, cost, implementation requirements, risk, environmental and social impacts and opportunities, social and gender inclusion risks and opportunities, and projected benefits and the socioeconomic distribution of those benefits relevant to their economic impact and beneficiary analysis. In so doing, the Contractor shall suggest alternative investments that may be considered priorities over or enhancements to those proposed; this would also include any alternative investments or programming opportunities to maximize economic benefits to women and youth through employment or entrepreneurship. Where projects lack full feasibility studies, the Contractor shall identify the gaps in analysis and contribute to project development and definition. The analysis and final recommendations shall also address issues of long-term sustainability and sector growth.
The Contractor shall review studies and reports as directed by MCC. The Contractor shall also review reports related to the institutional reform and capacity building of transport sector institutions.
C.4.2. Project Preparation
The Contractor shall assist the MCC in the development of appropriate terms of reference(s) with cost estimates for the recruitment of an Architect and Engineering (A&E) firm(s) to provide the engineering designs, environmental and social impact assessments and resettlement related work; this shall include an appropriate level of data collection to properly scope the A&E terms of reference to reduce implementation risks such as delays, additional costs, lower levels of quality, etc.
The Contractor shall assist the MCC in the development of appropriate terms of reference(s) with cost estimates for the recruitment of a technical assistance and transaction advisory firm(s) to support the activities of the compact, notably the development of concession agreements with STAM and the private partner, the logistics zone concessions, the development an infrastructure management system, health and safety system at the Port of Rades, etc. ; this shall include an appropriate level of data collection to properly scope the terms of reference to reduce implementation risks such as delays, additional costs, lower levels of quality, etc.
The Contractor shall assist the MCC in reviewing appropriate position descriptions, drafting of implementing entity agreements and other activities to help support the standing up of the MCA-T organization.
The Contractor shall assist the MCC in the facilitation of stakeholder engagement sessions to agree and finalize the work mentioned above.
C.4.3. Project Feasibility and Design Review
Using Terms of Reference (TOR) documents reviewed by MCC, the GOT, with support from its designated implementing entities will procure and engage the services of Contractors to conduct or update Feasibility Studies (FS), other foundational studies and reviews as necessary, Environmental and Social Impact Assessments, social and gender assessments, Trafficking in Persons (TIP) assessments, Final Designs, and RAPs for all project activities, as needed. Such studies and reviews may apply not just to physical infrastructure activities but to other forms of assistance that are contemplated as well – studies, technical assistance, transaction advisory services, and capacity building.
A key component of the work performed under this contract will be to review the output produced by other consultants already contracted by the GOT A&E or MCC, and other consultants will be contracted later by the GOT A&E, including regular progress reports and, where necessary, provide reports to MCC on critical issues, risks and programmatic changes that develop as a result of this preparatory work.
C.4.3.1. Contractor shall conduct this work ensuring, on behalf of MCC, in conformity with MCC approved design concepts, satisfaction of MCC project selection criteria;
C.4.3.2. Review consultants' Inception Reports and proposed work programs;
C.4.3.3. Review draft and final detailed design criteria, designs, final detailed plans, cost estimates, specifications and tender documents to ensure that documents are fully ready for construction procurement and are within MCC's Compact budget and within acceptable international standards;
C.4.3.4. Review detailed designs using value engineering principles;
C.4.3.5. Review the feasibility of planned management approaches and reforms to improve the operations of ports, logistics zones and related infrastructure in Tunisia; reforms may include legal or regulatory changes, institutional reforms at state-owned enterprises or other GoT entities or improved operations and management approaches.
C.4.3.6. Coordinate with any additional infrastructure, environmental and social consultants separately hired by MCC and or MCA to ensure that they incorporate measures to avoid, minimize, mitigate or enhance and manage social and environmental impacts, physical or economic displacement, trafficking in persons, and health and safety risks; and that they are incorporating planned actions to increase economic opportunities for socially disadvantaged populations
C.4.3.7. Coordinate with environmental and social consultants to include input on stakeholder involvement in the design process, and in the review of final designs and environmental and social management plans to ensure that they incorporate stakeholder priorities and concerns and that a stakeholder engagement plan has been developed to engage with stakeholders throughout the duration of project activities, as needed and in coordination with other MCC consultants;
C.4.3.8. Coordinate with environmental and social consultants to assess potential risks to the MCC including cost overruns, resettlement risks, and time line risks;
C.4.3.9. Coordinate with social and gender inclusion specialists to assess exclusion risks and other social and gender-based risks in accordance with the MCC Gender Policy. Support the inclusion of vulnerable groups and women by advising on consultations processes to help ensure their needs and priorities are reflected in designs and mitigation measures. Help review mitigation plans with the view to adequately integrating social and gender inclusion priorities through specific programming elements. This should include in particular opportunities to support a focus on employment and entrepreneurship opportunities for women and youth through the project.
C.4.3.10. Develop risk mitigation plans, as required;
C.4.3.11. Review engineering designs for incorporation of environmental, health and safety criteria and specifications;
C.4.3.12. Review environmental and social assessments, TIP Risk Management Plan, social and gender assessments, and related studies, as needed and in coordination with other MCC consultants;
C.4.3.13. Review ESMPs and ensure that they have been fully incorporated into all bidding documents in coordination with and integrating the work of environmental and social consultants and gender and social inclusion consultants hired by
MCA-CI;
C.4.3.14. Review development and implementation of RAPs, or Livelihood Restoration Plans, as needed and in coordination with other MCC consultants. The above reviews shall include, among other things, a review of compliance with
MCC Gender Policy and Milestones and Operational Procedures, MCC Environmental Guidelines and IFC Performance Standards, including the standards on Involuntary Resettlement and Occupational Health and Safety, as well as applicable Tunisian environmental, social, and health and safety policies, laws and regulations.
C.4.4. Procurement
C.4.4.1. Advise on procurement strategy including appropriate forms of structuring and contracts (including PPPs), timing, packaging, and expertise/firms subject to contracts for project management, construction supervision, construction, studies and advisory services, environmental, health and safety, social, gender, and resettlement activities;
C.4.4.2. Participate as an observer in pre-proposal bidders' conferences, pre-bid job site visits and pre-construction meetings, as necessary;
C.4.4.3. Review Requests for Proposal (RFP) and Forms of Contract for supervision and other design and technical service Contractors including all technical and contractual parts;
C.4.4.4. Review Invitations for Bids (IFBs) and Form of Contracts for works contracts including all technical and contractual parts;
C.4.4.5. Review inputs for the RFPs and Forms of Contract for Project Management, Technical Assistance and embedded advisors;
C.4.4.6. Review all bidding documents to ensure they include all necessary information/requirements for design, construction, environmental, social , gender, resettlement, and health and safety issues;
C.4.4.7. Provide an independent review of pre-qualification technical submittals, technical and cost proposals for project management, construction, and construction supervision;
C.4.4.8. Provide an independent review of technical and cost proposals;
C.4.4.9. Review proposal evaluation reports from technical panels and the GOT A&E's procurement agent;
C.4.4.10. Review contract terms and conditions of the construction contracts, as well as the contracts for Project or Program Management (PM) and Subcontractor (SC) services and other forms of consulting services, if applicable;
C.4.4.11. Support MCC issuance of no objection letters;
C.4.4.12. Assess the adequacy of work plans, mobilizations plans, and procedures of selected Contractors and consultants; and
C.4.4.13. Monitor progress.
C.4.5. Construction and Implementation Period Monitoring Services
On behalf of MCC, monitor all aspects of project implementation to ensure completion of projects in accordance with schedules, plans and specifications and MCC Environmental Guidelines, MCC Gender Policy, Counter-Trafficking in Persons Policy, IFC Performance Standards, and the GOT Architecture and Engineer(s) (A&E)'s Environmental and Social Management System as needed and in coordination with other MCC consultants ;
C.4.5.1. Monitor performance against Conditions Precedent in the Compact;
C.4.5.2. Participate in periodic MCC missions to oversee rehabilitation/construction progress and provide (quarterly, or as required by MCC) spot on-site monitoring, spot testing and reporting of construction progress, C.4.5.3. Quality Assurance and Quality Control, ESMP, and other environmental, health and safety, social, gender, resettlement documentation compliance, and material usage as per standard construction practice, and/or provide spot audit on the Supervisory Firm(s) and assess quality and completeness of responsibilities of the firm(s) as needed and in coordination with other MCC consultants;
C.4.5.4. Monitor reports from the GOT A&E and Project Implementing Entities that all necessary permits (construction and environmental) have been obtained prior to construction, these include but are not limited to permits required for work camps, waste disposal sites, borrow pits, and blasting activities;
C.4.5.5. Help to develop workable and technically adequate alternatives to the baseline design when problems with building the baseline design are encountered or cost and schedule concerns prompt a search for alternative approaches;
C.4.5.6. Review the recommendations of the GOT A&E and Project Implementing Entities on requests for amendments or change orders prior to MCC's issuance of no objection letters;
C.4.5.7. Verify, review and monitor implementation of all plans, manuals and programs as needed and in coordination with other MCC consultants;
C.4.5.8. Review and provide comments on all material changes to the plans and manuals;
C.4.5.9. Review ESMP, Health and Safety Plan, and Hazardous Materials and Waste Management Plan implementation as needed and in coordination with other MCC consultants;
C.4.5.10. Review implementation of Stakeholder Engagement Plans and Grievance Mechanisms;
C.4.5.11. Review RAP/Livelihood Restoration Plans, as appropriate, implementation as needed and in coordination with other MCC consultants;
C.4.5.12. Review implementation of gender and social inclusion activities in the Compact;
C.4.5.13. Review and provide support for the development of the A&E's social and gender integration plan, in particular the components relating to this project; provide input into the annual social and gender integration plan review and update process, assessing compliance against identified priorities.
C.4.5.14. Periodically monitor performance against Conditions Precedent in the Compact;
C.4.5.15. Liaise with Project Implementation Entities who will implement and/or oversee construction and other activity implementation and provide comments to MCC on the progress/results of these entities;
C.4.5.16. Review Contractor's pay requests in terms of project schedules, work-in-place, and stored materials and advise action as appropriate;
C.4.5.17. Review cost proposals/field orders and change orders for accuracy in terms of scope of work, labor and materials, and rates and advise action as appropriate;
C.4.5.18. Review GOT A&E management of contingencies and other budget provisions and set-asides;
C.4.5.19. Coordinate with MCC Environment and Social Specialists and consultants to ensure compliance with ESMPs, HSPs, Hazardous and Waste Management Plans, social requirements, Strategic RAPs and site-specific RAPs, HIV/AIDS awareness plans, C.4.5.20. Trafficking in Persons (TIP) Risk Management Plan and other requirements;
C.4.5.21. Coordinate with MCC monitoring and evaluation specialists on project performance indicators and impact evaluation assessments; and
C.4.5.22. Review requests for amendments or change orders prior to MCC's issuance of no objection letters.
C.4.5.23. Verify all performance based criteria are properly measured and evaluated for payment.
C.4.6. Studies, Technical Assistance, Advisory Services and Capacity Building
It is expected that transport and logistics projects forming part of a potential MCC Compact with Tunisia will include an emphasis on port and/or transport sector reform aspects. It is also expected that this project will include specific programming elements to encourage and support female and youth employment and entrepreneurship in the context of the opportunities arising out of the project. As such, it is important that Contractor be fully prepared to support those non- traditional activities which require expertise and consulting experience in the sector that is not related directly to physical infrastructure projects.
Using TORs reviewed by MCC, the GOT A&E with support from its designated implementing entities will procure and engage the services of consultants to conduct studies and implement certain Compact activities. A key component of the work performed under this contract will be to review the output produced by other consultants and provide reports to MCC on critical issues, risks and programmatic changes that develop as a result of this preparatory work;
C.4.6.1. Review draft and final project design criteria, designs, implementation plans, cost estimates, and statements of work to ensure that documents are ready for procurement and within MCC's Compact budget and acceptable international standards;
C.4.6.2. Assess potential risks to the MCC including cost overruns, sustainability, time line risks;
C.4.6.3. Develop risk mitigation plans, as required;
C.4.6.4. Advise on procurement strategy including appropriate forms of structuring and contracts, timing, packaging, and expertise/firms for such studies and advisory services;
C.4.6.5. Review RFPs and Forms of Contract;
C.4.6.6. Provide other support throughout the procurement process (e.g., observer at pre-bid meetings, reviewer of technical evaluation panel reports and negotiated contracts) to ensure all is in order before contracts for services are executed;
C.4.6.7. Assess adequacy of mobilization and work plans and monitor progress;
C.4.6.8. Assist MCC with review and commentary on deliverables and implementation arrangements;
C.4.6.9. Assess the GoT's progress in implementing the recommendations and key performance indicators put forward by the consultants, including policy, institutional and operational reforms to improve the performance in the transport and logistics sectors; make recommendations for how the GoT can achieve the expected reforms
C.4.6.10. Monitor performance and formulation of contingency plans to the extent warranted;
C.4.6.11. Coordinate with MCC monitoring and evaluation specialists on project performance indicators and impact evaluation assessments, including gender-aware and social-inclusion indicators.
C.4.7. Turnover and Completion Review for Works and Services
C.4.7.1. Witness inspections/tests of the completed works and monitor all construction closeout procedures and release of retentions;
C.4.7.2. Identify risks that may prevent the GOT A&E from properly closing out contracts, recovering advance payments in full, and releasing retention monies;
C.4.7.3. Review punch list/schedule of minor defects and outstanding items to be remedied by the works Contractor after issuance of Taking Over Certificate (TOC);
C.4.7.4. Conduct close-out audit to ensure that all close-out activities related to environmental, social, health, and safety measures, and waste management plans are properly implemented and requirements complied with before relevant Contractors and consultants are released and works are handed over to the GOT;
C.4.7.5. Review periodic defect reports to be produced by the Engineer;
C.4.7.6. Review finalization of all RAPs, including appropriate documentation of all payments and appropriate response to all grievances;
C.4.7.7. Conduct periodic visits to verify if defects have been remedied by the works Contractors;
C.4.7.8. Provide advice on the return of the remaining cash/retention monies and all performance securities to the Contractors;
C.4.7.9. Advise MCC on defects that remain unresolved, or any evidence of possible fraud and corruption in the management of the Defects Liability Period (DLP), which may take place after the Compact ends;
C.4.7.10. With respect to services contracts, advise MCC on incomplete or low quality work that may detrimentally impact effectiveness as intended of the activity;
C.4.7.11. Assist MCC as needed in assuring orderly Compact Closeout procedures for infrastructure, environment, social, gender and resettlement activities of the Compact and studies/technical assistance as may be appropriate;
C.4.7.12. Advise MCC on the end state and functionality of any institution that was supported, re-structured or reformed as part of the Compact interventions or in compliance with Compact CPs;
C.4.7.13. Assess capability of beneficiary/implementing entities to sustain the impact and investments made by or as a result of the Compact.
C.4.7.14. Integrate all final geotechnical data into a georeferenced ArcGIS online database that shows the before and after project conditions and characteristics including aerial imagery.
C.4.8. Other Technical Assistance
C.4.8.1. Review implementation plans and work plans developed by the GOT A&E and related implementing entities as they pertain to infrastructure, environment, social and resettlement activities, providing advice to MCC in terms of the appropriateness of same, from a technical, financial, environmental, gender, social inclusion social and managerial perspective. This advice will inform MCC's decision on whether or not to approve the implementation plans for their subsequent execution;
C.4.8.2. Review GOT A&E resource plans and Implementing Entity Agreements for their appropriateness and adequacy to execute the work to an acceptable level of quality.
C.4.8.3. Support MCC issuance of no objection letters;
C.4.8.4. Draft technical and/or management papers, memoranda, presentations and other documents;
C.4.8.5. Review proposed implementing entity arrangements and cooperation agreements between the GOT A&E and other entities as they pertain to the projects;
C.4.8.6. Review safety design features, recommendations and applicable programs;
C.4.8.7. Track relevant developments in the related transport and infrastructure sectors in Tunisia, and assist MCC Tunisian donor coordination, as appropriate;
C.4.8.8. Review technical studies for Compact Projects, as needed, and associated transaction documents;
C.4.8.9. Review Conditions Precedent in Compact to ensure progress made is in line with MCC expectations;
C.4.8.10. Provide general technical and/or contractual advice and assistance to MCC related to the activities;
C.4.8.11. Review key GOT A&E technical staff technical and management capacity;
C.4.8.12. Provide support to the development and implementation of the GOT A&E Environmental and Social Management System;
C.4.8.13. As needed by MCC, perform evaluations on capacity of GOT A&E, its implementing entities, and other stakeholders involved in Compact implementation and provide recommendation for capacity building and improvements where applicable, inclusive of any capacity building to address the social and gender inclusion components of the project
C.4.8.14. Verify, review, and assess the adequacy of all reports that are provided by the Contractor(s), Implementing Entity and GOT A&E, and that the reports fulfill the reporting requirement obligations of these entities under the Program to assist MCC's authorization of disbursement requests;
C.4.8.15. Report results to MCC in a timely manner, at least quarterly, throughout the duration of the Compact Term, and more frequently, if significant deviations from GOT A&E's requirements are encountered;
C.4.8.16. If changes in cost were to be incurred and MCC is required to make an amendment to the Compact, assist MCC in all analyses relating to activities of projects that cause cost variation (description of causality, assessment of changes, calculation of costs and contingencies, calculation of time line changes, etc.);
C.4.8.17. Assist any auditors from the United States Government with provision of information or provision of answers for requests for clarification;
C.4.8.18. Make presentations on implementation progress and performance to MCC annually (in Washington, DC) and provide an annual Implementation Review and Performance written report;
C.4.8.19. Assist in transferring analyses, costing, drawings, implementation plans, procurement documentation, and other relevant data and information to MCC and the Procurement Agent;
C.4.8.20. Provide legal and contractual advice and assistance on the interpretation and execution of small works contracts and represent MCC's technical interest in any dispute resolution procedures.
C.4.9. Data Collection and Quality Assessment
C.4.9.1. The contractor shall provide needed data collection on specific sections of the project to verify assumptions, results and quality of work including, but not limited to, core sampling, geotechnical and environmental testing, and other needed field testing as approved by MCC.
C.4.9.2. The contractor shall develop and maintain an appropriate ArcGIS online account for the duration of the assignment to store relevant data and provide analysis as directed. Base mapping shall be included as well as relevant licenses. All metadata shall meet OMB Circular 16A requirements.
C.4.10. Logistics
C.4.10.1. The contractor shall provide recent, air conditioned 4x4 vehicles as requested in excellent condition with all working seat belts.
C.4.10.2. The contractor shall provide logistical support in the arranging of appropriate travel reservations as appropriate.
C.4.10.3. The contractor shall develop, maintain and update as needed a security plan in conformance with the US Embassy Resident Security Office (RSO) requirements.
C.4.10.4. The contractor shall ensure that all field logistics and communications are properly managed with all personnel able to have access to internet at all times including the use of GPS enabled tablets for field data collection and/or access to files.
C.4.10.5. The contractor shall provide printing and translation services from Arabic to French/English as requested within a short timeframe.
C.4.10.6. The contractor shall provide aerial imagery of the project zones for base mapping and additional mapping during construction to monitor progress as deemed acceptable and approved by MCC.
C.4.10.7. The contractor shall maintain an annual planet lab subscription as deemed acceptable and approved by MCC.
C.4.10.8. The contractor shall reserve conference room space/venues as approved by MCC.
C.5. REQUIRED RESOURCES
In order to meet the requirements of the Task Order, the Contractor shall mobilize Personnel in the areas below.
If qualified, one individual can fulfill more than one position, which is highly desirable.
Note that IFC Performance Standards (PS) experience is not considered equivalent to World Bank Operational Policies.
C.5.1. The Core Personnel (CP) specialists shall meet the following specific requirements:
C.5.1.1. All contractor staff are subject to MCC approval;
C.5.1.2. The Contractor must provide and maintain all proposed key and non-key personnel;
C.5.1.3. To the extent that additional personnel representing other disciplines are needed to carry out any of the tasks outlined above, the Consultant must present for MCC's approval both the qualifications and billing rates for such new personnel;
C.5.1.4. Any changes are subject to approvals in accordance with the appropriate Government regulation;
C.5.1.4.1. Key Personnel require a contract modification;
C.5.1.4.2. Non-Key Personnel require approval of proposed candidate's CV by the Contracting Officer's Representative (COR) or Project Monitor (PM);
C.5.1.5. For all proposed Key and Non-Key Personnel, the contractor shall provide the following:
C.5.1.5.1. At least one (1) qualified CV for each proposed replacement;
C.5.1.5.2. For each replacement, the contractor will provide an additional table showing the required qualification outlined under the Statement of Work (SOW) with a summary of experience from the proposed CV showing the candidates meeting the requirement.
C.6. PERSONNEL
C.6.1. KEY PERSONNEL
C.6.1.1. Team Leader (Transport Expert / Sector Technical Specialist)
A minimum of fifteen (15) years' experience in relevant port infrastructure investments and a BS in a relevant engineering field is required; a Master's degree in relevant engineering field is highly desirable.
