B.1 SERVICES TO BE PROVIDED
MCC requires a contractor to assist in the oversight of infrastructure components of the Morocco Employability and Land Compact. Implementation Oversight of Infrastructure Components Morocco II
A. Introduction
The Millennium Challenge Corporation (MCC) is a Federal Corporation created under Title VI of the Foreign Operations, Export Financing, and Related Programs Appropriations Act, 2004. Created by the U.S. Congress in January 2004 with strong bipartisan support, MCC has changed the conversation on how best to deliver smart U.S. foreign assistance by focusing on good policies, country ownership, and results. MCC provides time-limited grants promoting economic growth, reducing poverty, and strengthening institutions. These investments not only support stability and prosperity in partner countries but also enhance American interests
MCC forms partnerships in the form of "compacts" with developing countries who are committed to good governance, economic freedom and investing in their citizens. Compacts are five-year agreements between MCC and an eligible country to fund specific programs targeted at reducing poverty and stimulating economic growth. MCC relies on an entity within a partner government known as a "Millennium Challenge Account" or MCA to implement the compact with oversight by MCC headquarters staff located in the partner country and in Washington, DC.
The Morocco Employability and Land Compact has a total budget of $450 million and was designed to support two Government of Morocco (GoM) priorities that will contribute to economic growth and investment in the country: employability and land productivity. Morocco's economic and political stability has contributed to continuous economic growth and significant poverty reduction over the past decade. Although poverty trends are improving, regional inequality remains considerable, with an urban/rural divide in access to public services and economic opportunities. Morocco has critically low rates of gender equality and one of the lowest female labor force participation rates in the world. By supporting policy and institutional changes that will improve Morocco's investment environment and by creating models for engagement with the private sector, the Employability and Land Compact address both the supply and demand sides of the labor market.
MCC and the GoM signed the Morocco Employability and Land Compact on November 15, 2015. The compact consists of an Education and Training for Employability Project and a Land Productivity Project. The compact entered into force on June 30, 2017 and has a Compact End Date (CED) of July 1, 2022. The Education and Training for Employability Project includes two activities. The Secondary Education Activity aims to improve the quality of secondary education by piloting a participatory approach to school improvement in 90 schools across three regions of Morocco. The Activity is investing in reforms to school governance, coupled with targeted investments in infrastructure, technology, and training for teachers and school leaders. The Workforce Development Activity aims to increase the quality and relevance of technical and vocational education and training by supporting private-sector driven governance as well as construction/rehabilitation of 15 training centers, together with targeted investments in policy reform of the sector. This activity is also investing in improvements to job placement services through a results-based financing mechanism as well as improvements to the availability and analysis of market information.
Both the Secondary Education Activity and the Workforce Development Activity include infrastructure components consisting of repairs and expansions to existing school buildings and the creation new and expansion of existing technical, vocational, education and training (TVET) centers.
The Land Productivity Project includes a Governance Activity, a Rural Land Activity and an Industrial Land Activity. an The Governance Activity is improving land governance and addressing land market constraints to investment and productivity, in part through the development of a National Land Strategy and action plan for its implementation, and by supporting implementation of priority measures to address those constraints. The Rural Land Activity is developing a faster and more inclusive process for granting titles on irrigated collective lands to individual men and women smallholder farmers and their families who currently farm the land. The Industrial Land Activity is piloting a market-driven public-private partnership approach to industrial zone development management to foster sustainability and private sector investment. The Rural Land and Industrial Land Activities include infrastructure components consisting of new industrial parks and certain civil/municipal systems.
MCC requires a contractor to assist in the oversight of infrastructure components of the Morocco Employability and Land Compact. MCC requires these services roughly during the final two years of the term of compact implementation and approximately one year after the end of the compact. To date, these services have been provided by Norda Stelo.
B. Objectives
The overall objective is to assist MCC oversee and independently evaluate the implementation of infrastructure components funded through the compact. The specific objectives of this consulting services contract are to assist MCC accomplish the following:
• Assess overall risks to MCC and MCA related to cost, scope, quality and schedule of infrastructure components;
• Assess the feasibility and suitability of engineering designs of various infrastructure components;
• Assess the quality of engineering design documents, including but not limited to drawings, specifications and cost estimates;
• Assess the performance of design firms and construction works contractors retained by MCA – Morocco;
• Assess the quality and progress "on site" of construction works and conformance with construction contract documents;
• Assess the degree/amount of completion of infrastructure components at the Compact End Date on June 30, 2022;
and
• Evaluate the completion of infrastructure components by the Government of Morocco after Compact End Date on
June 30, 2022.
C. Scope
The scope of services that MCC requires of the Contractor fall broadly under independent oversight of the implementation by the MCA – Morocco of infrastructure components funded through the compact. The assignment includes oversight over the performance of the design and construction supervision firms and construction works contractors contracted by and to MCA- Morocco. The Contractor may be required to coordinate with other MCC consultants on: (i) reviewing efforts to clear rights of way and implement RAPs prior to the start of construction; (ii) environmental and social compliance and (iii) social and gender compliance. The scope may also include the monitoring of construction works not yet completed on Compact End Date and Defects Liability Period (i.e., construction warranty period) after Compact End Date.
D. Tasks
The Contractor shall provide infrastructure consulting services to MCC in support of MCC's compact implementation oversight and evaluation and, as directed by MCC, to liaise with the MCA and other elements of the GoM on technical issues related to the above activities. The Contractor will serve as an advisor and source of independent verification to MCC with respect to cost, scope, quality and schedule of infrastructure components funded through the compact. Such services are usual and customary independent engineering services expected by and provided to MCC in the execution of its mission.
The Contractor shall be prepared to provide MCC with professional services related but not limited to the following primary tasks:
1. Evaluate project pre-feasibility engineering and environmental studies
2. Evaluate project feasibility engineering and environmental studies
3. Evaluate engineering design and construction documents
4. Observe and monitor progress of construction works
5. Observe and monitor the supervision of construction
6. Assess risks associated with cost, scope, quality and schedule of infrastructure components
7. Observe, monitor and evaluate progress of construction after Compact End Date
D.1 Task 1: Evaluate project pre-feasibility engineering and environmental studies
The Contractor shall evaluate and advise MCC on the content, quality and findings of review preliminary project design documents and identify relevant environmental and social risks, impacts and opportunities. The Contractor may be requested to review the results and recommendations resulting from environmental and social studies/plans, and social and gender studies/plans prepared by others.
D.2 Task 2: Evaluate project feasibility engineering and environmental studies
The Contractor shall evaluate and advise MCC on the content, quality and observations of project technical and economic feasibility studies, environmental plans prepared by others, topological surveys prepared by others, geotechnical investigations prepared by others, pre-design engineering feasibility studies prepared by others and gender and social inclusion related assessments/plans prepared by others.
D.3 Task 3: Evaluate engineering design and construction documents
The Contractor shall evaluate and advise MCC on the content, quality and observations of engineering design and construction documents, including but not limited to diagnostic reports, topological surveys prepared by others, geotechnical investigations prepared by others, preliminary and final drawings, calculations, specifications, cost estimates and bills of quantity.
D.4 Task 4: Observe and monitor progress of construction works
The Contractor shall evaluate and advise and provide independent verification to MCC on the progress during the construction phase of infrastructure components. The Contractor shall conduct and document periodic infrastructure component site observations as directed by MCC and in coordination with MCA – Morocco. The set of infrastructure components consist of approximately 120 project site locations that are geographically dispersed across Morocco but somewhat concentrated within the three regions of Tanger-Tetouan-Al Hoceima, Fès-Meknès and Marrakesh-Safi. This task may also include the following sub-tasks:
• Document through digital photography "as-built" conditions on site
• Evaluate percent complete and prepare estimate-to-complete of construction works at various points in time;
• Analyze potential causes of cost overruns and/or schedule delays and recommend remedial actions to rectify on-site conditions and/or improve performance;
• Evaluate the implementation of and compliance with Resettlement Action Plans;
• Verify the completion of performance tests by construction works contractors prior to the "handing over" of completed construction works to MCA – Morocco;
• Assess overall adequacy and compliance with project closeout plans and procedures;
• Forecast the "percent complete" on Compact End Date and "estimate-to-complete" from Compact End Date infrastructure components not completed on Compact End Date;
• Evaluate the engineering designs of construction works after Compact End Date that will not longer be under the control of MCA – Morocco;
• Evaluate progress of construction works after Compact End Date that will no longer be under the control of
MCA – Morocco;
D.5 Task 5: Observe and monitor the supervision of construction
The Contractor shall evaluate and advise MCC on the content, quality and observations of the construction supervision of infrastructure components. This task may also include the following sub-tasks:
• Evaluate the effectiveness of the construction supervisor with respect to the construction documents and MCC's policies and procedures to implement the International Finance Corporation Performance Standard 2 (PS 2), Labor and Working Conditions.
• Evaluate compliance by construction supervisor and construction works contractor compliance with environmental, health and safety plans;
• Evaluate the supervision of construction works after Compact End Date that will no longer be under the control of MCA – Morocco
D.6 Task 6: Assess risks associated with cost, scope, quality and schedule of infrastructure components
The Contractor shall evaluate and advise MCC on risk associated with cost, scope, quality and schedule of infrastructure components. Such risk assessments are intended to inform MCC about the likelihood and potential consequences of adverse events, including threats and opportunities. An example of potential cost risk is identification of a discrepancy between the design of a school electric distribution system, the approved school repair budget and potential market conditions at the time tender/bid. An example of a potential scope risk is incomplete design of a municipal wastewater treatment plant. An example of a quality risk is defective material, installation and workmanship of an "as built" school electric distribution system observed during a site visit. An example of a schedule risk is an overly aggressive or unrealistic contractual milestone to attain substantial completion or provisional handover of a new vocational training center in a remote area of Morocco.
D.7 Task 7: Observe, monitor and evaluate progress of construction after Compact End Date
The Contractor shall evaluate and advise MCC on the potential and actual completion of construction works by the GoM after Compact End Date. MCC acknowledges that not all of the planned infrastructure components will be completed before Compact End Date and that the GoM may assume the obligations and liabilities of MCA – Morocco without compact funding or MCC oversight. In such a hypothetical situation, MCC may require the Consultant to perform some or all of the tasks normally performed during compact implementation during a period after Compact End Date.
E. Conflict of Interest
The Contractor and its subcontractors would be precluded from bidding on work and services to be procured by the local MCA accountable entity or using funds advanced under a Compact in the relevant country, unless the Contractor submits a mitigation plan sufficient to ameliorate any conflict of interest pursuant to the rules applicable to the procurement process.

The overall period of performance shall be from September 10, 2020 through September 9, 2023 which would cover any excusable delays.
F.2 PLACE OF PERFORMANCE
The Contractor shall perform services at their own offices or in Morocco, as required by MCC. MCC may also require the Contractor to travel to MCC offices in Washington, DC, from time to time to perform services.
While performing services in Morocco, the Contractor shall be responsible for arranging temporary office space as would be required for work not taking place through site visits or meetings with project stakeholders. Should travel be restricted the Contractor shall be able to access electronic tools such as Skype, Zoom and satellite imagery as necessary as well as local resources.
The primary place of performance shall be the address noted in the Contractor's System of Award Management active registration.
It shall be noted that the Contractor shall bill its personnel performing work authorized by MCC no more than eight (8) billable hours per workday, and no more than 40 billable hours per work week (Sunday – Saturday), or as actually performed when lesser. Subject to prior approval of MCC, the Contractor may be able to bill up to 48 hours per week for in-country missions of key and non-key personnel only, to account for travel time for mission deployment to and from Morocco during a specific week.
F.3 DELIVERABLES
The Contractor shall prepare reports and/or email summary of reviews of (and relevant inputs to) relevant project documents, including (but not limited to) the following:
• Design reviews of both infrastructure projects and other activities contemplated under the Compact;
• Technical and/or financial procurement evaluations;
• Draft and final contracts with relevant services/goods/works contractors;
• Technical studies, designs and other contractor deliverables;
• Environmental, social, and resettlement documents;
• Work plans and other program and project schedules;
• Construction supervision documents;
• Cost or other LOE estimates;
• Site visitation reports;
• Meeting summaries;
• Field Testing and Auditing;
• Other reports;
• Presentations;
• Claims and dispute resolution documents;
• Certificates of completion and/or turnover; and

Documents for review may be provided in French and the Contractor will be required to provide edits and comments in French and/or English.
F.4 DELIVERABLE FORMATS
All reports shall be submitted electronically using WINDOWS based MS-Office 2010 or newer, including MS WORD for text, data tables in MS EXCEL, appropriate MS-Office program for exhibits, and schedules using MS-Project 2010 or newer.
Original drawing files shall be submitted in AUTOCAD 2010 (or later), and also in .PDF printable version. Digital photos files shall be submitted in .JPG format. GIS data shall be submitted both in ArcView files, and .PDF printable files. Presentations shall be prepared with MS PowerPoint 2010 or newer. All work files shall be submitted to MCC along with PDF files.
Deliverables may be required to be submitted in both English and French.
All metadata and imagery shall conform to ISO 19115-1:2014 or later requirements and USG requirements. The Contractor shall ensure that all USG requirements are met and advise MCC as needed on further requirements associated with these requirements (file sharing for example). A complete and updated file shall be kept with all metadata and other supporting documentation.
All documents produced and/or collected by the contractor, electronic and hard copies, shall be the sole property of MCC.
The Contractor shall establish and maintain a comprehensive electronic data base and reference index of all relevant documents reviewed, produced, and/or edited by the Contractor. Any and all such documents will be electronically compiled in usable form and delivered to MCC, in an organized electronic format acceptable to MCC, at the end of the contract, and if requested by MCC also in hard copies.
The Contractor shall provide a document management system acceptable to MCC. MCC, at its sole discretion, may provide such system as SharePoint or similar in addition or in lieu of the Contractor's system. The Contractor shall abide by MCC required communication protocol including sharing information and reports with the MCC team, and/or other MCC consultants for efficient and timely reviews and communications as specifically requested.
F.5 CONTRACT PERFORMANCE MONITORING
Quality Assurance
The Contractor shall have in place and maintain a Quality Control Plan (QCP) that covers, at a minimum how the Contractor intends to meet the requirements of all performance objectives, monitor and proactively manage contract requirements. It shall also include the mechanism by which the Government will be notified of performance related incidents that are likely to affect quality of services or impact mission accomplishment. The Contractor shall provide a copy of its QCP to the COR within 30 days of the effective date of contract award. Any proposed changes to the QCP shall be provided to the Contracting Officer for review and comment no later than 10 working days prior to the effective date of the proposed changes.
Quality Monitoring
The Contractor shall be in compliance with FAR Clause 52.212-4(a) Inspections/Acceptance and its QCP when performing all services required under this contract.
F.6 ACCEPTANCE CRITERIA
Deliverables will be evaluated according to the following criteria:
• Thoroughness and timeliness in complying with all of the elements in the tasks specified.
• Quality and clarity of analyses and work produced.
• Timeliness and efficacy of communications with the Core Team and relevant counterparts at MCC.
All reports are to be submitted in English in hard and electronic copy (in MS Word), with tables, data and calculations in MS Excel.
F.7 ESTIMATED TRAVEL
MCC anticipates following number of trips to Morocco and MCC headquarters in DC:
Base Period: 12 international trips, 14 days per trip; 1 MCC headquarters, 2 days each
Period One: 12 international trips, 14 days per trip; 1 MCC headquarters, 2 days each
Period Two: 3 international trips, 14 days per trip; 1 MCC headquarters, 2 days each
F.8 Timing and Reporting
All formal communication with MCC, including reports, will be submitted to the Contracting Officer Representative (COR). The COR for this requirement will be identified via separate correspondence.
The COR will have technical responsibility for monitoring the performance. The COR will review and evaluate the contract's performance, and also will coordinate any communications with relevant counterparts and other donor agencies and organizations.
Any change in the terms of the contract must be made in writing and approved by the Contracting Officer. No representation of the COR shall serve as a basis for an alteration in the general scope of this contract or of the terms and conditions of the contract unless confirmed in writing by the Contracting Officer. The contractor must communicate with the Contracting Officer on all matters that pertain to the contract terms. Proceeding with the work without proper contractual coverage could result in nonpayment for that work.
F.9 MCC TECHNICAL DIRECTION
For tasks performed under time and materials / labor hours, the following provision shall be followed:
Performance of the work under this contract is subject to the written technical direction of the Contracting Officer Representative (COR), and any Government Project Monitors (PM), who shall be specifically appointed, and responsibilities identified, by the Contracting Officer in writing in accordance with MCC policy. "Technical direction" means a directive to the Contractor that approves approaches, solutions, designs, or refinements; fills in details or otherwise completes the general description of work or documentation items; shifts emphasis among work areas or tasks; or furnishes similar instruction to the Contractor. Technical direction includes requiring studies and pursuit of certain lines of inquiry regarding matters within the general tasks and requirements in Section C of this contract, and any resulting Call Order.
The COR/Government PM does not have the authority to, and shall not, issue any instruction purporting to be technical direction that:
Constitutes an assignment of additional work outside the statement of work;
Constitutes a change as defined in the changes clause;
Constitutes a basis for any increase or decrease in the total estimated contract/Call Order cost, the fixed fee (if any), or the time required for contract/Call Order performance;
Changes any of the expressed terms, conditions, or specifications of the contract/Call Order; or
Interferes with the Contractor's rights to perform the terms and conditions of the contract/Call Order.
Technical direction may be oral or in writing; however, the COR or government PM shall confirm oral direction in writing within five workdays.
The Contractor shall proceed promptly with the performance of technical direction duly issued by the COR or PM in the manner prescribed by this clause and within the COR's/PM's authority. If, in the Contractor's opinion, any instruction or direction by the COR/PM falls within any of the categories defined in paragraph (b) of this clause, the Contractor shall not proceed but shall notify the Contracting Officer in writing within 5 workdays after receiving it (either orally or in writing, whichever comes first) and shall request the Contracting Officer to take action as described in this clause. Upon receiving this notification, the Contracting Officer shall either issue an appropriate contract/Task Order modification within a reasonable time or advise the Contractor in writing within 30 days that the instruction or direction is:
Rescinded in its entirety; or
Within the requirements of the contract/Task Order and does not constitute a change under the changes clause of the contract/Task Order, and that the Contractor should proceed promptly with its performance.
A failure of the Contractor and Contracting Officer to agree that the instruction or direction is both within the requirements of the contract/Task Order and does not constitute a change under the changes clause, or a failure to agree upon the contract action to be taken with respect to the instruction or direction, shall be subject to the Disputes clause of this contract.
Any action(s) taken by the Contractor in response to any direction given by any person other than the Contracting Officer or the COR/PM shall be at the Contractor's risk.

52.203-71 MCC 52.203-71 IDENTIFICATION OF POTENTIAL FRAUD OR CORRUPTION ON
PREVIOUS MCC-FUNDED PROJECTS (JUNE 2019)
MCC contractors, when conducting their work, may find indicators or evidence that MCC-funded projects, including construction works, did not meet contract specifications, or that construction works exhibit unexpected degradation or poor performance. While these indicators may not prove that fraud or corruption occurred, they may warrant further inquiry on the part of MCC. Contractor employees and/or subcontractor personnel are subject to the MCC's Policy on Preventing, Detecting, and Remediating Fraud and Corruption in MCC Operations, also known as the AFC Policy, which is available on MCC's website. Under the AFC Policy, all MCC and Accountable Entity staff, and all others working with MCC funding, are required to promptly report any suspected incidents of fraudulent or corrupt practices, based on a reasonable belief, considering circumstances, that fraud or corruption may have occurred. Reports should be made to the email address hotline@mcc.gov.
Those messages will automatically be shared with appropriate MCC personnel and with the U.S. Agency for International Development's Office of Inspector General's Office of Investigations (USAID OIG/I). Contractors are not to conduct their own investigations of potential fraud or corruption, as such action may interfere with USAID OIG/I investigations.
MCC 52.204-70 SECURITY REQUIREMENTS FOR CONTRACTOR PERSONNEL - FEBRUARY 2019
A. Compliance with MCC Safety and Security Regulations at MCC Headquarters
1. Personal services contractors (PSCs) and contract employees including those working for subcontractors shall be subject to and abide by all MCC safety and security policy and procedures while on MCC premises, and satisfy applicable requirements for fitness to perform work for or on behalf of MCC, personnel security, and obtaining an MCC Photo Identification (ID) Badge.
2. MCC may impose applicable criminal, civil and/or administrative sanctions, including removal, suspension, termination or suspension of access to information, information systems, or MCC facilities, against any PSC or contractor employee who fails to adequately protect classified national security information or sensitive information, including such information designated as Controlled Unclassified Information, from unauthorized disclosure. The sanctions imposed are under the authority of the applicable laws, regulations, Government-wide and MCC policies.
B. PSC and Contract Employee Fitness and MCC Photo ID Badge Requirements
1. The following are requirements for a PSC or contractor employee who works under this contract and requires access to any of the following: MCC Headquarters, MCCNet, Sensitive But Unclassified (SBU), Foreign Government Information (FGI) or any other designated sensitive information (such as classified national security information and Controlled Unclassified Information under 32 CFR Part 2002).
a. Such an individual must be:
i. A U.S. citizen or have Permanent Resident Status in the U.S;
ii. Screened for fitness to work for or on behalf of MCC;
iii. Determined by MCC to be fit to work for or on behalf of MCC; and
iv. Determined eligible to be issued an MCC Photo Identification Badge.
b. In addition, if the individual is not a U.S. citizen for or in a position designated as moderate or high risk (i.e., a public trust position), the individual must have been residing, working and/or attending an educational institution in the U.S. for at least three, years.
c. MCC may allow such an individual to perform services under this contract based on: (1) a favorable suitability/fitness screening as an interim fitness determination, and (2) a favorable interim credentialing determination for issuance of an MCC Photo ID Badge, as applicable. An interim fitness determination does not satisfy requirement a. iii.) of this paragraph, and an interim credentialing determination does not satisfy requirement a. iv.) of this paragraph.
d. An investigation for an individual's fitness will be required to satisfy requirement a. iii.) except whenever the individual already has an investigation on file that meets the requirements for an investigation based on all applicable position designation(s) for the individual that satisfies/satisfy guidelines issued by the Suitability and Credentialing Executive Agent (SuitCredEA), the Security Executive Agent (SecEA) and the individual has been working for or on behalf of a Federal agency continuously for at least one year in one or more Federal positions or as a contractor employee that was/were subject to suitability or fitness investigation satisfying guidelines issued by the Suitability and Credential Executive Agent. However, no exception to the investigation requirement will be granted whenever MCC obtains new information in connection with the individuals that calls into question the individual's fitness under the criteria for suitability in 5 CFR 731.202. The investigation required will be based on position designation performed by MCC in accordance with 5 CFR 731 and 5 CFR 1400.
2. PSCs and contractor employees for or in public trust positions are subject to reinvestigation for fitness within the timeframe specified by the SuitCredEA.
3. A PSC or contractor employee whose position risk designation increases due to reassignment or change in job duties or responsibilities, is subject to the fitness investigation requirements for the higher risk position at the time the position designation is changed. If the position with the higher risk designation is the same one occupied by the individual, the individual may remain in the position while the investigation is being conducted; otherwise, the individual may not perform services under this contract in the new capacity until the requirements of B.1. of this clause are satisfied. Any upgrade in the investigation required for the new risk level will be initiated by MCC within 14 calendar days of the reassignment or change in job duties or responsibilities.
4. Fitness determinations will be made by MCC using the criteria and guidelines for making suitability determinations in 5 CFR 731.202 and related guidelines of the SuitCredEA. When no new investigation is required, MCC may determine an individual unfit when the investigative record on file for the individual shows conduct that is incompatible with the core duties of the relevant position by applying the criteria and guidelines referenced in this paragraph.
5. If a PSC or contractor employee develops one or more issues with respect to the criteria in 5 CFR 731.202 prior to any required investigation or reinvestigation, MCC may conduct an investigation at any time sufficient to resolve the issues and determine the individual's fitness to work for or on behalf of MCC.
6. Interim and final determinations on eligibility to be issued a MCC Photo ID Badge will be made by MCC based on the SuitCredEA's criteria in "Final Credentialing Standards for Issuing Personal Identity Verification Cards" or it latest successor.
7. Contractor, including any PSC, is required to have all affected personnel complete appropriate security forms, including a signed Personal Information Request Form (PIRF) and a signed form OF 306 Declaration for Federal Employment, which are to be signed and faxed to MCC DIS at 202-521-3590. Candidates for PSC positions must also include a copy of their resume in the fax transmission that includes the PIRF and OF 306. In addition, individuals subject to fitness investigation or reinvestigation must complete a Standard Form 85P or 85P-S (as specified by MCC Domestic and International Security (DIS)) and related signature releases, supplemental forms; and submit to fingerprint imaging within seven (7) days after receiving a DIS e-mail request for the documents. MCC DIS will provide the necessary forms, which must be submitted using an on-line system on the Internet. (Also see "Contract Award" below.)
8. MCC Photo ID Badges will only be issued to individuals determined eligible to be issued one and who attend a scheduled MCC Orientation Program and Security Briefing.
9. Whenever MCC determines an individual is unfit or ineligible to be issued a MCC Photo ID Badge, the Contracting Officer (CO) or CO's Representative (COR) will notify the contractor's contractual point of contact (POC) in writing of the decision and, whenever applicable, that accesses to MCC facilities and information systems have been terminated. Subsequent to issuance of these notifications, contractors are required to provide MCC a suitable replacement; and PSCs and contractors are responsible, whenever applicable, for the return of the subject individual's MCC Photo ID Badge and any MCC equipment that was issued to the individual.
C. Personnel Security Requirements for PSCs Paid Directly by MCC
1. PSCs directly paid by MCC without interim national security eligibility granted by MCC or national security eligibility at least at the level required for the position, duties, or work activities specified as requiring such eligibility, including that for access to classified national security information, by this contract are prohibited from rendering services under this contract.
2. MCC will determine national security eligibility for all PSCs to whom MCC makes direct payments for services rendered and whose position requires such eligibility as approved by the appropriate MCC department vice president-level executive.
MCC will: (1) make eligibility determinations based on a background investigation that meets the requirements issued by the SecEA; (2) determine whether a previously-performed investigation satisfies the investigative requirements using guidelines issued by the Office of Management and Budget or the SecEA; and (3) adjudicate personnel security background investigations or any other information related to determining national security eligibility using the criteria in Security Executive Agent Directive 4, National Security Adjudicative Guidelines, or its latest successor.
3. A PSC granted national security eligibility by MCC is subject to a personnel security reinvestigation by MCC within the timeframe specified by the SecEA.
4. MCC may at any time perform a personnel security reinvestigation of a PSC to whom it has granted national security eligibility.
5. MCC may administratively withdraw national security eligibility it has granted whenever it determines such eligibility is no longer needed. MCC may administratively downgrade a Top Secret security clearance holder's clearance to Secret whenever it determines the holder no longer needs access to Top Secret information.
6. Whenever a personnel security investigation or reinvestigation is required, PSCs and PSC candidates will submit to MCC DIS, personnel security background investigation forms, including a PIRF, OF 306, a copy of their resume, a Questionnaire for National Security Positions (SF 86), signature releases and supplemental forms, and submit to fingerprint imaging used to access reports from the Federal Bureau of Investigation (FBI) and other national databases.
7. In exceptional circumstances MCC may grant interim national security eligibility with access to classified information at the Secret level to a PSC directly paid by MCC while a personnel security background investigation is in progress based on favorable adjudication of previously-completed personnel security investigations or reinvestigations, the PSC's OF 306, resume, SF 86 submission, and any other relevant information.
8. MCC will not grant national security eligibility to any individual determined ineligible to be issued a MCC Photo ID Badge or unfit.
9. PSCs to whom MCC grants national security eligibility will not be issued a security clearance and, consequently, will not be permitted access to classified information, until the individual attends an MCC Security Clearance Briefing and signs a Classified Information Nondisclosure Agreement (SF 312).
10. Whenever MCC determines an individual not eligible for national security eligibility, the Contracting Officer (CO) or CO's Representative (COR) will notify the contractor's contractual point of contact (POC) in writing of the MCC determination(s) and, whenever applicable, that accesses to MCC facilities and information systems have been terminated. MCC will process such individuals in accordance with §5.2 of Executive Order 12968, "Review Proceedings for Denials or Revocations of Eligibility for Access". Subsequent to issuance of these notifications, contractors are required to provide MCC a suitable replacement; and PSCs and contractors are responsible, whenever applicable, for the return of the subject's MCC Photo ID Badge and any MCC equipment that was issued to the individual.
D. Personnel Security Requirements for Contractor employees and Other PSCs
1. Contractor employees and PSCs not directly compensated by MCC without a national security eligibility or interim eligibility at least at the level required for the position, duties, or work activities specified as requiring such eligibility, including that for access to classified national security information and occupy a sensitive position (as defined in 5 CFR 732), by this contract are prohibited from rendering services under this contract.
2. Contractor employees and PSCs not directly compensated by MCC requiring national security eligibility to perform work for MCC must hold one at the appropriate level in accordance with the policy and procedures of the National Industrial Security Program (NISP, Executive Oder 12829, as amended) and the NISP policy and procedures of the Department of Defense.
