Summary of Addendum No. 1 for DOT-ITB-26-9051-CA

This is an addendum document issued by the Florida Department of Transportation Procurement Office that revises and clarifies the solicitation for State and Federal Forested and Herbaceous Wetland Mitigation Bank Credits to offset freshwater wetland impacts. The solicitation seeks competitive sealed bids for permitted and released freshwater forested/palustrine and herbaceous/palustrine wetland mitigation bank credits across multiple water management districts including the St. Johns River Water Management District, Southwest Florida Water Management District, South Florida Water Management District, and the United States Army Corps of Engineers. The contract encompasses an estimated 99 acres of wetland impacts across three drainage basins: 21.0 acres of freshwater herbaceous in Reedy Creek Basin, 5.0 acres of freshwater herbaceous in Ocklawaha River Basin, and 73.0 acres (5.0 herbaceous and 68.0 forested) in Withlacoochee River Basin. The bid opening is scheduled for Monday, January 5, 2026, at 10:00 AM EST. This is an indefinite quantity contract with a 24-month term from the date of award, with no guaranteed specific quantity of mitigation credits to be purchased. The contract is structured to award multiple vendors if necessary to meet the Department's mitigation needs on a per-project basis.

Addendum No. 1 replaces the original Exhibit "A" Technical Specifications and Section 5 Vendor Qualifications in their entirety and addresses a critical question regarding Senate Bill 492 compliance. The Department clarified that it will consider bids from mitigation banks whose service areas lie outside the identified basin as responsive if they meet all other criteria, provided the bank meets all ITB criteria; however, SB 492 showings—including documentation that no appropriate in-basin credits are available and any Water Management District or Department of Environmental Protection approvals or multiplier analyses—must be completed during project-specific permitting rather than at the bid stage. Vendors bidding on state credits must provide valid state mitigation bank permits and current state credit ledgers, while those bidding on federal credits must provide valid federal banking instruments with current federal credit ledgers. Vendors must bid per mitigation credit using provided bid sheet tables, with pricing firm, net, and F.O.B. destination, subject to a one percent MyFloridaMarketplace transaction fee. All bidders must be registered in MyFloridaMarketplace, and out-of-state vendors are subject to a five percent in-state preference when bidding lower than in-state vendors from states without reciprocal preference agreements.

1. If bidding on state credits, the Vendor must have a valid state mitigation bank permit (state permit) for the mitigation bank. The mitigation credits must be acceptable to the applicable WMD or Florida Department of Environmental Protection (FDEP) to offset wetland impacts associated with the planned project. The Vendor shall provide the Department a copy of its state permit and a copy of its current state credit ledger, so the available number of credits can be verified at the time of its bid submittal.

Exhibit “A” (Page 2 of 3)

The mitigation bank’s service area must cover the identified WMD drainage basin. If a mitigation bank’s service area is outside the identified basin, the Vendor shall provide as applicable, a cumulative impact assessment or the appropriate multiplier analysis for use by the Department if required, which has been conceptually approved by the applicable WMD or DEP, confirming that its mitigation bank is acceptable to offset wetland impacts associated with the planned project.

2. If bidding on federal credits, the Vendor must have a valid federal banking instrument (federal permit) with a federal service area which encompasses the planned project’s wetland impacts. The federal wetland mitigation bank credits shall include all species credits (e.g., wood stork) tied to each wetland mitigation bank credit. If the federal service area is outside the identified basin, a Vendor can provide written verification from the United States Army Corps of Engineers (USACE) that its wetland mitigation bank credits are acceptable to offset wetland impacts for a planned project. The Vendor shall provide the Department a copy of its federal permit and a copy of its current federal credit ledger, so the available number of credits can be verified at the time of its bid submittal.

A Federal mitigation bank's service area must cover the project’s identified 8-digit Hydrologic Unit Code (HUC). Alternatively, a Vendor may provide written verification from USACE that the mitigation banking instrument for the bank includes language permitting the use of wetland mitigation bank credits for impacts outside the identified HUC-8 which includes the impacts associated with the Department’s planned project and/or allows for consideration under the federal Proximity Factor Tool.

3. If bidding on both state and federal credits under one bid price, the Vendor must meet both criteria 1 and 2 above.

4. The Vendor must have the type of mitigation credits it is bidding on released and available for sale at the time of the bid.

5. When a Vendor’s mitigation credits use an assessment methodology other than the Uniform Mitigation Assessment Method (UMAM) the Vendor must provide documentation as part of its bid proposal from the appropriate permitting agency(ies) stating the credits can be used for the Department’s proposed project(s). The Vendor is responsible for calculating any conversion factors and providing documentation from the appropriate regulatory agencies confirming that the bidder’s conversion calculation of permitted credits to UMAM is acceptable to satisfy the Department’s mitigation needs. The Department reserves the right to coordinate with regulatory agencies to confirm these mitigation credits are appropriate to meet its mitigation needs.

At this time, the Department has identified estimated wetland impacts below for which Wetland Mitigation Bank Credits may be purchased under the resulting contracts

The actual quantities of Wetland Mitigation Bank Credits needed are unknown at this time. The Department will issue Purchase Order(s) for the purchase of Wetland Mitigation Bank Credits at such time as the exact quantities are known.

Drainage Basin information and estimated wetland impacts are included as available from preliminary project planning. The estimated impact acres are included for the benefit of vendors with credits using an assessment methodology other than UMAM. These wetland impact acres are estimated and subject to agency verification during the permitting review process.

ADDENDEM NO. 1

TECHNICAL SPECIFICATIONS (REV. 12/17/25)

Exhibit “A” (Page 3 of 3)

1. Reedy Creek Basin/ HUC8 03090101 Kissimmee:

• 21.0 acres freshwater herbaceous

2. Ocklawaha River Basin/ HUC8 03080102 Oklawaha:

• 5.0 acres freshwater herbaceous

3. Withlacoochee River Basin/ HUC8 03100208 Withlacoochee:

• 68.0 acres freshwater forested

The Vendor shall bid using the included BID SHEET. Each bid sheet is limited to wetland mitigation bank credits from a single wetland mitigation bank. The prospective Bidder shall provide a bid price on Tables 1 - 6 as appropriate for the type of wetland mitigation bank credits. The prospective Bidder is not required to bid on both state and federal wetland mitigation bank credits or each identified Drainage Basin. Tables 1 and 4 provide for a combined state and federal freshwater forested and herbaceous wetland mitigation credit bid price. Tables 2, 3, 5 and 6 provide for a separate state and/or federal bid price. The Vendor may enter bids on more than one of the tables but need not enter bids on all of the tables. The prospective Bidder is not required to be able to provide all of the wetland mitigation bank credits needed.

Due to the limited nature of wetland mitigation bank credits, the Department may award multiple bidders that can provide wetland mitigation bank credits meeting the Department’s needs. The Department will issue Purchase Orders to meet project needs to the lowest responsive bidder(s) with wetland mitigation bank credits available.

The Department’s intent is to purchase wetland mitigation bank credits by purchase order from the lowest bidder or lowest combination of bidders to meet the needs of each project. Purchases will be made for Wetland Mitigation Bank Credits based on the lowest cost per mitigation credit. If a low bidder cannot meet the entire mitigation need for a project, the Department may purchase the remainder from higher bidders as needed to fulfill the total project need. For each subsequent purchase, the Department reserves the right to purchase available wetland mitigation bank credits from the lowest bidder and proceed in order of price proposals to determine the best value for the state.

To the extent the wetland mitigation bank credits purchased by the Department exceed the number of actual wetland mitigation bank credits needed for a given project, the Department reserves the right to use any excess wetland mitigation bank credits for its use on future qualifying projects. The Bidder/Vendor will aid the Department by properly updating its ledger(s) and assist as necessary to update regulatory ledger(s) to reflect actual wetland mitigation bank credits used and documenting the remaining wetland mitigation bank credits available for use by the Department. The Bidder/vendor shall not sell these excess mitigation credits reserved for the benefit of the Department to any third party.

The Department may, at its sole discretion, purchase additional freshwater forested/palustrine and/or herbaceous/palustrine wetland mitigation bank credits from the resulting contracts for any qualifying Department project on an as-needed basis.

ADDENDUM NO. 1

5) VENDOR QUALIFICATIONS (rev. 12/17/25)

The Vendor must meet the following criteria to provide a bid:

Alternatively, a Vendor may provide written verification from USACE that the mitigation banking instrument for the bank includes language permitting the use of wetland mitigation bank credits for the identified HUC-8 which includes the impacts associated with the Department’s planned project and/or allows for consideration under the federal Proximity Factor Tool.
